Basis of Design:

This dairy plant has design to handle 2000.00 Liters of milk per day. Plant has been designed to produce liquid milk in pouch form of 250 ml and 500 ml. Also it can produce Ghee and curd.

Battery Limits

1. Fresh Product: Fresh Product at a temperature mentioned in data sheet shall be made available & connected by the Client at the inlet of the equipment.

2. Finished Product: Finished Product shall be made available by VTE at the outlet of equipment for onwards transfer by Client.

3. Chilled Water: Chilled water supply and return in specified quantity and pressure shall be made available and connected to by the Client wherever required.

4. Hot Water: Hot water supply and return in specified quantity and pressure shall be made available and connected to by the Client wherever required.

5. Compressed air: Instrument quality compressed air at 6- bar pressure shall be made available and connected by the client wherever required. 6. Process Quality Water: Process quality water at pressure and in required quantity shall be made available and connected by the client wherever required.

7. Electrical Power: Client shall provide electrical supply including earthing at the incoming connection of our machines.

Exclusions:

1. All types of civil works including grouting of inserts, floor supports, finishing of cut outs etc.

2. All utility and product piping, electrical outside specified battery limits. Any additional piping shall have to paid additionally.

3. Any other item not specifically mentioned by us.

Note: The equipments being supplied by us are in pieces and their interconnection or connection with any other equipment shall not be in our scope. We have considered only supply of this equipment’s and our scope shall be restricted

to that. Unloading, Positioning, and erection shall be done by the client. Commissioning would be done by our engineer. 7. GUARANTEE: The company guarantees that the goods manufactured by it and delivered hereunder will be free of defects in material and workmanship for a period of twelve (12) months from the date of shipment.

The purchaser shall be obligated to promptly report any failure to conform to this guarantee, in writing to the company within said period, whereupon the company shall at its option, correct such nonconformity by suitable repair to such goods, or furnish a replacement, provided the purchaser has stored, installed, maintained and operated such goods in accordance with good industry practices and has complied with specific recommendations of the company. The company shall not be liable for any repairs, replacements or adjustment to the goods or any costs of labor performed by the purchaser or others without the company's prior approval.

The purchaser shall not operate/use such goods, which is considered to be defective, without first notifying the company in writing of its intention to do so. Any such use of goods will be at purchaser's sole risk and liability.

The effects of corrosion, erosion and normal wear and tear and electrical items and components are specifically excluded from warranty. Performance warranties are limited to those specifically stated within the company's proposal.

8. FORCE MAJEURE: In all cases where the delay or failure in performance of this contract is directly or indirectly caused by or due to an act of god, war, mobilization; demobilization, requisition by/ or interference from government or local Authorities, force majeure lockout, labor disturbance, trade disputes, unavailability or shortage of materials, fires, riots, strikes, and/or civil commotion or any events or circumstances whatsoever beyond the control of the company then in such case, the company shall be entitled to an extension of time for performance of this contract for a period corresponding to the period of delay .

9. VALIDITY OF OFFER: Our offer is valid for a period 45 days from the date of the offer as mentioned in offer. Prices thereafter are subject to our written confirmation.

Annexure IV-Commercial Terms & Conditions Delivery: 1 Month from the date of your clear purchase order & clearance to manufacture. Transportation charges & Transit insurance: Quoted values are on Ex-works basis. Material shall be dispatched by road/sea and transportation and insurance charges shall be to buyer’s account. Packing and Forwarding : Goods shall be packed as per our standards at a cost of 2.0% of the Ex-works value of the equipment. Sales tax : 5% of VAT. The Taxes will becharged at the rates prevailing at the time of dispatch. New Levies and taxes becoming applicable at the time of dispatch will be charged at actuals. Payment Terms : 1. 50% advance along with PO & balance 50% against Performa Invoice prior to dispatch. Delayed payments beyond the due date shall attract an interest @ 18% per annum. And 0.77% of Insurance Supervision / Service The plate heat exchanger is a simple piece of equipment and is delivered ready to be piped up. The PHE is delivered with a comprehensive IOM manual showing clearly how it should be installed/operated/maintained. Hence no specific service assistance or training is required for start-up or commissioning. In the unlikely event that assistance is required, V-Thermo can provide commissioning/service engineers are available at following rates: • Rs. 3500.00 / 8hr day on normal working day • Rs. 4500.00 / 8hr day on weekend and public holiday • Overtime rate at Rs.300.00 / hour Accommodation, travel and transportation are not included in the rates above. Detailed service contract can be offered on request. Warranty: V-Thermo warrants the goods sold by it to Buyer to be free from defects in material or workmanship under normal use and conditions as defined by manufacturer’s specifications for a period of one (1) year from date of shipment by V-Thermo. V-Thermo liability to Buyer under this warranty shall be limited V-Thermo choice, to replacement at its office of any part or parts thereof which V-Thermo determines to be defective after inspection at its office, or refund of the purchase price. In no event shall V-Thermo be liable for consequential or special damages, or for any expense incurred as a result of use of the goods, irrespective of whether same may be proven defective under the warranty. V-Thermo liability shall in no event exceed the purchase price of the goods and/or services furnished by V-Thermo. Buyer shall have no cause of action for breach of this agreement after two (2) years from date of shipment of goods by V-Thermo. Remedies provided to Buyer herein are exclusive. Modifications of warranties or representations as to any goods sold by V-Thermo may be made only in writing signed by a person authorized to do so by V-Thermo.


Corrosion: Because Plate Heat-exchangers are used in corrosive environments and small variations in operating conditions can significantly affect the corrosion rates of the units, V Thermo assumes no responsibility for corrosion resistance or life span of these units in any application. V-Thermo warrants the products sold to be free from defects in material or workmanship under normal use and conditions for a period of one year from date of shipment. Cancellation charges: No Cancellation once the Order is placed Validity: 30 days from the date of offer on the basis our terms & conditions; the validity can be extended subject to our written confirmation.
