RS2019 - 135 A resolution approving a memorandum of understanding between the Metropolitan Transit Authority and the Metropolitan Department of Public Works and approving an intergovernmental agreement by and between the State of Tennessee, Department of Transportation, and the Metropolitan Government of Nashville & Davidson County, acting by and between the Department of Public Works, for the acceptance of work in connection with the construction of intersection improvements on Nolensville Pike from McNally Drive to Natchez Court, State Project No. 19LPLM-S3-158, PIN 128602.00, Prop. No. 2019M- 039AG-001. WHEREAS, the Metropolitan Government of Nashville and Davidson County and the State of Tennessee, Department of Transportation, seeks to enter into an intergovernmental agreement to construct an intersection improvement project on Nolensville Road from McNally Drive to Natchez Court, State Project No. 19LPLM-S3-158, PIN 128602.00; and, WHEREAS, pursuant to the terms of the agreement attached hereto, the total cost estimate of the project. is approximately $980,005.00, 95% of which will be funded by the state government through a Multimodal Access Grant, and 5% of which will be funded locally; and, WHEREAS, pursuant to the terms of the Memorandum of Understanding attached hereto, between the Metropolitan Department of Public Works (PW) and the Metropolitan Transit Authority ("MTA"), MT A has agreed to pay the 5% local funding; and, WHEREAS~ Tennessee Code Annotated, Section 12-9-104(a)(2)(b), authorizes The Metropolitan Government of Nashville & Davidson County to enter into intergovernmental agreements with the State of Tennessee by resolution; and, WHEREAS, it is in the interest of The Metropolitan Government of Nashville & Davidson County that this intergovernmental agreement be approved. NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY: Section 1. WHEREAS, the Metropolitan Government of Nashville and Davidson County and the State of Tennessee, Department of Transportation, seeks to enter into an intergovernmental agreement to construct an intersection improvement project on Nolensville Road from McNally Drive to Natchez Court, State Project No. 19LPLM-S3-158, PIN 128602.00; and,

Section 1. That Agreement No. 190024 with TDOT, attached hereto as Exhibit 1,

and incorporated herein by reference, is hereby approved, and that the Metropolitan Mayor is authorized to execute the same.

Section 2. That the Memorandum of Understanding, between the Metropolitan Department of Public Works and the Metropolitan Transit Authority, attached hereto and incorporated herein by reference, is hereby approved. ·

Section 3. Any amendments, renewals, or extension of the terms of the agreement may be approved by resolution of the Metropolitan Council.

Section 4. That this resolution shall take effect from and after its final passage, the welfare of The Metropolitan Government of Nashville & Davidson County requiring it.

This Grant Contract shall be effective from the period beginning July 1, 2019, and ending July 1,

2023. The Agency shall provide the Department with the documents, certifications and

clearances necessary to obtain the Department's Notice to Proceed to the Construction Phase

within July 1, 2021. If the Agency does not provide the Department with the documents,

certifications and clearances necessary to obtain the Department's Notice to Proceed to the Construction Phase by the aforesaid date, then the Department may terminate this Agreement.

In no event will the State be liable to the Agency or any other party for any lost revenues, lost profits, loss of business, loss of grant funding, decrease in the value of any securities or cash position, time, money, goodwill, or any indirect, special, incidental, punitive, exemplary or consequential damages of any nature, whether based on warranty, contract, statute, regulation, tort (including but not limited to negligence), or any other legal theory that may arise under this Grant Contract or otherwise. The State's total liability under this Grant Contract (including any exhibits, schedules, amendments or other attachments to the Contract) or

D.23. Force Majeure. The obligations of the parties to this Grant Contract are subject to prevention by causes beyond the parties' control that could not be avoided by the exercise of due care including, but not limited to, natural disasters, riots, wars, epidemics, or any other similar cause.

D.24. State and Federal Compliance. The Agency shall comply with all applicable State of Tennessee and federal laws and regulations in the p'erformance of this.Grant Contract.

The Nashville Metropolitan Transit Authority

This Memorandum of Understanding ("MOU") is made and entered into this __ day of ___ _, 2019 by and between and the Nashville Metropolitan Transit Authority ("MTA''),

located at 430 Myatt Drive, Nashville, Tennessee 37115 and the Metropolitan Department of Public Works (MPW) to construct Intersection improvements along Nolensville Pike at McNally

Drive and Natchez Court.

WHEREAS MPW, with the cooperation of MTA, has received a Multimodal Access grant to construct Intersection improvements along Nolensville Pike at McNally Drive and Natchez Court that were identified In Envision Nolensville as critical to Improving pedestrian a~cess and safety along the growing corridor ("Project").

WHEREAS, MPW and MTA desire to work cooperatively to construct Intersection improvements; and,

WHEREAS, MPW has been awarded funding from the Tennessee Department bf Transportation's Multimodal Access grant funding in the amount of $931,004.75; and,

WHEREAS, local funding shall be contributed by MTA in the amount of $49,000.25 ("Local Funding"); and,

WHEREAS, the Multlmodal Access grant provides for several modal Improvements including sidewalk, transit shelter, and crosswalks; and,

WHEREAS, the Project is designated a MPW project because it is primarily comprised of construction of facilities In the public right-of-way; and,

WHEREAS, this MOU sets forth the roles and responsibilities of the participating agencies In the development, implementation, and maintenance of the McNally Intersection Improvements; and,

WHEREAS, this MOU will facilitate cooperation for preliminary engineering, design, and construction of Intersection improvements at McNally Drive; and,

WHEREAS, this MOU is not a legally binding contract, but is a guide to the intentions and policies of the participating agencies and the construction of intersection improvements along Nolensville Pike.

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, and other good and valuable consideration, the Parties agree as follows:

I. OVERALL RESPONSIBILITIES OF THE PARTIES 1. The Project description and Project budget for the Multimodal Access grant is

described in the grant application, attached hereto as Exhibit 1.

2. MPW will manage the scope of the Project which MTA will review and provide

comment during construction.

3. MPW and MTA agree to follow all applicable federal and state laws, as well as local

codes.

4. This MOU does not affect any other transportation related agreements between the

parties.

II. RESPONSIBILITIES OF MPW

1. Manage the Multimodal Access grant and oversee the Project.

2. Manage design process and oversee construction for the Multimodal Access grant,

including incorporation of transit facilities as shown on Sheet 13 of Exhibit 1.

3. Invoice MTA for Project costs related to Local Funding.

4. Initiate and maintain procurement process for all Project consultants and

contractors.

5. Coordinate partnership with other entities and programs.

6. Provide routine maintenance associated with sidewalks, crosswalks, and pedestrian

signals following the completion of construction.

Ill. RESPONSIBILITIES OF MTA

1. Provide Local Funding up to $49,000.25 accounted for in agency's annual Metro

capital budget for Federal grant match.

2. Provide review during design and construction, including a list of comments during

design process and a punch list following construction, to ensure transit facilities

reflect WeGo Design Guidelines.

3. Purchase and installation of bus shelters, benches, and trash receptacles with funds

not part of Local Funding.

4. Provide routine maintenance associated with transit facilities, including removal of

trash and shelter cleaning, following the completion of construction.
