3. Power ot attorney
2. Scope of power of attorney for other named representative(s)In addition to the legal representatives (personally liable partner of a general partnership, limited partnership or non-trading partnership, management board of a public limited company, managing director of a private limited company) all other named representative(s) stated in the specimen signatures sheet are authorised to represent the account holder in business with Deutsche Handelsbank. The power of attorney shall cover all our existing and future accounts, if not specified otherwise. The power of attorney shall authorise the holder to conduct all business directly relating to the management of the accounts, if not specified otherwise below:
a) Loan agreements / overdrafts: The conclusion and alteration of loan agreements to the debit of the accounts shall be subject to an arrangement with the legal representative(s), persons with specific power of attorney to conclude loan agreements and/or the shareholder(s). However, the authorised representative(s) may dispose of any loans already granted and take advantage of the possibility to temporarily overdraw accounts within the usual banking limits.
Appointment of authorised representatives / revocation of right of representation: Further authorised representatives can only be appointed by the legal representative(s) and/or the shareholder(s). They shall be authorised to revoke the right of representation vis-à-vis Deutsche Handelsbank at any time. The revocation must be notified to the Bank immediately and - for proof-related reasons - if possible in writing.
Closing of accounts: The accounts can only be closed by the legal representative(s) and/or the shareholder(s).

3. Amendment of the right of representationThe termination or amendment of rights of representation is to be notified to Deutsche Handelsbank immediately and - for proof-related reasons - if possible in writing. This notification requirement shall also exist where the right of representation has been recorded in a public register (e.G. Commercial Register) and its termination or amendment is entered in this register.
For legal reasons, individual right of representation for all business transactions can only be granted vis-à-vis the Bank for partnerships and corporations where the partnership agreement or the articles of the company provide individual right of representation for its legal representatives.

1. Limitation of the individual right of representation of a legal representative vis-à-vis the Bank in the case of statutory joint representationIf, in accordance with the commercial register / articles of the company, all legal representatives (personally liable partner of a general partnership, limited partnership or non-trading partnership, management board of a public limited company, managing director of a private limited company) of the account holder have joint right of representation, any individual right of representation vis-à-vis Deutsche Handelsbank granted on this specimen signatures sheet shall be limited to transactions directly relating to the management of the account.
