2016 proved to be another year in which constitutional politics dominated the headlines and drove our clients to seek our advice and support in new and complex areas of law.

While clients and contacts were of course engaged in the debate in the run up to the EU referendum, the appetite for information and insight after the result was immense. In what may be a first for a seminar on European and UK constitutional law there was standing room only at our session in Edinburgh in the week after the referendum – with more than 600 clients attending briefings across our Scottish offices.

Since the referendum vote of June of last year colleagues across the firm have come together as part of our expanded Brexit Advisory Group. The group’s remit is to ensure that our lawyers are fully equipped to advise clients on the implications of Brexit – whether concerning the rights of EU national workers to continue to live and work in the UK, the ongoing impact of EU law (including new laws like the General Data Protection Regulation) or the UK’s trading relationships with the EU and the rest of the world.

We have, as ever, sought to bring fresh perspectives to the issues affecting our clients and our economy, with one of our most popular events of the year involving H.E. Thórdur Aegir Óskarsson, Iceland’s Ambassador to the UK, and Liv Monica Stubholt, of the Norwegian law firm Selmer, discussing the pros and cons of membership of the European Economic Area.

We have also moved location in Brussels to become residents of ‘Scotland House’, working in closer proximity to Scottish Development International and to the Scottish and UK Government representations. We are committed to a Brussels presence, recognising that it will be essential during the Brexit negotiations phase to understand not only the positions being adopted by London and Edinburgh but also the view from the EU Commission and other member states. The Scottish dimension – and the debate about a second independence referendum – suggests that this coming year will be no less ‘interesting’ than the last.

Along with most of our clients – British or overseas – at Brodies we were all stunned by the news on the morning of 24 June that the UK had voted to leave the EU.

We knew it would be close, and some even half-expected it, but the reality of the referendum took weeks to sink in and, as I write, its implications are just starting to emerge for many.

From a business perspective, the referendum - the lead-up, its immediate aftermath and the period since - has had a real impact on many clients (and so the levels of activity in the firm) as they have considered their own response to events. The 2015/16 financial year, summarised in the report, was one of solid progress for Brodies, with the move to a new office in Glasgow, strong headcount growth across the firm and satisfactory financial performance. However, between February and July 2016 there was a discernible hesitation in some sectors - and consequently a slow-down in transactional activity. We believe this was directly related to the question of our future trading relationship with the largest single market in the world. The 12.4% revenue increase we recorded was a satisfactory outcome in all the circumstances, as were the 35 new roles created, including for the 24 newly-qualified lawyers recruited over the year.

We are optimistic that the worst predictions that we have heard regarding Brexit can be avoided, thanks to the resilience and determination of so many of our clients in seizing the opportunities that have emerged as a consequence of the sharp fall in Sterling – whether in the export markets or due to asset values – and the Scottish and UK Government’s policy commitments and actions.

REVIEW

That said, at Brodies, in common with our clients, we hope and expect our politicians and negotiators in the years ahead to be pragmatic and collaborative in their dealings with our EU partners to ensure as little economic damage as possible is done and that we can continue to grow our business and create long-term job opportunities in Scotland. It is especially important that Scotland is able to retain and welcome workers from the EU and elsewhere who make such a valuable contribution to pretty-much all sectors.

I am pleased that Brodies’ commitment to the communities in which we live and work is undimmed despite this uncertainty. It is with particular pleasure that I note our engagement with the PRIME Commitment programme ramped up further in the year and we have seen more students build on the insights gained to consider careers in the legal profession. Our colleagues – all 632 – voted to renew our now longstanding relationship with our charity partner, Maggie’s, and the Culture Crawls in both Edinburgh and Glasgow were great successes, raising £168,474. Great contributions were again made by many colleagues in pro bono areas, for a variety of charities and in engaging with the Law Society and policy-makers, directly and via trade organisations, on important legal and policy initiatives - all, as we like to say, going above and beyond.

So, all in all, it has been a very busy and at times quite dramatic year for Brodies. As always I extend our many thanks to clients, business contacts and friends in the profession and elsewhere for your continued engagement with partners and other colleagues over the past year.

Since the vote to leave the EU, Brodies’ Brexit Advisory Group has been actively engaging with clients and prospective clients to provide relevant, expert advice and commentary on the most significant issues for business, including private business planning sessions, free breakfast briefings, seminars and themed events.

ABERDEEN CITY COUNCIL

Brodies acted as lead legal adviser to Aberdeen City Council on its landmark £370 million index-linked bond issue on the London Stock Exchange.

This pioneering bond issue achieved three separate firsts – it was the first time that a Scottish local authority had issued bonds, the first time that such bonds were listed on the London Stock Exchange, and the first time that a credit rating was awarded to both a Scottish local authority and its bond securities.

Brodies’ top-tier ranked corporate, debt finance and tax specialists acted on all aspects, English and Scottish, negotiating the bond terms and conditions, admission to trading on the London Stock Exchange and a range of other legal matters.

The bonds were admitted to trading on the main market of the London Stock Exchange on 8 November 2016 and the proceeds will be used to part-finance the council’s transformational capital and infrastructure programme.

The council chose Brodies as its lead adviser because of our expertise in innovative finance and capital markets transactions and our genuine desire to deliver what the council required from this project.

This was one of the highest profile deals to be completed in Scotland in 2016, with commercial, historical and political significance.

The Brodies team was immensely supportive in guiding us through a complex process that was completely new to us, and in coming up with responsive advice to help deal with difficult issues as they arose.

LIBERTY HOUSE / SIMEC

Brodies advised SIMEC and Liberty House - two members of international industrials group GFG Alliance - on their £330 million purchase from Rio Tinto of the Fort William aluminium smelter and hydro-electric plants, heralded by First Minister Nicola Sturgeon as “the start of an exciting new chapter in Scotland’s manufacturing story”.

The deal also involved over 100,000 acres of land including Ben Nevis’ foothills.

Brodies advised on the Scottish Government’s support for the project, which was structured around a guarantee of the power purchases of the smelter, reinforcing the essential link between the smelter and hydro station at Fort William, and providing a firm foundation for GFG’s ambitious expansion plans. Under the banner “Liberty British Aluminium” that expansion will add substantial extra value to the production of aluminium by integrating the smelter with a new engineering and downstream manufacturing facility, fitting strongly into Liberty’s growing focus on the automotive industry.

Sanjeev Gupta, executive chairman of Liberty House Group and of the GFG Alliance strategic board, noted that the deal puts Fort William “right at the heart of our vision for sustainable and integrated local production that can revitalise British manufacturing”.

MATTHEW ALGIE & COMPANY LTD

Matthew Algie, the Glasgow-based coffee roaster, has a proud 152-year history and had been family-owned since it was established in Greenock in 1864.

Following the death in 2008 of its sixth generation owner, David Williamson, the company had been owned by Mr Williamson’s estate held by a family trust. When the trust decided to sell the business it turned to Brodies, which advised on the sale of the firm to Tchibo Coffee Service GmbH, one of the world’s largest coffee roasting companies.

Brodies’ corporate team led the project, which illustrated its ability to advise on a complex deal, effectively managing many competing interests; deliver effective solutions to potential deal obstacles; and efficiently deliver focused, commercial and pragmatic advice to meet critical deadlines against a very tight timescale.

Tchibo will use the acquisition as a platform to expand its operations in the UK and Ireland with Matthew Algie continuing to operate as a standalone entity with the same brand, being run by the existing management team. This historic deal achieved the best possible result for the business, its employees and the owners/beneficiaries.

The Brodies team did an outstanding job in supporting us on this historic and complex transaction. They provided real quality and expertise across the board, along with a willingness to go the extra mile. We really appreciated Brodies’ hands-on and no nonsense approach to getting the deal done.

PAULINE CAFFERKEY

Scots nurse Pauline Cafferkey contracted Ebola in 2014 while working as a volunteer in Sierra Leone, where she treated patients who had contracted the virus.

Following her return to the UK, having spent over a month in a hospital isolation unit and suffering continued ill-health as a result of the infection, she faced misconduct charges brought by her professional regulatory body, the Nursing and Midwifery Council (NMC). A complaint was made by Public Health England, the body responsible for undertaking the screening for returning health workers at Heathrow Airport.

Pauline was represented by a team at Brodies, led by litigator Joyce Cullen. An application by NMC for her suspension from practice on an interim basis, pending investigation, was refused at an interim hearing – it was accepted that there was no impairment of her fitness to practice. After a long investigatory process, at a hearing which took place in the full glare of publicity before the NMC’s Conduct and Competence Panel, it was accepted that having regard to the agreed facts and expert medical evidence, there had been no misconduct. All the charges that had been brought by NMC were either abandoned on the day of the hearing or dismissed by the Panel that heard the evidence.

Brodies supported Pauline throughout, analysing the facts, gathering background supporting evidence and expert medical evidence that was central to her defence - that the effect of the Ebola virus on her ability to make rational judgements had been substantial and that her conduct had not been dishonest - and ultimately representing her at hearings, persuading the Panel to make its decision in her favour.

There was considerable public interest in the case throughout and Brodies assisted Pauline in protecting her privacy as far as possible, with careful handling of the media and other agencies.

SCOTTISH WATER BUSINESS STREAM

The opening up of the English non-domestic water market to competition in 2017 presented a golden opportunity for Scottish Water Business Stream to expand its presence and build its customer base south of the Border.

Brodies advised long-standing client Scottish Water Business Stream on its successful acquisition of Worthing-based Southern Water’s non-domestic business. The transformative deal, which will create the UK’s third largest non-domestic water supplier, took effect in April 2017 when the English water market opened to competition – allowing businesses of all sizes to choose their supplier.

The acquisition is expected to double the size of Scottish Water Business Stream’s customer base and has been hailed as providing the company with “a springboard for growth” by its Chief Executive Jo Dow.

The Brodies team advised on all aspects of the deal, many of them novel, including the acquisition contract and the transitional agreement covering the relationship between Business Stream and Southern Water between contract signing and full marked opening / completion. Support was also provided on regulatory issues, the TUPE transfer of employees and on competition law issues. Jo commented on Brodies’ “tremendous enthusiasm and commitment” in getting the deal done.

Brodies has advised Scottish Water Business Stream since 2006 and in 2014 was named Partner of the Year at Business Stream’s annual awards in recognition of its lawyers’ “hands-on support”, “enthusiasm” and “willingness to go the extra mile”.

APG ASSET MANAGEMENT

The £1 billion redevelopment of Edinburgh’s St James Centre is one of the UK’s largest urban regeneration projects.

The ambitious scheme promises to transform one of the Capital’s premier shopping destinations into a 1.7 million sq ft retail and leisure centre, featuring a multi-screen cinema, 214-room hotel, aparthotel and 150 private apartments, and create up to 3,000 permanent jobs.

Brodies advised the Dutch pension asset manager APG on its joint venture with the centre’s existing owners, Henderson, to own and develop the city centre site.

Brodies’ real estate and construction teams dealt with all asset-level diligence and other aspects of this highly complex project, demonstrating our ability to interact as part of a pan-jurisdictional and multi-disciplinary team, including providing specialist advice on a number of crucial aspects, such as planning and compulsory purchase.

SCOTTISH GOVERNMENT

Christine O’Neill, Chairman of Brodies, was appointed in December 2016 as First Standing Junior to the Scottish Ministers – leading a team of 18 advocates and solicitor advocates who represent the Scottish Government in litigation.

In the same month, Christine appeared in the UK Supreme Court as part of the Lord Advocate’s legal team at the hearing that considered whether the UK Government was entitled to give notice of the UK’s intention to leave the EU or whether an Act of Parliament was needed.

The Lord Advocate’s arguments focused on the extent to which the UK’s constitutional requirements for triggering Article 50 included consultation with the Scottish Parliament on any Westminster legislation.

The court action was historic not only because it was the first case in which all of the Supreme Court Justices sat together to decide the case but also because it was the first involving arguments from UK Government and the Scottish, Welsh and Northern Ireland devolved administrations.

VELOCITA ENERGY DEVELOPMENTS / 2020 RENEWABLES

Brodies’ top-tier ranked renewables team advised Velocita and 2020 Renewables on the development and project financing of the Airies Windfarm in Dumfries and Galloway.

The Bank of Tokyo-Mitsubishi UFJ provided the debt finance for the windfarm under a £76 million portfolio facility, and GE provided the turbines. The project is one of the last to be built under the outgoing Renewables Obligation (RO) regime and had to be delivered against a tight timetable to ensure accreditation before the cut-off date.

The project more than doubles the amount of capacity that Velocita and 2020 Renewables have brought into operation in the UK, making them key developers in Scotland and the UK. The windfarm will also make a significant contribution towards Scotland achieving its target of 50% of all energy to be supplied from renewable sources by 2030.

Brodies advised Velocita and 2020 Renewables on nearly all aspects of the project including the PPA (power purchase), TSA (turbine purchase), BOP (balance of plant), and all financing and the key real estate documents. In addition, our legal analysis of the grace period legislation was vital to securing the finance to build the windfarm.

The project demonstrates Brodies’ market-leading credentials in the renewables sector and our ability to provide the breadth and depth of specialist expertise required to deliver a project finance transaction of this scale.

POSITIVE IMPACT

At Brodies we are not in the business of merely being seen to ‘do our bit’ in terms of corporate social responsibility.

We are committed to making a positive contribution to the communities in which we live and work because we firmly believe that it’s the right thing to do. Through the many initiatives in which we are involved in we are trying to make a tangible, long-term difference.

PRIME Brodies continues to offer work experience to school pupils from less privileged backgrounds through the PRIME initiative, which aims to widen access to the legal profession. During 2016 we welcomed our biggest intake to date, with 30 students enjoying a week’s work experience. The programme is run in all three of our office locations, and we now engage with a large number of schools in Edinburgh, Glasgow and Aberdeen to help promote the initiative to their students.

Maggie’sBrodies has raised more than £175,000 over the past nine years for Maggie’s cancer care centres throughout the UK, and once again chose Maggie’s as its official charity partner for 2016. In September 2016, Brodies was the headline sponsor for the second Maggie’s Culture Crawl in Edinburgh and in November 2016 we were the headline sponsor for the first ever Maggie’s Culture Crawl Glasgow. The 2016 Edinburgh and Glasgow Culture Crawls raised £168,474.

Career Ready Throughout 2016 Brodies has continued to support Career Ready - a UK-wide charity linking employers with students from lower income families to give them the skills and confidence needed in the workplace. In July 2016 Brodies welcomed two students into its offices to experience a four-week placement in a variety of different departments.

Friends of the RSA Schools Art Award Brodies continues to support the Friends of the Royal Scottish Academy (RSA) as headline sponsor, for a second year, of its Schools Art Award. The Friends of the RSA Schools Art Award was launched in 1986 to recognise and reward the artistic talent of secondary school students throughout Scotland and the importance of creativity for all pupils, irrespective of learning ability or social background. The awards are designed to motivate and inspire talented students, and reward creativity and originality in the classroom.
