Contract magazine’s Best of NeoCon 2018 competition of contract furnishings products recognized 83 products by 60 companies in 39 categories. The honors included 37 Gold Awards, 35 Silver Awards, eight Innovation Awards, and five Editors’ Choice Awards for a total of 86 awards including Best of Competition.

Next week, we’ll share our Delights of NeoCon – a col-lection of wonderful things we found at the show. In the meantime, spend a few minutes getting to know the Best of NeoCon 2018 winners.

Keilhauer won Best of Competition with Untucked, Gold Award winner in the Lounge Furniture Collections category and Silver Award winner in Furniture Collections for Collaboration. Award-winning individual Untucked pieces included 141, Gold Award winner in Seating: Benches, and Orign, Gold Award winner in Seating: Conference.

Steelcase and its subsidiaries won six awards. Gold went to the Embold Collection in Healthcare Guest & Lounge Seating, and Innovation awards went to Mackinac and SILQ. Designtex won Gold for Surroundings and Celliant, plus an Editors’ Choice award for the Designtex + Coalesse Collection.

ICF Group was a big winner with five awards. Nienkäm-per received Gold for Vox Solid Wood Table, plus Silver for Trench task chairs and Gateway Movable Workstations. A Gold Award went to Unika Vaev for ecoustic™ Sculpt Ceiling Tiles; and ICF got an Innovation Award for Land Lounge Chair.

Teknion and its subsidiaries also won five awards. In the Technology-Integrated Solutions category, the company received Gold for its Swerve Monitor Arm and an Innovation award for Cerebro; and in the Office Accessories category, tn Desktop Accessories & Personal Storage Collection won a Silver Award. Studio TK received Silver for the Bor-ough lounge furniture collection, and Luum Textiles won Silver for Tactility.

Andreu World won four awards – Gold for both Duos Bar-stool and Reverse Stone occasional tables; and Silver for Flex Armchair conference seating and Dado lounge furniture.

Knoll and KnollTextiles together received four awards. In the Furniture: Benching category, the Rockwell Unscripted Sawhorse WorkBench won Gold and the k. bench won Sil-ver. Atmosphere won Gold in Wall Treatments, and Between the Lines won Silver in Healthcare Fabrics & Textiles.

Tarkett subsidiaries won three Gold Awards: For Tan-dus/Centiva in the Broadloom Carpet category with Velvet Fringe Series and the Healthcare Flooring category with Garden Walk; and for Johnsonite in the Hard-Surface Floor-ing category with Pentagonals.

Herman Miller together with subsidiaries Nemschoff and Geiger won three awards: Gold for both Cosm in Ergonomic Desk/Task Seating and Palisade Collection in Healthcare Guest & Lounge Seating; plus Editors’ Choice in Lounge Furniture Collections for Geiger’s Reframe.

Companies winning two awards each included Allermuir, Davis, HNI (Allsteel and Gunlocke), Humanscale, Mo-hawk, Nucraft, Shaw Contract and SitOnIt Seating.

BEST OF COMPETITION WINNER>Untucked by Keilhauer: The Untucked soft contract

collection by EOOS features 10 different choices of seat-ing and tables “designed to encapsulate the concept of individuality and cohesion that applies to today’s casual workplace.” It supports quiet work, from solitary to the one-on-one; loud work, from team huddles to client presenta-tions; and lounge areas where employees or guests can wind down or energize.

Designed with pure intent, each piece of Untucked aims to fulfill one specific need. This focused approach had a profound influence on the collection’s design language: “Untucked includes strong individual characters that interrelate and play to together,” explained Martin Bergmann, EOOS. “Rather than designing multifunctional pieces, each chair is intended for a particular purpose. It performs one job perfectly.”

The complete collection was the Gold Award winner in the Lounge Furniture Collections category and the Silver Award winner in Furniture Collections for Collaboration. The ten individual pieces include the following:

-141 bench (Gold Award winner in the Seating: Benches category) manifests the “magic angle of communication.” When developing the award winning Talk series, EOOS and Keilhauer determined that when two people speak, they naturally turn towards each other at an angle of approxi-mately 141 degrees. By employing this angle into seating design, the piece itself mimics human body language and encourages a natural flow of conversation.

ing: Conference category) is an embracing structure gently padded with foam with an pi-shaped arm silhouette new to Keilhauer. Knee tilt functions are entirely internal, as are the spring mechanisms which allow for seamless absorption of seat and back pressure. Users can lean back to any angle or posture with full support.

-Oro is a crossover lounge/work chair. Controlled pitch and large oar-like wooden arms provide a work surface that can be used for tablets, laptops, drinks, magazines and more. The free-floating appearance of the cushioned seat provides a sense of open airiness.

-Coy privacy chair, and Opt (not pictured) both feature a dramatic back-to-front reveal, appearing to be a sharp, small seat, and then transforming into a casual, wide-open space.

-Parlez modular bench system can be scaled up or down to accommodate group chats and team huddles of any size. Various lengths and components can be configured with or without interconnected tables and arms.

-Stix, Bloc and Geometry occasional tables round out the collection. The Stix side table (pictured) is as much a mobile wood sculpture as it is a useful perch for books and beverages. Carved from solid wood, the table’s curving lines convey movement and action while generously extolling the virtues of the wooden medium’s naturally round form. Dur-ing product development, Stix was affectionately referred to as the “weeble-wobble-stable-table,” owing to the table’s contrasting top and base.

>In this note, we combine a mid-year update to the office furniture including our learnings from NeoCon, April BIFMA data, and 1Q18 capital expenditures study.

>NeoCon 2018

On Monday June 11, 2018, we attended NeoCon 2018, the office furniture industry’s annual exhibition of new products that occurs in mid-June every year in Chicago. The days of the show are confined typically to Monday, Tuesday, and Wednes-day (with Wednesday being the day when competitors visit each other and coinciding with the BIFMA annual meeting). Many of the exhibitors show in Chicago’s Merchandise Mart and some in surrounding buildings. For many of the exhibitors, their showrooms are permanent and used during the rest of the year to house their Chicago operations – when they have them. During our visit, we saw a series of issues/trends throughout the day:

1. “Ancillary” Runs the Show: The buzz around much of the day revolved around “resi-mercial” product, with many of the displays mixing traditional office furniture solutions with resi-

dential style furniture. While the resi-mercial trend is not new, the solutions from the major industry players have expanded and multiplied during the past year – into more partnerships, acquisitions, and minority and majority investments. We found much of the ancillary product around the entire floor of the showroom, with an additional section dedicated to the residen-tial furniture. Stylistically, much of the furniture was inspired by mid-century modern and Scandinavian design, with brands such as Muuto (Knoll), Hay (Herman Miller), West Elm Work-space (Steelcase), and Park by Norm Architects (HNI).

2. Open Plan Is Too Open: At last year’s NeoCon, we began seeing product that was designed to provide increased privacy within open floor plan and close-knit “benching” workspaces. This was a result of more employee pushback and the view that the open plan pendulum had swung too far. The newest solution – often called pods – is to provide phone-booth-like solutions, often in the middle of an open plan. These are, es-sentially, “shared” work rooms that provide acoustical privacy and allow for more individual work to be accomplished.

3. Grabbing Back Share of Wallet with Dealers: With the encroachment of the resi-mercial trend and a penchant by corporate executives to favor lower price points (e.g., collabora-tion typically means more chairs per worker in the work place), many of the major industry players found their share of wallet pressured – even within their aligned dealer networks. businesstors most often saw evidence of this by the fact that smaller companies were posting better year-over-year gains that larger companies. To counter this occurrence, we see the majors: 1) enter and expand into new businesses (education, architectural walls, etc.), 2) widen price points of their product offerings, and 3) partner with, invest in, and acquire companies in the resi-mercial furniture space. Many of the new product introductions surrounded expanding beyond the core products, and with the new product, we hope to see the size of projects improve and dealer share of wallet.

>Below we take a look at what we saw from the Raymond James Research Covered Companies:

-Herman Miller introduced 20 new products at NeoCon 2018 including a new task chair called Cosm, a lower priced chair called Lino, a movable walls system called Overlay, and an extension and reworking of a desking system called Canvas Vista. In addition, Herman Miller highlighted its resi-mercial product calling it the Elements Portfolio, a collection of prod-ucts produced from pre-existing Herman Miller brands. The Elements portfolio of products emphasizes the strategic move to add all Herman Miller brand product lines into one ordering system for the dealer, so the brands can work together to fulfill customer needs and specifications. Along with the Elements portfolio, Herman Miller announced an investment in Hay, a Copenhagen based residential brand that well expands its resi-mercial offering. Initially, Herman Miller acquired 33% of the company for $66 million. As a part of the agreement, Her-man Miller has the option – at year end – to acquire the 34% of Hay that Troels Holch Povlsen, a billionaire Danish investor, now owns. The balance will remain in the hands of the Metter and Rolf Hay, the namesake couple that founded the business. With the acquisition of the equity at ~14x EV/EBITDA, Her-man Miller hopes to 1) incorporate the lower priced brand into Design Within Reach, 2) leverage the products on the contract furniture business, and 3) expand operations within the U.S. (versus current US penetration of ~4%). Herman Miller hopes to leverage the brand through the contract and retail distribu-tion to bring the business to scale in the U.S.

As announced last week, Herman Miller also acquired 48% of Maars, an adjustable walls company, for $6 million. Notably, Miller’s investment was accompanied by additional equity investments from 11 Herman Miller dealers that now have 43% of Maars. Together, Herman Miller and its dealers own 91% of the company, which has a ~2% operating margin, but currently produces net losses. Herman Miller hopes to use the dealer network and leverage the Maars 4D specification technology to enhance the technology capabilities of Herman Miller.

-HNI, in the past few years, witnessed disruption in the sup-plies side of the office furniture business due to the transition

from wholesalers to direct to dealer distribution. With wholesale business now 10% of the supplies business, the disruptions in the channel have subsided. On the supplies side of the business, furniture can be a challenging to sell by the supplies dealers, due to the breadth of SKUs and finishes. Additionally, the small to mid-size businesses that purchase from the supply dealers find the contract side of the business overwhelming. To facilitate the selling process, HNI developed “EQS,” or easy/quick/ship, product in the company’s HON® brand. The EQS program provides simple, basic selection guide with pre-de-signed solutions for private office, open concept office, meeting rooms, common area, and reception. The program and website tool provides refreshing simplicity to office furniture selection process for businesses that don’t have the time or resources going through the contract and design process.

Additionally, HNI released its strategy to address the resi-merical trend through proprietary product in the company’s Allsteel® brand. The Park by Norm Architects collection pro-vided an assortment of Danish design furniture – all produced and designed in-house at HNI. We were impressed by the style and price points of the brand that required little investment compared to an outside acquisition or partnership.

-Knoll showroom called “Hospitality at Work” highlighted the company’s ability to create flexible, comfortable work environ-ments with the residential influence. In the showroom, we saw product from Knoll’s latest acquisition, Muuto, integrated with more traditional office furniture solutions. The Muuto product provides a wide range of SKUs, including everything from light-ing to contract quality upholstery. As Andrew Cogan alluded to at the time of the acquisition, the Muuto product aesthetically fits into the current Knoll brands. Notable product introduc-tions from knoll include a new task chair Ollo, the Newson Aluminum Chair, and a new collection of desktop accessories called the Beller collection. Additionally, the Rockwell Unscript-edTM brand introduced product enhancements, including the Creative Wall enclosures private workspace, the Sawhorse Workbench, and 120 degree rounded adjustable tables An-tenna Telescope.

Next year, after more than 30 years at the Merchandise Mart, Knoll will show at Fulton Market. Knoll is the first of the majors to “blink” in moving away from the Merchandise Mart. Any market attendee, after experiencing the show for the first time, will understand why: the elevator situation is atrocious and an embarrassment for the exhibitors, and the crowds that view product include far too many individuals that are not either cur-rent and/or prospective customers. It will be interesting to see if and when others move, now that Knoll will “break the ice.”

-Steelcase showed the continued investment in product devel-opment by introducing a series of new products, most notably

businessits SILQ chair, Mackinac, and Embold. Just prior to the opening of NeoCon, Steelcase announced the acquisition of Smith System and a developing partnership with West Elm Work-space prior. Steelcase agreed to acquire Smith Systems, a K-12 furniture company, for ~$145 million, subject to an adjustment for working capital. Smith Systems posted TTM revenues of $82 million, and its revenues have grown a 25% CAGR over the past three years. While those recent results are impressive, we know that the K-12 furniture market can be challenging due to its over-dependence on public funding and seasonal nature (two-thirds of revenues during the summer months). Steelcase hopes to use some of the Smith Systems product in Steelcase current higher education offering, as well as expand into school lab workstations.

After finishing in the Merchandise Mart, we trekked our way to the West Elm Workspace showroom, which was in hotel away from the Mart. The residential, warm furniture of West Elm Workspace will bring a high-design residential style product to Steelcase’s portfolio of products. The transition from the partnership from Inscape to Steelcase remains fluid. The major product showing was for its upholstered product. Other case goods and workstation-like product could not be refashioned in time for the show, as the exit from the Inscape partnership took time to complete. We were reassured that West Elm owns the designs for all West Elm Workspace, and the product will be available after the transition is complete. We look forward to seeing a full and more collaborative display at next year’s NeoCon.

>1Q18 Capital Expenditures Study:

For our quarterly capital expenditure study, we compiled our preliminary quarterly capital expenditures data for 1Q18 and full-year 2017. Using data from FactSet, we compiled a uni-verse of over 800 companies and then screened for revenues and capital expenditures for each of the past 10 years and also for the last eight quarters. Attached to each company was its classification according to the Global Industry Classification Standard (GICS).

In 1Q18, capital expenditures increased 17.9% y/y, a 9.2% acceleration from 4Q17. Capital expenditures in 4Q17 were revised downward to 8.7% y/y from the preliminary report of 9.0%. Capital expenditures saw broad-based acceleration by category, with 10out of 11 industry groups improving year-over-year. As a percentage of sales (ex- energy), capital expendi-tures increased to 5.79% of sales versus 5.41% of sales last year. Capital expenditures for the top 100 companies and top 500 companies increased 24.4% and 19.2%, respectively.

>April 2018 BIFMA Results:

This month’s orders and sales statistics were derived from

53 companies, compared to the 52 companies in the March report.

According to the BIFMA report, April net North America orders booked increased 12.2% y/y, an increase from the -6.8% y/y increase last month. The two-year stack growth rate for orders increased to 6.2%, compared to March at -1.8%. Orders for companies with more than $150 million in annual sales increased 12% y/y. North America orders for companies with $25-50 million in sales increased 19%, and North America orders for companies with $50-110 million in annual sales increased/decreased 13% y/y.

April net North America sales (formerly called shipments) were 3.5%, up from the -1.1% year-over-year sales growth reported in March. The two-year stack growth rate for net sales decreased to 2.5% in April from +4.9% in March. Net North America sales for companies over $150 million in annual sales increased 2.0% y/y. Net North America sales for companies with $25-50 million in sales increased 15% y/y, and North American sales with $50-110 million in annual sales increased 12% y/y.

>Industry Data:

-CEO Confidence: In May, Chief Executive Magazine’s CEO Confidence increased to 7.29, up from the 7.16 in Aprils report. CEO confidence rebounded from three consecutive months of decline due to CEO’s positive outlook on over-all economic conditions, more specifically consumer demand. Geo-political tensions revolving around trade and North Korea are in the forefront of CEOs’ main concerns, with one CEO of a mid-sized professional services companies claiming a high probability of a trade war with Europe, Asia, and U.S. leaving NAFTA. Two-thirds of CEO’s plan to increase capital invest-ments; however, due to competitive labor markets, 10% of CEOs are planning to decrease number of employees due higher salary expectations in the market.

-Small Business Optimism: NFIB Small Business Optimism maintained strong levels in April at 104.8, a 0.1 increase over March. Small business profits in April reached a record high for the NFIB 45-year survey. Due to the higher optimism, small business owners are creating jobs increasing wages and benefits for employees, and investment in their current opera-tions. 57% (+4%) small business owners are hiring or trying to hire more employees. As job creation and small business profits improve, 61% (+3%) of small businesses reported capital outlays. Of those capital outlays, small business owners planned to invest in the following: new equipment (43%, up 4%), vehicles (27%, up 3%), improved or expanded facilities (16%, unchanged), furniture and fixtures (15%, up 3%), and acquired new buildings or land for expansion (+5%, down 3%).

businessThe report notes small businesses have been a major contribu-tion to the 5 consecutive quarters of +6% non-residential fixed investment spending (versus the less than 1% growth in 2015 and 2016).

-Steel: As a result of impending tariffs (and the subsequent price increases), demand for steel pulled forward into 1Q18, thus accelerating steel prices. Year-to-date U.S. Cold-Rolled Steel prices are up +22%. As mentioned in our notes from our institutional investor’s conference, all four major office furniture companies announced price increases during the first two months of 2018.

Additionally, the companies announced a noted the potential for a mid-year price increase, contingent on the persistence of incremental steel inflation. As a result of continued inflation since our conference in March, some major office furniture players have already announced mid-year price increases. We remind investors that price increases are typically to list prices; and the benefit from increased list prices take about six months to begin to take hold and usually only one-third to one-half of the increases are realized in revenues. This is the nature of the contract furniture business.

Business Affairs

>Herman Miller, Inc. is leading a group of investors to acquire Maars Living Walls. Under the terms of a preliminary agreement, Herman Miller will acquire 48% of Maars equity for $6 million with an option to acquire a controlling interest over time. Additional investors in the group include select U.S. certi-fied Herman Miller dealers, a European dealer, and members of the Maars management team led by the incumbent CEO.

Headquartered in Harderwijk, the Netherlands, Maars was founded in 1946 and has since expanded to over 45 countries. Maars creates innovative solutions for interior spaces, includ-ing offices, care and cure facilities, airports, hospitality, and universities. Customers have included Dow Jones, General Electric, Google, IBM, and Microsoft. Revenue for Maars in the most recently completed fiscal year totaled approximately $65 million.

“Maars products will be a key part of our offering that brings customers best-in-class solutions to help them create a variety of enclosed settings,” said Brian Walker, President and CEO of Herman Miller. “Now, more than ever, customers are looking for environments that are flexible, modular spaces, and Maars meets that demand with innovation and design at the center. On an adjusted basis, excluding the estimated impact of certain purchase accounting adjustments, the transaction is expected to be break-even to earnings per share in fiscal 2019.

Over the course of the coming year, HAY’s goods will be available through Herman Miller’s Design Within Reach channels. Herman Miller will launch an on-line store, as well as open four HAY retail locations in North

>Interface has agreed to acquire Nora Systems in a stock purchase transaction valued at approximately $420 million. Nora, a global leader in performance flooring and worldwide share leader in the rubber flooring category, is a privately held

company that is majority owned by investment firm Interme-diate Capital Group. Nora’s annual revenues are approximately $280 million. Interface expects to close the transaction during the third quarter of 2018, subject to regulatory approvals and other customary closing conditions.

This acquisition will expand Interface’s rapidly growing resilient flooring portfolio and increase its penetration into high growth segments including healthcare, life sciences, education, and transportation. Nora is the leader in the nearly $1 billion rubber flooring category of the $34 billion global commercial flooring industry. Rubber flooring is ideal for applications that require hygienic, safe flooring with strong chemical resistance, and it is extremely durable compared to other flooring alternatives. Nora is considered the leading premium brand and has built a speci-fied selling organization that provides reach into approximately 80 countries around the world.

“We believe our value creation strategy is working in the mar-ketplace as we better serve our customers with an expanded product portfolio and an enhanced selling system,” said Jay Gould, CEO of Interface. “Customers want a single flooring solution provider that can deliver a range of options that meet their requirements in different commercial applications. The nora acquisition, when completed, is expected to be accre-tive to Interface’s margins and adjusted earnings per share. Nora is anticipated to increase the company’s adjusted EPS, a non-GAAP measure, $0.03 to $0.06 in 2018, and $0.15 to $0.20 in 2019.

Bank of America has committed to finance the transaction through a term loan facility. “We will expand our net debt lever-age ratio to approximately 3x EBITDA at closing, and our goal is to decrease that ratio to 2x EBITDA by mid-2020,” said Bruce Hausmann, CFO of Interface.

Fiscal Year 2018 Outlook

Looking at the full year of 2018, Interface’s existing carpet tile and LVT business is targeting to achieve 3-5% organic sales growth, gross profit margin of 39-39.5%, and SG&A expenses that are relatively flat to 2017 as a percentage of net sales.

businessDepending on the date the transaction formally closes, which will determine when nora’s business results start being included into Interface’s business results, the nora acquisi-tion is anticipated to have the following impacts on Interface’s targeted 2018 results: -Increasing gross profit margin by 30-50 basis points; -Increasing SG&A expenses, as a percentage of net sales, by 70- 100 basis points; -Increasing the Company’s effective tax rate to 27-28%; and -Improving adjusted EPS by $0.03 to $0.06 in 2018.

Full year post-closing company interest and other expenses are projected to be $17 million to $19 million which includes interest expense related to funding the nora acquisition through a term loan facility. Capital expenditures for the full year post-closing are forecasted to be $55 million to $65 million. Based on historic seasonality, current forecasts, and prior year comparables, the company continues to expect its strongest operating income growth in the second and third quarters of 2018, with softer growth in the first and fourth quarters.

>Steelcase Inc. has signed a definitive agreement to acquire Smith System Manufacturing Co., a Texas-based manufactur-er of high quality furniture for the preK-12 education market. The transaction involves the acquisition of all of the outstanding capital stock of Smith System for approximately $145 million plus an adjustment for working capital, and is expected to be completed during Steelcase’s second quarter of fiscal 2019, subject to customary closing conditions and regulatory approv-als. The company intends to fund the acquisition through a combination of domestic cash on hand and borrowings under its credit facility and expects the acquisition to be modestly ac-cretive in fiscal 2019 and more significantly thereafter.

Smith System has grown revenue at a compounded annual growth rate of approximately 25% over the past three years to approximately $82 million over the trailing twelve months. Approximately two-thirds of its revenue is realized during the summer months.

The acquisition is expected to advance Steelcase’s growth strategy to offer a broad range of innovative solutions to customers in the education, healthcare, and office markets. “As education markets continue to grow, the combination of Steelcase and Smith System will create incredible value for our customers,” said Allan Smith, Vice President of Global Marketing at Steelcase. “Together, we can help schools create outstanding learning environments where students thrive, such as collaboration spaces, makerspaces and tech labs.”

Mr. Smith noted that Steelcase sees the opportunity to double Smith System’s business within five years by expanding sales in North America through the Steelcase dealer network, as well as bringing Smith System’s products to corporate customers and global markets.

> Maintain active contact with client/design firm on all project activities.

> Manages all billing and invoicing activity.

> Prepare preliminary bud-gets and bid requests.

> Responsible for resolving Punch List items.

> Work with vendors in devel-oping contracts and pricing structure.

> Manage the delivery and installation process and insure that installation documents are prepared properly.

> Develop status reports as necessary.

> Resolve pricing issues regarding chargebacks and costs

> Attend project, client and design meetings with PM and / or Sales.

The primary role of this position is to provide support to sales reps and customers with direct support in CAD, Furniture and Project specification.

> Preparation of computer-generated floor plans

> Specifying based on project details and/or in accordance with Systems Furniture specification guidelines

> Must have excellent deci-sion making skills

> Keep up to date with new systems and processes

Qualifications:

> Bachelors Degree or Equivalent in Technical Training;
