RESOURCE SHARING AGREEMENT KC-130-20

OLYMPIC CONSORTIUM ("Consortium"), through Kitsap County, its administrative entity, and the WASHINGTON STATE EMPLOYMENT SECURITY DEPARTMENT ("ES") enter into this resource sharing agreement. The Consortium and ES mutually agree to the following terms and conditions:

I. PURPOSE

The purpose of this Resource Sharing Agreement ("Agreement") is to equitably share the costs to implement, operate, and maintain WorkSource Kitsap ("Center''). This Agreement relates to costs for phones, computers, network access and technology support, printer rental, and managed print services, which are not already defined, and agreed in the separate Infrastructure Funding Agreement, separate leases for the Center premises, and the WIOA Formula Funds Service Contracts for Adult and Dislocated Worker Programs. The Center is situated at 1300 Sylvan Way, Bremerton, Washington.

II. DESCRIPTION

Washington Employment Security Department will provide phones, computers, printer rental, paper, managed print services, digital certificates, email and skype at the Worksource center for the time period of January 1, 2020 - June 30, 2020.

Washington State Employment Security Department will invoice the Olympic Consortium's portion of shared costs for Phones, Paper, Managed Print Services, Printer Rental Computers, Digital Certificates, Email and Skype. See Attachment A: Cost Allocation Plan pg.1-3 and Attachment B: Budget Summary.

Ill. ADMINISTRATIVE ENTITY AND REPRESENTATIVES

The Consortium will be the administrator of this Agreement. The representative for Consortium is Alissa Durkin. The representative for Washington Employment Security Department is Jessica Barr.

IV. FUNDING

The Consortium agrees to pay its portion of the expenses, and share resources needed to operate and maintain the services described, as more fully described in Attachment A: Cost Allocation Plan, which is incorporated and made a binding part of this Agreement. The costs detailed in Attachment A are actual costs.

V. PAYMENT

Washington State Employment Security Department will invoice the Olympic Consortium's portion of shared costs for Phones, Paper, Managed Print Services, Printer Rental Computers, Digital Certificates, Email and Skype.

VI. DURATION OF AGREEMENT

This Agreement is in effect from and including January 1, 2020, through and including June 30, 2020, unless terminated earlier as provided in the Termination clause, herein. Each party shall pay its share of costs and expenses to the date of termination.

VII. TERMINATION

Either party to this contract may elect to terminate the contract without cause by delivering a thirty (30) day written notice of intent to terminate to the other party.

The Consortium may unilaterally terminate or negotiate modification of this contract at any time if its federal, or state grants are suspended, reduced, or terminated before or during the contract period, or if federal or state grant terms and regulations change significantly. In the event of early contract termination initiated by either party for whatever reason, either party is only entitled to costs incurred prior to the time of contract termination.

VIII. NON-DISCRIMINATION

As a condition to the award of financial assistance from the Department of Labor under Title I of WIOA, both parties assure that they have the ability to comply with the nondiscrimination and equal opportunity provisions of the following laws and will remain in compliance for the duration of the award of federal financial assistance:

(A) Section 188 of the Workforce Innovation and Opportunity Act (>NIOA), which prohibits discrimination against all individuals in the United States on the basis of race, color, religion, sex (including pregnancy, childbirth, and related medical conditions, transgender status, and gender identity), national origin (including limited English proficiency), age, disability, or political affiliation or belief, or against beneficiaries on the basis of either citizenship status or participation in any WIOA Title I-financially assisted program or activity;

(B) Title VI of the Civil Rights Act of 1964, as amended, which prohibits discrimination on the bases of race, color and national origin;

(C) Section 504 of the Rehabilitation Act of 1973, as amended, which prohibits discrimination against qualified individuals with disabilities;

(D) The Age Discrimination Act of 1975, as amended, which prohibits discrimination on the basis of age; and

(E) Title IX of the Education Amendments of 1972, as amended, which prohibits discrimination on the basis of sex in education programs.

IX. MODIFICATION AND AMENDMENT

This Agreement may be modified or amended only upon the written agreement of the parties executed with the same formalities required for the execution of this Agreement. The parties will undertake needed modifications collaboratively. Any party may initiate a modification to this agreement based on changes in funding or service delivery needs and requirements. A party who intends to seek modifications or amendments that will substantially reduce the party share of funding or other resource commitment by 10 percent or more shall provide at least 30 days prior written notification to the other party.

X. DISPUTES

Any dispute arising under this Agreement may be resolved as follows: Each party will appoint a representative to a dispute panel, and those two representatives in turn will appoint a third member. The dispute panel shall thereafter decide the dispute with the majority prevailing. The parties, however, do not waive their right to litigate disputes.

XI. LEGAL REMEDIES

Nothing in this contract shall be construed to limit either party's legal remedies including, but not limited to, the right to sue for damages or specific performance should either party materially violate any of the terms of this contract. Failure to act on any default shall not constitute waiver of rights on such default or on any subsequent default.

XII. VENUE AND CHOICE OF LAW

This Agreement shall be construed and interpreted in accordance with the laws of the State of Washington. The venue of any action arising from this Agreement shall only be in Kitsap County. XIII. INTEGRATION CLAUSE

This instrument embodies the whole agreement of the parties. There are no promises, terms, conditions, or obligation other than those contained herein; and this contract shall supersede all previous communications, representations, or agreements, either verbal or written, between the parties. XIV. SEVERABILITY

If any provision of this Agreement is held invalid, the remainder of the Agreement, and the remaining rights and obligations of the parties, will be construed and enforced as if the Agreement did not contain the invalid part. This Agreement shall be effective as of January 1, 2020:
