REQUEST FOR PROPOSALS
The State of North Carolina will offer for ground lease, space for two (2) communication monopine
towers (the “Towers”) to be located at the North Carolina Zoological Park, Asheboro, North
Carolina. The lease space would be available for the lessee to install, own, sublease and operate
the communication complexes to increase cellular coverage and wireless services in the Zoo.
Lease commencement and subsequent installation of the Towers to begin approximately
May 1, 2019 or as soon as possible thereafter. Cut-off time for receiving proposals in the State
Property Office is 4:00 PM on March 5, 2019.

INVITATION FOR PROPOSALS
BY THE STATE OF NORTH CAROLINA
The North Carolina Zoological Park and the State of North Carolina seek to improve the
cellular phone service to its’ visitors throughout the public areas of the park, as well as create
locations to deploy two antennas for Zoo staff radio communications. It is thought these goals can
be accomplished by the addition of two (2) “monopine” type communication towers in strategic
locations on Zoo (State) property, each tower being between 150’ and 180’ in height. It is the
responsibility of the proposer to verify the Zoo’s goals can be realized at the locations specified by
the Zoo and with the proposed tower heights. The proposer is responsible for constructing and
managing two (2) tower compounds at Zoo approved locations, functional structure height, and
approved concealment design.
Pursuant to Articles 3 and 3C, Chapter 143 of the North Carolina General Statutes and Executive
Order No. 25, the State invites and encourages participation in this procurement by Historically
Underutilized Businesses (HUBs) consisting of minority, women and disabled business firms that are
at least fifty-one percent owned and operated by individual(s) of the aforementioned categories. Also
included in this category are disabled business enterprises and non-profit work centers for the blind
and severely disabled.
Pursuant to North Carolina General Statute 146.25-1(b), the Department of Administration may negotiate on relevant factors that represent the best interest of the State. Relevant factors may include, but are not limited to, timeliness of delivery of the proposed space, maintenance, upkeep and condition of the proposed space and prior performance of the proposer.
The following specifications must be considered and accepted prior to presenting a proposal to
lease the areas offered by the State of North Carolina:
INSTRUCTIONS TO PROPOSERS
1) PROPOSAL FORM: Proposals must be submitted, on the proposal forms attached
hereto. Additional copies of the Invitation for Proposals and proposal forms may be
obtained from North Carolina Department of Administration website
(https://ncadmin.nc.gov/about-doa/divisions/state-property-office)
2) OPERATIONAL PLAN DETAILS: All questions included in the Request for
Information (item 22) must be answered. Additional sheets may be used to furnish
complete information on any question. The information furnished on this statement will
be given substantial weight in making award.
3) EXECUTION OF PROPOSALS: Each proposal must give the full address of the
proposer and be signed with his usual signature. A proposal executed by an attorney or
agent on behalf of the proposer shall be accompanied by an authenticated copy of his
Power of Attorney or other evidence of his authority to act on behalf must be executed
and attached. If the proposal is signed by the Secretary of the Corporation the certificate
must be executed by, some other officer or the corporation under the corporate seal. In

lieu of a certification of corporate proposer there may be attached to the proposal copies
the relevant records of the corporation as will show the official title and authority of the
officer signing, duly certified by the secretary or assistant secretary under the corporate
seal to be true copies.
4) SUBMISSION OF PROPOSALS: It will be the duty of each proposer to see that his
proposal is delivered by the time and at the place prescribed in this invitation. Proposals
received prior to the time of opening will be securely kept, until the time for opening
proposals. The agent whose duty it is to open them will decide when the specified time
has arrived, and no proposals received thereafter will be considered. No responsibility will
attach to an agent for the premature opening of a proposal through inadvertence or one
not properly addressed and marked. Facsimile or E-mailed proposals will not be
considered.
5) PROCEDURE FOR AWARDING LEASE:
a) Following the opening, the State will consider all factors and analyze the proposals
received to determine whether any of the proposals require clarification, and if so,
the State will, by letter, request the specific clarification data required. The State
may require any proposer to furnish additional evidence of his financial condition
and, in appropriate cases, of his ability to assume the obligations and
responsibilities imposed by the terms and conditions of the lease, in the form of a
construction performance bond and such other information as may considered
desirable. Failure of a proposer to submit any of the above information, within such
reasonable time as may be prescribed by the State may be the basis for rejection of
his proposal. However, the State reserves the right to further negotiate any
provision it deems to be in the public's interest.
b) The lease will be awarded to the proposer who is determined to be the most
qualified financially and by virtue of experience, character and otherwise, to
provide the most satisfactory facilities, services and value.
6) REJECTION OF PROPOSALS: The State reserves the right, as its interest may require,
to reject any and all proposals and to accept or reject any items of any proposals unless
the proposal is qualified by a specific limitation. Notice of award, if not given to the
proposer personally or to the duly authorized representative of such proposer, will be
deemed to have been sufficiently given when mailed in a postpaid envelope to the
proposer to the address indicated in his proposal.
DEFAULT: In the event of failure on the part of the successful proposer or proposers to execute
a lease within fourteen (14) WORKING days after the presentation to him of a draft of lease for
execution or his failure to pay any balance of the rental due the State under the terms and
conditions of his lease, or upon the failure of the successful proposer to otherwise comply with
the times of the invitation for proposals or the enclosures thereof, time being of the essence, the
State may declare the proposer in default and his deposit will be retained as liquidated damages.

7) WARRANTY: The property described herein will be leased subject to the provisions and
conditions of this invitation for proposals; therefore, proposers are expected to examine
the property and to form their own conclusions as to its suitability for the stated purposes.
The State makes no guaranty or warranty, either expressed or implied, with respect to the
property.
8) PROPOSAL SUBJECT TO THESE TERMS: All proposals submitted shall be deemed
to have been made with full knowledge of all the terms, conditions, and requirements
contained in this invitation and enclosure thereto.

For your proposal to be qualified, it must reach the State Property Office no later than
4:00 p.m. on March 5, 2019 FAXED OR E-MAILED PROPOSALS ARE NOT
ACCEPTABLE.
Please verify receipt in the State Property Office of Proposals that are sent by U. S. Mail as
they are routed through the State Mail Service Center. If your proposal is not delivered by
the State Mail Service Center by the date and time of the cut-off, the proposal shall not be
considered.
11) The selected proposer must be in existence and legally qualified to do business in the
State of North Carolina prior to being selected and placed on the relevant Council of State
agenda SPACE TO BE LEASED. The proposed leased areas are located in the NC Zoo
(see Exhibits “A & B” attached to the RFP for a more detailed description of the premises
and coverage area requested). The State requires that the proposed Towers will be
structurally capable of four sub-tenants each (one is the Zoo), and each fenced area shall
be a minimum of 10,000 SF, to allow adequate space for potential sub-lease
communication providers to collocate on the Towers and install up to six (6) equipment

buildings or enclosures, located in a designed area adjacent to the Towers, and that the
mounting heights for all prospective carriers on the proposed structures will be adequately
high enough to achieve the desired coverage by the NC Zoo.
12) MINIMUM REQUIREMENTS.
a) The Towers should be capable of providing ubiquitous and robust outdoor wireless
coverage throughout the required coverage area.
b) The Towers must accommodate any prospective broadband carrier up to the
designed structural capacity of the tower to enhance wireless performance for the
visitors to the Zoo.
c) The Towers must accommodate the Zoo’s communication antenna system (VHF
Exposed Dipoles @ approximately the 120’ elevation on each tower (not to exceed
95’centerline on the 150’ monopine and not to exceed 120’ on the 180’
monopine), (Comprod model 874-70 or equivalent) along with sixty-four (64) SF
of ground area within the tower compound to house the base station equipment
cabinet enclosure. Installation and wiring performed by the Zoo’s chosen
subcontractor, to include all labor, materials, and equipment at the Lessors’
expense. The Zoo will be responsible for supplying whatever electric power is
needed for their equipment.
d) The successful proposer shall sublease to cellular or broadband providers or affiliates.
Such subleases are subject to prior approval by the State Property Office. The State
shall receive fifty percent (50%) of the gross rent as additional rent from associated
subleases.
e) LEASE TERM. The required term of the lease will be ten (10) years with two (2)
optional ten (10) year renewal terms. Proposer shall include the proposed lease term
in its proposal. Renewal options will be considered, not reasonably withheld, but not
guaranteed.
f) RENTAL. Rent for leased premises shall be payable on an annual basis.
g) RESTRICTIONS ON USE. The leased ground area is leased by the Lessor to the
Lessee for the sole purpose of installing a fenced in area sufficient for two (2)
monopine communication towers (one approximately 180’ tall & one approximately
150’ tall), equipment buildings if needed, and any needed accessory construction
items typical for a multi-tenant macro-tower site; a structural capacity per broadband
carrier of 30,000 square inches of wind faceplate and 3 branches per foot plus antenna
socks to conceal all antennas including the Zoo’s two (2) dipole antennas. See

h) IMPROVEMENTS/ALTERATIONS BY LESSEE. Lessee shall submit plans
and designs for the system to the NC Zoo, State Construction Office, and NC

Department of Administration, State Property Office for review and approval prior
to making any improvements or alterations to the leased premises. All improvements
or alterations erected or made on the Premises may become the property of Lessor
upon expiration or earlier termination of the lease or must be removed by Lessee
within three (3) months of expiration or termination of the lease, at Lessor’s
discretion. All improvements allowed to remain shall be given to Lessor in good and
safe condition.
i) DESTRUCTION OF PREMISES. Lessee may, at its option, rebuild the damaged
structure(s) in the event of partial or total destruction.
13) INSURANCE REQUIREMENTS. During the terms of the lease and for as long hereafter
as may be necessary, Lessee, at its sole cost and expense, shall provide commercial insurance
of such type and with such terms and limits as may be reasonably associated with the
contract. As a minimum, Lessee shall provide and maintain the following coverages and
limits;
a) Automobile - Automobile Liability Insurance, to include coverage for liability,
comprehensive, and collision. The minimum limits shall be $1,000,000/$2,000,000
bodily injury; $1,000,000 property damage; $100,000 uninsured/under-insured
motorist; and $1,000 medical payment.
b) Commercial General Liability - General Liability Coverage, on a Comprehensive
Broad Form on an occurrence basis in the minimum amounts of
$5,000,000/$5,000,000 Combined Single Limit (C.S.L.). (Defense cost shall be in
excess of the limits of liability) In addition, there shall be sub-limits of $1,000 premises
medical payment per person; $10,000 premises medical payment per accident; and
$100,000 care custody and control.
c) Workers Compensation - The contractor shall take out and maintain during the life
of this contract Workmen's Compensation Insurance as required by law for all of his
employees. The contractor shall require the sub-contractor similarly to provide
Workmen's Compensation Insurance for all the latter's employees, unless such
employees are covered by the protection afforded by the contractor. Employers
Liability (Section B) limits of $1,000,000.
Providing and maintaining adequate insurance coverage is a material obligation of Lessee.
All such insurance shall meet all legal requirements. Such insurance coverage shall be
obtained from companies that are authorized to provide such coverage and that are approved
by the State. Lessee shall at all times comply with the terms of such insurance policies, and
all requirements of the insurer under any of such insurance policies, except as they may
conflict with existing law, permit conditions or this Agreement. The limits of coverage under
each insurance policy maintained by Lessee shall not be interpreted as limiting the Lessee’s
liability and obligations under this Agreement.

The State of North Carolina shall be named as additional insured on all policies. All of the
above insurance shall be secured from companies licensed to do business in the State and
with an A.M. Best rating of A+ or better.
Certificates attesting to the existence of such insurance coverage must at all times be
deposited with the NC State Property Office. Such policies shall contain a provision that
coverage afforded under the policies will not be cancelled, reduced in amount, or coverage
eliminated until at least thirty days after mailing written notice, by certified mail, to the
Lessor.
14) HOLD HARMLESS. Lessor shall not be responsible for any contracts, agreements, or
transactions of Lessee in connection with said sales of products and merchandise
conducted by Lessee and shall not be liable for any damage growing out of said sales.
Lessee agrees to indemnify and hold harmless Lessor, its officers, employees and agents,
against any claims, damages, or obligations or suits arising out of or in any manner
connected with the use of the Premises by Lessee, its assigns, invitees, contractors,
employees, or agents.
15) COMPLIANCE WITH RULES AND REGULATIONS. Lessee shall observe, obey,
and comply with any and all existing or future laws, regulations, rules, ordinances, orders,
and requirements of the Federal, State, County, City and Municipal government or any
governing body or subpart of a governing body (including safety and public service
entities), which relate to the management and regulation of the Premises and related
facilities, regardless of whether such compliance is ordered or directed against Lessor,
Lessee or both. Which includes but is not limited to Phase I ESA, NEPA, and NCSHPO
Cell Tower Review. Lessee will require the same obedience and compliance by its assigns,
officials, agents, employees and invitees, and all other persons for whose conduct Lessee
is responsible or over whom Lessee exercises or has authority to exercise control. Lessee
will obtain at its own expense all licenses, permits, and union and trade organization
clearances required by any entity for use by Lessee of the Premises. Lessee shall be
responsible for any alterations or improvements to the Premises, electrical and water
systems furnished by the Lessor which may be required by applicable laws, ordinances,
rules or regulations of governmental entities, unless such alterations or improvements are
necessitated by the nature or extent of Lessee’s installation of any alterations or
improvements to the Premises and is not otherwise the responsibility of Lessor pursuant
to the lease agreement.
16) REQUEST FOR INFORMATION SPECIFIC TO THIS RFP. Proposer must submit
the following information with its proposal:
a) Design and installation.

(i) Provide detailed information as to the type, route and amount of fiber optic
cable required to support the Premises.
(ii) Describe any potential use of any NC Zoo utilities, structures, or property,
whether the condition is temporary or permanent.
b) Operations and maintenance.
(i) Describe the typical roles and responsibilities for operating and maintaining
the Sites, which shall include the requirement that any additional
collocating Sublessee’s perform an intermodulation study as part of the
deployment protocol.
(ii) Describe how you plan to develop wireless carrier use of the Sites in a
reasonable time to ensure success of the program. (Supply a predictive
timeline based on past experience)
(iii)Describe the methodology used to resolve possible technical issues among
collocating wireless carriers.
(iv) Explain how Proposer will manage emergencies, natural disasters, and
extreme weather events.
c) Business information
(i) Make a brief statement as to your overall business strategy and why your
company is qualified to meet the Zoo’s goals.
(ii) Describe your business models for building and operating a Tower Site
that have had proven success.
(iii)Describe in detail Proposer’s plan for installing the Sites and acquiring
the rights to use the required infrastructure needed.
23) SCOPE OF WORK. Proposer will provide the following services:
a) Design of the Mono-pine Towers and the Sites
(i) Design enough structural capacity for the NC Zoo to install their
antennas or a private radio communication system at no cost to the Zoo.
(ii) Provide detailed maps of the new predicted coverage levels with respect
to the Zoo’s boundaries.

b) Acquire and Install the TOWERS
(i) Describe unescorted access requirements to the Zoo including any office,
storage, parking (including, but not limited to construction trailers), etc.; and
security precautions implemented by your firm.
(i) Market, negotiate, and execute agreements with all interested licensed
wireless carriers (with State approval).
(ii) Operate and maintain the Premises throughout the tenancy at an industry
standard wireless carrier service level.
24) QUALIFICATIONS. All proposers must possess experience in designing and installing
similar tower sites.
