1. Background1.1 TheGreenClimateFund(the“GCF”)wasestablishedinDecember2010withthepurposeof
makingasignificantandambitiouscontributiontotheglobaleffortstowardsattainingthegoalsset
by the international community to combat climate change. In the context of sustainable
development, the GCFwill promote a paradigm shift towards low-emission and climate-resilient
development pathways by providing support to developing countries to limit or reduce their
greenhousegasemissionsandtoadapttotheimpactsofclimatechange.
1.2 TheGCFwas designated as an operating entity of the financialmechanism of theUnited
NationsFrameworkConventiononClimateChange(“UNFCCC”).Itisgovernedandsupervisedbya
Board thathasresponsibility for fundingdecisionspursuant to theGoverning Instrument for the
Green Climate Fund. It is supported by an independent Secretariat, accountable to the Board,
having management capabilities to execute day-to-day operations of the GCF, providing
administrative, legal and financial expertise. The GCF’s headquarters are located in Songdo,
IncheonCity,RepublicofKorea.
1.3AtitsthirteenthmeetingtheBoardoftheGreenClimateFund(GCF),decidedthattheGCF’s
participationinatranchewillbesubjecttoanindependentthirdpartyadviceonrisk,exceptwhen
GCF’s participation in a tranche is alignedwith all terms and conditions of the accredited entity
(AE) other than pricing. It further decided that in case the GCF takes the position of the largest
contributor (e.g. is the largestdebtholder) or the largest financier in its tranche, the Secretariat
shall seek an expert opinion from an independent and reputable third party on the risks of the
investmentdecisionandthatthisadvicewillalsoincludeanassessmentofthecapacitythatwillbe
neededtomanagesuchaposition.
1.4TheGreenClimateFundnowinvitesyourfirmtosubmitaproposaltoprovidethefollowing
consulting services: Consultancy Services to Provide Advice on Risk. More details on theservicesareprovidedintheTermsofReference.
1.5. Itisnotpermissibletotransferthisinvitationtoanyotherfirm.
1.6. ThefirmwillbeselectedunderLeastCostSelection(LCS)andproceduresdescribedinthis
RFP,inaccordancewiththeGCFAdministrativeProcurementGuidelines1.Informationregarding

2.2 TheGCFmay,atitsdiscretion,canceltherequirementinpartorinwhole.Italsoreserves
the right to acceptor reject theproposal and toannul the selectionprocessat any timeprior to
selection,withouttherebyincurringanyliabilitytoproposers/firms.
2.3 Yourproposalshallremainvalidandopenforacceptanceforaperiodof90calendardays
after the date specified for receipt of proposal. GCF may solicit the proposer’s consent to an
extensionoftheperiodofvalidity.Therequestandtheresponsestheretoshallbemadeinwriting.
2.4 Effectivewiththereleaseof thissolicitation,allcommunicationsmustbedirectedonlyto
Procurement Specialist by email at [email protected]. Proposers must not communicate
withanyotherpersonneloftheGCFregardingthisRFP.
3. LanguageofProposals 3.1 Theproposalspreparedbytheproposerandallcorrespondenceanddocumentsrelatingto
the proposal exchanged by the proposer and the GCF, shall be written in English. Supporting
documentsandprintedliteraturefurnishedbytheproposermaybeinanotherlanguageprovided
theyareaccompaniedbyanappropriatetranslationofallrelevantpassagesinEnglish.
4. SubmissionofProposals

4.2 Technicalandfinancialproposalsmustbesubmittedsimultaneouslyasseparatetechnical
andFinancial proposalwith theRFP reference (RFP/2016/019) and the clear description of the
proposal(technicalorfinancial)bythedateandtimestipulatedinthisRFP
4.3 ProposalsmustbesentONLYtotheaddressdetailedabove.
YouarekindlyrequestedtoreturnthecompletedAcknowledgementLetterofRFPreceipt(Annex
5)assoonaspossible,dulysignedbyanauthorizedrepresentativeadvisingwhetheryouintendto
submit a proposal by the designated closing date/time. Please also notify the Procurement
SpecialistimmediatelyifanypartofthisRFPismissingand/orillegible.
5. Corrupt,Fraudulent,Coercive,CollusiveandotherProhibitedPractices.
TheGCFrequiresthatallGCFstaff,proposers/bidders,suppliers,serviceprovidersandanyother
personorentityinvolvedinGCF-relatedactivitiesobservethehigheststandardofethicsduringthe
procurement and execution of all contracts. The GCF may reject any proposal put forward by
proposers,orwhereapplicable,terminatetheircontract,ifitisdeterminedthattheyhaveengaged
incorrupt,fraudulent,coercive,collusiveorotherprohibitedpractices.
6. ConflictofInterestIntheirproposal,proposersmust(i)confirmthat,basedontheircurrentbestknowledge,thereare
norealorpotentialconflictsof interest involvedinrenderingservicestotheGCF,and(ii)setout
theirpolicyondealingwithconflictsofinterestshouldthesearise.
7. ConfidentialityInformationrelatingtotheevaluationofproposalsandrecommendationsconcerningselectionof
FirmswillnotbedisclosedtoFirmsthatsubmittedproposals.
8.Type of Contract and Payment TheGCFintendstoconcludealumpsumconsultancycontractbasedontheattachedModel
Contract.ThetermsandconditionsofpaymentaredescribedintheattachedModelContract.

TermsofReference
ConsultancyServicestoProvideAdviceonRisk
I. Introduction
AtitsthirteenthmeetingtheBoardoftheGreenClimateFund(GCF),decidedthattheGCF’s
participationinatranchewillbesubjecttoanindependentthirdpartyadviceonrisk,exceptwhen
GCF’sparticipationinatrancheisalignedwithalltermsandconditionsoftheaccreditedentity
(AE)otherthanpricing.Itfurtherdecidedthat incasetheGCFtakesthepositionofthelargestcontributor(e.g.isthelargestdebtholder)orthelargestfinancierinitstranche,theSecretariat

thepotentialrisksthattheGCFwouldassumebyinvestingintothetwoProgrammessummarized

Programme description GEEREF NeXt is a fund-of-funds investment vehicle combining ODA-

energyandenergyefficiencyprojectsindevelopingcountries(particularly
LDCs). GEEREF NeXt aims to represent a significant scaling up from its
predecessorfund,theEUR220millionGEEREF,launchedin2008andwill
targetaminimum2:1ratioofprivatevs.publicsectorcapital.

IX. TeamComposition
Thespecialisedconsultancyfirmmusthavethecapacity,inexperienceandnumberofstaff,to
successfullycompletetheassignment.Asaminimum,thekeypersonnelfortheassignmentshall
consistofaLeadConsultantwithmorethan15yearsofrelevantexperiences,aSeniorConsultant
withmorethan10yearsofrelevantexperiences,andaLegalConsultant(orsubcontractedlawfirm
subjecttoapprovaloftheGCFwhichalreadyhasapaneloflawfirms).
X. Confidentiality
Alldetailsofthepotentialassignmentsmustbekeptentirelyconfidential.Thespecialised
consultancyfirmisexpectedtounderstandthesensitivenatureofthisassignmentandact
accordingly.
XI. Disclosureofconflictofinterest
TheSpecialiseconsultancyfirmshoulddiscloseanyactual,potentialorperceivedconflictsof
interestinrelationtoanyoftheafore-mentionedactivities,andwillbeboundbytheGCF’srelevant
policiesandguidelines.Furthermore,atthetimeofappointment,thespecialisedconsultancyfirm
willsigntheoathcontainedintheAppendixtothesetermsofreference.

Annex2
RequirementsforFirm’sProposalandEvaluation
1. TheProposalmustprovideaproposal thatresponds to theTermsandReference(TOR)withdetails on how the tasks will be performed and allocated among the firm’s key personnel
proposedfortheassignment.Theproposalshallbeintwosections-TheTechnicalSectionand
theFinancialSection.
2. TheTechnicalSectionsshallhaveallthenecessarydetailsinresponsetotheTORandshallfillinthetechnicalFormsinAnnex3.AstatementthatthebidderhascarefullyreviewedtheGCF
ModelContractanditsAnnexesandisinagreementwithallitstermsandconditionsmustbeclearlystatedintheTechnicalProposal.Thebiddershouldalsoprovidemissingdetails inthe
contract,suchasthenameandthecontactdetailsofapersontowhomthenoticesshouldbe
sentandthenameandpositionofapersonwhowouldsignacontractwiththeGCFonbehalfof
thebidder.
TheFinancial Section shallprovidedetailsofunit /daily fee rateperproposed teammember
and total consultancy fees based on the time proposed for performance of the services. Any
estimatesforcost-reimbursableexpenses,shouldbelistedseparatelyandcapped.
3. The Financial Proposal shall be expressed in United States Dollar (“USD”). The Financial Proposal shall be prepared using the attached Standard Forms (Annex 4). It shall list all costs associated with the assignment, including (a) remuneration for staff (foreign and local, in the field and at the Consultants’ home office), and (b) reimbursable expenses indicated in the Data Sheet. If appropriate, these costs should be broken down by activity and, if appropriate, into foreign and local expenditures. All activities and items described in the Technical Proposal must be priced separately; activities and items described in the Technical Proposal but not priced, shall be assumed to be included in the prices of other activities or items.
EvaluationCriteria
A. EvaluationofProposal
The financial proposal will be evaluated based on the determination of the proposers’
responsivenesstotheRFPandTOR.Atwo-stageprocedurewillbe implementedtoevaluatethe
Proposals. In the first stage, the Technical Proposals will be evaluated before any Financial
Proposalisopenedandcompared.OnlythoseFinancialProposalsoftheoffersthatmeetatleast
theminimumscoreintheevaluationoftheTechnicalProposalswillbeopened.Althoughpriceis
obviouslyanimportantfactorfortheselection,GCFhasdecidedtouseweightingsacrossalistof
selectioncriteriafordeterminingthebestchoice.

RespondentstothisRFPareexpectedtoadheretotheformalrequirementsforsubmittinga
ProposalandfailuretodosowillresultindisqualificationoftheProposalfromconsiderationas
partofthisevaluation.
B. EvaluationoftheTechnicalProposal
Thetechnicalproposalshouldbestructuredintheformatbelow.TheProposalwillbejudged
largelyontheinformationprovidedunderthefollowingsectionsascapturedundertheTECH
FormsinAnnex3.
1. ResponsetotheTermsofReference.TheproposerwillprovideadetaileddescriptionoftheproposedworkplanfortheservicescoveredbythisRFP.Itmustincludesufficient
informationtodemonstrateunderstandingoftherequirementsandtheproposer’s
capabilitytosuccessfullycompletetheproject.
Thissectionshouldincludeaninitialproposalsummary,includingkeydeliverables.
2. RelevantExperience.Thissectionshoulddescribetheproposer’sexperienceandabilitytoperformtherequiredservices.Itshouldincludethefollowinginformation.
- SizeandgeographicscopeoftheFirm,
- Relevanttrackrecordofcarryingsimilartasks
- Existingnetworks,relationshipswithfinancialintermediaries,investmentfirms
andfunds,andwiththeclimatechangeinvestmentcommunity.
- Theabilitytoobtaininformationforthedevelopmentofthedeliverables
3. Key Personnel and Subcontractors. The bidder should describe the role andresponsibilityofeachmemberoftheproposedteam.Includeadescriptionoftheteam’s
experienceofthistypeofwork.GCFexpectsthatallpersonnelproposedintheproject
will, in fact, conduct thework. The team is to be consisted of Lead Consultant and 1
additional consultant. If required, additional staff may be proposed based on the
proposed approach and methodology and in line with requirements of the TOR.

• Lead Consultant: Masters’ degree in Finance, Business or Public Administration,Management, Statistics, Economicsor other relateddisciplineswith at least 15
yearsworkexperienceprovidingfinancialadvisoryservices;
• Consultant: Masters’ degree in Finance, Business or Public Administration,Management, Statistics, Economicsor other relateddisciplineswith at least 10
years work experience providing financial advisory services; OR, Bachelors’
degree in Finance, Business or Public Administration, Management, Statistics,
Economics or other related disciplineswith at least 15 yearswork experience
providingfinancialadvisoryservices;
If some or all of the proposed work is to be subcontracted to another company or
individual for any reason, the bidder must identify the work items that will be

subcontracted, to whom, and the relevant experience and qualifications of the
organizationorindividual.GCFreservestherighttoapproveallsubcontractors.
4. Awareness of Challenges (if any). The bidder must describe what difficulties itanticipatesinaprojectofthistype(ifany),anddescribehowitwouldavoidorovercome
suchpotentialdifficulties.
5. ListofReferences.Thebidder shallprovideaminimumof tworeferences for similartypes of engagements. Include a brief description of thework done aswell as client
names,titles,emailsandphonenumberstoenableGCFtocontactthereferences.
6. ScheduleandWorkPlan.Allthedeliverablesshouldbeprovidedby22November,2016.
Amoredetailedscheduleandworkplanistobeprovidedbythebidderdetailingalldeliverables
andhowtheymeettheabovedeadline.

Technicalproposalsthatscoreatleast75pointsoutof100willbeconsideredasqualifiedfor
the review of financial proposal. Any proposal less than that will be disqualified from
proceedingtothenextstepanditsfinancialproposalshallbereturnedunopenedfollowingthe
awardofthecontract.
C.EvaluationofFinancialProposal
1. Thefinancialproposalofallofferors,whichhaveattainedtheminimumscoreinthe
technicalevaluation,willbeevaluatedsubsequently.
2. BasedonLeastCostSelectionproceduresdescribedintheGCFProcurementGuidelines,
thefirmwiththewiththelowestpricewillbeselectedfromthefirmsthatscored75%
andaboveontechnicalproposalstage.
C. Award
TheAwardwillbemadetotheresponsiveproposerwhichwiththeleastcost.GCFreservestherightto
conductnegotiationswiththeProposerregardingthecontentsoftheiroffer.Theawardwillbein
effectonlyafteracceptancebytheselectedproposerofthetermsandconditionsandthetechnical
requirements.
