1 GENERAL

1.1 Definitions

“Company” or “Bidder” shall mean any company who is submitting a proposal for this RFP. “Consultant” shall mean the individual person appointed by the Company to deliver the required services outlined in this RFP. “Project” shall mean the execution of ‘TEC Security Consultancy’ project. “Proposal” shall mean the offer made from Bidder to TEC in the format included in the RFP along with the information required to be submitted as part of the Proposal. “RFP” shall mean the Request For Proposal which consists of the requirements and scope of work required by TEC for the services of ‘TEC Security Consultancy’ project. “TEC” shall mean Touristic Enterprise Company.

1.2 Purpose

Touristic Enterprise Company (TEC) would like to develop and upgrade its entire security provision across all its touristic sites through a phased-approach that meets its financial and operational capacity and priorities. Upon successful completion, TEC is seeking to roll out its security enhancements and systems to its other current and upcoming touristic sites in a standardised manner. TEC is seeking for a qualified Company which specializes in security consultancy to support the development of security operations and enhancement of physical and electronic security across all current and upcoming TEC facilities. The Company must possess the technical capability and professional experience in analysing, planning, designing, and developing security counter measures for commercial environment. The Company is expected to appoint Two (2) highly qualified Consultant, on full-time basis, to support TEC in meeting its security objectives.

1.3 Background

TEC was established on 3rd April 1976. Since its establishment, one of its main goals is entertaining and creating an amusement sensation to all residents of Kuwait. TEC has a long history of leadership in its field and it has distinctively enhanced tourism experiences for the residents of Kuwait. The Supreme Council of Planning and Development has articulated in its 2035 strategy for Kuwait the significant role that TEC can play in shaping Kuwait’s tourism agenda. TEC is the primary operator of the following facilities in Kuwait:

8 Shaab Sea Club Swimming pool, sandy shore, volleyball, basketball and tennis courts, cafes and restaurants and yacht and boat anchorage facilities

9 Al Fahheel Marine Club Yacht and boat anchorage facilities

one of the world’s largest fountains, established in 1983, the main fountain has 220 subsidiaries all distributed through three major fountains, It operates by 22 organized circuits that control the water up – flow to multiple heights and contains green spaces and family seating areas

16 Touristic Gardens

The latest and most advanced video and electronic games and various sets of wooden rides, Theater with a capacity of 1,500 viewers and a number of arenas for entertainment activities, popular local programs and festivals, cafeteria that serves a variety of light foods, and organization of different community festivals

TEC has the following significant duties and responsibilities as specified and envisaged in the Kuwait tourism sector:

• Supporting the government on its long-term tourism growth and development

journey

• Aiming to place Kuwait at the forefront of effective tourism service delivery

• Transforming Kuwait into a destination for both business and tourism

• Providing sustainable and efficient excellent touristic services

1.4 General Requirements

All Bidders MUST provide and comply with the following:

• A copy of a valid Company License.

• A copy of a valid Certificate from Kuwait of Chamber of Commerce and Industry

for Kuwaiti Companies or from the relevant entity in their respective country of

establishment.

• A copy of Authorized Signatory.

• A copy of Company Article of Association with latest amendments.

• Must have at least 5 years’ experience and have completed 3 similar projects.

• Must be ISO 9001 and OHSAS 18001 certified.

• The Company main business activity must be in security consultancy, and cannot

be a contractor, or a supplier or agent of manufacturer of security systems.

• The Company should have no affiliations either direct or indirect with any

contractor, or a supplier or agent of manufacturer of security systems.

• Consultants appointed by the Company to deliver the services should be affiliated

with an international security organization such as ASIS international, Security

Institute or similar professional bodies.

The Bidder shall at all times comply with the laws of the State of Kuwait. The Bidder shall

make himself fully aware of, and shall take account within its proposal, the impact of the

compliance with all such laws. The Agreement shall be governed by and construed in

accordance with the laws of the State of Kuwait.

The Bidder warrants to TEC that all information, documents, materials, resources and

technical equipment made available during the course of the Services shall be subject to

the strictest duly of confidentiality. Any materials on which information relating to TEC is

written during the Services will be returned to TEC or destroyed at the request of TEC.

2 SCOPE OF SERVICES TEC is seeking to develop and upgrade its entire security provision across all its current and upcoming touristic sites through a phased-approach that meets its financial and operational capacity and priorities and ensure the security and safety of TEC’s employees,

customers, assets and business activities. TEC is seeking to engage a Company to support in designing state-of-the-art integrated security systems and developing TEC’s security operations and security personnel, in line with the relevant international standards and industry best practices, across TEC’s current and future touristic sites. The Project shall encompass a variety of security requirements, including technical, physical and operational elements, to meet the needs, requirements and expectations of TEC. The Company’s responsibility shall solely be in relation to the technical and operational security-related requirements and all civil and construction related requirements are the responsibility of TEC.

2.1 Project Requirement

The TEC facilities outlined in Section 1.3 of this RFP are currently at various stages of completion and the Company shall be expected to enhance and further develop the security development at each TEC facility. The Company shall appoint qualified and experienced Consultants to support TEC in planning and guiding the security requirements for all TEC existing facilities and upcoming projects to ensure compliance with international standards and local laws and regulations and government decrees. The Company shall be required to provide TEC with Two (2) full time Consultants to support TEC in addressing all security matters and provide the strategic and operational guidance to improve the security provision across TEC facilities. The Company is required to provide ongoing technical and administrative support and guidance to the Consultants throughout the period of engagement to ensure quality work on provided services and maintain compliance with international standards and local laws and regulations and government decrees. The Company must demonstrate in their Proposal to TEC the capability and qualifications of Company’s Management (including their experience and qualification in relation to security as well as their affiliation with relevant professional bodies), and how the Company’s Management will implement the required support to the Consultants and the Project.

2.2 Security Consultancy Personnel

The Company shall be required to provide TEC with Two (2) Consultants, who shall remain fully engaged and dedicated (Full-time basis) to fulfilling the project requirement for a period of Twelve (12) Months with an option to extended an additional 3 months at the same rate. The Consultants shall work with TEC as follow:

a. Full Time based at TEC Offices.

b. Forty-Eight (48) Working Hours per week.

c. Working outside Office Hours may be required to suit TEC needs.

d. Paid vacation and Consultant replacement must be approved by TEC

e. TEC reserves the right to request replacement of Consultant with the same

qualifications, if required at the same rate quoted.

f. All other working requirement in line with Kuwait Labor Law.

The overall scope of services of the project shall be across a number of phases and the Company is required to demonstrate their comprehension, capability, previous experience and methodology in the delivering the services outlined below for both Consultants. In addition to the above required Consultants, TEC reserves the right to request additional Consultant to deliver specific service or to support the Project either on a temporary or permanent basis. Daily and monthly rates of this additional Consultant should be provided in the Bidder’s Financial Proposal. All CVs of the Consultants must also be approved by TEC. Please use the templates in Appendix 6 to provide the information about the consultants. The profile and roles and responsibilities of each consultant shall be as follows;

2.2.1 Technical Security Consultant

The Technical Security Consultant shall be the primary point of contact for all TEC employees with regards to any aspects of technical security advice and support throughout the period of engagement. The Technical Security Consultant shall possess the following qualifications and experience;

• Holder of Bachelor’s Degree or higher qualification.

• Minimum of 15 Years’ experience in the end-to-end design and development of

Integrated Security Systems

• Membership of a Professional Industry Body

• Areas of Competence: Security Risk Assessment, Technical Security Systems,

Physical Security Systems, Systems Integration, Networking, Cyber Security,

Security Standards, Project Reviews, Preparation Scope of Work and Bill of

Quantities, Cost Estimates, and Preparation of Technical Proposals and Tender

Documentation.

The Technical Security Consultant must provide the following;

• Complete Security Risk Assessments Report to identify, analyze, and rank all

threats and risks in relation to TEC and its facilities, as well as establishing a

mitigation plan with appropriate recommendations of counter measures.

• Develop TEC Standard document for Integrated Security Systems as a

guideline which to be utilized and implemented across all TEC facilities and

upcoming projects.

• Develop System and Operational Manuals for high level system and operational

framework for each project of TEC.

• Develop Conceptual Design outlining the concept of required systems which to

be implemented at each project of TEC.

• Develop detailed Technical Specifications Document that describes the

required systems to be implemented at each facility of TEC.

• Develop Detailed Design Drawings and Plans for installation of required systems

at each project of TEC.

• Produce Estimated Bill of Quantity (BoQ) of all required systems to be procured

for each project of TEC.

• Development of Tender Documentation (including pre-qualification and

evaluation) for each project of TEC.

2.2.2 Security Operations Consultant

The Security Operations Consultant shall be the primary point of contact for all TEC employees with regards to any aspects of operational security advice and support throughout the period of engagement. The Security Operational Consultant shall possess the following qualifications and experience;

• Holder of Bachelor’s Degree or higher qualification.

• Minimum of 15 Years’ experience in developing effective Security Operational

activities

• Membership of a Professional Industry Body

• Areas of Competence: Threat Evaluation, Security Risk Assessment, Counter

Terrorism, Crisis Management Planning, Security Planning, Facility Security

Plans, Emergency Response & Preparedness, Security Standards,

Supervision/Management of Security Guards and Patrols, Security Operational

Procedures, Security Equipment, and Training.

The Security Operations Consultant must provide the following;

• Complete Security Risk Assessments Report to identify, analyze, and rank all

threats and risks in relation to TEC and its facilities, as well as establishing a

mitigation plan with appropriate recommendations of counter measures.

• Develop Security Policies and other Strategic Documents to enforce the

security principles and outline the security concept of operations being

implemented across all TEC facilities.

• Conduct Security Manpower Analysis to identify security personnel requirement

for each facility of TEC.

• Develop Facility Security Plans to establish the role and responsibilities of

security personnel at each facility of TEC.

• Develop Standard Security Operating Procedures (SSOPs) covering the day-

to-day security activities at each facility of TEC (including TEC Security

Contractor).

• Undertake Training Needs Analysis and establish the training requirements for

all security personnel of TEC (including TEC Security Contractor).

• Develop and deliver specific Security Training Manuals to mentor all security

personnel of TEC (including TEC Security Contractor) and advice on appropriate

security operations across all TEC facilities.

2.3 TEC Support

Throughout the period of engagement TEC shall provide the Company with the following areas of support as required;

• Draughtsman

• Architectural, Electrical and Mechanical Engineers.

• Office Accommodation (incl. printing facilities, internet).

3 SUBMISSION GUIDELINES

3.1 Bidder’s Response

Bidder shall identify relevant management, administrative and financial capabilities as well

as technical and necessary skills, qualifications and experience that they consider

appropriate to the proposal to successfully undertake the proposed contract and meet all

RFP objectives.

Information to be submitted with the Technical Proposal:

a. Suitable reference list of projects carried out by the Company with details of the

scope of work, contract price, etc. (include number of years).

b. Bidder must demonstrate a thorough understanding of Security Risk Assessment

process requirement and of working according to international standards. (include

number of years).

c. Bidder must demonstrate a thorough understanding of the requirement and

process for enhancing security operations of a business in similar nature as TEC.

(include number of years).

d. Bidder must demonstrate a thorough understanding of the requirement and

process of designing integrated security systems of commercial facilities. (include

number of years).

e. Bidder must demonstrate a thorough understanding of the requirement and

process of the services (see 2.2.1 and 2.2.2) required to be developed by each

Consultant. (include number of years).

f. Bidder must demonstrate how Company’s Management can support the

Consultants in providing the required services throughout the Project. (include

number of years).

g. Bidder must demonstrate their certification to quality and health & safety.

h. CVs of Technical Security Consultant and Security Operations Consultant in line

with section 2.2.

i. CVs of Company’s Management.

Information to be submitted with the Financial Proposal:

j. Breakdown of Contract Price in accordance with provided template at Appendix A.

k. Three (3) years of latest Audited Company Financial Reports, certified by reputable

Auditing Firm (Copy Version).

m. Company Official documents and registrations including Commercial License,

Article of Association, and Chamber of Commerce and Industry.

3.2 Submission Format

Bidder should submit their proposed response in the following preferred format:

Letter of Introduction: Including: RFP title, Bidder’s name, address, telephone

number, fax number and contact person. One page introducing the Bidder’s company, signed by the person(s) authorized to bind the Bidder to their proposed offer (RFP response). Commercial License copy.

Table of Contents: Should include a list of all sections and appendices in the proposal response and indicate corresponding page numbers.

Proposal / Project: Full details of the Bidder’s proposal

Requirements / Scope: including: general approach, work plan, schedule, methods, procedures, quality control, project management, supervision, reporting structure and explanations of how all RFP/Project results specifications will be achieved.

Pricing: Indicate the proposal pricing highlighting its association with the scope of work and deliverables.

Appendices: Attach other information as required by the RFP such as references, resumes, financial information and other relevant useful information.

The original and all copies of the Technical Proposal shall be placed in a sealed envelope clearly marked “Technical Proposal”. Similarly, the original Financial Proposal shall be placed in a separate sealed envelope clearly marked “Financial Proposal” followed by the TEC SECURITY CONSULTANCY, and with a warning “Do Not Open With The Technical Proposal.” The envelopes containing the Technical and Financial Proposals shall be placed into an outer envelope and sealed. This outer envelope shall bear the submission address and title of the assignment, and be clearly marked “Do Not Open, Except In The Presence Of Mr. Esam Al Dakheel”. TEC shall not be responsible for misplacement, loss or premature opening if the outer envelope is not sealed and/or marked as stipulated. This circumstance shall result in the proposal’s rejection with no liability. If the Financial Proposal is not submitted in a separate sealed envelope duly marked as indicated above, this will result in declaring the proposal non-responsive. At any time, before the submission of proposals and with no liability whatsoever, TEC may amend the RFP by issuing an addendum in writing and by standard electronic means. The addendum shall be sent to all bidders and shall be binding to them and considered an integral part of the original RFP. Bidders shall acknowledge receipt of all amendments.

Not receiving the acknowledgement does not void the amendment introduced by TEC to the RFP. To give bidders reasonable time in which to take an amendment into account in their proposals TEC may, if the amendment is substantial, extend the deadline for the submission of proposals at the sole liability of the proposer(s).

3.3 Additional Guidelines

Bidder should consider and comply with the following requirements and guidelines:

a. Bidder’s costs in preparation of the Proposal and any communications relating to

the Proposal are at Bidder’s own expense and not subject to reimbursement by

TEC. b. TEC reserves the right to reject any or all Proposal without giving any reason

whatsoever for action. c. General queries and communications regarding this RFP shall be directed to the

d. Proposal must remain valid for 90 days after submission date. e. All correspondence shall be in English. f. Insurance: Company shall maintain the following insurance and all other

insurance required by Kuwait Law throughout the duration of the Project. Such insurance shall be primary to any insurance maintained by TEC.

1. Employer’s Liability Insurance covering Company’s liability for all Claims arising out of bodily injury, death, or occupational disease to its employees, including death or injury arising from unexploded ordnance (passive war risk) within the Area of Operations. Such insurance must comply with Kuwait Laws. Employer’s liability minimum amount of KWD 250,000 (Kuwaiti Dinar Two Hundred Fifty Thousand) per incident and in the aggregate.

2. General or Public Liability (third party, bodily injury and property damage)

Insurance including coverage for Company’s indemnity obligations to indemnitees for third party, bodily injury, and property damage during the execution of services and under sudden and accidental pollution. Public Liability minimum amount of KWD 250,000 (Kuwaiti Dinar Two Hundred Fifty Thousand) per incident and in the aggregate.

g. Pricing: Bidder shall consider the following when pricing the Proposal:

1. Bidder shall provide the price and rates of the Security Consultancy Personnel and the additional Security Consultant inclusive of all costs, profit, overheads, insurances, taxes, personnel, travel, transportation, provision of computer and communication hardware, software and consumables, PPE, currency exchange fluctuations, leave and sick pay, visas, work permits etc.

h. The currency for invoices and payments shall be in Kuwaiti Dinar KWD.

i. Provide a National Employment Certificate. j. TEC reserves the right to terminate the engagement and the contract of one or

both consultants by giving the company one month prior notice.

3.4 RFP Conditions

3.4.1 Evaluation Criteria

Evaluation criteria used to evaluate proposals fall into the following categories and sub-categories:

3.4.2 Negotiation

Negotiation sessions may be held to work out contract details and other expectations of the parties applicable to the services / work, based on the RFP and the Proposal(s) submitted.

3.4.3 Disclosure

All documents submitted by the bidders shall become the property of TEC. Proposal information is proprietary and as such shall be treated as confidential. Information pertaining to TEC obtained by the bidder as a result of participation in this project is confidential and must not be disclosed without written authorization from TEC.

3.4.4 Bonds and Guarantees

1. Each Financial Proposal shall include a bid bond covering 10% of the total cost

of the Financial Proposal. Under no circumstances shall such bid bond be included in the Technical Proposal, only a confirmation that the bid bond is available in the Financial Proposal is required to be added to the Technical Proposal. Failure to comply with such may result in considering the proposal as non-responsive.

2. At the time of signing the Agreement and prior to the start of the works, the bidder shall provide Touristic Enterprises Company with a Performance Bond in the form of an unconditional and irrevocable Bank Guarantee issued by the bidder and approved by a Bank operating in Kuwait, in favour of Touristic Enterprises Company in an amount equal to ten percent (10%) of the total contract value. All costs for providing the performance bond including bank commission, interest charges and the like for maintaining the bond shall be borne by the bidder.

3. The Bidder shall take all necessary measures and precautions to prevent its creditors from placing a hold or prior claim against this bond.

4. The Performance Bond shall remain in force until returned to the bidder by Touristic Enterprises Company, 30 days after the completion of the services.
