Summary of Business Opportunity: The Tull Family Theater is exploring a partnership with a restaurateur or restaurateurs who

have a history of successfully operating and managing food and beverage services.

The Theater is searching for a partner or partners able to design an innovative restaurant

concept that appeals to its diverse patron base, and that is highly compatible with the Theater’s

mission and offerings.

The objective is to enhance the experience of Theater patrons, and to attract new patrons while

offering an additional food and beverage option to the community.

The Tull Family Theater envisions a three (3) to five (5) year contractual agreement, with

possibility of renewal if desired by both parties.

The Tull Family Theater is open to innovative concepts including but not limited to: pop-ups,

shared/rotating space, various restaurant concepts and/or accelerators.

About The Tull Family Theater: The Tull Family Theater is a film-based arts organization created to strengthen cultural,

educational and entertainment experiences in the region northwest of Pittsburgh.

The Theater fulfills this mission by:

Þ Offering an intentional wide range of films and genres—new releases, classics,

documentaries, educational and foreign films, plus art, music, opera and stage plays on

screen.

Þ Attracting thousands of patrons each month from Allegheny, Beaver, Butler and

Washington counties; West Virginia, Ohio and beyond. Hundreds more for events and

free cultural performances.

Þ Enabling hundreds of children from nearby underserved communities to attend

screenings—many of them entering a cinema for the first time in their lives—by

providing transportation, tickets and a full cinematic experience at no cost.

Þ Offering Sensory Friendly Screenings, opening new options to families and children

impacted by autism and other special needs.

As a still-young nonprofit, The Tull Family Theater will continue to expand the ways in which it

fulfills its mission.

The concept for the Theater began in October 2011, when a group of civic leaders identified a

resource missing in communities northwest of Pittsburgh: an independent cinema. The

nonprofit Village Theater Company was formed and fundraising began for construction of a

brand-new facility. With the support of Sewickley borough and hundreds of families, the

Theater launched in February 2017.

The Tull Family Foundation sponsored the naming rights for the facility, now known as The Tull

Family Theater. As a 501(c)(3) Pennsylvania nonprofit, the Theater has no owners. It is

governed by a Board of Directors and administered by staff members. Besides its operating

revenues, the Theater counts on financial support from the public—patrons, government,

corporations and foundations—to sustain this initiative for community vitality and expanded

cultural options in the region.

Currently, the Theater has a monthly sales average of 3,100 tickets. Additionally, the Theater

hosts an array of special events and its Auxiliary Space is sought after as a rental venue.

Although the schedule of special events and rentals varies, they bring a monthly average of an

additional 250 people.

The Tull Family Theater fosters a safe and healthy environment for employees and guests alike.

With an organizational culture that is respectful and kind, The Tull Family Theater is a

harassment-free zone.

Required Contents of Proposal:

Each respondent must provide, at a minimum, the following information:

1. Name, address, email address and phone number of Respondent or designated contact

person for all notices and communications regarding the submitted proposal;

2. Identify the owner and/or operating team and describe team members’ qualifications

and experience, with particular attention to the experience and qualification related to

designing new concepts, and/or partnerships with nonprofits;

3. A narrative summary describing why Respondent is qualified to design the concept and

undertake the proposed operation;

4. A narrative description of the proposed concept for the food and beverage venue and

character of operation;

5. A description of the desired partnership structure for the proposed operation;

6. A business plan and project budget including individual line items for each major

expense. The business plan should include an operating budget, projections,

management structure, and proposed financing arrangements. Additionally, the plan

should include a three (3) year income and expense projection—this projection should

also identify sources of working capital to cover initial operating deficits and startup

costs that would cover all expenses of launching the operations, addressing renovations,

and any new equipment the Respondent believes is needed. The business plan should

address operations (daily or otherwise proposed), special events management,

promoting and cross-promoting with the Theater to achieve the greatest financial

benefits while enhancing the overall experience for Theater patrons and for the

community. Please include in the business plan a description of the types of workers

expected to be involved in operations and the number of each type of worker proposed

to be involved;

7. A detailed operating proforma for the first year, including all anticipated income and

expenses. Also, provide a statement of sources and uses of funds for financing the

project;

8. At least three references, including name, address, email address, phone number and

description of relationship.

Selection Process:

The following selection criteria will be used by The Tull Family Theater:

A. Experience and reputation of the Respondent's team, overall qualifications, economic

success in similar ventures, relationships with professional consultants (architects, designers,

contractors, suppliers, etc.), and ability to implement development quickly and effectively, and

ability to work constructively and collaboratively with The Tull Family Theater and its

representatives.

B. Experience of the Respondent with public/private collaborations, quality and success of

other restaurant ventures over time, uniqueness of other ventures, and ongoing management

of other ventures’ operations.

C. Respondents’ quality of business plan, financial capacity and proforma projections. Financial

viability to raise and/or commit necessary funds to address design changes, launch operations,

purchase desired equipment and maintain operations.

D. Other factors as appropriate, including without limitation, community support and

approvability of the project in accordance with regulatory approvals.

E. The Tull Family Theater is committed to fostering an organizational culture that values

diversity and inclusivity. This commitment is reflected in the organization’s leadership, staff,

population served, programming, policies and procedures. The Theater strongly encourages

certified minority and women-owned businesses to submit proposals, as well as Veteran-

owned businesses.

Letter of Intent

If one or more Respondents are selected by The Tull Family Theater, the selected

Respondent(s) will negotiate a non-binding Letter of Intent with the organization.

The LOI will outline the responsibilities of each party in furtherance of a symbiotic relationship

between the restaurateur(s) and the Theater.

The LOI will address in detail all financial and timeline aspects of the partnership, opportunities

for renewal, and ongoing operational relationship with the Theater. Both parties will complete

due diligence, finalize financial projections, complete preliminary launch plans, and establish a

timeline.

Any and all other items relevant for disclosure and of significance to either party will be

outlined in the LOI, which will serve as the basis for a formal contractual agreement.

Once the LOI is completed and vetted by its executive officers, auditors, legal counsel, and

regulatory agencies, and formally approved by a resolution of its Board of Directors, The Tull

Family Theater and the Respondent will enter a contractual partnership.
