1.2 ExecutiveSummary.ThroughthisRequestforProposals(this“RFP”),thePortlandDevelopmentCommissiondoingbusiness asProsperPortland (or “we”), theduly authorizedurban renewaland economic development agency for the City of Portland, Oregon (the “City”) requestscompetitive proposals from qualified and experienced prime contractors (“Proposers,”“Contractor,” or “you(r)”) to provide Preconstruction Services for the Engine House No. 2Renovation Project (the “Project” or “Property”). The goal of the Project is to renovate andseismicallyupgradeanexistinghistoricbuildingforcommercialoccupancy.

Phase I of theProjectwill be for the selectedContractor toprovidepreconstruction services,including consulting with the Project team on the design and constructability of technicalfoundationandstructuralstabilityissues,andpreparationofconstructioncostestimatesatkeydesignphases,includingprovisionofGuaranteedMaximumPrice(GMP)uponcompletionof90percentConstructionDocuments.

UponreceiptofaGMPandadeterminationbyProsperPortlandthattheProject is financiallyfeasible,PhaseIIoftheProjectwillincludeconstructionoftheapprovedplans.Toaccomplishthis, Prosper Portland anticipates: (1) entering into a development agreement with adevelopmententity(thathasnotyetbeenformed)(“Owner”),throughwhichownershipofthePropertyandallrelateddesigndrawingswillbetransferredtotheOwnerandtheOwnerwillberesponsible for constructing theplanned renovations to theProperty; and (2) that theOwnerwillenter intoaGMPcontractwith theContractor selected through thisRFP toconstruct theplannedrenovationstotheProperty.

1.6 Pre-ProposalMeeting,JobSiteTours.

1.6.1 Pre-ProposalMeeting(Voluntary).Apre-proposalmeetingforthisRFPwillbeheldonThursday,September21,2017at9:00AM(Pacific)atProsperPortland.Checkinwiththe security/reception desk on the First Floor. This RFP, the Project, and ProsperPortland’s procurement process will be explained at the pre-proposal meeting.ProposersareencouragedtobringacopyofthisRFPtothemeetingascopieswillnotbeprovided.

1.6.2 Job Site Tour (Mandatory). Due to thebuildingbeing a former fire station andofficebuildingwith limitedas-built information, therewill beaMandatory JobSiteTouronThursday, September21,2017 startingat9:30AM (Pacific).At the conclusionof thepre-proposalmeeting,attendeeswillbeescortedtotheProperty.IfyoudonotattendthePre-ProposalMeeting,checkinwiththesecurity/receptiondeskontheFirstFloorsothatyoucanjointhetourgroup.Thiswillbetheonlyopportunityforproposerstoseethe existing conditions of interior and exterior of the building. All Proposers mustattendthejobsitetourtobedeemedresponsivetothisRFP.

1.6.3 QuestionsandCommentsattheseMeetings.MeetingandjobsitetourattendeeswillbegiventheopportunitytoaskquestionsofProsperPortland’sprogramstafftobetterunderstandtheProject.VerbalcommentsgivenbyProsperPortlandstaffatthiseventare not binding and will not serve to modify any portion of this RFP unless laterconfirmed in a written addendum to this RFP. 2.0 PROJECTBACKGROUND

2.1 About Prosper Portland. 2.2 DescriptionoftheSite.EngineHouseNo.2,alsoknownastheOldFireStation(orthe“building”or “Property”), is located on a 33,580 square foot (SF) lot owned by Prosper Portland indowntownPortland’sOldTown/Chinatownneighborhood.Thebuildingislocatedat510NW3rdAvenueon thenortheast cornerofNW3rdAvenueandNWGlisan Street in theRiverDistrictUrban Renewal Area (URA). The two-story, 6,692 SF unreinforced masonry building wasconstructed in 1913 and designated Portland Fire Department Engine House No. 2. ProsperPortlandacquired theProperty in1987aspartof theUnionStationacquisition. ThePropertyhasbeendesignatedaPortlandHistoricLandmarkbytheCityofPortland.WhilethePropertyisnotlocatedinahistoricdistrictorlistedontheNationalRegisterofHistoricPlaces,aMay2013reportbythePortlandHistoricLandmarksCommissionidentifiedthePropertyasoneofelevenThreatenedandEndangeredResourcesintheCityofPortland.

Thebuildingwaslastusedasprofessionalofficespacewithinthepasttenyearsandiscurrentlyvacant. The building is generally in poor condition, including large settlement cracks,deterioration of themortar,missing/broken bricks, spalled concrete, andwater damage. Thebuilding was placed on the “Unsafe Building List” by the Portland Fire and Rescue in 2010.Building evaluations have found the building to be in need of seismic, structural, roofing,masonry,electrical,plumbing,andotherrepairs.

ProsperPortlandhasalsoconductedsoilsandgeotechnicalanalyseswhichfoundthePropertyisunderlainbysoftandloosefilltoaconsiderabledepth.Thesoilsaresusceptibletosettlementdue to static loading. In addition, according to a geotechnical study by consulting firm HartCrowser,the“siteismappedbytheCityasbeinginazoneofhighearthquakehazard,andbasedon the subsurface conditions, the native and fill soils are likely to be highly susceptible toliquefaction under strong earthquake shaking.” In the event of a strong earthquake, bothhorizontalsettlementontheorderoftwotofourfeetandlateraldisplacementontheorderoftwotouptotenfeetarelikelytooccur.

The Property is part of a former rail yard operation adjacent to Union Station and containscontaminated soil. The site is enrolled in the Oregon Department of Environmental Quality(“DEQ”) Voluntary Cleanup Program and was issued a Record of Decision approving anenvironmentalremedyrequiringsoilexcavatedandremovedfromthesitetobedisposedofata Subtitle D Landfill and the construction of a protective surface cap during development tominimizefuturecontactwiththesitesoil. Ownerwillprovideenvironmentaloversightduringconstruction but it is recommended that Contractor and any earthwork sub-contractors haveexperiencewithworkingoncontaminatedsites.

A2010HazardousBuildingMaterialsSurveyidentified(1)AsbestosContainingMaterial(“ACM”)consisting of the tar roof and flooring which will require abatement by Certified AsbestosWorkers; (2) lead-based paint which will require removal and disposal in accordance withOregon regulations; and (3) light bulbs potentially containing mercury which will requiresegregationandappropriatedisposal (Attachment11). Contractor isexpectedtosub-contractand coordinate with a DEQ-certified abatement specialist to remove the hazardous buildingmaterials.

A fireoccurred in thebuildingonAugust 11, 2017andwasextinguishedby the Portland FireBureau.Thecauseofthefirehasnotbeendetermined.ProsperPortlandisstillevaluatingtheimpacts the fire and firefighting effortsmay have had on the building. At this time, this fireeventhasnotmodifiedtheoverallgoalofandapproachtorenovatingandseismicallyupgradingthebuildingforcommercialoccupancy.

2.3 ProjectBackground.ProsperPortlandinitiatedarenovationstrategyforthePropertybyissuingaRequestforInterest(“RFI”)in2015seekingadevelopmentpartner.Throughthatprocess,LiftDevelopment(“Lift”)wasselectedasthedevelopmentpartnerwithLift’sprincipalRahimAbbasiservingasprojectarchitect.Theinitialconceptdesignandanalysisindicatedthatrenovationofthe building is not financially feasible with private financing due to the high cost of seismicretrofitandassociatedgeotechnicalconditions.Theprojectarchitectandengineerswereunabletoadvancethedesignwithoutsignificantinputfromageneralcontractortobetterunderstandthe rangeof design solutions and the constructability, cost-effectiveness, andoverall costs ofdifferent foundationandseismicupgradesolutions.Hencetheneedforageneralcontractor’spreconstructionservicessolicitedthroughthisRFP.

ProsperPortlandisassemblingateamofarchitects,engineers,historicpreservationspecialists,and the general contractor sought through this solicitation to advance the renovation of thebuilding through construction documents and pricing including a GuaranteedMaximum Price(“GMP”)tobeprovidedonanopenbookbasis.Aspartofthiseffort,therenovationprojectwillbe subject toapprovalby thePortlandLandmarksCommissionandProsperPortlandwill seekdesignationofthePropertyontheNationalRegisterofHistoricPlacesthroughconsultationand

coordination with the State Historic Preservation Office (“SHPO”) and National Park Service(“NPS”). Designation on the National Register will enable Historic Tax Credits (“HTC”) to beavailable as part of an overall financing package that may also include equity, loans, and apotentialProsperPortlandinvestment.

Upon receipt of a GMP, the financial feasibility of the projectwill be determined by ProsperPortland. If feasible, Prosper Portland staff will seek Prosper Portland Board approval of aPurchaseandSaleAgreementorsimilaragreementthroughwhichthePropertywillbesoldandconstructiondocumentsassignedtoadevelopmententitymostly likelyconsistingofLiftandaHTC investment partner (together, the Owner), which will then proceed to complete therenovationsandsubsequentlytenant,own,andoperatethebuilding.ProsperPortlandintendsthat the Purchase and Sale Agreement used to convey the Property will include a conditionrequiringtheOwnertocontractwiththeGeneralContractorselectedthroughthisRFPfortherenovations.

Prosper Portland envisions the renovated building will be for commercial space that will besuitableforcreativeofficespaceforsmallbusinessesorforanowner-occupant.

2.4 ContractorQualifications.ForthisProject,ProsperPortlandstronglyprefersgeneralcontractorsthathavesubstantialexperienceinthefollowingareas:

a) Seismic upgrades of unreinforced masonry buildings and, in particular, to stabilizingbuildingsinplaceonunstablesoilsbyconstructingorupgradingfoundationssupportedby micropiles, injected ground improvements, or other techniques that may benecessarytostabilizethebuildingandmeetseismicupgraderequirements;

b) Interiorseismicimprovements;

c) Masonryrepairandrepointing;

d) Reroofing;

e) Windowanddoorreplacementandotherweatherproofingdetails;

f) Mechanical,electrical,andplumbingsystemsrepairand/orreplacement;

g) Interiorflooring,framing,insulation,andfinishes;

h) Properremovalanddisposalofhazardousmaterials;and

i) Other construction services typical of renovating and repairing an historic masonrybuildingofthisageandconditionforcommercialoccupancy.

j) Developingcriticalpathmethod(“CPM”)schedules,

k) Preparingconstructionestimates,includingaguaranteedmaximumprice(“GMP”)onanopenbookbasis,

l) Understanding construction methods and techniques used in complex renovationprojectsonsoilssubjecttosettlementandliquefaction,

m) Understandinglocalclimateconditionsandrequirementsforweatherprotectionduringdemolitionandconstructionactivities

n) Familiarity with the local labor and subcontracting market and capability of workingwithsubcontractorstogenerateviablepricingalternatives.

3.0 SCOPEOFWORK

3.1 Summary.ProsperPortlandhasissuedthisRFPwiththegoalofselectingaGeneralContractortoprovidePhaseIPreconstructionServicesfortheProject.

Prosper Portland is seeking a Contractor to participate as amember of a team consisting ofProsperPortland,thearchitect,geotechnicalengineer,structuralengineer,historicpreservationspecialist,landscapearchitect,andotherProjectconsultantsandagencies(the“ProjectTeam”)toprovidepre-constructionservices,establishaGuaranteedMaximumPrice(“GMP”),andassistwith permitting. The architect will be responsible for preparing and delivering all designdocumentswithinputfromProjectTeammembers.

3.2 ScopeofPreconstructionServices.UnderthePreconstructionServicesContractawardedfromthisRFP,theContractorshallprovide(a)inputondesignandconstructabilityincluding,butnotlimitedto,seismicandgeotechnicalmitigationstrategies,(b)constructioncostestimating,and(c)valueengineeringtoensuretheProjectcanbeachievedinacost-effectivemanneratthesekeymilestones:

• 50%SchematicDesign;

• 100%SchematicDesign;

• 50%DesignDevelopment;

• 100%DesignDevelopment;

• 50%ConstructionDocuments;

• 90%ConstructionDocuments–GuaranteedMaximumPrice(GMP).

3.3 Schedule.ProsperPortlandanticipatesapreconstructionservicesphasetotakeapproximately16months, initiating approximately in earlyNovember 2017 and concluding approximately inApril 2019. The first design phase will be 50% Schematic Design which will include a DesignAdvice Request with the Portland Landmarks Commission. The second design phase will be100%SchematicDesign,whichwill includeDesignReviewapprovalbythePortlandLandmarksCommission. TheProjectTeamwillalsocoordinatewiththeStateHistoricPreservationOffice(“SHPO”)andtheNationalParksService(“NPS”)regardingeligibilityfortheNationalRegisterofHistoricPlacesandassociatedHistoricTaxCredits.

ProsperPortlandanticipatesthepreconstructionservicesphasewillconcludewiththedeliveryof the 90%ConstructionDocuments and associatedGMP. Upon a determination of financialfeasibility by Prosper Portland and approval of a Purchase and Sale/Development AgreementbetweenProsperPortlandandtheOwner,theProjectwill transitiontoPhase II:Construction.DuringPhaseII,thePropertywillbeconveyedtoOwnerwhowillberesponsiblefor(1)enteringinto a GMP contract with the Contractor; (2) completing the Construction Documents andsecuringallnecessarypermits;and(3)constructingtheplannedrenovations.

3.4 Cancellation. In theevent that the selectedContractor is unable to furnishaGMPwithin theOwner’s budget, or otherwise come to agreement on GMP Contract terms, Prosper Portlandretains theoption tocancel thisprocurementandstartanewprocess for theconstructionoftheProject.

ThissectiondescribesthegeneralrequirementsandinstructionsforthisRFP.AllproposalssubmittedinresponsetothisRFParesubjecttotheconditionsofthisRFP.Allmattersnotspecificallyaddressedinthis RFP or awarded contract will be governed by Prosper Portland’s Local Contract Review BoardAdministrativeRulesaswellasapplicableOregonRevisedStatutes(ORS)andotherrulespertainingtoprocurementandcontractingatProsperPortland.

4.1 ReservationofRights.ProsperPortland, in itssolediscretion,reservestherighttomodifyanymatter contained in this RFP; cancel or suspend this RFP or to reject any or all proposalsreceived inresponsetothisRFP inaccordancewithORS279C.395;decidewhetheraproposaldoes or does not substantially comply with the submittal requirements and proceduresdescribed in this RFP; waive minor informalities of any proposal; obtain clarification oradditional information to properly evaluate a proposal; obtain references regarding anyProposer’s past performance from any source; and negotiate a contract with the successfulProposer. Neither issuance of this RFP nor evaluation of any proposal(s) obligates ProsperPortland to award a contract from this RFP. Prosper Portland further reserves the right toterminatethecontractforgoodcause(asdeterminedbyProsperPortland).

4.2 PreparationCosts. ProposersrespondingtothisRFPdosoattheirownexpense,andProsperPortland will not reimburse any expenses incurred by Proposers in the preparation orsubmissionofaproposaltothisRFP,includingcostsassociatedwithanymeeting,interview,orsubsequentnegotiationsthatProsperPortlandmayrequestorrequire.

4.3 Restrictions on Communications. Proposers must not communicate with members of theEvaluationCommittee, theProsperPortlandBoardofCommissioners,oranyProsperPortlandemployee not specifically named in this RFP, except upon invitation by Prosper Portland in aformal interview by the RFP Solicitation Coordinator. Doing so may be cause for proposalrejection. Prosper Portland will not hold “one-on-one” meetings with any interested partyduringtheRFPprocessoutsideofaformalinterview.

4.4 Questions and Requests for Changes to this RFP. All material questions and requests forchanges to anymatter contained in this RFPmust be submitted inwriting to the SolicitationCoordinator identified in Section 1.1 of this RFP. All such questions and requests for changesmustbesubmittedtotheSolicitationCoordinatornolaterthan4:00p.m.(PacificTime)onthe“Deadline forQuestionsandRequests forChanges” listed in Section1.3.All such submissionswillinclude:

4.6 SectionHeadings.ThesectionheadingsandtitlesusedinthisRFPareforconvenienceonlyandinnowaymodifythescopeorintentofanyprovisioncontainedinthisRFP.

4.7 Registration with CCB or LCB and City of Portland Business License. Prior to award of theContract, the Proposer selected to complete the work must be licensed (a) by the State ofOregonConstructionContractorsBoardasrequiredbyORS701.035etseq.andORS671.525etseq.,respectively;and(b)theCityofPortlandperPortlandCityCode,Chapter7.02.

4.8 PrevailingWage.PursuanttoProsperPortland’spolicyonConstructionWagesandOregonLaw,all constructionworkonthisProject isanticipatedtobesubject toStateofOregonBureauofLaborandIndustries(BOLI)WagesRates.Contractorisexpectedtotakethisintoconsiderationinpreparing all construction cost estimates and theGMP. ThePrevailingWageRates for theconstructionworkwill be effective as of the date theGMP contract becomes a publicworkscontract.

4.9 Proposers’ Representations. By submitting a proposal for the Project, Proposers furtherrepresentthattheyhavereadandunderstoodtheContractDocuments,visitedthesite,becomefamiliar with the conditions under which the Work will be performed and have taken noexceptiontoanyterm,condition,obligation,orrequirementoftheContractDocumentsthatisnot clearly and expressly stated in their proposal. Proposers understand and agree that anyexceptiontoanyterm,condition,obligation,orrequirementoftheContractDocumentsmay,inProsperPortland’sdiscretion, be thebasis forproposal rejection. Proposers further representthattheywillreportimmediatelyallerrors,inconsistencies,orambiguitiestheydiscoverintheContractDocumentstoProsperPortland.

4.10 Information Submitted. It is the sole responsibility of each Proposer to submit informationrelatedtothesubmittal requirementscontained inthisRFP,andProsperPortland isundernoobligationtorequestadditional information if it isnot includedwithintheproposal.However,ProsperPortland,initssolediscretion,may(a)requestProposerssubmitadditionalinformationduringorafter theproposalevaluationperiod; (b)request informationduringanysubsequentContractnegotiations;(c)overlook,correct,orrequireaProposertocorrectanyobviousclericalormathematicalerror(s);or(d)submitinformationorformsthatwereinadvertentlyomittedatthetimeofproposalsubmission.

4.11 PublicRecordsandDisclosure

4.11.2 All proposals submitted in response to this RFP will become the property of ProsperPortland and will be subject to retention and disclosure pursuant to the Oregon PublicRecords Law (ORS 192), except those portions of a proposal that a Proposer requestsexemptionfromdisclosureconsistentwithORS192.

4.11.3 AnyportionofaproposalthataProposerclaimstoconstitutea“tradesecret”mustmeettherequirementsofORS192.501(2)andbeeasilyseparablefromtheproposaltofacilitatereviewofthenon-confidentialportionoftheproposal.AllsuchsectionsinaproposalmustbeCLEARLYANDCONSPICUOUSLYmarkedwiththefollowing:

4.11.4 ProsperPortlandwilltakereasonablemeasurestoholdinconfidenceallproposalcontentsmarked in the way described above, but shall not be liable for the release of anyinformation when required by law or court order, whether pursuant to ORS 192 orotherwise.UnlessexpresslyprovidedinthisRFP,orinaseparatecommunicationbetweenProsperPortland’sSolePointofContactforthisRFPandaProposer,ProsperPortlanddoesnot agree to withhold from public disclosure any information submitted in confidenceunlesstheinformationisotherwiseexemptfrompublicdisclosureunderOregonlaw.

4.11.5 FromthetimeproposalsaredueanduntilProsperPortland’sissuesitsnoticeofintenttoaward,onlythelistofthenamesoftheProposersissubjecttopublicdisclosure.

4.11.6 Afteraward,theContractbetweenProsperPortlandandthesuccessfulProposerwillbeapublicdocumentandnopartoftheContractcanbedesignatedas“Confidential.”

4.12 ProposerOffer,Withdrawal,andModification.BysubmittingaproposalinresponsetothisRFP,eachProposeragreestheirproposalisabindingoffertoperformtheWorkdescribedinthisRFPforaperiodofninety(90)calendardaysfromthedateproposalsaredue.ThisperiodmaybeextendeduponthemutualagreementbetweenProsperPortlandandaProposer.ProposalsmaybewithdrawnormodifiedpriortotheproposalduedateandtimebysubmittingawrittenrequesttotheSolicitationCoordinatorforthisRFP.ProposalsmaynotbewithdrawnormodifiedaftertheproposalduedateandtimeunlessProsperPortlandagreestothewithdrawalormodificationinwriting.

4.13 DeterminationofResponsibility;Investigations.IndeterminingwhetheraProposermeetstheapplicable standards of responsibility to perform the work described in this RFP, ProsperPortland may consider whether the Proposer has: (a) the appropriate financial, material,equipment,facilityandpersonnelresourcesandexpertise,ortheabilitytoobtaintheresourcesandexpertise,tomeetallcontractualobligations;(b)asatisfactoryrecordofperformance;(c)asatisfactoryrecordofintegrity;(d)qualificationstolegallycontractwithProsperPortlandasanindependent contractor; (e) been disqualified or debarred by Prosper Portland or on a list ofsuchcontractorsasestablishedbytheCCB;(f)suppliedallnecessaryinformationinconnectionwith Prosper Portland’s inquiry concerning responsibility; (g) has otherwise satisfied theconditionsofORS279C.375asapplicabletothework.ProsperPortlandmaypostponeissuanceofitsNoticeofIntenttoAwardinordertocompleteitsdeterminationofresponsibility.ProsperPortland may make such independent investigations as deemed necessary to determine theresponsiveness and responsibility of any Proposer, and the Proposer shall furnish to ProsperPortlandallsuchinformationanddataforthispurposeasProsperPortlandmayrequest.

4.14 NoticeofIntenttoAward.AftercompletionoftheevaluationprocessdescribedinSection6.0ofthisRFP,ProsperPortlandwillnamean“apparentsuccessfulProposer”andissueaNoticeofIntent to Award (“NOIA”) the Contract to this Proposer. Identification of the “apparentsuccessfulProposer” isproceduralonlyandcreatesnoright inthenamedProposertoreceivetheContract.AllcompetingProposerswillbesenttheNOIAbyemail.OncetheNOIAhasbeenissued,ProposersmayviewthematerialsintheRFPfilebysubmittingapublicrecordsrequestonProsperPortland.us.

4.15 Protest of Selection Process. Any protest of Prosper Portland’s selection process must besubmittedviaemailtotheSolicitationCoordinatorforthisRFPwithinseven(7)calendardaysofissuanceof theNOIA.Only thoseProposers that are adversely affectedbyProsper Portland’scontract award decision can protest the NOIA; i.e., those Proposerswho are in a position toreceivetheContracthadProsperPortlandnotcommittedamaterialviolationofaprovisionofthisRFPorapplicablestatute.TheProposer’swrittenprotestmustspecifythelegal,procedural,and/or factual grounds upon which the protest is based as well as a statement of reliefrequested. The judgment used by individual evaluation committee members when scoringproposalsisnotgroundstoprotesttheselectionprocess.Protestsnotassertedornotproperlyassertedwithinthetimelinesdescribedinthissectionwillnotbeconsidered.

4.16 Serial Negotiations. After Prosper Portland has issued its NOIA and resolved all protests,Prosper Portland reserves the right to enter into negotiations with the apparent successfulProposertofinalizetheContract.IfProsperPortland,initssolediscretion,determinesthatsuchnegotiations have reached an impasse, Prosper Portland reserves the right to terminatenegotiationswiththatapparentsuccessfulProposerandcommencenegotiationswiththenexthighest-rankedresponsiveProposer.Thisprocessmaycontinueuntilanagreement is reachedand Prosper Portland issues its Notice of Award and the Contract is executed or ProsperPortlandcancelsthisRFP.

4.17 Publicity. Any publicity giving reference to the Project described in this RFP,whether in theformofapressrelease,brochure,orothermarketingmaterial,shallonlybemadewiththepriorwrittenconsentoftheProsperPortlandPublicAffairsDepartmentandthenonlyincoordinationwiththeProsperPortlandPublicAffairsDepartment.

5.0 PROPOSALSUBMITTALREQUIREMENTSThis section describes thematerials and topics to includewithin your proposal and general proposalpreparation and submission instructions. 6.0 EVALUATIONCRITERIAANDPROCESSThis section describes the process that will be used to evaluate responsive proposals and select theapparent successful Proposer. Prosper Portland may reject any proposal not in compliance with allprescribedpubliccontractingproceduresandrequirements,includingtherequirementtodemonstratethe Proposer’s responsibility under ORS 279C.375(3)(b), andmay reject for good cause all proposalsafterfindingthatdoingsoisinthepublicinterest.

6.1 Step One, Determination of Proposal Responsiveness. Prosper Portland will review allproposals deemed timely received to determine the responsive proposals. The “responsiveproposals” are those proposals that substantially comply with all prescribed submittalrequirementsandprocedurescontainedinthisRFPandapplicablelaw.

6.2 Step Two, Evaluation of Written Proposals. Prosper Portland will convene an evaluationcommittee(the“Committee”)toevaluatealltheproposalsdeemedresponsiveinStepOne.TheCommitteewillincludestaffofProsperPortlandandpotentiallyoneormoreexternalreviewers.EvaluatorswillscorethefollowingareasofProposers’proposals:

• GeneralConstructionBackgroundExperienceandQualifications(10%oftheevaluation)• PrimeContractorandSubcontractorProjectExperienceandReferences(20%)• KeyProjectPersonnel(10%)• PreconstructionServicesCostProposal(10%)• ProjectApproach(20%)• ProjectSchedule(10%)• EquityinContracting(20%)

Evaluatorsmayalsouseanyrelevantinformationthatissubsequentlyrequestedordiscovered.

6.3 StepThree,DeterminationofFinalistProposers.TheCommittee’sscoringoftheproposalswillbe added together to produce a preliminary proposal ranking. Prosper Portland will thenidentifyanaturalbreakinthescoringtodeterminetheFinalistProposers.

6.4 StepFour,FinalistInterviews(Optional).AtProsperPortland’ssoleoption,interviewswiththeFinalistProposersmaybepartof theevaluationprocessof thisRFP.ProsperPortlandexpectsthat such interviews will be conducted in-person at Prosper Portland offices. If requested,attendance at such an interview ismandatory. If interviews are conducted, Prosper Portlandreservestherighttore-scoretheFinalistProposers’initialscores.

6.5 Step Five, Best and Final Offers (Optional).Whether or not interviews are conducted (StepFour),atitssoleoption,ProsperPortlandmayenterintodiscussionswiththeFinalistProposersandrequestrevisedproposals(the“bestandfinaloffers”)pursuanttoORS279C.410(4).Allsuchdiscussions and requests for best and final offers will be done fairly and for the sake ofclarification to ensure full understanding and responsiveness to the RFP. If Prosper Portlandsolicitsbestandfinaloffers,itwilldosointhefollowingmanner:

6.5.1 ProsperPortlandwillinitiateoraland/orwrittendiscussionswiththeFinalistProposersregardingoneormoresectionsoftheirproposals.ProsperPortlandmayconductthesediscussions for the following purposes of: (a) identifying perceived weaknesses in aFinalistProposer’s initialproposal; (b) requiringadditional information inoneormoresections of a Finalist Proposer’s proposal; (c) requiring additional information onallocation of risk and other key project success factors from a Finalist Proposer’sproposalsand/or, (d)otherwiseallowing theFinalistProposers todevelopandsubmittheirbestandfinaloffers.

6.5.2 Prosper Portland may conduct discussions with the highest-ranked Finalist Proposernecessary to fulfill the purposes described in this section, but need not conduct thesameamountofdiscussionwitheachsubsequentFinalistProposer.

6.5.3 Per ORS 279C.410(4), Prosper Portlandwill not disclose information contained in theproposals to competing proposers (e.g., written proposals and pricing will not beshared).

6.5.4 ProsperPortlandwillestablishacommondateandtimewhenthebestandfinaloffersaredueatProsperPortland.Revisedbestandfinaloffersshallonlybesubmittedonce;however,ProsperPortlandmaymakeawrittendeterminationthat it is in thepublic’sinterest to conduct additional discussions and require the submission of revised bestandfinaloffers.Otherwise,nodiscussionsoforchangestotherevisedproposalswillbeallowedpriortoaward.

6.5.5 IfbestandfinaloffersarerequestedandaFinalistProposerdoesnotsubmitarevisedproposal,theoriginalproposalwillbeconsideredthebestandfinaloffer.

6.6 Step Six, Contractor Selection. Prosper Portland will announce its decision to award theContracttothehighest-rankedresponsiveandresponsibleproposeraftercompletingthestepsabove.
