1. INTRODUCTION

1.1. DESCRIPTION OF PROPOSAL The Board of Trustees of the University of Illinois on behalf of the Consortium of Academic and Research Libraries in Illinois (“CARLI” or “the University”) is seeking Proposals from qualified firms (“Proposers”) to provide courier service to transport library materials among Illinois’ academic libraries, the Illinois State Library, the Chicago Public Library and Illinois’ nine (9) regional library system offices. The initial term of the Contract shall begin upon Contract execution, with billable services to begin July 1, 2011. The initial term of the Contract shall end June 30, 2013. Upon mutual agreement of the Parties, the Contract may be renewed for three (3) additional one-year periods under the same terms and conditions and based on satisfactory performance, continuing need, and availability of funds.

1.2. OVERVIEW CARLI, the Consortium of Academic and Research Libraries in Illinois, is a membership organization representing 151 academic and research libraries in Illinois. The University of Illinois, as Fiscal Agent for CARLI, is issuing this Request for Proposal (RFP) on behalf of CARLI to contract with a Proposer to supply courier service to deliver materials between Participating Locations. These materials are being transported between libraries to fulfill library patron requests for materials that are not available at a patron’s “home” libraries, but which are available from other Illinois libraries, with which the patron’s library has established cooperative agreements. The service will operate five (5) days a week (Monday through Friday) on a set schedule, except as otherwise stated in Appendix I, Section 4.1 of this document. The current service covers one hundred fifty-seven (157) locations across the State of Illinois (see Attachments A & B of this RFP). The possibility exists that in the future, the level of service may be changed to add or remove Participating Locations. Should such change occur, the parties will negotiate cost/service changes in accordance with the provisions of Appendix II, Pricing Proposal. Materials being shared through library resource-sharing agreements include, but are not limited to books, journals, audio-tapes, CDs, DVDs, educational kits, and printed matter in envelopes letter-size or larger. Occasionally, odd-sized items such as rolled maps in tubes or framed items may be shipped from one Participating Location to another. Proposer must specify any maximum and/or minimum limits on size, weight or other special packaging requirements. Over 1.3 million items were shipped via ILDS in each of the last two calendar years. Proposer shall be responsible for parcels, including the library materials and containers (such as reusable shipping bags) while such materials are in the possession of Proposer or Proposer’s couriers.

1.3. BACKGROUND ON ILLINOIS LIBRARY DELIVERY SERVICES Why Library Materials are in Transit Illinois libraries have a long history of sharing their collections not only with their own registered borrowers, but also with the registered borrowers of other libraries with which the library has cooperative “resource sharing” agreements. These cooperative arrangements are coordinated through several agencies including the Illinois State Library, Illinois’ regional library systems, and voluntary membership organizations such as the Consortium of Academic and Research Libraries in Illinois (CARLI).

Resource sharing allows library patrons to have access to the collections of other libraries in several ways. Libraries may open their doors to borrowers registered with other cooperating libraries and allow these patrons to check out materials in person. These onsite library loans to patrons visiting from other cooperating libraries are referred to as “reciprocal borrowing.” Items loaned through reciprocal borrowing agreements may be returned directly to the owning library by the patron dropping them off, or the patron may return them to their “home” library (i.e., the library at which they are a registered borrower). Items returned to the patron’s home library are subsequently returned to the owning library through some form of library or commercial delivery service.

In addition to reciprocal borrowing, libraries have a long tradition of working with each other to fill requests for information and materials through “interlibrary loan.” Interlibrary loaned materials are typically shipped from the library that owns the item to the patron’s home library. When the item is received at the patron’s home library, the patron is notified that the item is available and the patron picks up the item. Typically, the patron will return these items to their home library rather than directly to the library that owns the item. The home library then ships the item back to the library that owns it again via a library or commercial delivery service.

With the advent of widespread automation of library services since the 1970s, many libraries have been able to expand the options available to their patrons for requesting materials from their own and other cooperating libraries. In 1980, twelve Illinois academic libraries implemented an online system aimed at providing a cooperative automated resource sharing service for their patrons and other cooperating organizations. Today, that service is known as I-Share and is used by 76 of the CARLI member libraries. I-Share and similar systems continue to be popular with Illinois library users. The volume of materials traveling between Illinois libraries continues to grow as library automated systems make it increasingly easy for libraries to share their materials with each other’s patrons.

Illinois Library Systems were created by the General Assembly under the Illinois Library Systems Act in 1965 in order to “encourage cooperation among all types of libraries in promoting the sharing of library resources.” Among other services, the Library Systems provide delivery services that transport library materials between libraries in their regions and also serve as hubs for materials traveling to other Illinois Library Systems and beyond the state.

In 1980, Illinois inaugurated an “Intersystems Delivery Service” (ILDS) to interconnect the regional library system delivery routes with each other. In addition to connecting the

system routes with each other, ILDS also directly delivered materials to over 25 Illinois academic (i.e., college or university) libraries. In 2007, CARLI issued a RFP for a replacement for the ILDS services. A proposal was accepted, and a contract was agreed upon. The “new” ILDS (Illinois Library Delivery Service) began service on January 1, 2008. The continuation of this service is the purpose of this RFP. Current Delivery Service Currently, an item traveling between Illinois libraries using the delivery services (ILDS and regional system delivery) is handled in various ways, depending on the origin and destination of the item. The scenario below outlines the process used to ship an item via ILDS.

Items traveling between two ILDS drops Items being shipped between two of the current 157 ILDS destinations are typically labeled with a paper book band and placed into an ILDS bag labeled for a specific final destination. The bag may hold more than one item, but all items in the bag have the same ILDS destination. The bag is sealed and a label indicating the source and destination is placed in the pouch on the side of the bag (when a nylon bag is used) or attached to the bag’s closing clasp (when a canvas bag is used). This label includes the following eye-readable information: date, source location, and final destination, as well as a barcode containing the same information. All bags used for shipping are provided to the participating ILDS locations. The Proposer will not be required to supply any shipping materials to participating ILDS locations. To facilitate the smooth operation of the service, the Proposer will transport quantities of shipping bags from one Participating Location to another, as needed. There are three sizes of bags currently in use including: Type Approx.

*Participating Locations may also use various sized, properly labeled cardboard boxes, padded envelopes or other appropriate containers to ship items. Such alternative containers will be labeled in the same manner as the regular shipping bags. The Proposer will not be responsible for the handling or sorting of the individual items within the bags. All labeling of the bags is completed at the library. The Proposer will be responsible for the transportation of properly labeled bags and occasional items that do not fit in bags.

Tracking, Statistics, and Problem Reporting CARLI developed a web-based labeling system for the current ILDS which began service on January 1, 2008. ILDS participants use the system to generate barcoded labels for each individual bag that is shipped via ILDS. The label contains information including the name of the sending and destination institutions, the date the label was generated, and the number of items contained in the bag. The Proposer is not responsible for the routine operation of the labeling system, but must be able to scan the barcodes on the labels and transmit a file of the scanned data to CARLI on a daily basis, as specified in Appendix I Section 6.1.

CARLI generates statistics from the data contained in the web-based labeling system. These data are compiled on a quarterly basis and sent to the Illinois State Library. Statistics generated on a quarterly basis include the number of items received and sent from each particular ILDS location. Statistics for calendar years 2008 and 2009 are contained in Attachment C and Attachment D of this RFP. A CARLI staff member currently serves as Program Coordinator for the ILDS program working as the CARLI liaison with the Proposer’s Project Contact. The Program Coordinator handles the day-to-day operations of the ILDS program, including problem reports. Delivery Turnaround Time ILDS locations are serviced 5 days a week, Monday through Friday with a 24-hour dock-to-dock delivery turnaround time.

1.5 CONTRACTUAL TERMS AND CONDITIONS Terms and conditions of the Contract(s) resulting from this Request for Proposal (RFP) are provided in Appendix III.

2. INSTRUCTIONS TO PROPOSERS

2.1. PROPOSAL PACKAGE To facilitate evaluation, submit the Proposal in two (2) parts as described below. The parts may be submitted in the same package provided the parts are clearly separated and identified as outlined in Sections 2.1.1 and 2.1.2 below.

2.1.1. Technical Proposal Submit one (1) original (clearly marked as “Original”) and five (5) copies of the Technical Proposal in a sealed package clearly marked with the RFP number and

“Technical Proposal”. The following documents comprise the Technical Proposal.

1. Response to the Technical Requirements (Appendix I).

2. Any proposed changes to the sample contract (Appendix III)

3. Completed and signed Standard Qualifications, Certifications, Representations, and Disclosures (Exhibit A).

4. Completed and signed Bidders Application Form (Appendix V).

5. Completed State of Illinois Board of Elections Certification (Appendix VI).

6. Indemnity Agreement and Liability Insurance (Appendix IX).

2.1.2. Pricing Proposal Submit one (1) original signed Pricing Proposal (Appendix II) in a separate and sealed envelope that is clearly marked with the RFP number and “Pricing Proposal.” The response to Appendix II should include any supplemental or renewal option period pricing schedules (Appendix II, Section 2). The response to the Technical Proposal and Pricing Proposal (Appendix II) must also be submitted on CD-ROM or USB flash drive in Adobe PDF or Microsoft Word format. This is in addition to the hard-copy requirements defined above. One electronic copy is sufficient. Receipt of an electronic copy alone does not meet the requirements established by the State of Illinois Procurement Code.

2.1.3. Contract Attached is a sample contract that the successful Proposer will be expected to execute. Clearly identify any exceptions to the terms and conditions of the Contract(s) by referencing the pertinent Article in the Technical Proposal. Such exceptions will be considered when evaluating the Proposer’s response to this RFP.

2.2. DELIVERY OF PROPOSAL PACKAGE The Technical Proposal and the Pricing Proposal, may be either delivered by hand or sent to the Purchasing Division through U.S. Mail or other available courier services to the address shown on the cover sheet of this RFP. Include the RFP number on any package delivered or sent to the University Purchasing Division and on any correspondence related to the Proposal. The Proposer remains solely responsible for insuring that its Proposal is received at the time, date, place, and office specified. The University assumes no responsibility for any Proposal not so received, regardless of whether the delay is caused by the U.S. Postal Service, the University Postal Delivery System, or some other act or circumstance. Proposals received after the time specified in the RFP will not be considered. All Proposals received after the specified time will be returned unopened. If using an express delivery service, the University recommends that the package be delivered to the designated building and office and not to the University Postal Delivery System or Central Receiving facilities. Packages delivered by express mail services to other locations might not be re-delivered in time to be considered.

2.3. UNIFORMITY To provide uniformity and to facilitate comparison of Proposals, all information submitted must clearly refer to the page number, section, or other identifying reference in this RFP. All information submitted must be noted in the same sequence as its appearance in this RFP. The University reserves the right to waive minor variances or irregularities.

2.4. PROPOSAL MATERIALS The Proposal material submitted in response to the RFP becomes the property of the University upon delivery to the Purchasing Division and is to be appended to any formal document which would further define or expand the Contractual relationship between the University and the Proposer. All of the material will be considered as part of this RFP.

2.5. AMENDMENT Since all amendments become a part of the Proposal, any substantive amendments issued prior to the Proposal opening date may include an amendment acknowledgment section. Amendment acknowledgments (if included) must be signed by an authorized Respondent representative and returned with the Proposal on or before the Proposal opening date. Failure to sign and return any and all amendment acknowledgments shall be grounds for rejection of the Proposal response.

2.6. PROPOSAL MODIFICATION Proposals submitted prior to the Proposal opening date may be modified or withdrawn only by written notice to the University. Such notice must be received by the Purchasing Division prior to the time designated for opening of the Proposal. Proposer may change or withdraw the Proposal at any time prior to Proposal opening; however, no oral modifications will be allowed. Only letters or other formal written requests for modifications or corrections of a previously submitted Proposal that are addressed in the same manner as the Proposal and that are received prior to the scheduled Proposal opening time will be accepted. The Proposal, when opened, will then be corrected in accordance with such written requests, provided that the written request is contained in a sealed envelope that is clearly marked with the RFP number and “Modification of Proposal”. No modifications of the Proposal will be accepted at any time after the Proposal opening date and time. A withdrawn Proposal may be resubmitted up to the time designated for the receipt of Proposal provided that it is then fully in conformance with the requirements of the RFP.

2.7. PERIOD OF FIRM PROPOSAL Offers must be kept firm for acceptance for at least one hundred eighty (180) days after the date the RFP is opened. Proposals with acceptance periods of less than one hundred eighty (180) days may be considered non-responsive. The Respondent may specify a longer period than indicated here. If the Respondent indicates no time period for acceptance, the proposal will be considered firm for one hundred eighty (180) days and thereafter until written notice to the contrary is received.

2.8. PROPOSER’S RESPONSIBILITY TO READ RFP The Proposer must thoroughly examine and will be held to have thoroughly examined and read the entire RFP document. Failure of Proposers to fully acquaint themselves with existing conditions or the amount of work involved will not be a basis for requesting extra compensation after the award of a Contract.

2.9. ERRORS AND OMISSIONS The Proposer is expected to comply with the true intent of this RFP taken as a whole and shall not avail itself of any errors or omissions to the detriment of the services. Should the

Proposer suspect any error, omission, or discrepancy in the specifications or instructions, the Proposer shall immediately notify the University, in writing, and the University shall issue written instructions to be followed. The Proposer is responsible for the contents of its Proposal and for satisfying the requirements set forth in the RFP.

2.10. ALTERATION/MODIFICATION OF ORIGINAL DOCUMENTS: The contractor certifies that no alterations or modifications may be made to the original content of this RFP or other procurement documents (either text or graphic and whether transmitted electronically or hard copy) any alternates or exceptions (whether to produces, services, terms, conditions or other procurement document subject matter) are apparent and clearly noted in the offered response. Contractor understands that failure to comply with this requirement may result in the offer being disqualified and, if determined to be a deliberate attempt to misrepresent the offer, may be considered as sufficient basis to suspend or debar the violating party from consideration for future contract awards.

2.11. RFP INTERPRETATION Interpretation of the wording of this document shall be the responsibility of the University and that interpretation shall be final.

2.12. CONFIDENTIALITY From the date of issuance of the RFP until the opening date, the Proposer must not make available or discuss its Proposal, or any part thereof, with any employee or agent of the University. The Proposer is hereby warned that any part of its Proposal or any other material marked as confidential, proprietary, or trade secret, can only be protected to the extent permitted by Illinois Statutes.

2.13. USE OF SUBCONTRACTORS If the Proposer intends to use Subcontractors to perform any portion of the work described in this RFP, the Proposal must clearly state so. The Proposer’s response must include a description of which portion(s) of the work will be Subcontracted out, the names and addresses of potential Subcontractors and the expected amount of money each will receive under the Contract.

2.14. PROPOSER’S RESPONSIBILITY FOR SERVICES PROPOSED It is understood and the Proposer hereby agrees that it shall be solely responsible for all services they propose, notwithstanding the detail present in the RFP.

2.15. may be declared ineligible for future contracts or subcontracts with the State of Illinois or any of its political subdivisions or municipal corporations, and the contract may be canceled or voided in whole or in part, and such other sanctions or penalties may be imposed or remedies invoked as provided by statute or regulation

2.16. TAXPAYER IDENTIFICATION NUMBER The Proposer is required to provide its Taxpayer Identification Number (TIN) if awarded a contract. The following instructions pertain to the TIN. For individuals and sole proprietors, this is the individual’s social security number. For other entities, it is the employer identification number. Federal Employer Identification Numbers (FEINs) must not be used for sole proprietorships. If the Proposer does not have a TIN, apply for one immediately. Individuals must complete Form SS-5, Application for a Social Security Number, which can be obtained from a local office of the Social Security Administration. All other entities must complete Form SS-4, Application for Employer Identification Number, which can be obtained from a local office of the Internal Revenue Service.

2.17. ILLINOIS INFORMATION TECHNOLOGY ACCESSIBILITY ACT As required by Illinois Public Act 095-0307, all information technology, including electronic information, software, systems, and equipment, developed or provided under this contract must comply with the applicable requirements of the Illinois Information Technology accessibility Act Standards as posted at http://www.dhs.state.il.us/iitaa.

2.18. ILLINOIS STATE BOARD OF ELECTIONS CERTIFICATION State Board of Elections Certification Required by Public Act 95-971 Any firm or individual who wishes to submit a bid or proposal in response to this solicitation must make the certification in Appendix VI. If you do not make the certification in Appendix VI (and attach a copy of the electronic certificate of registration from the State Board of Elections, if required), your bid or proposal cannot, by law, be accepted by the University.

2.19. 3. PROPOSAL EVALUATION PROCEDURE AND CRITERIA

3.1. ACCEPTANCE OF PROPOSALS The University reserves the right to reject any or all Proposals or any part thereof, to waive informalities, and to accept the Proposal deemed most favorable to the University.

3.2. PROPOSER QUALIFICATIONS The Proposer must demonstrate that it has the management and operational experience, financial resources and personnel necessary to successfully perform the services specified in this RFP. A Proposer must be financially solvent.

3.3. PROPOSER PRESENTATIONS The University reserves the right to, but is not obligated to, request and require that each Proposer provide a formal presentation of its Proposal at a date and time to be determined. If required by the University, it is anticipated that such presentation will be limited to approximately one and one-half (1.5) of an hour. No Proposer will be entitled to be present during, or otherwise receive any information regarding, any presentation of any other Proposer.

3.4. RIGHT TO INSPECT The University reserves right to inspect and investigate thoroughly the establishment, facilities, equipment, business reputation, and other qualifications of the Proposer and any proposed Subcontractors and to reject any Proposal irrespective of price if it shall be administratively determined that the Proposer is deficient in any of the essentials necessary to assure acceptable standards of performance. The University reserves the right to continue this inspection procedure throughout the life of the Contract that may arise from this RFP.

3.5. PAYMENT TERMS Payment terms of less than thirty (30) days will not be considered in making the Contract award. However, any applicable discount offer will be taken if payment is processed within the stated time.

3.6. EVALUATION OF PROPOSALS All Proposals will be evaluated by an evaluation team. Based on this evaluation the University will determine the award of the Contract. The University will award the Contract to the responsible offeror whose Proposal is determined to be the most advantageous to the University, taking into consideration price and the evaluation factors set forth in this RFP. The following evaluation factors, grouped by relative order of importance, will be used in determining the best-qualified offers:

The Program Plan for performing the required services;

The ability of the Proposer to perform the requested services and fulfill any reporting requirements as reflected by:

Proposed equipment and personnel currently available to perform the requested services or demonstrated to be available at the time the requested services are required;

Specific experience in providing the requested services; and General experience; Technical training and education; Qualifications and abilities of personnel proposed to be assigned to perform the

services;

4. AWARD OF CONTRACT The University will award the Contract to the Proposer who has, in the opinion of the University, best demonstrated competence and qualification for the type of services required at fair and reasonable prices/compensation and whose Proposal is deemed to be in the best interest of the University. The contents of the proposal of the successful Proposer may become contractual obligations if a purchase order or contract is accepted and signed by both parties. Failure of the successful Proposer to accept these obligations in a purchase order and/or contract may result in cancellation of this award and such Proposer may be removed from future solicitations. Under these conditions, the University reserves the right to award this RFP to the next ranking Proposer. If the Proposer has a separate contract form which must be executed by the University, a copy of such Proposer's contract must be submitted with your proposal. The University will demonstrate "good faith" in reaching a mutually acceptable contractual agreement. Notwithstanding this, there are certain conditions that are unacceptable to the University.

Following is a non-exclusive list:

Governing law other than the State of Illinois. Clauses requiring the University to indemnify and hold harmless the successful respondent. Clauses that unduly restrict or place unacceptable claims of ownership on data which are the subject of the agreement/ contract. Clauses relating to requiring the University to enter into reimbursement arrangements relative to attorney's fees.

5. BEST AND FINAL OFFER The University reserves the right to request a best and final offer from the finalist respondent(s) if it deems such an approach necessary. In general, the best and final offer would consist of updated costs as well as answers to specific questions that were identified during the evaluation of proposals.

If the University chooses to invoke this option, proposals would be re-evaluated by incorporating the information requested in the best and final offer document, including costs, and answers to specific questions presented in the document. The specific format for the best and final offer would be determined during evaluation discussions. Turnaround time for responding to a best and final offer request is usually brief (i.e., not to exceed five (5) business days).

6. TERMINATION BASED ON FUNDING Since the Contract resulting from this RFP may be funded from both State of Illinois and Federal appropriated funds, the Proposer understands that this Contract is subject to termination and

cancellation without any penalty, accelerated payment, or other recoupment mechanism as provided herein in any fiscal year for which the Illinois General Assembly or U.S. Government fails to make an appropriation to make payments under the terms of this Contract. In the event of termination for lack of appropriation, the Proposer shall be paid for services performed under this Contract up to the effective date of termination and notice of such termination will be submitted to the Proposer in writing not less than sixty (60) days prior to the effective date.

7. TERMINATION FOR CAUSE The University may cancel the Contract for breach, as determined by the University, for items such as, but not limited to: failure to meet insurance requirements, failure to meet required performance or progress standards as described herein, or if the quality or level of service is unsatisfactory to the University. This cause for breach may include any cessation or diminution of service which, in the opinion of the University, is not in its best interest or any failure to comply with the terms of the Contract.

The University shall notify the Proposer in writing of any Contract breach. The Proposer shall remedy the breach within ten (10) calendar days. If the breach is not remedied in ten (10) calendar days, the University may cancel the Contract by giving thirty (30) days notice in writing of its intention to cancel this Contract.

Should the University breach any terms or provisions of the Contract, the Proposer shall serve written notice on the University setting forth the alleged breach and demanding compliance with the Contract. Unless within ten (10) calendar days after receiving such notice, the allegation shall be contested or such breach shall cease and arrangements be made for corrections, the Proposer may cancel the Contract by giving thirty (30) days notice, in writing of its intention to cancel this Contract.

In the event of cancellation for breach, the Proposer shall be paid only for work satisfactorily performed up to the date of cancellation.

In the event of early termination or cancellation for any cause, no payment for services performed will be made until and unless any necessary reports and/or deliverables then due have been provided.

8. TERMINATION FOR CONVENIENCE If, for whatever reason, the University determines that cancellation of the contract would be in its best interest, the University retains the right to cancel the contract, without penalty, by serving a minimum of one hundred twenty (120) days written notice upon the Contractor.

9. POST PERFORMANCE REVIEW A post performance review may be conducted to evaluate the services provided.

Appendix I.1

This Appendix I and Proposer’s response to it will be incorporated into the final Contract.

1. DELIVERY SERVICES TO BE PERFORMED CARLI, the Consortium of Academic and Research Libraries in Illinois, is a membership organization representing 151 academic and research libraries in Illinois. The University of Illinois, as Fiscal Agent for CARLI, is issuing this Request for Proposal (RFP) on behalf of CARLI to contract with a Proposer to supply courier service to deliver materials between Participating Locations. These materials are being transported between libraries to fulfill library patron requests for materials that are not available at a patron’s “home” libraries, but which are available from other Illinois libraries, with which the patron’s library has established cooperative agreements. The service will operate five (5) days a week (Monday through Friday) on a set schedule, except as otherwise stated in Appendix I, Section 4.1 of this document. The current service covers one hundred fifty-seven (157) locations across the State of Illinois (see Attachments A & B of this RFP). The possibility exists that in the future, the level of service may be changed to add or remove Participating Locations. Should such change occur, the parties will negotiate cost/service changes in accordance with the provisions of Appendix II, Pricing Proposal. Materials being shared through library resource-sharing agreements include, but are not limited to books, journals, audio-tapes, CDs, DVDs, educational kits, and printed matter in envelopes letter-size or larger. Occasionally, odd-sized items such as rolled maps in tubes or framed items may be shipped from one Participating Location to another. Proposer must specify any maximum and/or minimum limits on size, weight or other special packaging requirements. Over 1.3 million items were shipped via ILDS in each of the last two calendar years. Proposer shall be responsible for parcels, including the library materials and containers (such as reusable shipping bags) while such materials are in the possession of Proposer or Proposer’s couriers.

2. PRE-PROPOSAL CONFERENCE

2.1 PRE-PROPOSAL CONFERENCE/SITE VISIT The University will hold a pre-proposal conference at the CARLI office located at 100 Trade Centre, Suite 303 Champaign, IL, at 10:00 AM Local Time on Tuesday, November 30, 2010. Attendance is optional. Representatives of the University and CARLI will be present to answer any questions regarding the services requested or proposal procedures. Prospective Proposers must respond to 217-244-2292 on or before 5:00 PM Local Time, November 24, 2010, with firm name and number of attendees. A maximum of three (3) representatives from each firm may attend.

2.2 ACCESS TO THE PRE-PROPOSAL CONFERENCE If special accommodations are required for Proposer to attend the Pre-Proposal Conference or the proposal opening, contact the Purchasing Division (217-333-7632) no later than three (3) days before the event.

3. MATERIALS SHIPPING AND DELIVERY The Proposer must describe in detail how the pickup and delivery of all materials, shipped in

accordance with the terms of the contract, will be accomplished in the following scenario:

3.1. Pickup and delivery should be scheduled to occur between 8:00 a.m. and 6:00 p.m. each business day (Monday – Friday). Proposer should have a standard delivery/pick-up time for each Participating Location and is expected to arrive within a one-hour window of the scheduled time. Delivery services will be provided for a total of one hundred fifty- seven (157) Participating Locations. Describe how routes are established, drivers assigned, and performance monitored. Performance includes consistency of delivery times, professional behavior by the assigned driver, and demonstrated care in handling ILDS materials.

Sorting: Participating Locations will place all items going to a specific location in a properly labeled bag to be picked up by successful Proposer. Describe how bags will be handled and sorted at the Proposer’s facilities.

Turnaround Time: All material must be delivered overnight/next day with service five (5) days per week. Describe how this will be monitored and verified.

4. DELIVERY ADJUSTMENTS AND LOCATION CLOSURES

4.1. For the service described in Appendix I Section 3.1, service will not be provided to any Participating Location on the following holidays: New Year’s Day, Martin Luther King Jr. Day, Memorial Day, July 4th, Labor Day, Thanksgiving Day, the day after Thanksgiving, Christmas Eve, Christmas Day, and any adjacent announced holidays. Some Participating Locations (academic libraries) are closed 7-10 days over Christmas to New Year’s period. Some Participating Locations may have shorter work weeks during the summers or times when school is not in session. Those Participating Locations will be expected to inform the Program Coordinator of these schedule changes. The Program Coordinator will inform the successful Proposer of all adjustments to the regular schedule. Proposer must indicate the process for determining delivery schedule adjustments for closures by Participating Locations.

4.2. Delivery schedule may be changed occasionally, with no less than seven (7) days prior written

(electronic communications are acceptable) notice, and with the agreement of Participating Location(s). Proposer shall describe notification process and provide an outline of the method of notification (e.g., website, email). Any changes to the schedule will be agreed to by the Participating Location, CARLI and the Proposer.

4.3. Proposer shall describe notification process for affected Participating Location(s) and Program

Coordinator of expected delayed or missed service due to emergency or exceptions such as road closures and severe inclement weather.

4.4. Proposer shall ensure the return of any undeliverable items to the sender at no additional cost

to the owning library.

5. SHIPMENT CHARACTERISTICS 5.1. Materials shall be delivered to a designated location inside each Participating Location. 5.2. Proposer shall provide all equipment necessary to move materials to and from vehicles

and in transit (e.g., hand trucks, transit cartons). Specify equipment to be used.

5.3. Proposer shall transport materials in bags as described in Section 1.3 of this RFP. The

maximum weight of a full bag or container (i.e., box) should not typically be over 40 pounds. Occasionally, odd sized items, such as rolled maps in tubes or framed items may be shipped from one ILDS location to another. Proposers must specify any minimum or maximum limits on size, weight or other special packaging requirements for any containers used other than the bags provided by CARLI.

5.4. Proposer shall identify all other types of goods that may be transported in the same

delivery as items described in this RFP.

6. GENERAL TECHNOLOGY AND RESOURCES REQUIREMENTS 6.1. CARLI has developed a web-based label/manifest system, see: www.illinoisdelivers.net.

Staff at the ILDS Participating Locations use the system to generate labels and manifests for the bags being shipped. The necessary information is entered into the web-based system, and labels are printed and cut to fit into the pouch on the side of a nylon bag or the tag holder that attaches to the canvas bag clasp. The label contains the sending location’s name, the destination location’s name, and the destination address. The label also displays a bag number in the following format: DATE-FROM-TO-BAG-ITEMS, along with a barcode in Code 39 format containing the same information. The data contained in the barcode are used by CARLI to create a manifest that lists the bag numbers that a location will receive for the day (see Attachment F of this RFP). It is CARLI’s intention to continue use of the current labeling system and Proposers will need to supply the equipment necessary to accomplish this.

6.2. Proposer must be able to scan label barcodes and transmit the scanned data as specified to

CARLI on a daily basis. Describe the equipment that will be used to scan the barcode on each label (see Attachment E of this RFP). Describe the process to be used for capturing and transmitting the scanned data from a tab delimited file to a secure CARLI server on a daily basis at a time specified by CARLI. The file must include two columns; the scan data (i.e., bag numbers), and a timestamp in the following format: YYYY-MM-DD HH:MI:SS.

7. COMMUNICATION AND CUSTOMER SERVICE

7.1. Proposer shall list the contact information of the primary contact person responsible for communicating with the Program Coordinator regarding this service. The contact information should include business phone number, office address and email address. The Proposer shall also provide the same contact information for another individual within the organization who will serve as a backup contact when the primary contact person is unavailable.

7.2. Proposer shall communicate directly and in a timely fashion with the Program

Coordinator regarding routine service problems.

7.3 The Proposer must provide a Customer Service Plan with the following: Describe in detail how customer service to the Participating Locations will be

maintained. Describe how:

o delivery personnel may be replaced for reoccurring service issues; and o repeated late deliveries are corrected.

At the discretion of the Program Coordinator, Proposer and Program Coordinator will meet monthly during the first year of delivery service and on a quarterly basis (or more frequently, as necessary) thereafter to review the delivery service program.

8. CLAIMS FOR DAMAGES 8.1. If an item is damaged in transport to the extent that a library will not be able to return the

item to its collection, a claim for loss will be filed with the Proposer. Proposer shall describe the process for accepting claims for materials damaged or lost in transport.

8.2. Proposer shall describe the process for satisfying such claims.

9. Penalties

9.1. Unsatisfactory Service: Proposer is responsible for the careful handling of materials, the accuracy of delivery, and the timeliness of delivery on each day that service is provided. All failures to deliver materials accurately, in the same condition received, and on-time (as previously agreed to) shall be promptly investigated and remedied. Should a pattern of systematic failure in the service to one or more Participating Locations be reported to the Program Coordinator, the Proposer will be notified by electronic mail. Proposer shall have five (5) business days to remedy the problem and notify the Program Coordinator by electronic mail of the steps taken in resolving the problem.

9.2. Delivery Rate: Proposer shall maintain a ninety-nine (99) percent on-time delivery rate

each month. Failure to maintain this on-time delivery rate may be grounds for termination for cause.

9.3. Repeated Failure: Proposer is responsible for meeting required standards of service. In

addition to termination for cause provisions, if there are five or more reported and verified occurrences of late or non deliveries in any one month and/or failure to correct systematic service problems shall be subject to a financial penalty of $250.00 per documented occurrence. This penalty will be deducted from Proposer’s payment for the month.

10. TECHNICAL PRESENTATION

10.1. After evaluation of Proposer’s technical response to RFP, the highest ranked firms may be given the opportunity to make a one (1) hour presentation to the CARLI RFP review committee and University Purchasing. After the presentation, the committee will have 30 minutes to ask questions and obtain clarifications concerning any points in the written proposal or technical presentation.

11. CONTRACT ADMINISTRATION AND BILLING

11.1 Payment to Proposer will be made monthly after service is rendered.

11.2 After the initial term of the contract, Proposer may terminate the contract, with the mutual consent of CARLI. Proposer shall provide at least one hundred eighty (180) days notice to CARLI of its desire to terminate under this clause.

12. SUBCONTRACTORS

12.1. Proposer shall describe in detail how subcontractors, if any, are used to provide any of the services covered by this RFP.

12.2. Proposer shall describe the contractual relationship between the Proposer and all of

Proposer’s subcontractors and shall make available copies of all subcontracts entered into to provide this service if awarded a Contract.

12.3. Proposer shall provide a list of all subcontractors that will be used to provide services

covered under this RFP. The list should include the business address of each subcontractor, length of time each entity has provided services to the Proposer, and any legal actions pending or settled during the term of the subcontractor’s relationship with the Proposer.

12.4. At the time a final contract is signed with the successful Proposer, an authoritative list of all

subcontractors, specifying each driver employed shall be provided. This list shall be accompanied by conflict of interest disclosures as outlined in Exhibit A for any subcontract over $25,000 annually.

12.5. The Proposer shall provide no less than ten (10) business days notice of a change in any

subcontractor providing service under this RFP. Requests for changes shall be made in writing. For subcontracts that will exceed an annual value of $25,000 this request shall include all conflict of interest disclosures as outlined in Exhibit A.

12.6. The Proposer shall certify that each subcontractor employs only currently licensed and

insured drivers. Proposer shall specify whether additional background or security checks are conducted for personnel of its subcontractors.

12.7. Each driver, whether the employee of the Proposer or a subcontractor, providing service

under this RFP must be able to present identification upon request including current driver’s license, name of company, name of driver, and picture of driver.

12.8. It will be the sole responsibility of the Proposer, if awarded a contract, to obtain and report

subcontracts and subcontractor disclosures to the University as required in 30 ILCS 500/50-35 throughout the term of the Contract.

12.9. Contractor to Subcontract. The VENDOR shall enter into Subcontracts with Subcontractors

for the performance of those portions of the resulting Agreement not performed directly by the VENDOR. The VENDOR shall, within thirty (30) days after notification of award of the Agreement, notify the University in writing of the names of Subcontractors proposed for the principal parts of the Work. The VENDOR shall simultaneously provide the University’s Representative with such written information as the University deems necessary in order to determine whether to object to the hiring of any Subcontractor or consultant, including proof of license. If no objection is interposed by the University within seven (7) days of its receipt of such information, the University shall be deemed to have no such objection and the VENDOR may execute such Subcontract and shall furnish the University a copy of same. The VENDOR shall not subcontract with any Subcontractor or

consultant (including affiliates and subsidiaries of Contractor) who is not properly licensed or against whom the University has a reasonable objection. The VENDOR shall bind every Subcontractor by all of the provisions of the Agreement Documents which are applicable to such Subcontractor’s Work unless specifically noted to the contrary in a Subcontract approved in writing by the University. The VENDOR shall pay the Subcontractor the amount allowed to the VENDOR on account of the Subcontractor’s work to the extent of the Subcontractor’s interest therein, or pay the Subcontractor to such extent as may be provided by the Agreement Documents or the Subcontract, if either of these provides for earlier or larger payments than the above.

12.10. Related Parties. The VENDOR is expected to notify the University in writing of the specific nature of any contemplated transaction with any Related Party and any such transaction must be approved in writing by the University before the transaction is consummated or costs are incurred. A “Related Party” may include any of the following: a parent, subsidiary or other entity having common ownership or management with the successful proposer; entities in which stockholders in, or management employees of, the successful proposer owns an interest; any person or entity with the right to control the business or affairs of the successful proposer; and any member of the immediate family of any such person. The terms of any such transaction shall conform to the requirements of the Agreement Documents, including, but not limited to, the right to audit books and records pertaining to the Work undertaken by such Related Party, which audit may be undertaken by the University or its representatives. All other terms and provisions of any such subcontract are subject to the University’s approval. All savings under any such subcontract shall be applied to reduce the University’s costs under the Agreement and profit related to the transaction shall not be payable to any such Related Party.

12.11. Subcontract Requirements. All Subcontracts shall afford the VENDOR rights against its Subcontractors which correspond to the rights afforded to the University against the VENDOR herein, including those rights of Agreement suspension, termination, replacement of unsatisfactory personnel at University's request, and documentation of Subcontractor charges as set forth herein. Except as otherwise approved by the University in writing, all Subcontracts shall provide for the retention of ten percent (10%) of amounts earned under the Subcontracts (“Subcontract Retainage”), and the University shall not be responsible for releasing, paying, or compensating the VENDOR any amount on account of such Subcontract Retainage until such time as specified herein.

13.PROGRAM PLAN

The Proposer must provide a Program Plan to support its Proposal. This Program Plan should include the following:

Timeline for service implementation by July 1, 2011 to ensure ongoing, uninterrupted service.

Examples of impacts to service and delays due to: (1) severe weather, (2) vehicle breakdowns, and (3) personnel-related issues.

Details as to how these situations (impacts to service and delays) will be remedied so

as to provide the desired delivery turnaround time.

Description of process for completing site visits to 157 locations (successful contractor will be required to visit each ILDS location prior to the start of service on July 1, 2011).

Reporting commitments and specific suggestions regarding communication,

planning, and performance review.

Indicate the location and condition of each physical facility to be used as a collection/sorting site for the proposed service. Describe equipment that will be used to facilitate provision of the service and ensure the safety of the materials transported.

Describe how subcontractors and individual driver/operators are selected, trained and

supervised. Describe the type(s) of vehicles to be used to provide the service, including those of subcontractors, individual driver/operators, and those owned and operated by the Proposer.

Given the information provided on the number and locations of sites to be served,

estimate how many routes will be required to provide the service.

Proposer shall describe how additional Participating Locations may be added to the delivery service, including time required for notification and the start-up of service.

Proposer must provide pricing options for adding additional Participating Locations in Appendix II of this RFP.

Some Participating Locations (i.e., the Illinois State Library) have building security that requires visitors to sign in or pass through scanning. Proposer shall describe how security requirements will be accommodated.

Proposer is to provide details as to the method to be used by Participating Locations for notifying Proposer of particularly large shipments of bags and/or materials. In addition, Proposer must describe how these occasionally large shipments will be handled.

Proposer is to describe how seasonal fluctuations in volume and activity will be accommodated. For example, the large increase in the number of materials being returned at the end of each semester.

Proposer shall provide a listing of their distribution centers (if applicable) which will be utilized in performance of this contract. A map indicating distribution centers will also be acceptable.

Briefly describe any relevant aspects of the corporate organization not covered in the

written proposal.

Describe in detail how the service will operate on a typical day, including the tasks performed on a typical route, tasks performed at the sorting facility, how materials are transported between sorting hubs and then distributed for delivery to ultimate destinations.

Describe how communications are maintained among all of the Proposer’s facilities

and with all subcontractors and individual driver/operators. Describe the problem resolution process, including how problems are to be reported.

This Appendix II and Proposer’s response to it will be incorporated into the final Contract. 1. METHODS AND RATES OF PAYMENT 1.1. PRICE FOR SERVICES Proposer will indicate the total price to furnish all services as described in Appendix II, Section 1.1 that takes into account changes due to holiday schedules, summer closures, and other pre-arranged non-delivery days for locations. Prices provided for services must include the cost for all services and materials as specified. Proposer must ensure the delivery and pickup of all materials shipped in accordance with the terms of the contract according to the following:

Delivery services will be provided for a pre-arranged number of Participating Locations. Participating Locations place all items going to specific locations in a properly labeled bag. Pickup and delivery should be scheduled to occur between 8:00 a.m. and 6:00 p.m. each

business day, as scheduled. Proposer has a standard delivery/pickup time for each Participating Location and is expected

to arrive within a one-hour window of the scheduled time. Turnaround time is overnight/next day. Potential total stops per year (before allowance for closures) is approximately 40,820 based

on five (5) stops per week for fifty-two (52) weeks for one hundred fifty-seven (157) Participating Locations.

Non-service days as specified in Appendix I, Section 4.1 of this RFP are estimated at 1,413. Summer closures and extended closures for holidays (i.e., days between Christmas and New

Year’s Day) are estimated to result in an additional reduction of 575 stops. Allowance for non-service days, summer closures and other extended closures as described in

Appendix I, Section 4.1 results in a total of 38,832 estimated annual delivery stops (40,820 - 1,413 - 575 = 38,832 stops per year). This figure represents a planning estimate to assist the Proposer in developing a price proposal. Proposer may use another basis for determining cost, but must detail how the cost provided is calculated.

assume the collective bargaining obligations of the prior employer, including any existing collective bargaining agreement with the bargaining representative of any existing collective bargaining unit or units performing substantially similar work to the services covered by the contract subject to its bid or offer, and (ii) that it shall offer employment to all employees currently employed in any existing bargaining unit performing substantially similar work that will be performed under this contract (30 ILCS 500/25-80). This certification does not apply to heating and air-conditioning, plumbing and electrical service contracts.

6. Vendor has not been convicted of bribing or attempting to bribe an officer or employee of the State of Illinois or any other

State, nor has Vendor made an admission of guilt of such conduct that is a matter of record (30 ILCS 500/50-5). 7. If Vendor has been convicted of a felony, at least five years have passed after the date of completion of the sentence

for such felony, unless no person held responsible by a prosecutor’s office for the facts upon which the conviction was based continues to have any involvement with the business (30 ILCS 500/50-10).

10. Vendor and all affiliates shall collect and remit Illinois Use Tax on all sales of tangible personal property into the

State of Illinois in accordance with provisions of the Illinois Use Tax Act (30 ILCS 500/50-12) and acknowledges that failure to comply can result in the Contract being declared void.

11. Vendor certifies that it has not committed a willful or knowing violation of the Environmental Protection Act

(relating to Civil Penalties under the Environmental Protection Act) within the last five years, and is therefore not barred from being awarded a contract. If the State later determines that this certification was falsely made by the Vendor, the Vendor acknowledges that the State may declare the Contract void (30 ILCS 500/50-14).

12. Vendor has not paid any money or valuable thing to induce any person to refrain from bidding on a State contract, nor

has Vendor accepted any money or other valuable thing, or acted upon the promise of same, for not bidding on a State contract (30 ILCS 500/50-25).

13. Vendor is not in violation of the “Revolving Door” section of the Illinois Procurement Code (30 ILCS 500/50-30). 14. Vendor will report to the Illinois Attorney General and the Chief Procurement Officer any suspected collusion or

other anti-competitive practice among any bidders, offerors, contractors, proposers or employees of the State (30 ILCS 500/50-40, 50-45, 50-50).

15. In accordance with the Steel Products Procurement Act, steel products used or supplied in the performance of a

contract for public works shall be manufactured or produced in the United States, unless the executive head of the procuring agency grants an exception (30 ILCS 565).

16. If Vendor employs 25 or more employees and this Contract is worth more than $5,000, Vendor certifies that it will

provide a drug free workplace in accordance with the requirements of the Illinois Drug-Free Workplace Act (30ILCS 580).

17. If Vendor is an individual and this Contract is worth more than $5,000, Vendor shall not engage in the unlawful

manufacture, distribution, dispensation, possession or use of a controlled substance during the performance of the Contract. (30 ILCS 580).

18. Neither Vendor nor any substantially owned affiliate is participating or shall participate in an international boycott

in violation of the U.S. Export Administration Act of 1979 or the applicable regulations of the U.S. Department of Commerce. This certification applies to contracts that exceed $10,000 (30 ILCS 582).

24. Vendor certifies that it has not committed a willful or knowing violation of the Lead Poisoning Prevention Act (410 ILCS 45) and acknowledges that it is prohibited from doing business with the State until the violation is mitigated. (30 ILCS 500/50-14.5).

25. This does not apply to contracts with the state universities. Vendor warrants and certifies that it and, to the

best of its knowledge, its subcontractors have and will comply with Executive Order No. 1 (2007). The Order generally prohibits vendors and subcontractors from hiring the then-serving Governor’s family members to lobby procurement activities of the State, or any other unit of government in Illinois including local governments if that procurement may result in a contract valued at over $25,000. 27. Vendor has disclosed if required, on forms provided by the State, and agrees it is under a continuing obligation to

disclose to the State, financial or other interests (public or private, direct or indirect) that may be a potential conflict of interest or that would prohibit Vendor from having or continuing the Contract. This includes, but is not limited to conflicts under the “Infrastructure Task Force Fee Prohibition” section of the State Finance Act (30 ILCS 105/8.40), Article 50 of the Illinois Procurement Code (30 ILCS 500/50), or those which may conflict in any manner with the Vendor’s obligation under this Contract. INDEMNITY AGREEMENT AND LIABILITY INSURANCE: The Contractor shall indemnify and hold harmless the Owner and Owner's agents, servants and employees against all loss, damage and expense which they may sustain or become liable for on account of injury to or death of persons, or on account of damage to or destruction of property resulting from the performance of work under the Contract by the Contractor or his Subcontractors or due to or arising in any manner from the wrongful act or negligence of the Contractor or his Subcontractors or any employee of any of them. If required under the terms of award or if work on any University property is to be performed by the Vendor/Contractor, the Vendor/Contractor receiving the award shall cause a Certificate of Insurance to be issued showing the following required coverage in no less than the minimum coverage limits listed below. The insurance companies providing coverage must have a B+:VI or better rating in the current edition of Best’s Key Rating Guide. The Vendor/Contractor must agree to maintain such insurance for the duration of the project or the term for which services will be rendered.

A. Worker’s Compensation (including Occupational Disease) - Statutory Limits Employer’s Liability (Part B) - $500,000 Policy Limit

B. Commercial General Liability

In order to meet this requirement, the following wording should appear on any Certificate of Insurance provided: "The Board of Trustees of the University of Illinois is an additional insured for any liability incurred by the University arising from the activities of the Vendor/Contractor and/or Subcontractor performing work on behalf of the Vendor/Contractor." Umbrella liability insurance may be used to meet the general liability coverage limit requirements.
