SECTION I: INTRODUCTION & INSTRUCTIONS FOR PROPOSALS This is an e-procurement event of Human Resource Management Department, Central Office, Reserve Bank of India. The e-procurement service provider is MSTC Limited. You are requested to read and understand the Notice Inviting Tender (NIT) and subsequent Corrigendum, if any, before submitting on-line bid. Tenderers who do not comply with the conditions pertaining to documentary proof (wherever required) will not qualify in the Tender for opening of Commercial Bid. Introduction 1. The Reserve Bank of India hereafter referred to as (the Bank) is the Central Bank of the

country with Central Office at Mumbai. It has Offices across the country at 31 centres with total of around 15,000 employees. About 11,000 spouses would also to be included in total number of lives

2. The Bank invites on-line proposals from companies registered in India for engagement of Agency/Service provider/vendor (hereafter referred to as agency) for managing its Wellness Program including Annual Health Check-up (AHC) and Health Risk Assessment (HRA).

3. Only well established and reputed firms with relevant experience in the area of wellness are eligible for engagement under contract.

4. All entries in proposal should be entered in on-line Technical and Commercial Bid formats without any ambiguity.

5. Technical Bid will be opened on-line on specified date and time as given in NIT. Top five bidders on the basis of score in Technical Bid calculated off-line will be invited for presentation. Commercial Bid of only those bidders will be opened on-line who will qualify through above process on the basis of technical bids and presentation.

6. Bidders are instructed to use “Upload Documents” link in “My Menu” to upload documents in Document Library. Multiple documents can be uploaded. Maximum size of single document for uploading is 5MB. Once documents are uploaded in the library, bidders can attach them through Attach Document link against the particular tender. Please note that if documents are not attached to a tender, the same cannot be downloaded by Employee Health Section (EHS), HRMD, RBI and it will be deemed that the vendor has not submitted the documents. For further assistance follow instructions of vendor guide.

7. All notices and correspondence to the bidder/s shall be sent by email only, till finalization of tender takes place by EHS, HRMD, RBI as well as by MSTC. Hence, the bidders are required to ensure that email address provided by them is valid and updated with MSTC. Bidders are also requested to ensure validity of their Digital Signature Certificate (DSC).

8. At any time, prior to deadline for submission of proposal, the Bank may for any reason, modify the RFP. Please note that there is no provision to take out list of parties downloading the RFP/ tender document from the portal mentioned in NIT. As such bidders are requested to see the portal once again before the due date of opening to ensure that they have not missed any corrigendum uploaded against the said RFP after downloading the document. The responsibility of downloading the related corrigendum, if any, will be of the bidder only. No separate intimation in respect of corrigendum to this NIT (if any) will be sent to tenderer/s who have downloaded the documents from the portal. Please see portal

without assigning any reasons. 10. E-tender cannot be accessed after the due date and time mentioned in NIT. Bidding in e-Tender 1. Bidder/s need to submit necessary transaction fees to MSTC for the e-Tender which is non-

refundable. 2. The process involves Electronic Bidding for submission of Technical Bid as well as

Commercial Bid. 3. Only those bidder/s who have submitted the above fees can submit their Technical Bid and

Commercial Bid on-line in MSTC portal www.mstcecommerce.com – e-procurement PSU/Govt. Depts RBI Login My Menu Auction Floor Manager Live Event Selection of Live Event Technical Bid.

4. In all cases bidders should use their own ID and password along with Digital Signature at the time of submission of their bid.

5. During the entire e-Tender process, the bidders will remain completely anonymous to one another and also to everybody else.

6. The e-Tender floor shall remain open from the pre-announced date and time till as much duration as mentioned above.

7. All electronic bids submitted, using valid DSC, during the e-Tender process shall be legally binding on the bidder. A bid will be considered as the valid bid offered by the concerned bidder and the acceptance of the same by EHS, HRMD, RBI (Buyer) will form a binding contract between Buyer and Bidder for execution of work. Such successful tenderer will thereafter be called Vendor.

8. It is mandatory that all the bids are submitted with DSC otherwise the same will not be accepted by the system.

9. Bank reserves the right to cancel or reject or accept or withdraw or extend tender in full or part as the case may be without assigning any reason thereof.

10. No deviation of the terms and conditions of the tender document is acceptable. Submission of bid in the e-Tender floor by any bidder confirms his acceptance of terms and conditions for the tender.

11. Unit of Measure (UOM) is indicated in the e-Tender Floor. Rate to be quoted should be in India Rupees as per UOM indicated in the e-Tender Floor/ tender document.

12. The selection of the Vendor resulting from this open e-Tender shall be governed by the terms and conditions mentioned therein.

13. No deviation to the technical and commercial terms and conditions is allowed. 14. EHS, HRMD, RBI has the right to cancel this e-Tender or extend the due date of receipt of

bids without assigning any reason therefor. 15. The on-line tender should be submitted strictly as per terms and conditions and procedures

laid down on the portal www.mstcecommerce.com/eprochome/rbi of MSTC Limited. 16. The bidders must upload all the documents required as per terms of NIT. Any other

document uploaded which is not required as per terms of NIT shall not be considered. 17. The bid will be evaluated based on the filled-in technical and commercial formats. 18. The documents uploaded by bidder/s will be scrutinized. In case any of the information

furnished by the bidder is found to be false during scrutiny, punitive action may be taken against defaulting bidder.

19. The Bank intends to select only one bidder by issue of Request for Proposal, under contract. 20. During pre-qualification and evaluation of e-Tender, the Bank may, at its discretion, ask

respondents for clarifications on their proposal. The respondents are required to respond within the time frame prescribed by the Bank.

21. The proposal may be uploaded along with the covering letter about the proposal accompanied by the information/ documents indicated in the Annex and the declaration signed by the authorized signatory with Seal of the Company. All the pages are required to be signed.

22. The tenure of the contract would initially be for one calendar year (2019) and may be renewed thereafter for maximum period of two years, one year at a time, subject to review and satisfactory performance.

SECTION II: ELIGIBILITY OF FIRMS

The firm has to satisfy the following pre-qualification criteria to apply for engagement. Respondents satisfying the following criteria only are eligible to submit the Proposal for RFP. (a) This invitation to respond to the RFP is open only to reputed and well established registered

companies that are incorporated or registered under the Indian Companies Act, 1956. (b) The agency should have been offering wellness services including Annual Health Check-up

for at least three years during last five years. (c) The agency should have the paid up capital of minimum `50 lakh and revenue of minimum

`1 crore during last three years. (d) The agency should have a direct employee base (excluding contract and sub-contract

employees) of more than 50 employees, with exclusive team under Health and Wellness in India.

(e) The agency should be presently handling similar wellness program for at least one corporate client with coverage of at least 10,000 members (off-site check-up covering at least 85% tests indicated in the Annex 4).

(f) The agency should have pan India presence with offices in six centres, preferably at the four metro cities in India viz. Mumbai, Kolkata, Chennai and Delhi.

Disqualifications: Bank may at its sole discretion and at any time during the evaluation of proposal, disqualify any respondent, if the respondent (i) Made misleading or false representations in the forms, statements and attachments

submitted in proof of the eligibility requirements; (ii) Failed to provide related clarifications, when sought; (iii) Declared ineligible by the Government of India/State/UT Government for corrupt and

fraudulent practices or blacklisted.

SECTION III: SCOPE OF WORK 1. Strategy & Design

(a) Planning and designing Wellness Program including AHC & HRA for RBI Employees & their spouses at various centres of the Bank. (Annex 3 shows region-wise approximate number of employees & spouses to be covered as also DCs/hospitals enlisted under present program, Annex 4 shows the list of tests to be covered).

(b) Making arrangements with various diagnostic centers/hospitals at centres where Bank has its regional offices. A list of diagnostic centres/hospitals as per choices of regional offices of the Bank will be made available along with the Letter of Intent. Successful vendor may provide diagnostic centres/ hospitals of own choice over and above the choices of the Bank.

(c) The diagnostic centers/hospitals should have the facility to conduct all the tests specified in the Annex 4 within own premises.

(d) Communication to all employees should be made sufficiently in advance and detail, informing the complete health check-up plan, process etc. and branding of wellness activities.

(e) Designing support services viz. centralised dedicated helpdesk for scheduling appointment, grievance redressal process, communication with Bank’s nodal officers, tracking by web-based MIS etc.

(f) Initiatives to be taken such as health talks, promotional sms messages to increase employee engagement in the wellness program.

2. Integrated Services

Providing integrated health risk management services for employees of the Bank. These services combine the following.

(a) Serving as single point of contact and facilitating annual health check up of all eligible

employees and their spouses including fixing up appointments as per request made by employees, ensuring efficient service by the designated diagnostic centers/ hospital, delivering soft and hard copy of reports etc.

(b) Serving as single point of contact to facilitate payments and also escalations. RBI will release payments as per actual number of health check-ups undergone at the end of every month against submission of an invoice/bill giving details of the employees/spouses covered during the month.

(c) Sharing consolidated data of status of health check-up done (utilization) in every month showing status for the previous month.

(d) Providing employee-wise health profile in the format and frequency to be decided later. (e) Health Risk Assessment – Categorisation of employees into various risk categories

based on the assessment using an appropriate software provided tool details of which may be provided in this RFP.

3. Reporting

(a) Facilitating comprehensive reporting on a monthly and ad-hoc basis (b) Utilization MIS and summary sharing (c) Collating feedback for the services

4. Data Management & Analysis

(a) Preparing corporate Health Risk profile of the Banks Employees for the client (b) Providing vital insights for improved decision making for wellness programs and health

results (c) Using data from multiple sources to identify health risks.

5. Scope of Wellness Program/Add-on benefits

A. Online Health Risk assessment and Annual Health Check –up Programme -

i. Making arrangements with various diagnostic centers/hospital at all locations of RBI to conduct the annual health check up of its employees/spouses. The agency will be expected to have designated diagnostic centers as per the number mentioned in Annex 3 (Number of diagnostic centers presently empanelled with RBI) which will be spread over entire city. (region-wise number of employees to be covered as per Annex 3 and lists of tests to be covered under the Annual health check programme are given in Annex 4)

ii. The diagnostic centers/hospitals should have the facility to conduct all the tests specified in the Annex 4 within the same diagnostic center/hospital.

iii. Communication to all employees informing the complete health check-up plan, process etc. /branding of wellness activities.

iv. Designing support services viz. dedicated helpdesk for scheduling appointment, grievance redressal process, tracking by web-based MIS etc.

v. Serving as single point of contact and facilitating annual health check up of all eligible employees including fixing up appointments as per request made by employees, ensuring efficient service by the designated diagnostic centers/hospital, delivering soft and hard copy of reports etc.

vi. Serving as single point of contact to facilitate payments and also escalations. RBI will release payments as per actual number of health check-ups undergone at the end of every month against submission of an invoice/bill giving details of the employees covered during the month.

SECTION IV - ASSESSMENT CRITERIA

(A) Proposal Requirements 1. You may note that for the purpose of the engagement of the agency, a two -stage bidding

process will be followed. The response to the present tender will be submitted over MSTC portal in two parts, i.e., the Technical Bid and the Commercial Bid. The Technical Bid will contain the exhaustive and comprehensive Technical details indicated in Annex 1, and Commercial Bid will contain the Pricing information as indicated in Annex 2. The Technical Bid shall NOT contain any pricing or commercial information at all and if the Technical Bid is found to be containing any price related information, the specific Technical Bid would be disqualified and would NOT be processed further.

2. Your response should be organized into the following sections:

Section 1 Executive Summary / Introduction Section 2 Proposal Compliance Letter

A letter signed by an authorized officer of your agency signifying your proposal’s complete compliance with the RFP specifications except as specifically noted in the appropriate sections.

3. All proposals received will be opened online in front of an internal committee constituted for this

purpose in RBI in the presence of representatives of agency if they choose to remain present. Top five companies from the qualified agencies will be called for the presentation to the Evaluation Committee constituted for the purpose. In case of tie all agencies in the fifth place, will be called for presentation.

4. The presentation should cover all aspects included in the scope of work detailed at Section III

of this RFP. Bidders may include specific value propositions/additions that they wish to provide. Bidders may also give complete details of their organizational structure, number of offices in India, experience in handling similar programs for including those of PSUs which will be considered by the committee for evaluation. The presentation should also cover all the aspects mentioned at item III (Details of Capabilities) in Annex I.

5. The Commercial Bids of the successful agencies will be opened online in front of the internal

committee formed for the purpose. A final decision on the successful bidder will be taken on techno commercial evaluation in which the technical parameters, presentation and Commercial bids would be given weightage of 20%, 40% & 40% respectively.

(C) Process to be adopted for Evaluation of the Bids 1. As mentioned above the evaluation of the bids received will be made on the basis of a

techno commercial evaluation which will be done with 60% weightage for the technical component (technical parameters and presentation) and 40% weightage for commercial component.

2. The technical evaluation would be done in two stages. In the first stage, only the ‘Technical Bids’ will be opened in the presence of an internal bid opening committee and Technical Bids in respect of only those bidders who fulfill the eligibility criteria indicated in the Section II of this RFP will be considered for technical evaluation. The eligible technical Bids will be evaluated on the basis of Technical details and the points to be awarded as per following table:-

6. Number of corporate clients covered under similar wellness program (No. of people at each client actually served during the last one year should be minimum 10000. Further these people should have undergone health check-up at diagnostic centers)

3. Bids will be ranked on the basis of the Technical scores. 4. In the second stage of technical evaluation the top 5 bids will be selected for further

evaluation. The successful bidders will be invited to make a presentation to an internal Committee constituted for the purpose. In case of tie in the fifth rank, agencies at fifth rank will be invited to make the presentation. The internal committee will rank the presentations.

5. The Commercial evaluation would be done by opening the Commercial Bids of those bidders, who have qualified through the above process on the basis of evaluation of their Technical Bids. The commercial component would have 40% weightage and commercial bidder quoting the lowest rate per person would be treated as CLOW. The commercial bid score would be arrived at by applying the formula (CLOW/C)*40. For the purpose of calculation of CLOW, the grand total indicated in Annex 2 will be considered.

6. A final decision will be taken on techno commercial evaluation in which the technical parameters, presentation and Commercial bids would be given weightage of 20%, 40% & 40% respectively.

(D) Reserve Bank of India reserves the right to Reject any or all responses received in response to the RFP without assigning any

reason whatsoever. Cancel the RFP / Tender at any stage, without assigning any reason whatsoever. Waive or Change any formalities, irregularities, or inconsistencies in this proposal

(format and delivery). Such a change / waiver would be duly and publicly notified in the Bank's website before the closure of the bid date.

Extend the time for submission of all proposals and such an extension would be duly communicated to all the companies.

Select the next most responsive bidder if the first most responsive bidder evaluated for selection fails to result in an agreement within a specified time frame.

Select the bidder even if a single bid is received as response. Share the information / clarifications provided in response to RFP by any bidder, with all

other bidder(s) / others, in the same form as clarified to the bidder raising the query. (E) Bid Submission Technical as well as Commercial Bid would be submitted on MSTC portal. Part 1 – Technical Bid to be on-line.

(F) RFP Terms and Conditions Following additional terms and conditions shall apply to the evaluation process:

(a) Bidder warranties - By submitting a Response, Bidder represents and warrants to RBI that, as at the date of submission:

(i) the Bidder has fully disclosed to RBI in its Responses all information

which could reasonably be regarded as affecting in any way RBI’s evaluation of the Response;

(ii) all information contained in the Bidder’s Response is true, accurate and complete

(iii) and not misleading in any way; (iv) no litigation, arbitration or administrative proceeding is presently taking place,

pending or to the knowledge of the Bidder threatened against or otherwise involving the Bidder which could have an adverse effect on its business, assets or Commercial condition or upon RBI’s reputation if the Response is successful;

(v) the Bidder will immediately notify RBI of the occurrence of any event, fact or circumstance which may cause a material adverse effect on the Bidder’s business, assets or Commercial condition, or RBI reputation or render the Bidder unable to perform its obligations under the RBI agreement, if any or have a material adverse effect on the evaluation of the responses by RBI; and

(vi) the Bidder has not and will not seek to influence any decisions of RBI during the evaluation process or engage in any uncompetitive behavior or other practice which may deny legitimate business opportunities to other Bidders.

(b) Confidentiality - Bidder must keep confidential any information received from or about

RBI as a result of or in connection with the submission of the Response. All information contained in the Response, or in subsequent communications shall be deemed confidential and may be used only in connection with the preparation of Bidder’s Response. Unless expressly agreed in writing prior to submissions, Responses are not confidential and may be used by RBI in whole or part. RBI however, will not disclose the information provided by Bidder in a Response other than to its affiliates or to its professional advisors, unless required otherwise by any provisions of law. Additionally and at any point of the evaluation and selection process, RBI may require the Bidder to execute an NDA if the Bidder has not executed an NDA with RBI previously.

(c) Disclaimer- Whilst all reasonable care has been taken in compiling this Response

document, the figures, documents and details are presented in good faith; and no warranty or guarantee (express or implied) is given by RBI as to the completeness or accuracy of the Response or any information provided in or in connection with it. To the maximum extent permitted by law:

(i) RBI, its officers, employees and agents will not be liable in any way whatsoever for any loss, damage, cost or expense (including without limitation any liability arising from any fault or negligence on their part) arising from the evaluation process; and

(ii) each Bidder releases and indemnifies RBI from all claims, suits, demands, proceedings, actions, liabilities, damages and costs which may arise under

statute, law, equity or otherwise arising form, whether directly or indirectly, or in connection with the evaluation and selection process.

(d) This RFP is not an offer to contract, nor should it be construed as such; it is a definition of specific RBI requirements and an invitation to recipients to submit a responsive proposal addressing such requirements. RBI reserves the right to make no selection and enter into no agreement as a result of this RFP. Only the execution of a written agreement between RBI and agency will obligate RBI in accordance with the terms and conditions contained in such agreement.

(e) It should be understood that your response to this RFP constitutes an offer to do business on the terms stated in your response and that, should a contract be awarded to you, RBI may, at its option, incorporate all or any part of your response to this RFP in the contract. RBI reserves the right to accept your offer without further discussions and without any additional opportunity for you to amend, supplement or revise your submitted offer.

(f) RBI’s right to verify - RBI reserves the right to conduct a site survey or obtain other evidence of facilities, resources, and managerial, Commercial and Bidder performance abilities prior to announcing the successful Bidder or awarding an agreement under this evaluation process.

(g) Commercial documents- RBI may request additional Commercial/ business information from the Bidder at its discretion.

(h) Selection criteria - The selection criteria, inquiries, questions or information put forth in the Response are meant to be provided on the aforesaid and established through the details submitted by the bidder in the Technical Bid.

(i) Termination/or suspension of evaluation process - RBI reserves the right to suspend or terminate the Bidder evaluation process (in whole or in part) at any time in its absolute discretion and without liability to the Bidder or any third party. Bidders will be notified if any suspension or termination occurs, but RBI is not obliged to provide any reasons.

(j) Other Rights - Without limiting its rights under any other clause of this evaluation process or at law, and without liability to the Bidder or any third party, RBI may at any stage of the evaluation process: Require additional information from a Bidder; Change the structure and timing of the evaluation process; Terminate further participation in the evaluation process by a Bidder; Negotiate with more than one Bidder; Terminate negotiations being conducted with a Bidder; Vary or extend the timetable and evaluation process; Accept any non-complying Response; or Vary the terms and conditions of the evaluation process, the RFP or specifications or requirements at any time.

(k) Responsibility for Costs - Bidder is responsible for all costs, expenses or liabilities incurred by them or on their behalf in relation to the evaluation process (including in relation to providing RBI with the response, the revised response or any additional information).

(l) Non-Reliance by Bidder - Bidder, by submitting a Response, acknowledges that:

it does not rely on any information, representation or warranty, whether oral or in writing or arising from other conduct, other than that specified in this RFP or otherwise provided by RBI in writing; it has made its own inquiries as to regarding the risks, contingencies and other circumstances that may have an effect on the Bidder’s Response as well as the accuracy, currency or completeness of such information; and

Information provided in its Responses are based on historical trends does not constitute a representation that such trends will continue into the future or occur again and nothing contained in its Response can be relied upon as a commitment, guarantee or representation regarding future events or performance.

(m) RBI‘s right to vary - RBI reserves the right to vary any aspect of this valuation process, RFP without liability to Bidder. Where RBI varies any aspect of this evaluation process or the agreement, RBI shall notify the Bidder of that variation.

(n) Incorporation of Responses into agreement - The successful Bidder as concluded by RBI shall sign a RBI agreement. RBI may, at its sole discretion, incorporate any portion of any successful Response of a successful Bidder in to the final RBI agreement. RBI may require a successful Bidder to submit, before negotiation of the RBI agreement, details of issues which may affect their ability to act as a Bidder.

(o) Precedence of Documents - If there is any inconsistency between the terms of this RFP and any of its appendices, schedules or attachments then, unless the contrary is explicitly stated in this RFP, the terms of the RFP will prevail to the extent of any inconsistency.

(p) Governing Laws & Dispute Resolution-The RFP and selection process shall be governed by and construed in accordance with the laws of India. Any dispute arising out of the RFP process shall be referred to arbitration under the Arbitration & Conciliation Act, 1996. The arbitral tribunal shall consist of three arbitrators - one each to be appointed by RBI and Bidder and the two appointed arbitrators then appointing an umpire. The venue of arbitration shall be Mumbai.

(q) The evaluation process as communicated earlier shall continue without any changes. (r) In the event that you elect not to respond to this RFP, then the restrictions shall continue

to apply to the use or disclosure of the information. Additionally, Bidders must immediately return this document and certify in writing to RBI, that all copies have been returned to RBI, or destroyed.
