Madhya Pradesh is fast becoming the destination of choice for major investments in the areas of renewable energy. The state is having a vast potential of renewable energy and specifically in solar energy. The total installed capacity of solar has reached to 354 MW, which is expected to reach more than 800 MW this financial year. During the growth of solar projects last year, a very significant phenomenon emerged suggesting interest of small investors in solar power projects. In order to facilitate these small scale investors in setting up their plants in plug and play mode, it is intended to develop initially 4 number Solar Farms, each having maximum capacity of 15 MW. In this regard, the state is desirous of preparing a Master Plan for development of Small Scale Solar Farms in the state of Madhya Pradesh. This notice is focussed on preparing a Master Plan for development of Small Scale Solar Farms in the state of Madhya Pradesh. Office of the Commissioner, New and Renewable Energy, MP, now invites proposals from eligible and interested consultants in the prescribed format.
Detailed description is provided in the Request for Proposal (RFP) document. The RFP document and format of application are available on website www.mpnred.com.

Request for Proposal for “Engagement of Consultant for
preparation Master Plan for Solar Farm Development in
the State of Madhya Pradesh”
1. Background
The Office of the Commissioner, New and Renewable Energy, Madhya Pradesh is the nodal
office for promotion and development of grid connected renewable energy technologies:
Solar, wind, biomass and small hydro.
The State of MP is endowed with a vast potential of renewable energy. The present day
installed capacity of renewable energy is only about 939 MW and that of solar power is 354
MW, which is expected to reach more than 800 MW this financial year. Large numbers of
projects are under implementation including projects under JNSSM. During the growth of
solar projects last year, a very significant phenomenon emerged, suggesting interest of small
investors in solar power projects under third party sale of energy or captive use category.
During Last two years 70 numbers aggregating to 110 MW of small solar projects were set up
under private project development mode. In order to facilitate these small scale investors in
setting up their plants in plug and play mode, it is intended to develop initially 4 number
Solar Farms, each having maximum capacity of 15 MW. In this regard, the state is desirous of
preparing a Master Plan for development of Small Scale Solar Farms in the state of Madhya
Pradesh. In this context, NRED is desirous of developing a Master Plan for setting up Small
Scale Solar Farms in the State of Madhya Pradesh.
Small Scale Solar Farms will be of capacity less than 15 MW each. Small Scale Solar Farms
will focus on developing and capturing the land banks that are close to the already
established evacuation infrastructure so that development of these can be taken up at an
accelerated pace. The intent is to develop solar Farms with feasible option of EPC and
subsequent operation and maintenance on long-term basis so that the investor can choose
among the EPC operators proposal with or without changes. The purpose would be to make
available the proposals to investors with mark techno-commercial option having flexibility.
Such investors can directly invest in the solar projects inside the Farm on plug and play
mode. The objective is to encourage Small and Medium Scale investors that have a huge
potential to grow and contribute to the local economy to enter the renewable energy
segment.
2. Objective
To engage the services of a reputed Consultant for preparing a master plan for development
of small scale solar Farm projects in the state, which will include conceptualisation of a
detailed management and institutional set up, resource assessment, technology selection,
infrastructure planning, financial viability analysis, funding strategy, marketing and work
plan for implementation.
3. Conditions of Eligibility of Bidder
3.1. Bidders must read carefully the minimum conditions of eligibility (the “Conditions
of Eligibility”) provided herein. Proposals of only those Bidders who satisfy the
Conditions of Eligibility will be considered for evaluation.

3.2. Eligibility of Criteria: To be eligible for evaluation of its Proposal, the Bidder shall
fulfil the following Minimum Criteria:
Technical and Financial Bidding Parameters:
I. The Bidder shall furnish, as part of its Proposal, a Bid Security of Rs. 5,00,000
(Rs. Five Lac) in the form of Demand Draft of any nationalized/scheduled bank
in favour of the Accounts Officer, Office of Commissioner, New and Renewable
Energy, payable at Bhopal.
• Any Proposal, not accompanied by the Bid Security, shall be treated as
nonresponsive and summararily rejected;
• The office of the Commissioner shall not be liable to pay any interest on the
Bid Security and the same shall be interest free;
• The Bidder, by submitting its proposal pursuant to this RFP, shall be deemed
to have acknowledged that, without prejudice to any other right of the nodal
office or remedy hereunder or in law or otherwise, the Bid Security shall be
forfeited and appropriated by nodal office under the following conditions:
- If a Bidder withdraws its Proposal during the period of its validity and as
extended by the Bidder from time to time; or
- In the case of a Bidder being selected, the Selected Bidder fails to sign the
Agreement or commence the assignment on time.
II. Performance Security:-The successful bidder has to submit Performance
Security with the acceptance of order valid for 03 months. The Performance
Security shall be of INR 5,00,000 (Indian Rupee Five Lakhs) in the form of FDR
or TDR of any nationalized/scheduled bank in favour of the Accounts Officer,
Office of Commissioner, New and Renewable Energy, payable at Bhopal. The
Performance Security will be returned within ninety (90) days from the expiry of
the consultancy engagement, on satisfactory completion.
III. The Consultant can be a single bidding company, or a consortium of companies.
However, the consultant / members of the bidding consortium should each be a
Company registered under the Companies Act, 1956.
IV. The Consultant (or the Lead Consultant, in case of a Consortium) must have the
following experience:
Minimum turnover from Consultancy Services of not less than Rs. 10 Crores
in at least two (2) out of previous three preceding financial years;
Advisory experience, as a firm, of more than five (5) years;
Experience of at least two (2) long term (minimum 6 months) Consultancy
Projects for Central / State Governments / Union Territory, involving
development of renewable energy policy and institutional framework;
V. The Consultant must have the following experience, either individually or as a
consortium (though any of the Consortium Members):

Executed1 at least two (2) assignments related to review / design of Solar
Park/Farm development of capacity 15 MW and above, i.e., assistance in
review / design of master plan or assistance in review / design of key
infrastructure planning for solar power projects in evacuation planning for
Central / State Governments / multilateral agencies; and
Prepared2 at least two (2) feasibility studies on solar power projects of more
than 10 MW.
VI. Team Composition:
Team Leader
The Team Leader must have at least ten (10) years of experience and should have
managed at least five (5) projects, of minimum one (1) year, covering framework
for development of renewable energy/resource assessment of renewable
potential related tasks for any Government (Central or State) /PSU. The Team
Leader must be on payroll of the bidding firm for more than five (5) year.
Team Members
1 Renewable Energy Policy and Institutional Framework Specialist:
Should have a master’s degree in engineering, or business administration and at
least fifteen (15) years experience in the energy sector, including experience in
the development and design of institutional and investment programs.
1 Project Structuring Specialist: Should have a master’s degree in business
administration/finance and at least ten (10) years of experience in structuring
PPP projects in the power sector.
1 Solar Technology Specialist: Should have a bachelor’s degree in electrical
engineering and at least five (5) years of experience in developing/review of
feasibility studies or advising clients on technology selection for solar generation
projects of more than 10 MW.
1 Transmission and Distribution Specialist: The consultant should have a
bachelor’s degree in electrical engineering with at least five (5) years of
experience in establishing/planning/advising clients on BOQ estimation and/or
cost estimation for transmission/distribution network.
At least 2 of the team proposed should be on-site client location for
the duration of the assignment. The proposed team shall necessarily
be full time employees of the bidding firm/members of the
consortium.
VII. Any entity, which has either been directly barred by the Central/State
Government in India, or any entity controlled by them, from participating in any
project, and the bar subsists as on the date of Proposal, would not be eligible to
submit the Proposal; and
VIII. A Bidder should have, during the last three (3) years, neither failed to perform
on any agreement (as evidenced by imposition of a penalty by an arbitral or
judicial or regulatory authority or a judicial pronouncement or arbitration award

against the Bidder) nor been expelled from any project or agreement nor have
had any agreement terminated for breach of contract by such Bidder.
4. Scope of Study
PART 1: Designing a Conceptual Framework and Standard Bid Documents
I. Designing a Conceptual Framework for Implementation of Solar Farm in
the state of Madhya Pradesh
a. Study the existing Solar policy of the state and list down the fundamentals for
solar Farm development;
b. Identify the key success factors for the development of Solar Farms of capacity
less than 15 MW, that are already executed or are currently under execution
stage;
c. Identify the land most suitable on the basis of solar radiation requirement and
also on the basis of convenience of evacuation, other solar infrastructure
requirements like water availability, road, communication etc.
d. Identify the strategy for develop the facility so that the investors can own the
solar power projects inside the Farm on plug and play mode.
e. Develop a practical strategy for attracting investments from private players.
f. Develop the strategy for engaging the EPC agency for each Farm with suitable
options available to the investors to opt the best as per their requirement.
g. Develop strategy and bid document for engaging the EPC agency with various
cost and implementation options including options of different SPV
technologies.
h. To develop strategy and tender document for engaging operation and
maintenance operators on long term basis for running of plants; such agency
to handle all billing, metering etc requirement for investor.
i. Recommend the entities at the macro level (state and nodal agencies) and at
the meso level (financial institutions, OEMs, investors, project developers)
along with the predefined roles and responsibilities for successfully execution
of the Solar Farm.
j. Develop an institutional setup that can be used for discussion point with
various institutions proposed for implementation of the Solar Farm.
k. Based on the discussion with the various institutions, revise and finalise the
institutional setup for Solar Farm development.
II. Develop a Funding Strategy
a. Based on the study of the solar projects that are executed, provide the strategy
for funding of Solar Farm development.
b. Provide inputs from the multilateral, bilateral and commercial banks on
funding of subprojects envisaged in the Solar Farm.
c. Prepare a list of the target investors and organise workshop for attracting
investment.
Deliverable 1: Report on conceptual framework for implementation of Solar
Farms.
III. Develop a Methodology for Selection of Project Developer
a. Develop a methodology for selection of the developers for Solar Farm
development; selected developer to handle the EPC for investors with techno-

commercial options. The methodology to include, the developer’s role for
long-term O&M of plants including billing and metering for the investors.
b. Design a robust framework to maximise participation.
c. Develop a strategy for marketing of the subprojects to the investors.
IV. Designing Standard Bidding Documents and assisting NRED in managing
bid process for selection of Solar Farm Developers
a. Designing Standard Bidding Documents (SBDs) for selection of Solar Farm
Developer –RFP and other related documents that may be required for
implementation of the Solar Farms as per the objective.
Deliverable 2: Standard bidding documents for selection of solar Farm
developers and /or for its allied activities as per objective.
PART 2: Financial Viability Analysis and Master Plan for implementation of 4
identified Solar Farms
V. Financial Viability Analysis
a. Based on the estimated cost, analyse the financial viability of the project and
invest in solar projects inside the Farm on third party sale or captive use of
energy including viability study of options like REC etc,
b. Conduct sensitivity analysis to cover for uncertainty of various critical
assumptions.
c. Develop possible financial structures for maximising returns by investing in
Solar Farm – IPP mode, balance sheet financing mode, capital structures,
sources of funds (bilateral, multilateral, credit financing, commercial banks).

Master Plan for Implementation of 4 identified Solar Farms
VI. Estimating the optimum sizing for Solar Farm based on land availability
in the land banks of GoMP as suggested, verifying the land for its
suitability, etc.
VII. Site Profiling
a. Assessment on suitability of the site based on location of the site and its
connectivity to main state and national highways.
b. Due diligence on type of Land (revenue, private or forest) and ecological
sensitivity.
c. Assessment on physical features of the site – Geology, topography, soil type
and drainage system.
d. Preliminary assessment on Climatic conditions
e. Preliminary assessment of primary infrastructure needs such as water supply
sources, power evacuation, telecommunication etc.
VIII. Technology Selection and Resource Assessment
a. List the types of technologies available in Solar PV
b. Comparative analysis of the selected technologies
c. Selection of technology suitable for the project site
d. Assess Irradiance data, module inclination and orientation, mounting
structures and various losses (shading loss, reflection loss, angle of incidence,
temperature loss, wiring loss, inverter loss, transformation loss, loss due to
dust problem, availability of the system and degradation of the equipment)

e. Energy estimation for different modules
IX. Preparing the Concept of the Master Plan
a. Concept planning of the project site
i. Planning the land use for subprojects3, transmission network, roads
and amenities.
ii. Plot sizing that is suitable for developing solar project
b. Preparation of Infrastructure Plan
iii. Site development: List the activities for site development – boundary
fencing, levelling, security etc.
iv. Road network planning: The infrastructure plan shall provide the
potential options that could be used for developing road network
within and outside the project site for unabated movement of
materials.
v. Power planning: Provide options for providing power during the
construction phase. Planning for power evacuation and defining the
need for system strengthening including the requirements for pooling
substation, new transmission/ distribution substation etc.
vi. Planning of water supply system: Estimate the demand of water for
the given project site, indicate the potential sources of water for
meeting the projected demand and the options for developing water
distribution network.
vii. Amenities planning: The Solar Farm shall have a plan for residential
complex, warehouse for storing spares and supplies from OEMs,
administrative buildings.
X. Develop a Work Plan for Implementation of the Solar Farm
a. Work plan shall detail all the major activities that are to be executed along
with the institution ,their roles and responsibilities and for selection of solar
Farm developer, which includes EPC and long-term O&M as per objective.

PART 3: Bid Process Management for selection of the Project Developers for all
4 Solar Farms
XI. Bid Process Management
a. Preparation of project specific bidding documents for the solar Farm.
b. Assist NRED in selection of project developer through competitive bidding
process, arranging pre-bid meets and responding to project developer’s
queries.
c. Assist and facilitate NRED in evaluation of the bidders and selection of
project developer. Assist and facilitate NRED in execution of agreements with
selected project developer.
Deliverable 5: Evaluation report covering selection of the Project Developers.
Note: The consultant must provide monthly updates to the Office of Commissioner New and
Renewable Energy, MP on the status of the project and deliverables. Stakeholder consultation

meetings must be followed-up with minutes of meeting circulated among all participant
stakeholders.

6. Submission of Deliverables
The deliverables defined in clause 5 above shall be submitted in two copies neatly bounded
in standard format as approved by the nodal office.
7. Criteria for Evaluation
7.1. Evaluation of Technical Proposals
7.1.1. In the first stage, the Technical Proposal will be evaluated on the basis of Bidder’s
experience, presentation and financial capability Only those Bidders whose Technical
Proposals score 70 marks or more out of 100 shall qualify for further consideration,
and shall be ranked from highest to the lowest on the basis of their technical score
(ST).

7.1.2. The scoring criteria to be used for evaluation shall be as follows.

7.1.3. All Bidder shall be required to make presentations up to 20 minutes, before opening
of Financial Proposals, to demonstrate their credentials based on eligibility criteria as
per Clause 3.2 of RFP along with the following and to submit three (3) hard copies
during the presentation –
Brief company profile, local presence, associates, major clients and projects etc.
Experience of rendering services as consultant.
Understanding of assignment along with methodology indicating broad scope of
Work plan and roadmap of said work.
Proposed key personnel along with team leader and manpower commitment.
The time and venue for the presentation shall be intimated to the Bidder.
7.2. Short Listing of Bidders
Only those Bidders whose Technical Proposals score 70 marks or more out of 100
shall qualify for further consideration, and shall be short-listed with ranking from
highest to the lowest on the basis of their technical score (ST).
7.3. Evaluation of Financial Proposal
7.3.1. In the second stage, the financial evaluation will be carried out as per this Clause
7.3.3. Each Financial Proposal will be assigned a financial score (SF).
7.3.2. For financial evaluation, the total cost indicated in the Financial Proposal will be
considered.

7.3.3. Nodal Office will determine whether the Financial Proposals are complete,
unqualified, and unconditional. The cost indicated in the Financial Proposal shall be
deemed as final and reflecting the total cost of services. Omissions, if any, in costing
any item shall not entitle the firm to be compensated and the liability to fulfil its
obligations as per the ToR within the total quoted price shall be that of the
Consultant. The lowest financial proposal (FM) will be given a financial score (SF) of
100 points. The financial scores of other proposals will be computed as follows:
SF = 100 x FM/F (F = amount of Financial Proposal of the Bidder)
7.4. Combined and Final Evaluation
Proposals will finally be ranked according to their combined technical (ST) and
financial (SF) scores as follows:
S = ST x 0.70 + SF x 0.30

8. Time Period for Completion of Study
The total time for completion of master plan is 3 months. The time period can be
extended by the office if the delay is on account of grounds beyond the control of the
consultant.
9. Confidentiality of Data and Documents
All Intellectual Property Rights (IPR) of data collected as well as the deliverables
produced shall remain with the office of Commissioner (NRED). All knowledge and
information, which may be acquired during the assignment, shall be for all times and for
all purposes, regarded as strictly confidential and held in confidence, and shall not be
directly or indirectly disclosed to any person whatsoever, without the explicit written
permission of Commissioner (NRED) of the State.
10. Conflict of Interest
The consultant would not provide any advice or opinion in any matter, which is adverse
to the interests of the office of Commissioner in the subject matter. In such cases, the
office reserves the right to terminate the contract immediately, without any financial
obligations or liabilities.
11. Rights of Nodal Office:
Nodal office reserves the right to cancel this notice, and not to proceed in the matter, at
any stage accept or reject any or all applications, without giving any explanations,
whatsoever.
12. Termination of Contract
Nodal office may, by way of written notice, terminate the contract under the following
conditions:
The consultant is unable to address the assigned works;
Quality of the assigned works is not to the satisfaction of the nodal office;
The consultant fails to meet the prescribed timelines assigned under the
prescribed time period; and

The consultant commits any material or persistent breach of its obligations under
the contract.
13. Application Submission
The application is to be submitted in a sealed envelope (Main Envelope) which should be
transcripted in the following manner:

13.1. The Main Envelope shall contain the following documents:

o Covering letter as per attached format
o Technical proposal
o Application as per format

o Financial quote as per attached format
13.2. Separate sealed envelope duly superscripted the price bid shall contain the offer for
the price to be charged for the proposed study.
13.3. Sealed envelope along with the Covering Letter and application form should be
enclosed in Main Envelope and submitted in sealed form to the Office of
Commissioner (New and Renewable Energy, Bhopal) within the specified time limit;
13.4. The Consultant has the option of sending his application by courier/registered
post/speed post or submitting in person so as to reach at the designated address by
the time and date stipulated in this TOR. Application submitted by telex/ telegram/
fax/ email shall not be considered under any circumstances. The nodal office shall
not be responsible for any delay in receipt of Response. Any application received after
the time and date for submission stipulated in the TOR shall not be opened and
returned unopened;
13.5. No change or supplemental information to the Response to TOR already submitted
will be accepted after the scheduled date and time of submission of Response to TOR.
Notwithstanding the above, the nodal office reserves the right to seek additional
information from the Developer, if found necessary, during the course of evaluation
of Response; and
13.6. If the envelopes are not closed and not superscripted as per the requirement, the
nodal office will assume no responsibility for its misplacement or premature opening.

14. Validity
The proposal shall remain valid for the period of 90 days from the last date of submission of
the proposal as specified in this RFP. The proposal with validity of less than 90 days may be
rejected as non-responsive.
15. Amendments to the RFP
At any time prior o the deadline for submission of the proposal, NRED may for any reason,
modify the RFP, The prospective respondents having received the RFP shall b notified of the

16. Payment Terms:
The payment shall be made as per the following schedule:
1. 20% on submission of first deliverable
2. 20% on submission of second deliverable
3. 20% on submission of third deliverable
4. 40% on submission of fifth deliverable
17. Penalty on Delay in Completion:
If the study is completed beyond the scheduled completion as extended, a penalty of 1% per
week subject to maximum of 10% of the contract amount shall be deducted from the
balanced payment.
