Notice Inviting Proposals
Madhya Pradesh State Skill Development & Employment Generation Board (MPSSDEGB),
earlier known as the Madhya Pradesh State Skill Development Mission (MPSSDM) and
Madhya Pradesh Council of Vocational Education and Training (MPCVET), is the nodal agency
in the State of Madhya Pradesh to coordinate, synergize and implement the Skill
Development and employment initiatives supported by central and state governments.
MPSSDEGB’s primary objective is to build the capacity of the youth of Madhya Pradesh and
equip them with employability and entrepreneurship skills through targeted skilling
programmes.
This document invites proposals from resource agencies which are of national and
international repute in government consulting to provide technical resources for
MPSSDEGB as detailed in the Scope of Work in this RFP document. The last date for
receipt of the proposals is 04/05/2018. The proposals shall reach MPSSDEGB latest
by 4:00 PM of the afore-mentioned last date. The Resource Agency will be selected
through a QCBS process. Interested bidders will have to submit the bid through
three envelop system. The first envelop will have the eligibility/qualification criteria,
the second envelop will include the technical proposal and the third envelop will
contain the financial proposal.

Brief Description The Madhya Pradesh State Skill Development and Employment
Generation Board(MPSSDEGB) earlier known as Madhya Pradesh
State Skill Development Mission (MPSSDM) was incorporated as a
society in 2010 for the development of skill training initiatives in the
state of Madhya Pradesh. MPSSDEGB invites technical and
financial proposals from reputed Technical Resource Agencies of
national and international repute in government consulting (in
sealed cover) to undertake technical consulting for MPSSDEGB as
detailed in the Scope of Work in this RFP.

Validity of the
Proposal
90 days from the last date of submission of the Technical Proposal.
However, this may be extended by MPSSDEGB. In such a case,
consent from the Technical Resource Agency TSPs would be
sought in advance. If the Technical Resource Agency is not willing
to provide its consent for extension, then its proposal with EMD
would be returned.
Important Notes:
1. MPSSDEGB reserves the right to amend any or all conditions of this RFP document
before the last date of submission of proposals, or to change the above schedule at
any time, without assigning any reasons whatsoever.
2. In case any Technical Resource Agency fails to submit the original Demand
Draft/Banker’s Cheque of Tender Fee and Bank Guarantee for Earnest Money
Deposit along with the bid, then the Technical Proposal of the Resource Agency will
be returned unopened. The Technical Bid will not be considered for further
evaluation. The Demand Draft / Banker’s Cheque should be of a Scheduled
Commercial Bank drawn in favor of “CEO, MPSSDEGB”, payable at Bhopal. The
Tender Fee/Bid Fee and BG of EMD need to be placed inside a sealed envelope and
marked as “Tender Fee/Bid Fee and BG of EMD" and should be placed in the main
envelope alongside the sealed envelope of Technical Proposal clearly marked as "
Technical Proposal".
3. Unconditional proposals need to be submitted before the last date & time for
submissions of the proposals under this RFP.

provided to Technical Resource Agency, whether verbally or in documentary form or any
other form by or on behalf of the Authority/Client or any of their employees or advisers, is

This RFP is not an agreement and is neither an offer nor invitation by the
Authority/Client to the prospective Technical Resource Agency or any other person.
The purpose of this RFP is to provide interested parties with information that may be useful
to them in the formulation of their Proposals pursuant to this call for proposal. This RFP
may include information, which may reflect the assumptions arrived at by the
Authority/Client in relation to the programme implementation. Such assumptions,
assessments and statements do not purport to contain all the information that each
Technical Resource Agency may require. The assumptions, assessments, statements and
information contained in this RFP, may not be complete, accurate, adequate or correct.
Each Technical Resource Agency is therefore encouraged to conduct its own investigation
and analysis and should check the accuracy, adequacy, correctness, reliability and
completeness of the assumptions, assessments and information contained in this RFP and
obtain independent advice from appropriate sources.
The Authority/Client accepts no responsibility for the accuracy or otherwise for any
interpretation or opinion on the law expressed herein. The Authority/Client, its employees
and advisers make no representation or warranty and shall have no liability to any person
including any Technical Resource Agency under any law, statute, rules or regulations or
tort, principles of restitution or unjust enrichment or otherwise for any loss, damages, cost
or expense which may arise from or be incurred or suffered on account of anything
contained in this RFP or otherwise, including the accuracy, adequacy, correctness,
reliability or completeness of the RFP and any assessment, assumption, statement or
information contained therein or deemed to form part of this RFP or arising in any way in
this Selection Process. The Authority/Client also accepts no liability of any nature whether
resulting from negligence or otherwise however caused arising from reliance of any
Technical Resource Agency upon the statements contained in this RFP. The
Authority/Client may in its absolute discretion, but without being under any obligation to do
so, update, amend or supplement the information, assessment or assumption contained in
this RFP.
The issue of this RFP does not imply that the Authority/Client is bound to empanel
one or more Technical Resource Agency(s) or to appoint the Selected Technical
Resource Agency, as the case may be, for the implementation of the programme and
the Authority/Client reserves the right to reject all or any of the Proposals without
assigning any reasons whatsoever.

Definitions and Glossary
“Client” means the nodal agency (Madhya Pradesh State Skill Development &
Employment Generation Board, a Society formed under Department of Technical
Education, Skill and Employment, Government of Madhya Pradesh) that signs the
Contract for the Services with the selected Technical Resource Agency.
“Technical Resource Agency” means a firm with the requisite capability to provide
the services desired by the client and which fulfills the eligibility criteria as set in the
RFP.
“Contract” means a legally binding written agreement signed between the Client and
the Technical Resource and includes all the attached documents listed in its Clause
1 (the General Conditions of Contract (GCC)
“Data Sheet” means an integral part of the Instructions to Technical Resource
Agency (ITC) Section 2 that is used to reflect specific country and assignment
conditions to supplement (but does not overwrite the conditions in ITC)
“Full time employee” means an employee on the payrolls of the employer. A
contractual employee is not a full time employee.
“Day” means a calendar day
“State Government” means the Government of Madhya Pradesh.
“Key Expert(s)” means an individual professional whose skills, sector experience,
qualifications, knowledge and experience are critical to the performance of the
Services under the Contract. Key Experts would be placed full-time at Madhya
Pradesh (SPMU).
“ITC” (Section B of the RFP) mean the Instructions to Technical Resource Agency
that provides Technical Resource Agency with the required information needed to
prepare their Proposals.
“Proposal/Bid” means the Eligibility Proposal, Technical Proposal and the Financial
Proposal of the Technical Resource Agency in response to the RFP.
“Proposal due date” means the last date for submission of bid.
“RFP” means the Request for Proposals prepared by the Client for the selection of
Technical Resource Agency
“Services” means the work to be performed by the Technical Resource Agency
pursuant to the Contract.
“TOR” (Section J of the RFP) means the Terms of Reference that explain the
objectives, scope of work, activities, and tasks to be performed, respective
responsibilities of the Client and the Technical Resource Agency, and expected
results and deliverables of the assignment.
“MPSSDEGB” means Madhya Pradesh State Skill Development & Employment
Generation Board, a Society formed under Department of Technical Education &
Skill Development, Government of Madhya Pradesh.

"Tender Evaluation Committee" means a committee constituted under the
chairmanship of the Additional CEO MPSSDEGB.
“Coordinators” means the resources other than the Key Experts. Their CVs will also
be scored.

Section A – Preface
1. Introduction to MPSSDEGB
Madhya Pradesh State Skill Development & Employment Generation Board is the nodal
agency for Skill Development and Employment in the State. The Mission is registered as a
Society under the Indian Societies’ Act and aims at developing the State level agenda for
skilling, and coordinating &guiding the 20 other departments engaged in implementing skill
development programmes in the State. The mission is chaired by the Hon’ble Chief Minister
of Madhya Pradesh and the Hon’ble Minister – Department of Technical Education and Skill
Development is the Executive Chairman of MPSSDEGB. The Principal Secretary -
Department of Technical Education and Skill Development is the Mission Director and the
CEO – MPSSDEGB is the Member Secretary.
2. Objectives of MPSSDEGB
The key objectives of MPSSDEGB are:
a. To establish and to carry out the administration and management of the "Madhya
Pradesh State Skill Development & Employment Generation Board" (Earlier known as
“Madhya Pradesh Council for Vocational Education & Training")
b. To provide access to sustainable quality vocational education to the target group of
citizens of the state to meet the challenges of skilled human resource required for
various sectors of economy.
3. Functions of MPSSDEGB
The functions of the board have been identified as under:
a. To plan, execute, co-ordinate and monitor Skill Development and employment
generation programmes and prepare youth for self-employment and for various jobs
available in Industrial & Service Sectors.
b. To develop competency based curricula, and to train, assess and certify school
dropouts, labor working in unorganized sectors, service sector and unskilled workers
engaged in various industries.
c. To prepare need based training programme of different levels as per the requirement
of various groups, industrial sectors, which have recognition at national &
international level and also to recognize such programmes for further education.
d. To develop a flexible delivery mechanism to impart training in part-time, weekends,
full time, onsite/offsite mode.
e. To frame policy &programmes to link non-formal vocational training with the formal
education system and to develop system of recognizing prior acquired learning
(RPL).
f. To converge and develop available training resources in the state through Public
Private Partnership (PPP).
g. To provide access to vocational education & training with inclusive growth for all the
groups of the society eligible to receive skill training as defined by the society from
time-to-time.
h. To provide training of trainers (ToT), to promote innovation in training & also to
render consultancy services.

i. To affiliate institutes as vocational Technical Resource Agency on payment of
prescribe fee.
j. To forecast the needs of skilled manpower to cater to the needs of various
stakeholders in the State on regular basis.
k. To institute and award scholarships, prizes and medals in accordance with the rules
and bye-laws.
Section B – Instruction to the Technical Resource Agency
4. Introduction to RFP
a. MPSSDEGB intends to select a Technical Resource Agency in accordance with the
method of selection specified in the Other Key Information.
b. The Technical Resource Agency is invited to submit a Technical Proposal and a
Financial Proposal as specified in the Other Key Information, for consulting services
required for the assignment named in Other Key Information.
c. The Technical Resource Agency should familiarize themselves with the local
conditions and take them into account in preparing their Proposals; including
attending a pre-bid meet as specified in the Data Sheet. Attending any such pre-bid
meet is optional and is at the Technical Resource Agency’s expense.
d. MPSSDEGB will timely provide, at no cost to the interested Technical Resource
Agency, the inputs, relevant project data, and reports required for the preparation of
the Technical Resource Agency’s Proposal as specified in the Other Key Information.
5. Compliant Process/Completeness of Response
Technical Resource Agency is advised to study all instructions, forms, terms,
requirements and other information in the documents carefully. Submission of the
proposal shall be deemed to have been done after careful study and examination of the
document with full understanding of its implications. Failure to comply with the
requirements of this paragraph may render the Proposal non-compliant and the
Proposal may be rejected. Technical Resource Agency must:
i. Include all documentation specified in this document
ii. Follow the format of this document and respond to each element in the order as
set out in this document
iii. Comply with all the requirements as set out within this document.
6. Language of the Proposal
The proposal as well as all the supporting documents relating to the proposal exchanged
by the Technical Resource Agency shall be written in English language only. Proposal
received in any other language shall not be allowed / evaluated.
7. Pre Submission Meetings and Clarifications
The pre submission meeting of all the Technical Resource Agency would be held at the
scheduled date and time as indicated in the “Schedule of Activities” section. Intending
Technical Resource Agency may submit their pre submission queries or suggested
suitable modifications in the format enclosed as Annexure - II. The interested consulting
firm shall submit the queries via e-mail to MPSSDEGB before the scheduled date of pre
submission meeting. MPSSDEGB will communicate such changes that are accepted to

all the intending Technical Resource Agency. These would be available at the
MPSSDEGB’s website as mentioned in the Other Key Information. All such changes
will become a part of this document and binding on all the Technical Resource Agency.
8. Right to Terminate the Process
MPSSDEGB may terminate the Proposal Evaluation process at any point of time and
without assigning any reason thereof. MPSSDEGB makes no commitments, expressed
or implied that this process will result in a business transaction with anyone.
This document does not constitute an offer by MPSSDEGB. The Resource Agency’s
participation in this process may result in MPSSDEGB selecting the proposal to
engage towards execution of the contract.
9. Conflict of Interest
MPSSDEGB requires that the selected technical resource agency provides
professional, objective and impartial services and at all times hold the Client ’s
interests paramount, strictly avoid conflicts with other assignments/jobs or their own
corporate interest and act without any consideration for future work. Without limitation
on the generality of the foregoing, the Technical Resource Agency shall be considered
to have a conflict of interest and shall not be recruited, under any of the circumstances
set forth below:
i. The selected Technical Resource Agency shall not receive any remuneration in
connection with the assignment except as provided in the Agreement. The
Technical Resource Agency shall not engage in consulting activities that
conflict with the interest of the MPSSDEGB/Government of Madhya Pradesh
(GoMP) under the contract. It should be the requirement of the consultancy
contract that the Technical Resource Agency should provide professional,
objective and impartial advice and at all times hold the MPSSDEGB/GoMP
interest paramount, without any consideration for future work, and that in
providing advice they avoid conflicts with other assignments and their own
corporate interests. Technical Resource Agency shall not be hired for any
assignment that would be in conflict with their prior or current obligations to
other assignments of MPSSDEGB / GoMP, or that may place them in a position
of being unable to carry out the assignment in the best interest of the client.
ii. The Technical Resource Agency has an obligation to disclose to MPSSDEGB
any situation of actual or potential conflict that impacts its capacity to serve the
best interest of its Client. Failure to disclose such situations may lead to the
disqualification of the Technical Resource Agency or the termination of its
Contract.
10. Corrupt or Fraudulent Services
a. The Technical Resource Agency and their respective officers, employees,
agents and advisers shall observe the highest standard of ethics during the
Selection Process. Notwithstanding anything to the contrary contained in this
“RFP”, MPSSDEGB shall reject a Proposal without being liable in any manner
whatsoever to the Technical Resource Agency, if it determines that the

Technical Resource Agency has, directly or indirectly or through an agent,
engaged in corrupt practice, fraudulent practice, coercive practice, undesirable
practice or restrictive practice (collectively the “Prohibited Practices”) in the
Selection Process. In such an event, the MPSSDEGB shall, without prejudice
to it’s any other rights or remedies, forfeit and appropriate the Proposal
Security or Performance Guarantee as damages payable to the MPSSDEGB
for, inter alia, time, cost and effort of the MPSSDEGB, in regard to the “RFP”,
including consideration and evaluation of such Technical Resource Agency’s
Proposal.
b. Without prejudice to the rights of the MPSSDEGB under Clause 9.a.
hereinabove, and the rights and remedies which the MPSSDEGB may have
under the LOA or the Agreement, if a Technical Resource Agency, as the case
may be, is found by the MPSSDEGB to have directly or indirectly or through
an agent, engaged or indulged in any corrupt practice, fraudulent practice,
coercive practice, undesirable practice or restrictive practice during the
Selection Process, or after the issue of
c. the LOA or the execution of the Agreement, such Technical Resource Agency
or shall not be eligible to participate in any tender or “RFP” issued by the
MPSSDEGB during assignment period from the date such Technical
Resource Agency , is found by the MPSSDEGB to have directly or through
an agent, engaged or indulged in any corrupt practice, fraudulent practice,
coercive practice, undesirable practice or restrictive practice, as the case may
be.
d. For the purposes of this Clause, the following terms shall have the meaning
hereinafter respectively assigned to them:
“corrupt practice” means (i) the offering, giving, receiving, or soliciting, directly
or indirectly, of anything of value to influence the action of any person
connected with the Selection Process (for avoidance of doubt, offering of
employment to or employing or engaging in any manner whatsoever, directly
or indirectly, any official of the MPSSDEGB who is or has been associated in
any manner, directly or indirectly with the Selection Process or the LOA or has
dealt with matters concerning the Agreement or arising there from, before or
after the execution thereof, at any time prior to the expiry of one year from the
date such official resigns or retires from or otherwise ceases to be in the
service of the MPSSDEGB, shall be deemed to constitute influencing the
actions of a person connected with the Selection Process; or (ii) engaging in
any manner whatsoever, whether during the Selection Process or after the
issue of the LOA or after the execution of the Agreement, as the case may be,
any person in respect of any matter relating to the Project or the LOA or the
Agreement, who at any time has been or is a legal, financial or technical/
adviser of the MPSSDEGB in relation to any matter concerning the Project;
“fraudulent practice” means a misrepresentation or omission of facts or
disclosure of incomplete facts, in order to influence the Selection Process;
“coercive practice” means impairing or harming or threatening to impair or

harm, directly or indirectly, any persons or property to influence any person’s
participation or action in the Selection Process;
“undesirable practice” means (i) establishing contact with any person
connected with or employed or engaged by the MPSSDEGB with the objective
of canvassing, lobbying or in any manner influencing or attempting to influence
the Selection Process; or (ii) having a Conflict of Interest; and
“Restrictive practice” means forming a cartel or arriving at any understanding or
arrangement among Technical Resource Agency with the objective of
restricting or manipulating a full and fair competition in the Selection Process.
11. Confidentiality
i. From the time, the submitted proposals are opened to the time the Selection
is announced, the Technical Resource Agency should not contact MPSSDEGB
on any matter related to its Proposal Evaluation. Information relating to the
evaluation of Proposals and award recommendations shall not be disclosed
to the Technical Resource Agency which has submitted the Proposals or to
any other party not officially concerned with the process, until the publication of
the Selection announcement.
ii. Any attempt by shortlisted Technical Resource Agency or anyone on behalf of the
Technical Resource Agency to inf luence the Client improperly in the
evaluation of the Proposals or Agreement award decisions may result in the
rejection of its Proposal.
iii. Notwithstanding the above provisions, from the time of the Proposals’ opening
to the time of selection notification, if a Technical Resource Agency wishes to
contact MPSSDEGB on any matter related to the selection process, it should do
so only in writing.
12. Late Receipt of Proposals
i. Proposals received after the due date and specified time (including the
extended period, if any) for any reason whatsoever, shall not be entertained and
shall be returned unopened.
ii. The Proposals shall be accepted in hard copy on or before the proposal
submission deadline only in person/ registered post/ speed post or courier.
iii. The Technical Proposals submitted by telex/telegram/fax/e-mail etc. shall not be
considered. No correspondence will be entertained on this matter.
iv. MPSSDEGB shall not be responsible for any postal delay or non-receipt/
non-delivery of the documents. No further correspondence on the subject will be
entertained.
v. MPSSDEGB reserves the right to modify and amend any of the above -
stipulated condition/criteria depending upon project priorities vis -à-vis
urgent commitments.
13. Disqualification
The proposal submitted by the applicant firm would be disqualified at any time during
the Technical Evaluation process at the sole discretion of the MPSSDEGB, for the
following reasons:

i. Submitted the Proposal after the due date and specified time;
ii. Made misleading or false representations or suppressed relevant information in
the proposal (including documents, forms, statements, attachments, etc.)
submitted as proof of the eligibility requirements or as part of their proposal;
iii. Incomplete proposals or proposals with incomplete information shall be rejected.
Technical Resource Agency shall not be allowed to submit any supplementary
information / document after submission of proposal to MPSSDEGB;
iv. Failure to meet any of the eligibility criteria as mentioned in the document; and
v. Bankrupted or Blacklisted by the Government of India (GoI), State Government or
any other Government owned company or any Bank for reasons related to non-
performance in an engagement as on date of opening of the proposal.
14. Right to Accept Any Proposal and to Reject Any or All Proposals
MPSSDEGB reserves the right to accept or reject any proposal, and to annul the
evaluation process and reject all proposals at any time prior to award of contract, without
thereby incurring any liability to the affected proposal or Technical Resource Agency or
any obligation to inform the affected proposal or Technical Resource Agency of the
grounds for MPSSDEGB action.
15. Signing of Contract
After the notification of selection of Technical Resource Agency, MPSSDEGB will sign an
agreement with the selected Technical Resource Agency which will have detailed terms
and conditions and other relevant details. The contract template will be shared with
Technical Resource Agency who becomes eligible for selection after evaluation of
Techno-Financial Proposals submitted by interested Technical Resource Agency.
Section C – Preparation of Proposals
16. General Considerations
i. In preparing the Proposal, the Technical Resource Agency is expected to examine
this RFP in detail. Material deficiencies in providing the information requested in the
RFP may result in rejection of the Proposal and will be the sole responsibility of the
Technical Resource Agency.
ii. The Technical Resource Agency shall bear all costs associated with the preparation
and submission of its Proposal. MPSSDEGB shall not be responsible or liable for
those costs, regardless of the conduct or outcome of the selection process.
MPSSDEGB is not bound to accept any proposal, and reserves the right to annul the
selection process at any time prior to the Selection, without thereby incurring any
liability to the Technical Resource Agency.
iii. All correspondence and documents relating to the Proposal exchanged between the
Technical Resource Agency and MPSSDEGB shall be written in English language
only. The Technical Resource Agency shall submit only one Proposal.
17. Proposal Validity
i. The Technical Resource Agency’s Proposal must remain valid for at least 90 days
after the Proposal submission deadline. A bid valid for a shorter period shall be
rejected by MPSSDEGB as non-responsive bid.

ii. During this period, the Technical Resource Agency shall maintain its original
Proposal without any change.
iii. In exceptional circumstances, prior to the expiration of the proposal validity period,
the Client may request Technical Resource Agency, who has submitted their
proposals, to extend the period of validity of their Proposals. The EMD shall also be
extended for a corresponding period, if required. A Technical Resource Agency may
refuse the request without forfeiting its EMD. A Technical Resource Agency granting
the request shall not be required or permitted to modify its Proposal. The request and
the responses shall be made in writing.
iv. If any of the proposed team member becomes unavailable for the extended validity
period, the Technical Resource Agency shall provide a written adequate
justification and evidence satisfactory to MPSSDEGB together with the
substitution request. In such case, the replacement resource shall have equal or
better qualifications and experience than the originally proposed team member. If
the Technical Resource Agency fails to provide a replacement of any Key Expert
with equal or better qualifications, or if the provided reasons for the replacement or
justification are unacceptable to MPSSDEGB, such proposal will be rejected.
v. If the Technical Resource Agency agrees to extend the validity of its Proposal, it shall
be done without any change in the original Proposal and with the confirmation of the
availability of the Team Members.
vi. The Technical Resource Agency has the right to refuse to extend the validity of its
Proposal in which case such Proposal will not be further evaluated.
18. Consortium and Subcontracting
i. Consortium model is not allowed. Only a single entity can apply.
ii. Sub-Contracting in case of the Team Leader is not allowed. The team leader has
to be a permanent employee (Third Party/Contractual Employees will not be
allowed) of the resource agency and should be available full time for at least
one year.
iii. All positions are full time and will have to be available at the disposal of the
MPSSDEGB.
iv. Technical Resource Agency cannot sub contract all or any of the components /
activities / tasks / deliverables under this RFP.
v. In case any Technical Resource Agency is found violating Clause 18 (i) to (iv), the
MPSSDEGB may consider cancelling the contract, withholding all payments and
forfeiture of the Performance Guarantee.
19. Selection to be non-exclusive
This selection of the Technical Resource Agency is being done on non-exclusive basis.
MPSSDEGB reserves the right to select more Technical Resource Agency as and when
required, for any geography/location, sectors or for any other reason and in the manner in
the sole discretion of MPSSDEGB. The successful party may participate in any such
competitive processes.

MPSSDEGB may also request additional resources from the selected Resource Agency in
case required.
20. Clarifications and Amendments of RFP
i. The Technical Resource Agency may request a clarification of any part of the RFP
during the period indicated in the Data Sheet before the Proposal submission
deadline. Any request for clarification must be sent in writing, or by standard
electronic means, to MPSSDEGB’s address indicated in the Other Key Information.
MPSSDEGB will respond in writing, or by standard electronic means and will send
written copies of the response (including an explanation of the query but without
identifying its source) to the Technical Resource Agency. Should MPSSDEGB deem
it necessary to amend the RFP as a result of a clarification, it shall do so following
the procedure described below:
a. At any time before the proposal submission deadline, MPSSDEGB may
amend the RFP by issuing an amendment in writing or by standard electronic
means. The amendment shall be binding on the Technical Resource Agency.
The Technical Resource Agency shall acknowledge receipt of all
amendments in writing.
b. If the amendment is substantial, MPSSDEGB may extend the proposal
submission deadline to give the Technical Resource Agency reasonable time
to take an amendment into account in their Proposals.
c. The Technical Resource Agency may submit a modified Proposal or a
modification to any part of it at any time prior to the proposal submission
deadline. No modifications to the Prequalification or Technical or Financial
Proposal shall be accepted after the deadline. In any such case, the modified
proposal should be submitted, with “MODIFIED BID” written on the outer
envelope of the revised bid.
21. Earnest Money Deposit
i. Every Technical Resource Agency participating in the bidding process must furnish
the required interest-free Earnest Money Deposit (EMD) as specified in the “Other
Key Information” {INR 3,00,000.00 (Rupees Three Lakh only) in form of a bank
guarantee only of scheduled commercial bank in favour of CEO, MPSSDEGB with
validity of 3 months of submission of proposal}.
ii. EMD of a Technical Resource Agency lying with MPSSDEGB in respect of other bids
awaiting decision will not be adjusted towards EMD for the fresh bids. The EMD
originally deposited may, however, be taken into consideration in case proposals are
re-invited.
iii. The EMD should be deposited in the form of a bank guarantee from a scheduled
commercial bank drawn in favor of “CEO, MPSSDEGB”, payable at Bhopal.
iv. The EMD shall be valid for the period of Proposal Validity period of 90 days (3
months).
v. In case the time taken for selection process stretches beyond the validity period of
the EMD, the Technical Resource Agency will have to furnish a fresh BG for EMD
with further3months validity till the time period the selection is completed.

vi. Refund of EMD: The EMD of unsuccessful Technical Resource Agency shall be
refunded within 30 days of completion of agreement signing process.
vii. Forfeiture of EMD: MPSSEDEGB may decide to forfeit the EMD submitted by the
Technical Resource Agency in any of the following cases:
a. When the Technical Resource Agency does not signs the agreement within the
stipulated period as mentioned in the letter of invitation or the work order.
b. When the Technical Resource Agency withdraws or modifies the proposal after
opening of proposals.
c. When the Technical Resource Agency does not deposit the Performance
Guarantee in the form of Bank Guarantee before the Agreement is signed.
d. Rejection of proposal on account of Corrupt and Fraudulent Practices.

Section D – Proposal Submission and Evaluation
22. Submission of Proposals – General Considerations
i. The Technical Resource Agency shall prepare its proposal as per the provisions
of RFP.
ii. It is mandatory to meet all the pre-qualification criteria mentioned in data sheet.
iii. The Proposal shall comprise all the documents as listed in Section–H
(Technical Forms – Tech 1 to Tech 5) to Section – I (Financial Forms
– Fin 1 and Fin 2).
iv. The Technical Resource Agency shall bear all costs associated with the
preparation and submission of its proposal, and MPSSDEGB shall not be
responsible or liable for those costs, regardless of the conduct or outcome of the
selection process. MPSSDEGB is not bound to accept any proposal, and
reserves the right to annul the selection process at any time prior to the
Selection, without thereby incurring any liability to the Technical Resource
Agency.
v. An authorized representative of the Technical Resource Agency shall sign all the
original documents in the proposal in the required formats. The proposal covering
letter shall be enclosed with an authorization in the form of a written power of
attorney (Annexure –I), executed on a non-judicial stamp paper of Rs. 100.00
attached with the Proposal. Alternatively, the Technical Resource Agency is
allowed to provide official minutes of Board resolution as the authorization for
signing the bid.
vi. The Tender Fee/Bid Fee and BG of EMD need to be placed inside a sealed envelope
and marked as "Tender Fee/Bid Fee and BG of EMD". This envelop should be
placed in the main envelope alongside the other three sealed envelopes
a. Envelop A: Comprising Qualification documents
b. Envelop B: Technical Proposal clearly marked as "Technical Proposal"
c. Envelop C: Financial Proposal clearly marked as “Financial Proposal”.
Any proposal received without the Tender Fee/Bid Fee and EMD will not be considered
for evaluation.
The main envelope shall highlight the consignor and consignee's name, address
and contact details.
23. Submission of Proposals – Technical Proposal
i. All pages of the proposal and where corrections or amendments have been made
shall be signed by the authorized signatory except where the attestation by
Chartered Accountant is required. In case of detection of any forgery, the proposal
shall summarily be rejected, and MPSSDEGB may also resort to a legal action
against the Technical Resource Agency.
ii. Any modifications, revisions, interlineations, erasures, or overwriting shall be valid
only if they are signed or initials by the person signing the Proposal.
iii. The signed Proposal shall be marked “ORIGINAL”, and its copies marked “COPY”
as appropriate. All copies shall be made from the signed original and shall be
stamped on each page. If there are discrepancies between the original document
and the copies, the original shall prevail.

iv. The original and two copies of the Proposal shall be placed inside a sealed envelope
clearly marked “Request for Technical Proposal for Selection of Technical
Resource Agency under MPSSDEGB”. Further, soft copy of the technical proposal
also has to be provided in a Pen Drive.
v. If the envelopes and packages with the Proposal are not sealed and marked as
required, MPSSDEGB will assume no responsibility for the misplacement, loss,
or premature opening of the Proposal.
vi. The Proposal must be sent to the address and must be received by MPSSDEGB no
later than the deadline indicated in the Notice Inviting Technical Proposal
section, or any extension to this deadline. Any Proposal or its modification received
by MPSSDEGB after the deadline shall be declared late and rejected, and promptly
returned unopened.
vii. The Prequalification or Technical Proposal shall not include any financial
information. A Prequalification or Technical Proposal containing material financial
information shall be declared as non-responsive.
viii. Technical Resource Agency shall not propose alternative Key Experts. Only one
CV shall be submitted for each Key Expert position. Failure to comply with this
requirement will make the Proposal as non-responsive.
ix. Technical Resource Agency cannot change the Key Experts as submitted in
response to the bid, except in case of resignation, medical incapacity or death, or
with the written approval of the Proposal Evaluation Committee of MPSSDEGB.
All team members will have to be full-time on this project and at the location
(State Headquarter Bhopal) mentioned as per the RFP. This clause is non-
negotiable and penalties as provided in Clause XX may be levied for the entire
balance period of the contract for such change request, unless an acceptable
replacement is provided within 60 days of such change request. For any change
request of Key Expert, the substitute has to be an individual with similar / better
experience & qualifications and accepted in writing by Chief Executive Officer of
MPSSDEGB.
x. The Technical Resource Agency is required to submit a Technical Proposal, as
indicated in the Data Sheet and using the Standard Forms provided in Section H
(Form Tech 1 to Tech 5) of the RFP.
24. Submission of Proposals – Financial Proposal
i. The Financial Proposal shall be prepared using the Standard Forms provided in
Section I (Form Fin 1 and Fin 2) of this RFP. The Financial Proposal shall also
contain the man-month cost of the proposed resources. MPSSDEGB may use the
man-month rates to request the Technical Resource Agency to provide more
resources at those rates. Costs associated with proposed team including
outstation travel, lodging, boarding, office space and office consumables etc. will
be reimbursed by MPSSDEGB. The eligibility criteria have been detailed out in
Section F – Data Sheet and Instruction to Technical Resource Agency.
The Technical Resource Agency may choose to build in cost for local travel of the
team and project management support separately in the commercial proposal.

25. Price Adjustment
i. There is no provision for rate adjustment during the initial two year period
ii. The Technical Resource Agency shall agree to carry out any additional assignment
during the assignment period as per instruction of the MPSSDEGB, the remuneration
of the change request will be arrived upon by mutual agreement of the scope of work
and the Rate-Card provided by the Technical Resource Agency as Fin-2 will be used
for the same.
iii. The contract period will be of 2 years. However, MPSSDEGB at its discretion and
with the approval of its Governing Board can extend the contract period for a
maximum period of two years on the same terms & conditions on which the Contract
is awarded to Selected Technical Resource Agency. In such a case, the financial
quote may be renegotiated.
26. Taxes
i. The Financial Proposal of the Technical Resource Agency shall be inclusive of GST,
and any other applicable tax payable by MPSSDEGB at actual along with the Fee to
Technical Resource Agency.
ii. The TDS and other statutory deductions etc., if applicable, shall be deducted at
source from the payment to the Selected Technical Resource Agency as per the
prevailing law in force at the time of execution of contract.
iii. In the event of increase in any other applicable taxes, levies, duties, fees, etc.
whatsoever and other charges during tenure of contract, MPSSDEGB will reimburse
the same on actual.
iv. If any tax exemptions, reductions, allowances or privileges may be available to the
selected Technical Resource Agency, MPSSDEGB shall make its best efforts to
enable the successful/selected Technical Resource Agency to benefit from any such
tax savings to the maximum allowable extent.
27. Submission of the Proposal
i. The bids shall be submitted in three envelopes which comprise the following
documents:-
a. Envelope-1 (Pre-Qualification): The Technical Resource Agency shall
submit thePre-Qualification bid in the formats specified in Section-G. One
original and two copies of pre-qualification response have to be submitted.
b. Envelope-2 (Technical Bid): The Technical Resource Agency shall submit
the Technical Bid in the formats specified in Section-H, duly signed on each
page by the authorised signatory of the Technical Resource Agency. The Bid
document shall also have the Technical Resource Agency’s stamp on each
page along with signature of the authorised representative of the Technical
Resource Agency.
c. Envelop-3 (Financial/Price Bid): The Technical Resource Agency shall
submit the Financial/Price Bid in the format specified in Section-I.

The three envelopes should be enclosed in one larger envelop. The EMD and the Bid
Cost also have to be enclosed in the larger envelop. A pen drive with the soft copy of the
pre-qualification and the technical bid should also be submitted.
ii. Original documents to be submitted by the Technical Resource Agency:
The Technical Resource Agency shall be required to submit the following
documents in Original in sealed envelope before the bid submission date as
mentioned in the Other Key Information:
a) DD towards Tender Fee
b) EMD in the form of BG for the requisite amount
c) Power of Attorney authorizing the signatory of bid to commit the Technical
Resource Agency in the format as specified in Annexure I. In case Minutes of the
Governing Board authorizing the individual to sign a bid, a copy of the same can
be submitted.
d) The sealed envelope carrying the Original Bid shall bear the name of the
Technical Resource Agency and super scribe as “RFP FOR ENGAGEMENT OF
TECHNICAL RESOURCE AGENCY FOR MADHYA PRADESH STATE SKILL
DEVELOPMENT & EMPLOYMENT GENERATION BOARD”.
28. Opening of the Proposal
i. MPSSDEGB shall conduct the opening of the Prequalification Proposals in the
presence of the all Technical Resource Agency’ authorized representatives who
choose to attend (in person). The opening date, time and the address are stated in
the Data Sheet. The envelopes with the Technical and Financial Proposal shall
remain sealed until they are opened (if the proposals are properly marked and
sealed).
ii. At the opening of the Prequalification Proposals the following shall be read out: (a)
the name of the Technical Resource Agency (b) the presence or absence of a duly
sealed envelope with the Technical and Financial Proposal; and (c) any other
information deemed appropriate or as indicated in the Data Sheet.
29. Proposal Evaluation
i. The Technical Resource Agency is not permitted to alter or modify its Proposal in any
way after the proposal submission deadline. While evaluating the Proposals, the
Client will conduct the evaluation on the basis of the submitted Prequalification,
Technical and Financial Proposals. However, the MPSSDEGB may seek
clarification on the submitted historical information.
ii. The Evaluation Committee of the Prequalification proposal or Technical Proposals
shall have no access to the Financial Proposals until the technical evaluation is
concluded.
iii. The Project Appraisal / Bid Evaluation Committee constituted by MPSSDEGB
shall evaluate the responses to the Proposals and all supporting documents/
documentary evidence. Inability to submit requisite supporting documents/
documentary evidence, may lead to rejection.

iv. The decision of the Committee in the evaluation of responses to the proposal shall be
final. No correspondence will be entertained outside the process of negotiation/
discussion with the Committee.
v. The Committee reserves the right to reject any or all proposals on the basis of any
deviations.
vi. Each of the responses shall be evaluated as per the criterions and requirements
specified in this document.
30. Evaluation of Pre-qualification and Technical Proposals
i. The Technical Resource Agency shall be selected on the basis of Combined Quality
cum Cost Based System (QCBS), whereby technical proposal will be allotted weight-
age of 75% and financial proposal will be allotted weight-age of 25%.
ii. The proposal with the lowest financial bid shall be given a financial score of 25 and
the other proposals shall be given financial scores that are inversely proportionate to
their financial bid.
iii. The formula for determining the financial score (Sf) of all other Proposals is
calculated as following:
a. Sf = 25 x Fm/F in which “Sf” is the financial score, “Fm” is the lowest price,
and “F” is the proposal being evaluated
iv. Proposals are ranked according to their combined Technical (St) and Financial (Sf)
scores using the formula (St + Sf = 100) as follows: -
a. S = St + Sf
v. Any Technical bid with score less than 700 (out of 1000 maximum) or 70% of the
marks will be rejected and their financial bids will not be opened.
31. Opening of Financial Proposals
i. After the technical evaluation is completed, MPSSDEGB will only notify qualified
bidders for financial bid opening.
ii. The Financial Proposals shall be opened by MPSSDEGB in the presence of the
representatives of those Technical Resource Agency. At the opening, the names of
the Technical Resource Agency, and the overall technical scores, shall be read
aloud. The Financial Proposals will then be inspected to confirm that they have
remained sealed and unopened. These Financial Proposals shall be then opened,
and the total prices read aloud and recorded.
32. Correction of Errors
i. Activities and items described in the Technical Proposal but not priced in the
Financial Proposal, shall be assumed to be included in the prices of other activities or
items, and no corrections are made to the proposal.
ii. MPSSDEGB will (a) correct any computational or arithmetical errors, and (b) adjust
the prices if they fail to reflect all inputs included for the respective activities or items
in the Technical Proposal. In case of discrepancy between (i) a partial amount
(sub-total) and the total amount, or (ii) between the amount derived by

multiplication of unit price with quantity and the total price, or (iii) between
words and figures, the former will prevail.
33. Contract Award
i. After issuance of Letter of Invitation (LoI) by MPSSDEGB, the selected Technical
Resource Agency shall submit Performance Bank Guarantee and shall sign the
contract with MPSSDEGB within 15 days. MPSSDEGB shall then issue the letter of
award to the selected Technical Resource Agency and publish the award
information as per the instructions in the Data Sheet; and promptly notify the other
shortlisted Technical Resource Agency.
ii. The Technical Resource Agency is expected to commence the assignment on the
date and at the location specified in the Data Sheet.
34. Performance Guarantee
i. Within 15 days from the date of Letter of Invitation (LOI) from MPSSDEGB, the
successful Technical Resource Agency shall furnish the Performance Guarantee
(PG) of an amount equal to 10% of its Financial Proposal, by way of Bank Guarantee
issued by one of the Nationalized Banks in India for the due performance of the
Assignment in the format at Appendix-I. The Performance Guarantee as submitted
by the Technical Resource Agency shall be valid for 6 months more than the contract
period (Since the contract period is of 24 months the Performance Guarantee will be
valid for 30 Months). Failure to provide the same in the manner provided herein shall
be deemed as a Technical Resource Agency Event of Default and MPSSDEGB may
terminate the Contract Agreement as per the provisions therein. The Performance
Guarantee shall be maintained and kept valid at all times from the date of issue
thereof until 6 (six) months following expiry/earlier termination of the Contract
Agreement.
ii. Refund of PG: The PG shall be refunded at the end of six months from the date of
successful completion of the assignment
iii. Forfeiture of PG: PG shall be forfeited in the following cases:
a. When any terms and condition of the contract is breached.
b. When the selected Technical Resource Agency fails to commence the
services or fails to provide deliverables after partially executing the
purchase/work order
The Resource has to follow the working hours, working days and Holidays of Government of
Madhya Pradesh. However resource shall be available on a holiday if so is required by
MPSSDEGB. No extra payments will be made for working on extended
hours/Saturdays/Sundays/Holidays to meet the committed/required time schedules.
35. Liquidity Damages
i. The time specified for delivery in the tender form shall be deemed to be the essence
of the contract and the selected Technical Resource Agency shall arrange services
within the specified period.

ii. Delivery period may be extended by MPSSDEGB without imposing the liquidity
damages, if the delay in the supply of service is on account of hindrances or
performance of a third party, beyond the control of the selected Technical Resource
Agency.
iii. The selected Technical Resource Agency shall request in writing to tendering
MPSSDEGB giving reasons for extending the delivery period of service, if it finds
itself unable to complete the supply of service within the stipulated delivery period.
This request shall be submitted as soon as a hindrance in delivery of service occurs
or within 15 days from such occurrence but before expiry of stipulated period of
delivery of service after which such request shall not be entertained
iv. MPSSDEGB shall examine the justification of causes of hindrance in the delivery of
service and the period of delay occurred due to that and grants extension with or
without liquidated damages.
v. If MPSSDEGB agrees to extend the delivery period/ schedule, an amendment to the
contract with suitable denial clauses and with or without liquidated damages, as the
case may be, shall be issued.
vi. It shall be at the discretion of the concerned MPSSDEGB to accept or not to accept
the supply of services rendered by the Technical Resource Agency after the expiry of
the stipulated delivery period, if no formal extension in delivery period has been
applied and granted. MPSSDEGB shall have right to cancel the contract with respect
to undelivered service.
vii. If MPSSDEGB is in need of the service rendered after expiry of the stipulated
delivery period, it may accept the services and issue a letter of extension in delivery
period
viii. Delivery period may be extended if the delay is on account of hindrances beyond the
control of the Technical Resource Agency.
ix. Limitation of Liability- In no event shall either party be liable for consequential,
incidental, indirect, or punitive loss, damage or expenses (including lost profits). The
selected Technical Resource Agency shall not be liable to the other hereunder or in
relation hereto (whether in contract, tort, strict liability or otherwise) for more than the
value of the fees to be paid (including any amounts invoiced but not yet paid) under
this Agreement.

Section E – Project Deliverables and Payment Terms & Schedule
36. Commencement of Services
i. The date for the commencement of services is within 15 calendar days of contract
signing. The selected Technical Support Agency shall complete the deployment of
the entire work force within 45 days of the contract signing.
37. Project deliverables
i. A two month inception phase has been proposed at the onset of the assignment. The
technical resource Agency will develop a two year Strategic plan for MPSSDEGB.
This will be further broken down into annual and quarterly action plans. The
Technical Resource Agency along with MPSSDEGB will identify annual and quarterly
payment milestones.
ii. The Technical Resource Agency will conduct knowledge transfer exercise on
quarterly basis indicating the deliverables and shall be linked to quarterly payment
milestones.
iii. The Technical Resource Agency will initiate the knowledge transfer to the
MPSSDEGB staff six months prior to the scheduled termination of the contract.
38. Period of Completion of assignment:
i. The project duration is of 24 months from the date of the signing of the contract. This
may be extended by another 24 months.
39. Payment Schedule
i. The technical resource agency will be required to raise the invoice on a quarterly
basis.
ii. The payment will be made on the basis of achieving the payment milestones agreed.
iii. Please refer to Section K of the document for the milestones & quarterly performance
based payment schedules. All payments will be strictly done as per the conditions put
in Section K.
40. Deliverables and Penalty Clause:
i. The Mission along with Technical Resource Agency will develop an annual action
plan. These plans will be further broken down into quarterly plans and deliverables
will be mutually agreed upon. The performance of the Technical Resource Agency
will be reviewed against these mutually agreed deliverables.
ii. All the deliverables for the quarter will be mutually agreed upon at the start of the
quarter. In case, if it is established that the delay in a deliverable is due to the
Resource Agency’s non-performance alone, MPSSDEGB may decide to penalize the
Technical Resource Agency by deducting 2.5% of the payment linked to the
deliverable for every 15 days delay up to an upper limit of 10% of the payment linked
to the deliverable.
iii. The sum-total of all penalties will be subject to maximum of 10% of the amount of
payment linked to that deliverable.

iv. Penalty for replacement of Key Personnel
a. Replacement of key expert shall not be allowed during the initial 12 months of
the contract period in normal circumstances. The Resource Agency will be
allowed to replace any key personal only in the event of:
i. The key expert resigns from the organization
ii. The key expert is left incapable of discharging the services due to any
medical condition
iii. In case, MPSSDEGB requests the Technical Resource Agency to
replace the personnel due to any reason (which may include
efficiency, cooperation, discipline and performance).
b. In case of replacement of a team member, the Technical Resource Agency
will have to share 3 replacement CVs. MPSSDEGB will have the right to
select the suitable replacement from the 3 CVs. The outgoing personnel
should complete the knowledge transfer with the replaced personnel as per
the satisfaction of the MPSSDEGB in the agreed time-frame.
i. The penalty of INR 1,00,000 per personnel would be imposed if
personnel are replaced for any reason other than the one listed in a
(i), a(ii) and a(iii) above. Further, the Technical Resource Agency will
also have to furnish 3 replacement CVs within 15 Days of withdrawal
of the personnel.
ii. The CEO MPSSDEGB reserves the right to exempt the Technical
Resource Agency from the penalty based on his/her discretion.
c. However, MPSSDEGB is free to relieve any personnel at any time during
contract period for reasons recorded in writing, by serving 30 days advance
notice. In such case(s), the Technical Resource Agency will be liable to
provide the suitable replacement as per the terms mentioned within one
month.
41. Payments to the Technical Resource Agency:
i. Technical Resource Agency will follow a quarterly invoicing process. All the
deliverables for the quarter will be mutually agreed upon at the start of the quarter.
Payments will be linked to deliverables mutually agreed upon.
ii. The consolidated quarterly invoice will be generated and submitted on the last
working day of the quarter to the MPSSDEGB. MPSSDEGB will then pay to
Technical Resource Agency in next 15 days.
42. Conduct of Technical Resource Agency Manpower:
i. The conduct of Technical Resource Agency will be in line with best practices
throughout the term of the contract. Attendance and punctuality will be minimum
expectations from the resources deployed at State Headquarters (Bhopal).

ii. Any absenteeism (other than for valid reasons (submitted & approved either before
or after the leave) will not be acceptable and MPSSDEGB will have the right to
deduct the cost of manpower at the rate of 100% of the per day cost quoted by the
Technical Resource Agency against the said expert for each day beyond the
acceptable limit. This will be calculated on a monthly basis and the amount will be
deducted from the Quarterly Payments.
iii. The Technical Resource Agencyteam members shall be eligible for a leave policy as
applicable to the department.
43. Earnest Money Deposit (EMD):
i. The Technical Resource Agency shall furnish an interest free EMD of Rs. 3,00,000
(Rupees Three Lakh only) at the time of submitting the proposal in the form of a Bank
Guarantee issued by Scheduled Commercial Bank in India in favour of “Madhya
Pradesh State Skill Development & Employment Generation Board”, refundable not
later than 120 days from the date of submission of offer except in case of the two
highest ranked Technical Resource Agency. In the event that the first ranked
Technical Resource Agency commences the assignment, the second ranked
Technical Resource Agency, who has been kept in reserve, shall be refunded its
EMD within 180 days from the date of submission of offer.
ii. The Selected Technical Resource Agency’s EMD shall be refunded upon the
Technical Resource Agency submitting the performance guarantee.
44. Interpretation:
i. Entire Contract: The Contract constitutes the entire agreement between the
MPSSDEGB and the Selected Technical Resource Agency and supersedes all
communications, negotiations and agreements (whether written or oral) of parties
with respect thereto made prior to the date of Contract.
ii. Amendment: No amendment or other variation of the Contract shall be valid unless it
is in writing, is dated, expressly refers to the Contract, and is signed by a duly
authorized representative of each party thereto.
iii. Non-waiver: Subject to the condition below, no relaxation, forbearance, delay, or
indulgence by either party in enforcing any of the terms and conditions of the
Contract or the granting of time by either party to the other shall prejudice, affect, or
restrict the rights of that party under the Contract, neither shall any waiver by either
party of any breach of Contract operate as waiver of any subsequent or continuing
breach of Contract.
iv. Any waiver of a party’s rights, powers, or remedies under the Contract must be in
writing, dated, and signed by an authorized representative of the party granting such
waiver, and must specify the right and the extent to which it is being waived.
v. Severability: If any provision or condition of the Contract is prohibited or rendered
invalid or unenforceable, such prohibition, invalidity or unenforceability shall not affect
the validity or enforceability of any other provisions and conditions of the Contract.

45. Governing Law
i. The Contract shall be governed by and interpreted in accordance with the laws of the
Madhya Pradesh State/ the Country (India) and under the jurisdiction of Court of
Bhopal.
46. Force Majeure
i. For the purposes of this Agreement, “Force Majeure” means an event which is
beyond the reasonable control of a Party, and which makes a Party’s performance of
its obligations hereunder impossible or so impractical as reasonably to be considered
impossible in the circumstances, and includes, but is not limited to, war, riots, civil
disorder, earthquake, fire, explosion, storm, flood or other adverse weather
conditions, strikes, lockouts or other industrial action (except where such strikes,
lockouts or other industrial action are within the power of the Party invoking Force
Majeure to prevent), confiscation or any other action by government agencies.
ii. Force Majeure shall not include (i) any event which is caused by the negligence or
intentional action of a Party or agents employees thereof, nor (ii) any event which a
diligent Party could reasonably have been expected to both (A) take into account at
the time of the conclusion of this Agreement and (B) avoid or overcome in the
carrying out of its obligations hereunder
iii. Force Majeure shall not include insufficiency of funds or failure to make any payment
required hereunder
iv. MPSSDEGB will decide the eventuality of Force Majeure which will be binding on
both the parties
v. No breach of Agreement- The failure of a Party to fulfill any of its obligations
hereunder shall not be considered to be a breach of, or default under, this Agreement
insofar as such inability arises from an event of Force Majeure, provided that the
Party affected by such an event has taken all reasonable precautions, due care and
reasonable alternative measures, all with the objective of carrying out the terms and
conditions of this Agreement. The Technical Resource Agency shall not be liable for
forfeiture of its PG or/ and BG, if and to the extent that it’s delay in performance or
other failure to perform its obligations under the Contract is the result of the Force
Majeure.
vi. Measures to be taken
a. A Party affected by an event of Force Majeure shall take all reasonable
measures to remove such Party’s inability to fulfill its obligations hereunder
with a minimum of delay.
b. The Technical Resource Agency is expected to report any such event within
three days to MPSSDEGB in writing.
c. A Party affected by an event of Force Majeure shall notify the other Party of
such event as soon as possible, and in any event not later than fourteen (14)
days following the occurrence of such event, providing evidence of the nature
and cause of such event, and shall similarly give notice of the restoration of
normal conditions as soon as possible.

d. The Parties shall take all reasonable measures to minimize the
consequences of any event of Force Majeure.
vii. Extension of time - Any period, within which a Party shall, pursuant to this
Agreement, complete any action or task, shall be extended for a period equal to the
time during which such Party was unable to perform such action as a result of Force
Majeure.
viii. Payment – In the event of Force Majeure is applied, then MPSSDEGB will continue
to follow the payment schedule by giving concession to Technical Resource Agency
of non-submission of deliverables for the period of 3 months. Post which, either party
is allowed to terminate the contract under the clause Termination for Convenience.
ix. Consultation not later than thirty (30) days after the Technical Resource Agency has,
as the result of an event of Force Majeure, become unable to perform a material
portion of the Services, the Parties shall consult with each other with a view to
agreeing on appropriate measures to be taken in the circumstances.
47. Change Orders and Contract Amendments
i. MPSSDEGB may at any time order the selected Technical Resource Agency through
written Notice to make changes within the general scope of the Contract in case of
services to be provided by the selected Technical Resource Agency. The change in
scope will be discussed with the resource agency and mutually agreed.
ii. If any such change causes an increase or decrease in the cost of, or the time
required for, the selected Technical Resource Agency’s performance of any
provisions under the Contract, an equitable adjustment shall be made in the Contract
Price or in the Delivery and Completion Schedule, or both, and the Contract shall
accordingly be amended. Any claims by the selected Technical Resource Agency for
adjustment under this clause must be asserted within thirty (30) days from the date
of the selected Technical Resource Agency’s receipt of the order from
MPSSDEGB. The rate-contract enclosed in the Fin-2 will be used to calculate the
cost of the additional work/ change request.
iii. This Rate-Card will be valid for the period of 24 months from the commencement
date.
48. Termination Clause
i. Termination for Insolvency
a. MPSSDEGB may at any time terminate the Contract by giving a written notice
of at least 30 days to the selected Technical Resource Agency, if the selected
Technical Resource Agency becomes bankrupt or otherwise insolvent. In
such event, termination will be without compensation to the selected
Technical Resource Agency, provided that such termination will not
prejudice or affect any right of action or remedy that has accrued or will
accrue thereafter to MPSSDEGB.
ii. Termination for Convenience

a. MPSSDEGB, by a written notice of at least 90 days sent to the selected
Technical Resource Agency, may terminate the Contract, in whole or in part,
at any time for its convenience. The Notice of termination shall specify that
termination is for MPSSDEGB’s convenience, the extent to which
performance of the selected Technical Resource Agency under the Contract
is terminated, and the date upon which such termination becomes effective.
b. In such case, MPSSDEGB will pay for all the pending invoices as well as the
work done till that date by the Technical Resource Agency.
c. Limitation of Liability- In no event shall either party be liable for consequential,
incidental, indirect, or punitive loss, damage or expenses (including loss of
profits). The selected Technical Resource Agency shall not be liable to the
other hereunder or in relation hereto (whether in contract, tort, strict liability
or otherwise) for more than the value of the fees to be paid (including any
amounts invoiced but not yet paid) under this Agreement.
iii. Termination by MPSSDEGB
a. The MPSSDEGB may, by not less than sixty (60) days written notice of
termination to the Technical Resource Agency, such notice to be given after
the occurrence of any of the events, terminate this Agreement if:
i. The Technical Resource Agency fails to remedy any breach hereof or
any failure in the performance of its obligations hereunder, as
specified in a notice of suspension, within sixty (60) days of receipt of
such notice of suspension or within such further period as the
MPSSDEGB may have subsequently granted in writing;
ii. The Technical Resource Agency becomes insolvent or bankrupt or
enters into any agreement with its creditors for relief of debt or take
advantage of any law for the benefit of debtors or goes into liquidation
or receivership whether compulsory or voluntary;
iii. The Technical Resource Agency fails to comply with any final decision
reached as a result of arbitration proceedings.
iv. The Technical Resource Agency submits to the MPSSDEGB a
statement which has a material effect on the rights, obligations or
interests of the MPSSDEGB and which the Technical Resource
Agency knows to be false;
v. Any document, information, data or statement submitted by the
Technical Resource Agency in its Proposals, based on which the
Technical Resource Agency was considered eligible or successful, is
found to be false, incorrect or misleading; or
vi. As the result of Force Majeure, the Technical Resource Agency is
unable to perform a material portion of the Services for a period of not
less than sixty (60) days
b. If the Government of Madhya Pradesh wishes to terminate the contract for
reasons not attributable to the Technical Resource Agency’s performance,
Madhya Pradesh State Skill Development & Employment Generation Board– RFP for Technical Resource Agency 35
they will need to clear all invoices for the services up to the date of their
notice along with 1 month fee applicable on date.
c. If the Government of Madhya Pradesh wishes to terminate the contract for
reasons attributable related to the Technical Resource Agency performance,
the government will give a rectification notice for 3 months to TC in writing
with specific observations and instructions.
iv. Termination by Technical Resource Agency
a. The Technical Resource Agency may, by not less than three (03) month
written notice to the MPSSDEGB, such notice to be given after the
occurrence of any of the events, terminate this Agreement if:
i. The MPSSDEGB is in material breach of its obligations pursuant
to this Agreement and has not remedied the same within forty-five (45)
days (or such longer period as the Technical Resource Agency may
have subsequently agreed in writing) following the receipt by the
MPSSDEGB of the Technical Resource Agency’s notice specifying
such breach;
ii. If there are more than 2 un-paid invoices and MPSSDEGB fails to
remedy the same within 45 days of the submission of the last un-paid
invoice
iii. as the result of Force Majeure, the Technical Resource Agency is
unable to perform a material portion of the Services for a period of not
less than sixty (60) days; or
iv. The MPSSDEGB fails to comply with any final decision reached as a
result of arbitration.
v. The Technical Resource Agency is unable to continue the services.
b. Payment upon Termination
i. Upon termination of this Agreement all pending payments due till the
date of the termination of the contract will be made by MPSSDEGB to
the Technical Resource Agency within 30 days of the contract
termination. All terms and conditions in the contract will be referred
including but not limited to Penalty Clause mentioned in this RFP.
c. Suspension
i. The MPSSDEGB may, by written notice of suspension to the
Technical Resource Agency, without any obligation (financial or
otherwise) suspend all the payments to the Technical Resource
Agency hereunder if the Technical Resource Agency shall be in
breach of this Agreement or shall fail to perform any of its obligations
under this Agreement, including the carrying out of the Services;
provided that such notice of suspension
1. shall specify the nature of the breach or failure, and

2. shall provide an opportunity to the Technical Resource
Agency to remedy such breach or failure within a period not
exceeding thirty (30) days after receipt by the Technical
Resource Agency of such notice of suspension.
d. Cessation of rights and obligations
i. Upon termination of this Agreement or upon expiration of this
Agreement, all rights and obligations of the Parties hereunder shall
cease, except
1. such rights and obligations as may have accrued on the date
of termination or expiration,
2. the obligation of confidentiality set forth in RFP
49. Cessation of Services
Upon termination of this Agreement by notice of either Party to the other the Technical
Resource Agency shall, immediately upon dispatch or receipt of such notice, take all
necessary steps to bring the Services to a close in a prompt and orderly manner and shall
make every reasonable effort to keep expenditures for this purpose to a minimum.
50. Disputes Resolution
i. Amicable Settlement
a. The parties shall use their best efforts to settle amicably all disputes arising
out of or in connection with this Agreement or the interpretation thereof. In the
event a dispute, differences or claim arises in connection with the
interpretation or implementation of this agreement, the aggrieved party shall
issue a written notice setting out the Dispute/differences or claim to the other
party, parties shall first attempt to resolve such dispute through mutual
consultation. If the dispute is not resolved as aforesaid within 15 days from
the date of receipt of written notice, the matter will be referred to Principal
Secretary Department of Technical Education and Skill Development (Mission
Director – MPSSDEGB), who will take decision within 15 days after such
reference. If the dispute is still not resolved the matter will be referred for
Arbitration.
ii. Arbitration
a. In case the dispute is not resolved, any party may issue a notice of reference,
invoking resolution of disputes through arbitration in accordance with the
provisions of the Arbitration Conciliation Act, 1996. The arbitral proceedings
shall be conducted by a sole arbitrator that may be appointed with the
consent of Parties to such dispute. If there is no agreement among the parties
to the identity or appointment of such sole arbitrator within 30 days of issue of
notice of reference, then the arbitral proceedings will be conducted by a panel
of three arbitrators, one arbitrator to be appointed by MPSSDEGB and other
appointed by Technical Resource Agency and the third arbitrator to be
mutually appointed by the other two arbitrators in accordance with provisions
of Arbitration and Conciliation Act, 1996. Arbitration proceedings shall be

conducted in and the award shall be made in English language. Arbitration
proceedings shall be conducted at Bhopal and following are agreed.
iii. The arbitration award shall be final and binding on the Parties, and the Parties agree
to be bound thereby and to act accordingly.
iv. The arbitrator may award to the Party that substantially prevails on merit, its costs
and reasonable expenses (including reasonable fees for counsel).
v. When any dispute is under arbitration, except for matters under dispute, the Parties
shall continue to exercise their remaining respective rights and fulfill their remaining
respective obligations under this Agreement.
51. Disqualification
i. The bid is liable to be disqualified if:
a. Not submitted in accordance with this document.
b. During validity of the bid or its extended period, if any, the Technical
Resource Agency increases his quoted prices.
c. During the bid process, if a Technical Resource Agency indulges in any such
deliberate act as would jeopardize or unnecessarily delay the process of bid
evaluation and finalization.
d. Bid received in incomplete form or not accompanied by bid security
amount/all requisite documents.
e. Bid received after due date and time.
f. Technical Resource Agency submits conditional bids.
g. Technical Resource Agency indulges in canvassing in any form to win the
contract.
h. Technical Resource Agency sub-contracts any part of the project to or
employs the goods or services of any of the parties having interest in the
project.
52. Intellectual Property Rights of the Project
i. During the operational phase, the responsibility to maintain the IPR would lie with the
Technical Resource Agency. The Technical Resource Agency shall transfer the
Source Code &IPR to MPSSDEGB, at the time of completion of the assignment. All
outputs and deliverables will be the property of MPSSDEGB. However, any product
owned by the technical Resource Agency or their standard methodology used for
delivery of such products will be free from such binding.
53. Responsibilities of the MPSSDEGB
i. All work regarding creation of MPSSDEGBProposal Evaluation Committee.
ii. Appointment of a single point of contact person, who will coordinate with all
departments/ Technical Resource Agency/ TSPs. Coordination with various
departments and stake holders.

iii. Issuance of various government orders/policy amendments as per requirement of the
project.
iv. Facilitate Technical Resource Agency to set-up offices at State HQs (payment of rent
and/ or any other charges towards the office setup and operations to be borne by the
Technical Resource Agency)
v. Assigning of relevant officials as per project need.
vi. Resolution of problems and disputes arising.
vii. In coordination with Technical Resource Agency, steps would be taken for additional
funding from State/ Centre for smooth functioning of this scheme
viii. Timely payments to the Technical Resource Agency
ix. Facilitate coordination with Placement Agencies/ Certification Agencies/ and other
service providers on need-basis
x. Coordinate & timely Roll-Out of Social Mobilization program. Social Mobilization is
critical for the success of this project and hence MPSSDEGB will take all necessary
steps to get this program launched through an experienced 3rd party agency in this
area and the selection process for such an agency will be initiated around the time
the TC kicks off the project.
xi. The Technical Resource Agency will work closely with other resource agencies such
as the Social Mobilization Agency, the Training Service Providers etc. and coordinate
operations as per plans jointly agreed between MPSSDEGB/ Government of Madhya
Pradesh and Technical Resource Agency.

This is the minimum number of resources required to execute the project. As part of the
technical Approach and Methodology, the Technical Resource Agency is free to suggest

Section J – Terms of Reference (ToR)
1. Introduction to MPSSDEGB
Madhya Pradesh State Skill Development & Employment Generation Board (MPSSDEGB),
earlier known as the Madhya Pradesh State Skill Development Mission and Madhya
Pradesh Council for Vocational Education and Training is the nodal agency for Employment
and Skill Development in the State of Madhya Pradesh. The Mission is registered as a
Society under the Indian Societies’ Act and aims at developing the State level agenda for
skilling and employment in the State. The Board will promote both wage employment and
self employment in the State.
Further, the Board will also be responsible for converging skill development efforts of other
line departments engaged in implementing skill development programmes in the State.
The mission is chaired by the Hon’ble Chief Minister of Madhya Pradesh.
This RFP has been published with an intention to assist the Mission in acquiring the services
of a Technical Resource Agency who can support the Skill Development initiatives planned
in the State.
2. Objectives of MPSSDEGB
The key objectives of MPSSDEGB are:
a. To provide access to sustainable quality vocational education to the target group of
citizens of the state to meet the challenges of skilled human resource required for
various sectors of economy.
b. To act as the nodal agency for skill development and entrepreneurship in the State and
coordinate, support and converge skill development activities of all departments.
3. Functions of MPSSDEGB
The board is expected to plan, execute, co-ordinate and monitor Skill Development and
employment generation programmes in the State to prepare youth for self-employment and
for various jobs available in Industrial & Service Sectors. The board comprises of the
following key cells.
Employment cell: The employment cell is expected to engage and consult industry
across the country to map employment opportunities. The cell will act as a bridge
between the industry and the youth of State and promote wage and self employment
among them.
Overseas Placement Cell: The cell will help establish linkages with international
employers and promote placement of youth from the State in international markets.
Skill Development Cell: The Skill Development Cell will design, implement and
monitor skilling initiatives in the State. The Cell will ensure that market linked short
term skills are implemented in the projects.
Curriculum Development Cell: This cell will help develop industry relevant and
specific curriculum and content for skill development training.

Counseling Cell: This cell will coordinate and provide access to counseling services
to the youth and enable them to make decisions regarding their future.
Communication Cell: The cell will coordinate communication and PR activities for the
Board.
4. Scope of Work for the Technical Resource Agency
The Technical Resource Agency is expected to assist the Board in strengthening the overall
skills ecosystem. The Board has developed and designed short term State financed skill
development schemes - Mukhya Mantri Kaushal Samvardhan Yojna (MMKSY) and Mukhya
Mantri Kaushalya Yojna (MMKY), and aims at skilling about 450 thousand youth annually
under these schemes. Further, the Board will also focus on strengthening the
entrepreneurship development framework being established in the State. The Technical
Resource Agency is expected to strengthen the capacity of these cells.
5. Initiatives of the Board
Some of the initiatives undertaken include the following
Implementation of State funded Short term training schemes:
Mukhya Mantri Kaushal Samvardhan Yojna (MMKSY) and Mukhya Mantri Kaushalya
Yojna (MMKY)
MPSSDEGB has been acting as the nodal agency for all the Skill Development initiatives in
the State of Madhya Pradesh. In order to ensure that the State is able to translate the large
availability of working age population into a demographic advantage, the State has launched
the Mukhya Mantri Kaushal Samvardhan Yojna (MMKSY). MMKSY aims at raising the
skilling quotient of the youth in the State by providing access to short term demand driven
training courses in employable trades.
Mukhyamantri Kaushalya Yojna (MMKY)
MMKY is a women oriented scheme being implemented in the State from the year 2017. It
aims at skilling and providing employment or self-employment opportunities to women. Like
MMKSY, Kaushalya Yojna will also aim at improving access to skill training among youth
(women) from the State through short term training programmes based on the Modular
Employment Scheme (MES) or Qualification Packs (QPs). Women in the target group under
the scheme are school dropout girls, women who are willing to seek skill training to make a
living, women who have skill but are not certified, child marriage and domestic violence
victims, under-privileged sections of the society.
The scheme also has a residential provision for women in certain selected areas.

These schemes also have the provision for skills’ up-gradation and formation, vertical and
horizontal mobility and a framework to Recognize Prior Learning (RPL).
Entrepreneurship Development Cell
The entrepreneurship development cell has been developed within MPSSDEGB with an
objective to promote entrepreneurship and self-employment among youth undergoing skills
training in the State. The cell will operate using a hub and spoke model with the State
Entrepreneurship Cell acting as the hub and the network of Training and Entrepreneurship
Officers at District level acting as the spoke.

To place the state as one of the top ranking entrepreneurial states of the nation.
Mission
To create an eco-system in the state for cultural shift to encourage entrepreneurship through
awareness, training, counseling and capacity building aimed at enterprise creation.
Apprenticeship Training Cell
The state is committed to increase the number of apprentices who receive training under the
Apprentice Training Act 1961. Taking cognizance of the recent amendments to the act, the
State has appointed a new State Apprenticeship Council in the year 2016 and established
an Apprenticeship Training Cell under MPSSDEGB.
Since October 2016, the cell has registered 17176 apprentices and 232 establishments
(industries) on the portal.
Flexi-MoU Cell
The Board acknowledges the role of the Industry in skill training. To strengthen industry
partnership and promote their participation in imparting training in the State, the Board has
adopted a Flexi MoU Policy. The Policy, developed in 2016, provides a framework for
industries to partner with the State on developing state-of-the-art infrastructure in ITIs and
imparting training to make trainees industry ready.
With trainees receiving trainings from professionals from industry and industry getting
access to industry ready workforce, Flexi MoUs models have been designed to create a win-
win situation for both the trainees and industry partners.
IT Cell
The IT cell is responsible for improving the operational efficiency of the Board by
establishing IT based systems. Activities which initially were done manually and have now
brought online. The IT cell comprises of professionals with dual skills of mapping the
functional requirements of the Board and facilitating development of the IT solutions from

A dedicated end-to-end MIS portal (ssdm.mp.gov.in) has been developed and managed by
the MPSSDEGB for the implementation of the schemes.

The following is the broad scope of work to be implemented as part of the program:
a) Assessing present skill gap and Industries’ needs for trained manpower
b) Generating demand for skill programmes
c) Empanelment of TSPs
d) Strengthening Assessment & Certification Processes
e) Developing a robust Monitoring & Evaluation of the Schemes
f) Capacity Building of MPSSDEGBand Knowledge Transfer

7. Section K – Payment Terms
The board will make quarterly payments to the Technical Resource Agency. The Technical
Resource Agency will engage in an inception and design phase. This will include an as-is
assessment of the current capacity of the Board and prioritize interventions in the State. The
Technical Resource Agency and the Board will in consultation develop an action plan for the
assignment, with quarterly deliverables. The payment to the Technical Resource Agency will
be made against the achievement of these deliverables.
Some of the Deliverables identified include the following:

The payments will be output based and dependent on the submission of the deliverables by
the Technical Resource Agency.
Technical Resource Agency will follow a quarterly invoicing process. All the deliverables for
the quarter will be submitted as per the timelines as per the mutually agreed timelines during
the project inception stage. The consolidated quarterly invoice will be generated and
submitted on the last working day of the quarter to the MPSSDEGB.
The invoice shall be made on the basis of the financial proposal submitted in FIN 2. No
payments shall be made beyond the submitted proposal.
Deductions shall be made according to the various provisions mentioned in this RFP.
The deliverables & the quarterly invoice will be assessed and if there is no objection in terms
of performance, deliverable or invoice value, is raised in 15 days from the invoice date by the
MPSSDEGB, the invoice and the deliverables will be deemed accepted by the MPSSDEGB,
and will be good for payment. MPSSDEGB will then pay to Technical Resource Agency in
next 15 days.

Annexure-I: Power of Attorney
