2. This RFP is not an agreement or an offer by the RFP to the prospective Applicants or any other person. The purpose of this RFP is to provide interested parties with information that may be useful to them in the formulation & submission of their Proposals pursuant to this RFP.

3. This RFP includes statements, which reflect various assumptions and assessments arrived at by the Authority in relation to the Consultancy. Such assumptions, assessments and statements do not purport to contain all the information that each Applicant may require.

4. This RFP may not be appropriate for all persons, and it is not possible for the BIADA and its employees to consider the objectives, technical expertise and particular needs of each party who reads or uses this RFP. The assumptions, assessments, statements and information contained in this RFP, may not be complete, accurate, adequate or correct. Each Applicant should, therefore, conduct its own investigations and analysis and should check the accuracy, adequacy, correctness, reliability and completeness of the assumptions, assessments and information contained in this RFP and obtain independent advice from appropriate sources. Information provided in this RFP to the Applicants may be on a wide range of matters, some of which may depend upon interpretation of law. 6. BIADA also accepts no liability of any nature whether resulting from negligence or otherwise however caused arising from reliance of any Applicant upon the statements contained in this RFP.

7. BIADA may in its absolute discretion, but without being under any obligation to do so, update, amend or supplement the information, assessment or assumption contained in this RFP.

8. The issue of this RFP does not imply that BIADA is bound to select an Applicant or to appoint the Selected Applicant, as the case may be, for the Consultancy and the BIADA reserves the right to reject all or any of the Proposals without assigning any reasons whatsoever.


Invitation of bids by Bihar Industrial Area Development Authority (BIADA) for

appointment of PMC (Project Management Consultant) for setting up Mega

Food Park (MFP) in Bihar under the Mega Food Parks Scheme (MFPS) of

Ministry of Food Processing Industries (MOFPI), Govt. of India.

1. About BIADA

BIADA is a Government agency for industrial and investment promotion in Bihar. Established

in 1974 with the objective of promoting, stimulating, financing and facilitating the

development of large and medium scale industries in Bihar, BIADA acts as a promotional

agency involved in catalyzing the development of infrastructure required for constant

growth of industry in the State. It offers professional guidance and support for potential

investors through a comprehensive set of services that include developing business ideas,

identifying viable projects, providing financial assistance, guidance and assistance for

implementation. BIADA has a proven track record of attracting a commendable volume of

investment to the State.

2. Background

In response to MOFPI’s invitation for Expression of Interest (EOI) dated 3rd February 2021,

BIADA had submitted its EOI to the Ministry for setting up a Mega Food Park in

Muzaffarpur district of Bihar under the Ministry’s Mega Food Parks Scheme. BIADA has

now obtained In-principle approval from MoFPI for setting up the said project.

The proposed Mega Food Park project is located on 77.69 acres of land in Damodarpur

Village in Motipur Block of Muzaffarpur District within Tirhut Division. Site is situated at

Mauza-Bhagwanpur, Anchal-Motipur, Distt-Muzaffarpur, Bihar). Nearest railway station is

Mahwal Station which is up to 5 km from the proposed site on the southern side.

Muzaffarpur Railway Junction is also proposed around 30 Km from site at east direction,

which will be a source of transportation for the company.

3. Invitation To Bid

3.1 This RFP Document is for appointment of Project Management Consultant for setting up of

Mega Food Park at Damodarpur village in Motipur block of Muzzaffarpur district, Bihar.

3.2 Interested agencies are advised to study this RFP document carefully before submitting their

proposals in response to the RFP Notice. Submission of a proposal in response to this notice

shall be deemed to have been done after careful study and examination of this document

with full understanding of its terms, conditions and implications.

3.3 Interested agencies may download the RFP document from the website www.biadabihar.in

or may obtain the same from Bihar Industrial Area Development Authority, 1st Floor, Udyog

Bhawan, East Gandhi Maidan, Patna – 800 004, a Non-refundable Demand Draft of Rs.

5,000/- (Rupees Five Thousand only), plus GST, in favour of BIADA payable at Patna towards

processing fees. A demand draft of Rs. 50,000/- (Rupees Fifty Thousand only) towards

Earnest Money Deposit drawn on any scheduled bank in favour of BIADA payable at Patna

towards Earnest Money Deposit. Failure to do so will result in rejection of the proposal.

3.4 The complete Proposal should be submitted on or before the Proposal Due Date as specified

in Proposal Data Sheet specified in the RFP document. BIADA shall not be responsible for any

delay in receiving the Proposal and reserves the right to reject any or all Proposals without

assigning any reason thereof.

3.5 The Duration of the engagement of PMC will be for a period of 30 months from the date of

sign of the agreement and shall be renewed based on the satisfactory performance.

5. Introduction To Bidders

a) The entire proposal shall be strictly as per the format specified in this RFP. Bids with

deviation from this format shall be summarily rejected and the decision of the tendering

authority in this regard will be final and binding on all.

b) The bidders are required to submit the Technical bid, as per the instruction given in this RFP.

c) Any deficiency or deviation in the documentation may result in the rejection of the bid.

d) The Applicant shall be responsible for all of the costs associated with the preparation of their

Proposals and their participation in the selection process. The BIADA will not be responsible

or in any way liable for such costs, regardless of the conduct or outcome of the selection

process

6. BID RESPONSE

a. Bidders are advised to study all instructions, forms, terms, requirements and other

information in the RFP documents carefully. Submission of bid shall be deemed to be done

after careful study and examination of the RFP document with full understanding of its

implications.

b. The response to this RFP should be full and complete in all respects. Failure to furnish all

information required by the RFP documents or submission of a proposal not substantially

responsive to the RFP documents in every respect will be at the bidder’s risk and may result

in rejection of its proposal.

7. Scope of Work

5.1 Finalization of Business Plan and preparation of Detailed Project Report (DPR) for the project, which would meet the guidelines of the Scheme and requirements of banks/financial institutions providing term loan for the project and provide professional services as PMC.

5.2 Preparation of Detailed Project Report (DPR)/proposal(s)/documents and other compliances for “Final Approval” – Within 60 days from the date of issue of “In-Principal Approval‟ letter by the Govt. of India.

To Act as PMC: The envisaged role of PMC, inter-alia, would also be as follows:

a. Detailed engineering and design including preparation of detailed cost estimates for various

project components/facilities.

b. Assistance to SPV/client/BIADA in preparation of a procurement policy, bid documents and selection and appointment of contractors/equipment suppliers in a transparent manner, for project construction and supply of plant and machinery.

c. Monitoring and overseeing the work output of the contractors/equipment suppliers in compliance of the terms and conditions of the contracts/ appointments with the objective of ensuring quality, completeness and compatibility of the work carried out in relation to the Project.

d. Assistance to IA/SPV/client/BIADA in preparing all necessary documentation for submission to Ministry in order to facilitate release of funds sanctioned under Scheme.

e. Assistance to IA/SPV/ client/ BIADA in submission of Monthly Progress Reports to Ministry in prescribed format.

f. Participate in relevant review meetings of MOFPI along with the State Government and IA/SPV/client/BIADA.

g. Any other work/assignment/task to meet the project/scheme objective/assignment.

h. IA/SPV/client/BIADA would enter into an agreement with PMC as per Draft Agreement prepared by the Ministry/SPV/client/BIADA. While PMC would be working primarily with IA/SPV/client/BIADA for smooth implementation of the project, the GOI/MOFPI may, if required, directly seek reports from PMC on the aspects of project implementation.

8. Eligibility Criteria

The agencies intending to bid for appointment as PMC shall fulfil the following eligibility

criteria:

i. The agency/s must be registered under the Societies Registration Act, Companies Act, Limited Liability Partnership (LLP) under the Partnership Act, Trust Act etc. The agency/s must have Income Tax Registration (PAN) and GST Registration. Consortium/ Joint Venture is not allowed.

ii. The Average revenue from advisory services in Agri & Allied Sector in the last three financial years (2017-18,2018-19, 2019-20) should be equal to or greater than INR 10 Crores.


iii. The applicant should not be barred by any Central Government Department/Agency, State Government Department/Agency at the time of submission of application. The applicant shall provide self-certification by the Authorized Signatory as proof of the same.

iv. The agency should be currently empanelled as PMC under the Mega Food Parks Scheme of Ministry of Food Processing Industries. Experience of at least 1 Mega Food Park as envisaged if Mega Food Park Scheme of MOFPI project of minimum value of INR 75 Crores with state/central government which includes scope of DPR, master planning, detailed design engineering and project implementation support under the PMC Empanelment.

9. Right to Accept/ reject any or all Applications

Notwithstanding anything contained in this RFP document, the BIADA reserves the right to

accept or reject any Proposal and to annul the Selection Process and reject all Proposals, at

any time without any liability or any obligation for such acceptance, rejection or annulment,

and without assigning any reasons thereof.

a. The BIADA reserves the right to reject any Proposal if:

i. At any time, a material misrepresentation made by the Applicants is uncovered

or comes to the knowledge of the BIADA.

Or

ii. The Applicants does not provide, the supplemental information sought by the

BIADA, within the specified time for evaluation of the Proposal.


b. Such misrepresentation/ improper response may lead to the disqualification of Applicants. If

such disqualification/ rejection occurs after the Proposals have been opened then the BIADA

reserves the right to take any other measure as may be deemed fit, including annulment of

the Selection Process.

10. Court Jurisdiction

The disputes, if any, arising between PMC and BIADA shall be resolved amicably, failing which it shall be referred to an Arbitrator, mutually acceptable to both parties, appointed by the Additional Chief Secretary, Department of Industries, Govt. Bihar, as per the relevant provisions under Arbitration and Conciliation Act, 1996. Moreover, the Courts at Patna, Bihar shall have the sole jurisdiction.

11. Indemnity

The Consultant shall, subject to the provisions of the Agreement, indemnify BIADA for any direct loss or damage that is caused due to any deficiency in services.

12. Amendment of RFP document

a. At any time prior to the deadline for submission of Proposal, the BIADA may, for any reason,

at its own initiative, modify the RFP document by the issuance of Addendum/ Amendment.

b. All such addendum/amendments will be posted on the website along with the amendments

and will be binding on all Applicants.

c. In order to afford the Applicants a reasonable time for taking an amendment into account,

or for any other reason, the BIADA may, in its sole discretion, extend the Proposal due date

13. Conflict of Interest

a. The Authority requires that the Consultant provides professional, objective, and impartial

advice and at all times hold the Authority's interests paramount, avoid conflicts with other

assignments or its own interests, and act without any consideration for future work. The

Consultant shall not accept or engage in any assignment that would be in conflict with its

prior or current obligations to other clients, or that may place it in a position of not being

able to carry out the assignment in the best interests of the Authority.

b. An Applicant shall not have a conflict of interest that may affect the Selection Process or the

Consultancy (the "Conflict of Interest"). Any Applicant found to have a Conflict of Interest

shall be disqualified.

14. Language

The Proposal and all related correspondence and documents shall be written in English

language. If any supporting document attached to the Proposal is in any other language, the

same will be supported by an English translation (duly authenticated/ attested by the

Authorized Signatory of the Applicant.


15. Format and Signing of Proposal

a. The interested Applicants shall provide all the information sought under this RFP document.

The BIADA would evaluate only those Proposals that are received in the specified forms and

are complete in all respects. All pages of the proposal should be serially numbered and cross

referencing wherever necessary should have been done in Annexure also.

b. The interested Applicants shall prepare the Proposal together with Documents required to

be submitted along therewith pursuant to this RFP. The Proposal shall be typed or written in

indelible ink and signed by the authorized signatory of the Applicants who shall initial each

page, in blue ink. In case of printed and published Documents, only the cover shall be signed.

All the alterations, omissions, additions, or any other amendments made to the Proposal

shall be initialled by the person(s) signing the Proposal.

c. Applicants should note the Proposal Due Date, as specified in Proposal Data Sheet, for

submission of Proposals. Applicants are reminded that no supplementary material will be

entertained by the BIADA, and that evaluation will be carried out only on the basis of

Documents received by the closing time of Proposal Due Date as specified in Proposal Data

Sheet unless it is invited by the BIADA.

16. Proposal

a. Applicants shall submit the Proposal in the formats provided in the Annexure (“Formats”)

b. The BIADA reserves the right to verify all statements, information and documents, submitted

by the Applicants in response to the RFP document. Failure of the BIADA to undertake such

verification shall not relieve the Applicants of its obligations or liabilities hereunder nor will it

affect any rights of the BIADA thereunder.

c. In case it is found during the evaluation or after empanelment that an Applicant has made a

material misrepresentation or has given any materially incorrect or false information, the

Applicants shall be disqualified forthwith, be liable for its removal from the Project

Management Consultant, by a communication in writing by the BIADA without being liable

in any manner, whatsoever, to the Applicants/ Agency(s), as the case may be.

17. Payment Schedule

The payment of selected PMC will be made as per the funds released in proportion of the grant

instalments, by the MOFPI, Government of India.

18. Submission of Proposal

All interested and eligible organizations are hereby invited to submit the proposal in two

parts, as under:

1. Letter of Empanelment issued from MoFPI.

2. Containing information/supporting documents as indicated in the “Eligibility Criteria for the PMC‟.

4. Technical Presentation suggesting how bidder proposed to execute the assignment as per the Mega Food Park Guidelines

5. A Non-refundable Demand Draft of Rs. 5,000/- (Rupees Five Thousand only), plus GST, in favour of BIADA payable at Patna towards processing fees.

6. A demand draft of Rs. 50,000/- (Rupees Fifty Thousand only) toward Earnest Money Deposit drawn on any scheduled bank in favour of BIADA payable at Patna towards Earnest Money Deposit.

Documents named as "Financial Proposal."

The applicant organization should submit the quotation of professional fee in Indian rupee (INR) terms exclusive of GST.

19. Sealing and Marking of Proposals

The applicant organization shall seal both parts of the Proposal in two separate inner envelopes duly marking the envelopes as “Technical Proposal” and “Financial Proposal.” Both the sealed envelopes should be kept in separate outer envelope and marked on the top as “Appointment of Project Management Consultant (PMC) for setting up Mega Food Park (MFP) in the Bihar State at Damodarpur Village in Motipur Block of Muzaffarpur District under the Mega Food Park Scheme (MFPS)” and addressed to reach the following address: Executive Director 1st Floor, Udyog Bhawan, East Gandhi Maidan, Patna – 800 004, E-mail: [email protected], Phone Number: 0612-2675991

20. Other requirements

Both the inner envelopes shall also indicate the name and address of the Applicant organization.

If the outer envelope is not sealed and marked as required, BIADA will assume no responsibility for the Proposal's misplacement or premature opening.

The proposal may be submitted by Registered post/Speed post/Courier/By hand delivery.

The last date and time for the receipt of the proposal is 27.05.2021 by 05.00 pm.

The application received after the last date and time will not be considered in any circumstances.

21. Evaluation of Bids

The Technical bids shall be opened on 28.05.2021 at 11 AM in BIADA Head Office (1st Floor, Udyog Bhawan, East Gandhi Maidan, Patna – 800 004), and the Financial bids of only those

bidders meeting the Eligibility Criteria shall be opened on the same day at 3:00 pm in the presence of the bidders whosoever is present.

The representatives of the interested bidders may be present during opening of bids. The technical bids will be opened first and evaluated to assess whether the bids meet the Eligibility Criteria for the PMC.

Financial bids of only those bidders meeting the Eligibility Criteria and securing 70 marks for the PMC will be opened.

22. Combined and final evaluation

It is clarified that all the eligible bidders are required to give their comprehensive presentation over their submission before the Technical Committee and upon which the marking shall be given. Moreover, the top three bidders in Technical evaluation will be qualified for opening of Financial Proposal.

Thereafter upon opening of financial bids L2 & L3 bidders may be kept in the reserved list at the discretion of Competent Authority of BIADA and the contract shall be awarded to lowest financial bidder.

23. Proposal Due Date

a. Proposal should be submitted on or before the Proposal Due Date specified in the Proposal

Data Sheet at the address provided in Proposal Data Sheet in the manner and form as

detailed in this RFP document.

b. The BIADA may, in its sole discretion, extend the Proposal Due Date by issuing an Addendum

in accordance with provisions of this RFP.

24. Confidentiality

Information relating to the examination, clarification, evaluation and recommendation for the

Empanelment Bidders shall not be disclosed to any person not officially concerned with the

process. BIADA will treat all information submitted as part of all Proposals in confidence and will

insist that all who have access to such material treat it in confidence. BIADA will not divulge any

such information unless it is ordered to do so by any Government authority that has the power

under law to require its disclosure or due to statutory compliances.

25. Clarifications

a) To facilitate evaluation of Proposals, the BIADA may, at its sole discretion, seek clarifications

from any Applicant(s) regarding its Proposal. Such clarification(s) shall be provided within

the time specified by the BIADA for this purpose. Any request for clarification(s) and all

clarification(s) in response thereto shall be in writing. Clarification /request submitted by the

Applicants without the request of the BIADA shall not be entertained.

b) If an Applicant does not provide clarifications within the specified time, its Proposal shall be

liable to be rejected. In case the Proposal is not rejected, the BIADA may proceed to

evaluate the Proposal by construing the particulars requiring clarification to the best of its

understanding, and the Applicant shall be barred from subsequently questioning such

interpretation of the BIADA.

3. This statement is made for the express purpose of Appointment of Project Management

4. I/We shall make available to BIADA any additional information it may deem necessary or

require for supplementing or authenticating the Proposal.

5. I/We acknowledge the right of the BIADA to reject our application without assigning any

reason or otherwise and hereby waive our right to challenge the same on any account

whatsoever.

6. I/We certify that in the last three years, I/we have neither failed to perform on any contract,

as evidenced by imposition of a penalty by an arbitral or judicial Court or a judicial

pronouncement or arbitration award against us, nor have been expelled from any project or

contract nor have had any contract terminated for breach on our part.

7. I/We declare that:

a. I/We have examined and have no reservations to the RFP Documents, including any

Addendum thereto, issued by the BIADA;

b. I/We do not have any conflict of interest in accordance with provisions of the RFP

Document;

c. I/We have not directly or indirectly or through an agent engaged or indulged in any

corrupt practice, fraudulent practice, coercive practice, undesirable practice or

restrictive practice, as defined in the RFP document, in respect of any tender or


request for proposal issued by or any agreement entered into with the Authority or

any other public sector enterprise or any government, Central or State; and

d. I/We hereby certify that we have taken steps to ensure that in conformity with the

provisions of this RFP, no person acting for us or on our behalf will engage in any

corrupt practice, fraudulent practice, coercive practice, undesirable practice or

restrictive practice.

8. I / We understand that you may cancel the Selection Process at any time and that BIADA is

neither bound to accept any Proposal that you may receive nor to select the Consultant,

without incurring any liability to the Applicants in accordance with the RFP document.

9. I / We certify that in regard to matters other than security and integrity of the country, we or

any of our Associates have not been convicted by a Court of Law or indicted or adverse

orders passed by a regulatory authority which would cast a doubt on our ability to undertake

10. I / We further certify that in regard to matters relating to security and integrity of the

country, we have not been charge-sheeted by any agency of the Government or convicted

by a Court of Law for any offence committed by us or by any of our Associates.

11. I / We hereby irrevocably waive any right or remedy which we may have at any stage at law

or howsoever otherwise arising to challenge or question any decision taken by the Authority

(and/ or the Government of India) in connection with the selection of Consultant or in

connection with the Selection Process itself in respect of the above mentioned Project.

12. I / We agree and understand that the proposal is subject to the provisions of the RFP

document. In no case, shall I/we have any claim or right of whatsoever nature if the

Consultancy for the Project is not awarded to me/us or our proposal is not opened or

rejected.

13. In the event of my/our firm being selected as the Consultant, I/we agree and undertake to

provide the services of the Consultant in accordance with the provisions of the RFP and that

the Team Leader shall be responsible for providing the agreed services himself and not

through any other person or Associate.

14. I/We have studied RFP and all other documents carefully. We understand that we shall have

no claim, right or title arising out of any documents or information provided to us by the

Authority or in respect of any matter arising out of or concerning or relating to the Selection

Process

15. The Technical and Financial Proposals are being submitted in separate Envelopes. The

contents provided in Envelopes 1 & 2 shall constitute the Application which shall be binding

on us.
