I. Introduction

1. Atitsfirstmeetingon23‐25August2012inGeneva,Switzerland,theBoardconsideredofferssubmittedbyGermany,Mexico,Namibia,Poland,RepublicofKoreaandSwitzerlandtohosttheGreenClimateFund.Theconsiderationofofferswassupplementedbyoralpresentationsbythecandidatecountries.Subsequently,theBoarddecidedonthehostcountryevaluationcriteriaandselectionprocess(seeAnnexI)andconstitutedtheHostCountryEvaluationCommittee(theCommittee)toconductanopenandtransparentprocess,basedontheevaluationcriteria,andtoevaluatetheseoffers.TheBoardfurtherrequestedtheCommitteetoprepareaconsensuswrittenreportprovidinganevaluationoftheoffersagainstthecriteriadecidedbytheBoard,butnotarankingorrecommendation.Thisdocumentissubmittedincompliancewiththatrequest.

II. Mandate

2. TheGoverningInstrumentfortheFundcallsforanopenandtransparentprocessfortheselectionofthehostcountryoftheFund.InapprovingtheGoverningInstrument,theConferenceoftheParties(COP)totheUnitedNationsFrameworkConventiononClimateChange(UNFCCC),throughdecision3/CP.17,requestedtheBoardtoconductsuchaprocessandselectthehostcountryforendorsementbytheCOPatitseighteenthsession.

III. Evaluationprocess

3.1 HostCountryEvaluationCommittee

3. TheHostCountryEvaluationCommitteehasthefollowingmembership:

(a) Mr.BambangBrodjonegoro1(Indonesia);

(b) Mr.OmarEl‐Arini(Egypt);

(c) Ms.AnaFornellsdeFrutos(Spain);

(d) H.E.Ms.AudreyJoyGrant(Belize);

(e) Mr.GilbertMetcalf(UnitedStatesofAmerica);

(f) Mr.TomasZidek(CzechRepublic).

4. AllCommitteememberssignedadeclarationofimpartialityandconfidentiality(seeAnnexII).TheCommitteeelectedHerExcellencyMs.AudreyJoyGrantasitsChairperson,whochairedthemeetingoftheCommitteewiththecandidatecountries.

3.2 Workmethodology

5. FollowingthedecisionoftheBoardatitsfirstmeeting,theCommitteememberspreparedandagreedontheworkprogramme,evaluationmodalitiesandmethodology.Themethodologyhasbeenguidedbytheprinciplesofequity,efficiencyandeffectiveness.1Mr.DipakDasgupta(India)withdrewfromtheEvaluationCommittee.OntherequestoftheCo‐Chairs,Mr.BambangBrodjonegoro(Indonesia)agreedtobeamemberoftheCommittee.Duetotravelconstraints,Mr.BrodjonegorowasrepresentedbyMr.JoseMa.ClementeS.Salceda(Philippines)inthemeetingoftheCommitteeon16‐18September2012.

3.2.1 Evaluationmodalities

BasedontheevaluationcriteriadecidedbytheBoard,theCommitteeconductedanopenandtransparentprocesstoevaluatetheoffersreceived.CommitteemembersreviewedandconductedanindividualassessmentofeachofferpursuanttothemodalitiesandmethodologyagreedbytheCommittee.Theyfollowedauniformapproachforevaluatingtheoffersbasedontheirownmerit.TheyappliedtheirexpertiseandprofessionaljudgmentinevaluatingoffersandwereguidedbytheinterestsoftheFundandtheparamountconsiderationofselectingthecountrymostsuitabletohosttheFund.Theytreatedalloffersequally,rejectinganyattemptofinfluencebyacandidatecountryorathirdparty.

3.2.2 Evaluationmethodology

7. TheCommitteeevaluatedtheinformationprovidedinvariousoffersagainstthecriteriaagreedbytheBoard.TheCommitteeevaluatedthequalityofalloffersagainsteachcriterionandcheckeditscompliancewiththecriteria,inordertoassesswhethertheofferandinformationprovidedbythecandidatecountrydidnotmeetthecriteria,partiallymetthecriteriaorfullymetthecriteria.Foreaseofapplicability,theCommitteeemployedthetrafficlightsystemforthesethreecategories(Table1).

3.3 Workprogramme

9. BasedonthedecisionoftheBoardatitsfirstmeeting,theCommitteealsoagreedonitsworkprogrammeinconductingevaluationoftheofferssubmittedbythesixcandidatecountries.

10. Inimplementingitsworkprogramme,theCommitteeaimedatensuringfull,equitableandproperconsultationwithcandidatecountriestakingintoaccountthelimitedtimeavailabletotheCommitteebeforethesecondBoardmeeting.TheEvaluationCommitteeimplementeditsworkprogrammealongthetimelineoutlinedinTable2.

Inimplementingitsworkprogramme,theCommitteedevelopedaquestionnaire(seeAnnexIII),buildingontheevaluationcriteriaagreedbytheBoard,andsolicitedadditionalinformationfromthesixcandidatecountries.TheCommitteereceivedthisinformationthroughthefilled‐inquestionnairefromallthecandidatecountries,whichwasalsopublishedontheGCFwebsite.2Basedontheinitialexpressionsofinterest,presentationsmadeatthefirstBoardmeetingandadditionalinformationsubmittedthroughthequestionnaire,theCommitteemembersconductedindividualevaluationoftheoffers.TheInterimSecretariatassistedtheCommitteemembersinconductingtheevaluationbyprovidingacompilationofinformationreceivedfromthecandidatecountriesontheirrespectiveoffers.

12. FollowingtheselectionprocessdecidedbytheBoard,theCommitteeinvitedtherepresentativesofthesixcandidatecountriesformeetingsattheGlobalEnvironmentFacility(GEF)secretariatofficeinWashingtonD.C.,UnitedStatesofAmerica,from16to18September2012.Onthefirstdayofthemeeting,theEvaluationCommitteeadoptedtheagendaforitsmeeting(AnnexIV),electeditsChair,H.E.Ms.AudreyJoyGrant,anddiscussedindividualevaluationsoftheoffersandinformationsubmittedbythesixcandidatecountries.TheCommitteealsoagreedonasetofgeneric

GCF/B.02‐12/04 Page4_______________________________________________________________________________________________________________________questions,includingontransitional/provisionallegalarrangements,3tobeusedbyitsmembersininitiatinginteractivediscussionwiththerepresentativesofthesixcountries.Thefollowingtwodayswerereservedforclosedindividualmeetingswiththerepresentativesofthesixcountries,concludingwithawrap‐upsessionoftheCommittee.

13. Duringtheclosedmeetingswiththerepresentativesofeachcandidatecountry,theCommitteefocusedonaninteractivediscussionseekingclarificationontheexpressionsofinterestandthequestionnairesubmitted.Theclosedmeetingsfacilitatedanin‐depth,openandfrankdiscussion.Duringtheclosedmeetings,therepresentativesofeachcandidatecountrymadeanoralintroduction/presentation(5‐10minutes)ontheinformationprovidedthroughthequestionnaireand/oranyadditionalinformationandrespondedtoanumberofquestionsraisedbytheCommittee.TheseinteractivediscussionshelpedtheCommitteetobetterunderstandvariousaspectsoftheoffersandinformationprovidedbythecandidatecountries.TheCommitteealsorequestedthecandidatecountriestoprovidesupplementaryinformationonsomeofthemattersdiscussedduringthemeetings.

14. FollowingtheCommittee’smeeting,andafterevaluatingsupplementaryinformationprovidedbythecandidatecountries,theCommitteearrivedatthefinalevaluationoftheoffersbythesixcandidatecountriesbyconsensus.TheCommitteeprovidedthecandidatecountrieswithitsdraftevaluationoftheirrespectiveoffersforreviewoffactualaccuracypriortothefinalizationofthereport.ThecommentsreceivedfromthecandidatecountrieswerepublishedontheFundwebsite.TheCommitteeonlyconsideredfactualcorrectionsprovidedbythecandidatecountriesonthedraftevaluationoftheirrespectiveoffer.Anynewandadditionalinformation,whichgoesbeyondfactualcorrections,communicatedbycandidatecountriesafterthemeetingwiththeEvaluationCommitteewasreflectedintheevaluationreportbutwasnottakenintoaccountforthefinalevaluationoftheoffersandtheircompliancewiththecriteria.

15. TheCommitteepreparedthisconsensusreportprovidinganevaluationoftheoffersagainstthecriteriadecidedbytheBoardwithnorankingorrecommendation.

IV. Evaluationresults

4.1 Evaluationfindings

16. Withoutprejudgingthesufficiencyofanyofthesecriteria,whichisappropriatelylefttotheBoard,theCommitteefoundthatalltheoffersprovideddetailedinformationonhowtheymettheevaluationcriteriaonmattersrelatingtothelegalstatus,privilegesandimmunities,financialarrangements,administrativeandlogisticalsupportandlocalfacilitiesandconditions.

4.2 Evaluationofofferssubmittedbythecandidatecountries

17. ThissectionprovidesthefindingsandconsensusevaluationoftheCommitteeontheofferandinformationsubmittedbyeachofthesixcandidatecountry,coveringallthefourevaluationcriteria.ThedetailedinformationsubmittedbyallthesixcandidatecountriesispublishedontheFundwebsite.TheEvaluationCommitteechosearandomorder(usingarandomizer)forsequencingtheevaluationofoffersfromthesixcandidatecountriesinthereport.TheCommitteebelievesthatbyemployingarandomorderofpresentation,itwillavoidperceptionofanyadvantagetoanycountryfromfollowinganalphabeticorder.

3ThelegalarrangementsmadebythehostcountryinorderfortheFundtooperate,includinglegalstatusoftheFund’ssecretariatstaffandassociatedprivilegesandimmunities,intheperiodbeforethehostcountry/headquartersagreementisconcludedbetweentheFundandthehostcountry.

4.2.1 Switzerland

18. Table3providesconsensusfinalevaluationbytheCommitteeoftheoffersubmittedbytheGovernmentofSwitzerlandtohosttheFund.

4.2.1.1 Legalstatus

19. TheHostStateAgreementwillexpresslystatethattheGovernmentrecognizestheinternationaljuridicalpersonalityandthelegalcapacityoftheFund.TheHostStateAgreementwillbeabilateraltreaty,whichwillautomaticallybecomepartoftheSwisslawanddirectlyapplicable.

20. TheAgreement,oncenegotiatedbetweentheFundandtheSwissauthorities,willbeapprovedbyadecisionoftheSwissGovernmentandcanenterintoforceonthedayofthesignature.Itdoesnotneedanyparliamentaryapproval.Dependingonthetimeneededforthenegotiations,theAgreementcouldbeenforcedwithinapproximatelysixmonths,countingfromthefirstdayofnegotiations.

21. Transitional/provisionallegalarrangements:TheGovernmentwilltakethenecessarymeasuresinordertogranttothestaffmembersthesamestatusastheoneprovidedintheAgreement.TherearesomeprecedentswhichworkedouteitherthroughanearlyapplicationoftheAgreementorthroughanapplicationbyanalogyofanothersuchagreement.

4.2.1.2 Privilegesandimmunities

22. PrivilegesandimmunitiesaredeterminedintheHostStateAgreement,whichisaninternationaltreatyandthereforedirectlylegallybinding.TheFundwillenjoyimmunityoflegalprocess.TheHostStateAgreementwillconferupontheFundanditsstaffthesameprivilegesandimmunitiesastheonesgrantedtotheotherinternationalorganizationsandtheirstaffinSwitzerland.

23. TheGovernmentwillgrantfunctionalimmunityforactsperformedinanofficialcapacitybytheBoardmembers,membersofsubsidiarybodiesestablishedbytheBoard,staffoftheFund(includinginternationalstaffandlocallyhirednationalstaff)andexpertsoftheFundandotherentitiesorpersons(e.g.contractors)onofficialbusinessfortheFund.Theywillalsobegrantedimmunityfromimmigrationrestrictions.TheGovernmentwillrecognizetheinviolabilityandprotectionofthepremisesoftheFundandimmunityofarchives.

24. TheGovernmentwillrecognizetheexemptionoftheFundfromalltaxation,includingalldirectandindirecttaxes.UnlesstheFundwillsettleaninternaltaxationsystem,theSwissnationalsandthepermanentresidentsinSwitzerlandwillnotenjoyexemptionontaxes.ContractorsoftheFundwillnotbeexemptfromtaxes.

25. TheGovernmentwillrecognizetheprivilegesforworkpermitofspousesanddependentsresidingwithstaff.Therewillbeexemptionoflocallyhirednationalstafffromnationalserviceobligations.

4.2.1.3 Financialarrangements,administrativeandlogisticalsupport

26. TheGovernmentofSwitzerlandwillprovidefundingamountingto15.15millionUSdollars4toestablishandoperatetheFund,whichincludes:

(a) Freeofficespace(4,000m2)fortheSecretariatintheWorldMeteorologicalOrganization(WMO)buildingby1January2014;theduration,extensionorterminationoftheleasecontractwilldependontheFund;

(e) 3.14millionUSdollarsannuallyforthefirstthreeyearsoftheSecretariatoperations;

(f) 1.05millionUSdollarsperyeartosupportthecapacitydevelopmentactivitiesofdevelopingcountriesrelatingtotheFund’swork;

(g) 125,392USdollarsayeartowardsthetravelandaccommodationcostsofdelegatesfromdevelopingcountrieswhoattendmeetingsoftheFund;

(h) 3,135USdollarsamonthtosubsidizetherentofeachofthe38leastdevelopedcountries(LDCs)missionsinGeneva,totallymorethan1.4millionUSdollarsayear;

(a) FreeconferencespacestobemadeavailableattheInternationalConferenceCentreofGeneva(CICG).

27. Inadditiontofinancialsupport,theSwissgovernmentandtheauthoritiesoftheCantonofGenevawillprovideadministrativesupportandtechnicalassistance.However,theFundwillneedtobeartheoperatingcosts.TheFundwillalsocoverthealterationsandadditionstothefacilityandpriorwrittenconsentofWMOwillbeneeded.

28. TheleasefortheFund’sofficesintheWMObuildingwillbeanagreementbetweentheFundandtheWMO.TheGovernmentwillnotbeacontractualpartnerinthatagreement,butbearthecostoftheleaseonbehalfoftheFund.AseparateagreementcanbeconcludedbetweenGovernmentandtheFundonthismatter.

4.2.1.4 Localfacilitiesandconditions

(a) Hundredandseventy‐onecountriesarepermanentlyrepresentedtotheUnitedNationsOfficeatGeneva;

(b) GenevaAirportisconnectedto124differentairports,including97inEuropeand27intherestoftheworld;

(c) FacilitatedaccesstotheSwisslabourmarketforspousesandpartnersofFundstaff;

(d) ThecityofGenevaofferslargepoolofprofessionalsworkingininternationalpublicandfinancesector;

(e) Thecost‐of‐livingindex5forGenevais114.61;

(f) ThefacilityofferedtotheFundhastwofullyredundantandload‐balancedlinks;onefromSwisscom:50Mb/sandtheotherfromColt:50Mb/s.TelephoneservicesarealsofrombothcarriersSwisscomandColt.

5 TheInternationalCivilServiceCommission(ICSC)methodologyforcalculatingcost‐of‐livingandpostadjustmentreflectsdifferencesinpricesbetweenthedutystationandNewYorkastheUnitedNationscomparatorcity(withindexvalue=100),butitgoesbeyondasimpleconsumerpricecomparison.Italsoaccountsfortheaverageexpenditurepatternsofinternationalcivilservants,whichareexpressedusing"UNweights"andnormallydifferfromexpenditurepatternsofthelocalpopulation.AfullerexplanationoftheICSCpostadjustmentmethodologyisgiveninhttp://icsc.un.org/resources/cold/pasb/pabooklet.pdf.ThereareothercostoflivingindiceslikeUBSPricesandEarnings,publishedbyvariousotherorganizationswithdifferentmethodologiesandvaryingresults.

4.2.2.1 Legalstatus

30. TheGovernmentofMexicoandtheFundwillnegotiatetheHeadquartersAgreement,establishingthelegalframeworkoftheirrelationship.TheAgreementwillcontainallmainelementsofthisrelationship,suchaslegalstatus,privilegesandimmunities,andgeneralclausesforaninternationalorganization.ThroughtheAgreement,theGovernmentofMexicowillrecognizethejuridicalpersonalityoftheFundasaninternationalorganizationofpubliclaw.TheAgreementwillbethelegalbasistoconferlegalcapacitytotheFund.

31. TheAgreementwilltaketheformofabilateraltreaty.OncetheAgreementissigned,itwillbeapprovedbytheMexicanSenateandratifiedbytheFederalExecutiveforitsenforcement.Inanexpeditedmanner,theconclusionoftheHostCountryAgreementmaytakeamaximumofsixmonths.Thetimelineisbasedonpracticewithsimilarinstruments.

32. Transitional/provisionallegalarrangements:IntheabsenceofsuchAgreementorpendingitsentryintoforce,itwillbeextremelydifficulttoensurethatthedifferentauthoritieswouldprovidetheFundwiththelegaltreatmentitneedstooperateinthecountry.TheExecutiveBranchwillfacilitatetheworkoftheFundasmuchaspossibletotheextentofitspowersandwillexpeditetheconclusionoftheAgreementanditsearlyentryintoforce,butitcannotguaranteefullprivilegesimmunitiesandfacilitiesinitsabsence.

4.2.2.2 PrivilegesandImmunities:

33. Ingeneral,theFundwillenjoyimmunityoflegalprocesswithallmattersrelatingtoprivilegesandimmunities.TheprovisionsforprivilegesandimmunitieswillbeincludedintheHeadquartersAgreement.However,immunityofjurisdictionwillbelimitedincasesoflaborclaimsfromlocallyemployedpersonnelandcommercialacts.

34. TheGovernmentofMexicowillgrantfunctionalimmunityforactsperformedinanofficialcapacitybytheBoardmembers,membersofsubsidiarybodiesestablishedbytheBoard,staffoftheFund(includinginternationalstaffandlocallyhirednationalstaff)andexpertsoftheFundandotherentitiesorpersons(e.g.contractors)onofficialbusinessfortheFund.Theywillalsobegrantedimmunityfromimmigrationrestrictions.TheGovernmentwillrecognizetheinviolabilityandprotectionofthepremisesoftheFundandimmunityofarchives.

35. TheGovernmentwillrecognizetheexemptionoftheFundfromalltaxation,includingalldirectandindirecttaxes.TheGovernmentwillrecognizetheprivilegesforworkpermitofspousesanddependentsresidingwithstaff.Therewillbenoexemptionoflocallyhirednationalstafffromnationalserviceobligations.

4.2.2.3 Financialarrangements,administrativeandlogisticalSupport

36. TheGovernmentofMexicowillprovide:

TheGovernmentofPolandwillgrantfunctionalimmunityforactsperformedinanofficialcapacitybytheBoardmembers,membersofsubsidiarybodiesestablishedbytheBoard,staffoftheFund(includinginternationalstaffandlocallyhirednationalstaff)andexpertsoftheFundandotherentitiesorpersons(e.g.contractors)onofficialbusinessfortheFund.Theywillalsobegrantedimmunityfromimmigration.

44. 4.2.5.1 Legalstatus

60. Namibia’soffernotesthatNamibiahasalreadyratifiedtheUNFCCC,theframeworkwithinwhichtheFundwasestablishedandthereforerecognizestheFund’sjuridicalpersonalityandlegalcapacity,asestablishedinClauseIIBoftheGoverningInstrument.TheonlyprocessNamibianeedstofulfillwillbetheconclusionoftheHostCountryAgreement.TheAgreementwilltaketheformofabilateralAgreementwhichwillnotrequireratification.Thelegalprocesswillbeconcludedwithinaweek,maximumtwoweeks.

61. Transitional/provisionallegalarrangements:ThereisnoneedforanyprovisionallegalarrangementsastheAgreementwillbeconcludedwithinaweekormaximumtwoweeks.Ifrequired,theGovernmentofNamibiaispreparedtoenterintotransitionalorprovisionallegalarrangementswiththeFund’sBoard,whichwillbegazettedintermsofSection5oftheNamibia’sDiplomaticImmunityandPrivilegesActandwillthereforehaveaforceoflaw.

4.2.5.2 PrivilegesandImmunities

62. TheFundwillbeaccordedimmunityfromanyformoflegalprocess.TheGovernmentofNamibiawillgrantfunctionalimmunityforactsperformedinanofficialcapacitybytheBoardmembers,membersofsubsidiarybodiesestablishedbytheBoard,staffoftheFund(includinginternationalstaffandlocallyhirednationalstaff).Theywillalsobegrantedimmunityfromimmigrationrestrictions.

63. TheGovernmentwillrecognizetheexemptionoftheFundfromalldirecttaxesonly.AnyindirecttaxesincurredbytheFundcanbeclaimedback.TheGovernmentwillrecognizetheinviolabilityandprotectionofthepremisesoftheFundandimmunityofarchives.

64. Withregardstotheprivilegesandimmunitiesnotapplicabletonational,the1989DiplomaticImmunitiesandPrivilegesAct(ActNo.74of1989)providesthatprivilegesandimmunitiesdonotapplytonationalsandpermanentresidents.

(d) SpousesofFund’sstaffcanperformpaidworkwiththediplomaticvisaintheirpassportsissuedbytheMinistryofForeignAffairs.Thequalityandavailabilityofjobslargelydependsonqualityofskillsandqualificationtheexpatpossesses;

4.2.6.1 Legalstatus

68. TheGermanFederalGovernmentrecognizesthejuridicalpersonalityoftheFund.TheGovernmentenvisagesatwo‐stepprocessforrecognizingandconferringthelegalcapacitytotheFund.

69. Inthefirststep,theGermanFederalGovernmentwillpassanordinancewiththeconsentoftheBundesrat(upperhouseoftheGermanParliament)grantingtheFundforthesakeofclarityandlegalsecurity,withjuridicalpersonalityandlegalcapacityonadeclaratorybasis.Theordinancewillalsoaccordcertainprivilegesandimmunitiesonaprovisionalandunilateralbasis,inaccordancewiththe1947ConventiononthePrivilegesandImmunitiesoftheSpecializedAgenciesoftheUnitedNations.ThiswillensurethattheFundisreadytooperateasquicklyaspossible.

70. Inasecondstep,legalstatusandtheprecisescopeoftheprivilegesandimmunitieswillbesetforthonapermanentbasisinaHostCountryAgreementagreeduponbilaterallybetweentheFundandGermany.TheHostCountryAgreementwilltaketheformofabilateraltreatyandbeincorporatedintonationallawbywayofanactofParliament.

71. ThetargetdateforadeclaratoryordinancewillbelatestJune2013andforentryintoforceofHostCountryAgreementlatestDecember2013,withanassumptionthatthesignatureofAgreementtakesplacebyMay2013.

72. Transitional/provisionallegalarrangements:GermanyhasprovisionsinplaceunderwhichtheFundstaffcanbeaccredited,pendingthedecisionoftheBoardontheinterimstatusoftheSecretariat.

4.2.6.2 Privilegesandimmunities:

73. TheFundwillenjoyimmunityoflegalprocessandtheHostCountryAgreementwillcontainthefinalprovisionsonprivilegesandimmunitiestobeincorporatedintoGermanlawintheformofanactofParliament.RepresentativesofmembersoftheFundwill,unlesstheyhaveGermannationalityorpermanentresidentstatusinGermany,enjoyprivilegesandimmunitiesinaccordancewithArticleIVoftheConventionof13February1946onthePrivilegesandImmunitiesoftheUnitedNations.

74. TheGovernmentofGermanywillgrantfunctionalimmunityforactsperformedinanofficialcapacitybytheBoardmembers,membersofsubsidiarybodiesestablishedbytheBoard,staffoftheFund(includinginternationalstaffandlocallyhirednationalstaff)andexpertsoftheFundandotherentitiesorpersons(e.g.contractors)onofficialbusinessfortheFund.Theywillalsobegrantedimmunityfromimmigrationrestrictions.TheGovernmentwillrecognizetheinviolabilityandprotectionofthepremisesoftheFundandimmunityofarchives.
