This Agreement represents an arrangement between Beverly Hills Dental Laboratory, INC. “BHDL” and “Renter” as named below. The following agreements apply to every instance in the future in which Renter uses BHDL space for any purpose. If Renter fails to uphold any of the following agreements, Renter’s facility privileges may be revoked. The Center is equipped for both lecture and hands-on courses. Our goal is to provide high quality learning sessions to promote continued education amongst dentists and technicians. The Education Center will be rented per day at the rate of $1,500 USD, or in increments of days per week at a rate to be negotiated with BHDL. Initial and Date: ________ _________

Renter has the option to block dates in advance throughout the year to secure availability. Special discounts will be provided for continuous reservations. As negotiated for the day and time listed above, Renter will pay, as a rental fee for the use of the premises, the sum of $____________plus all other charges to be paid by renter under this Agreement. Payment Renters will pay immediately, the agreed upon amount in its entirety, to secure their reservation by check or credit card. All rent checks must be written to Beverly Hills Dental Laboratory, INC. Credit Card Payments – Please see attached form.

Cancel lat ion Pol icy Cancellation 60 days prior to the event will be refunded in full. Cancellation 30-59 days before the event will be refunded at the rate of 50% of the total charges (adjusted by service charges from Credit Card fees). Cancellations less than 30 days from the event will not be refunded. No exception will be granted.

Force Majeure No damages shall be due for a failure of performance caused by Acts of God, war, terrorist act, government regulations, riots, disaster, or strikes, any one of which make performance impossible. BHDL shall have no liability for power disruptions of any kind.

Set Up & Storage I t is recommended that any prior set up of equipment or suppl ies for an event be completed the day BEFORE, during the business hours of 3:00 PM – 5:00 PM. All materials and equipment must be removed no later than 5:00pm the day AFTER the event. Initial and Date: ________ ________

An additional storage fee (if equipment or supplies are not picked up) will be an additional $250 per day.

Indemnif icat ion Renter shall indemnify, defend and save harmless BHDL, its officers, agents and employees from and against any and all loss, cost (including attorney’s fees), damage, expense and liability (including statutory liability and liability under workers’ compensation laws) in connection with claims, judgments, damages, penalties, fines, liabilities, losses, suits, administrative proceedings, arising out of any act or neglect from renter, its agents, employees, contractors, invitees, representatives, in, on or about the Facility. This indemnity shall survive the termination of the Agreement. Renter hereby releases BHDL from any and all liability or responsibility to renter or anyone claiming through or under renter by way of subrogation or otherwise for any loss or damage to equipment or property of renter by any insurance then in force.

Smoking/Incense/Flames Absolutely No smoking anywhere inside the building or anywhere in the Education Center or laboratory. No incense or open flames of any sort.

Security Each renter assumes responsibility for the security of the space during each rental period. Emergencies For any urgent issue that might compromise the structure or safety of the studio or the building, please call the building security at 310 – 864 – 8735 For accidents, health crises, criminal activities, or fire, call 911.

Damage Renter will assume full responsibility for any damage caused to any part of the Education Center or adjacent rooms. Each Renter agrees to pay in full for repair or replacement of any item or structure damaged by the renters or guests invited. Full payment for damage will be made within ONE MONTH of the damage.

Liabi l i ty Renter assumes liability for injury of any persons they invite to the space, including but not limited to: injury to guests, speakers and vendors. Housekeeping Renter assumes responsibility for returning the Education Center to a good state before they leave. All lights, heater(s), air conditioner and electrical equipment must be turned off. Trash and litter must be removed out of the building.

Parking Parking is available on premises. Daily parking is $18 per car. Valet parking is also available. Renter is responsible to inform their guests about the parking accommodation.

Acceptance This agreement shall be deemed accepted only after an authorized representative of BHDL has signed it. Future Pol icy Changes BHDL reserves the right to change the above rental policies at any time to reflect the needs and concerns of the business. Renters will be informed of changes to rental policies.
