SECTION 1: PROJECT DESCRIPTION Revisions to state dam safety regulations (302CMR 10.00‐10.16) currently being enforced by the Department of Conservation and Recreation’s Office of Dam Safety significantly change the responsibilities of dam owners to register, inspect, and maintain dams in good operating condition.  These requirements have brought with them increased financial burdens that are especially difficult where dams no longer provide a useful function, such as water supply or power generation.    In addition, communities can face more significant costs if a dam should fail partially or catastrophically from neglect, including emergency evacuations and liability for loss of life and property.   

To address the costs associated with dams, the Pioneer Valley Planning Commission (PVPC) has been working with funding from the state legislature’s District Local Technical Assistance Fund, under a contract from the Massachusetts Department of Housing and Community Development, to assess the needs for services and to define a program for dams that will offer specific services to municipalities and where possible to private dam owners.   Assessing needs and defining the program has entailed a survey of the region’s 43 communities and a prioritization of dams and services based on needs for services and hazard index ratings, which reflect potential level of threat to public safety.   

SECTION 2:  NEEDS ASSESSMENT  

The Dams Data Base To begin this project, PVPC worked with a data base of information on dams provided by the Department of Conservation and Recreation’s Office of Dam Safety in 2006.*   The data base includes the following information: town where dam is located, identification code, dam name, hazard index rating, river system on which dam is located, owner of dam, dam length, dam height, last inspection, condition, and purpose of dam.   

PVPC updated this data base using information obtained on dams in the region during a predisaster mitigation planning process undertaken with many of the region’s communities.   Updated information included dam name, hazard index rating, owner of dam, last inspection, and condition. PVPC also requested from the Office of Dam Safety a list of all dams for which a letter of non‐compliance had been sent.  The Office of Dam Safety sends these letters to dam owners when they determine that there is a violation of dam safety regulations.  This information was integrated into the data base as well. 

Using this updated information PVPC generated colored 11x17‐inch maps of dam locations for each municipality.   The improved data base information and maps were included in the surveys sent to the region’s 43 communities for verification and further improvement.   

* On PVPC’s 5-18-09 request for more recent data on dams, DCR’s Office of Dam Safety indicated that this would require manual searches through the files and take several weeks and cost $1,700. Because PVPC had already updated some of the information through pre disaster mitigation planning with some communities, PVPC did not go through with the request to DCR.

Survey PVPC’s survey of the region’s 43 municipalities included a request for verification of information on the dams data base, including dam location, name, hazard ranking, inspection status, and last reported condition.  The survey also included a map of dam locations and an application to be submitted by communities indicating their concerns and need for services.  Please see Appendix A for cover letter and application form for services that was sent to communities.   

In some cases management of municipal dams falls to one individual within the community.  In other cases, particularly where dams provide water supply functions, responsibility for dams falls to two different individuals.  For example, in Springfield, which has some 23 dams in its portfolio, responsibility falls to two different departments.  The Springfield Water and Sewer Commission oversees water supply dams, and the Department of Parks, Buildings and Recreation Management oversees all other dams.  So in several of the larger communities, PVPC worked to make contact with more than one individual.    

PVPC received written survey responses from 20 communities and followed up with these and 15 other communities through phone interviews.  These 35 communities are as follows:

Eight communities did not respond despite several follow up phone calls.  In one of these communities, Monson, officials indicated that the responsibility of dams falls to the office of the building inspector who is also the flood control administrator.   The position is currently vacant so there was no one available to provide information.   

Based on the responses received from 35 communities, PVPC made many corrections to the dams data base and to the maps showing dam locations.   The updated data base for Pioneer Valley dams and the maps are included as Appendix B and C respectively.

Services Needed by Municipalities Through the survey application, municipalities registered concerns on 62 dams in the region and indicated a need for services on 57 of these dams, 35 of which are publicly owned.  Of these 62 dams, 15 have hazard index ratings of high, 17 are significant, and 15 are low.1 The remaining dams are identified by the Office of Dam Safety as unknown hazard index or non jurisdictional due to size (these are dams not in excess of 6 feet in height regardless of storage capacity, and not in excess of 15 acre feet of storage capacity regardless of height).   Please see Appendix D for spreadsheet of concerns registered and services requested.  

The need for services varies from community to community, from dam inspections to help with managing beaver activity in and around dams.   Requested services are described in more detail below.  

Inspections Many municipalities seem to have adjusted well to the revised Office of Dam Safety state inspection requirements instituted in 2005 and are budgeting accordingly in order to meet the inspection schedules for the dams in their portfolios.  Water supply dams maintained by water departments seem to receive particularly good attention with regard to inspections and maintenance.   

Nevertheless, municipalities indicated the need for Phase 1 inspection services on 18 dams, 10 of which are publicly owned.  See Table 1 in Section 6 of this report for list of these inspection needs.  Some of these dams have regularly scheduled Phase 1 inspections coming due and municipalities are looking for ways to cut costs on these.  Phase 1 inspections are visual inspections to determine whether or not a dam is meeting dam safety standards.  The Office of Dam Safety has a template and checklist for reporting on these types of inspections.    

Municipalities also indicated a need for funding for Phase 2 inspection services on five dams, three of which are publicly owned.  See Table 2 in Section 6 of this report.  Phase 2 inspections are much more involved engineering inspections than Phase 1 inspections and can cost upwards of $50,000.   Because of the detailed site specific engineering work required on such projects, economies of scale are not likely to be achieved by regionalizing services on these inspections.

 Title Research There are at least four dams in the region for which the Department of Conservation and Recreation has identified owners who dispute their ownership of the dam.  Three of these ownership disputes involve municipalities.  See Table 3 on Title Research Services in Section 6 of this report.  The Town of Ware has been conducting inspections on two significant hazard dams to ensure public safety, but officials contend that the dams do not belong to the town.   The Town of Hampden has asked for title research assistance on a dam where the Office of Dam Safety has identified a private owner, but where ownership is also under dispute.   In Huntington, the town disputes its ownership of a dam at Norwich Pond, where town officials believe failure is likely to occur in the near future.   

The City of Springfield reports that it has already conducted title research on the Baystate Plumbing and Heating Pond Dam, a significant hazard dam, and determined that the City does not own the dam.  In Monson, there is a significant hazard dam in poor condition, but DCR indicates that ownership is not known.  The Town of Monson did not have anyone knowledgeable in place to respond to PVPC’s dam survey.  While no services were requested, this dam in Monson is listed in Table 3 so as not to lose sight of the issues at this particular dam. 

Under this dams services assessment project, PVPC worked with Professor of Law Samuel Stonefield at Western New England College of Law to explore establishment of a pilot program for title research on dams, beginning with the Norwich Pond Dam.  Student and faculty turnover, unfortunately, disrupted efforts and Professor Stonefield has not been able to move forward with the proposed pilot effort.   

Given the implications of unknown and disputed ownerships at these dams, and the costs to municipalities of shouldering such a responsibility, PVPC has prepared a regional services invitation to bid on title research (see Appendix E).   Details on how communities and the Department of Conservation sign on to this effort and how such work might be funded must still be determined.  

Exploring Options for the Future Where dams no longer provide any function, such as power generation or water supply, the cost of inspections and repairs can be particularly burdensome.  Seven municipalities indicated a need for services to help explore options for the future at 11 dams.  Of these needs indicated, 3 are specifically for exploring retrofit of a dam for hydropower generation, 5 requests are specifically for exploring removal of a dam, and 3 are for a broader exploration of future options.  See Table 4 in Section 6 of this report.   

Retrofitting dams for hydropower Making determinations about the feasibility of retrofitting a dam for hydropower follows certain rules of thumb.  The potential amount of energy to be generated and value of that energy on the market must be balanced against the likely costs of permitting and licensing through the Federal Energy Regulatory Commission (though dams generating 5 megawatts or less are exempt from FERC licensing).   Because licensing and permitting a hydropower project is costly, one hydropower developer says that to be financially viable a project must have the

potential to generate at least 2 million kilowatt hours per year.   If the process of permitting and licensing with FERC is streamlined in the future, this threshold for financially viable projects could shift, though it will remain important to understand the ecological resources at stake and the likely position of state environmental resource agencies and environmental non‐governmental organizations with respect to any given dam. 

Dam removal and other options to be explored To address the need for services to explore dam removal and to explore other future options more broadly, PVPC can connect municipalities with the Massachusetts Fish and Wildlife’s Division of Ecological Restoration and where possible other resources.  Where it makes sense, PVPC will pursue grant funding to help communities come to a decision about their dams.  For example, PVPC is currently working under a grant from the Massachusetts Environmental Trust to help the Belchertown Land Trust in their decision making about the future of the Upper Bondsville Dam, a significant hazard dam in poor condition that crosses the Swift River between Palmer and Belchertown. 

Public Outreach and Communication With several communities it seems the most important issue is to promote better communication between a dam owner and a municipality.  For example, the Town of Granville has expressed a need for inspections and public outreach on two dams within its municipal boundaries the Cobble Mountain Reservoir Dam and the Granville Reservoir Dam.  These are both high hazard dams, but they are owned by Springfield and Westfield respectively.   The Town of Southampton has also indicated a need for inspection services for two dams owned by the City of Holyoke because they lack information on the age and condition of these high and significant hazard dams within their town boundaries.  Several towns expressed concern about dams owned by the Department of Conservation and Recreation.   See Table 5 in Section 6 of this report. 

Other Services Some help requested by municipalities did not fall within a specific service category.  See Table 6 in Section 6 of this report.  With municipal budgets so constrained, two municipalities indicate that they need funding for repairs on dams above all else.  (The number of poor and unsafe dams in the region indicate that this may be the case in many other municipalities as well.  See Section 3 of this report.)  Another municipality requested repair work on two DCR owned high hazard dams that are in poor condition.  Communication with DCR seems important here.  One municipality requested legal assistance with a lease arrangement and another municipality indicated the need for help in addressing beaver activity.

SECTION 3:  DAMS OF HIGHEST PRIORITY FOR ATTENTION There are 26 dams in the Pioneer Valley region reported to be in poor or unsafe condition.  According to the Office of Dam Safety,  

“Poor condition indicates a dam with major structural, operational, maintenance and flood routing capability deficiencies….Unsafe condition indicates a dam whose condition, as determined by the Commissioner, is such that a high risk of failure exists. Among the deficiencies which would result in this determination are: excessive seepage or piping, significant erosion problems, inadequate spillway capacity and/or condition of outlet(s), and serious structural deficiencies, including movement of the structure or major cracking.” 

Fifteen of these poor or unsafe dams in the Pioneer Valley region are rated as high or significant hazard, while 11 are rated as low hazard.  Municipalities registered concerns, expressed a need for services, or provided updates on all of these particular high and significant hazard dams in their survey responses.  Only one of the high hazard dams did not come up in the survey at all: the Pulpit Rock Pond New Dam in Monson with no owner identified.   Ten of the low hazard dams in unsafe or poor condition did not come up in the survey with municipalities.  See Table 7 in Section 6 of this report for a full listing of these poor and unsafe dams.   In a follow up note, the City of Springfield explained that it is not aware of the low hazard Putnam’s Puddle Dam and that it had filed a Phase 1 Inspection Report with the Office of Dam Safety in July 2009.   

While, six of the high and significant hazard dams in unsafe or poor condition are privately owned, these seem to be receiving attention through advocacy by the municipalities.   It will be important to move forward with services for the highest priority public dams, but also find a way to help municipalities with these problem private dams in their midst.  As such, the list of dams within the recommendations does not make a distinction between whether the dam is publicly or privately owned.  

 

SECTION 4:  CONCLUSIONS  The needs assessment on dams in the Pioneer Valley region, indicates that there is a struggle to fully attend to dams.  From all reports, this is not unique to this region.  In large part, this struggle is due to the high capital costs of repairing and maintaining dams.  At the same time, there is a need for more information about possible future options for dams, particularly where a dam is no longer serving a specific function such as water supply or power generation.   

Help with Capital Costs There are some good grant programs for removal of a dam, but few sources of funding for dam repair and maintenance.   The need for help with these capital costs has been recognized by several Massachusetts legislators who have introduced bills to create revolving loan funds for repair or removal of dams (in this current session Senator Pacheco SB427 and Representative Smizik HB834).  Also, Senator Brewer has introduced a bill that if passed would enable the Town of Charlton to address maintenance of privately owned dams of concern by assessing

betterment fees to “…pay any and all costs of or relating to acquiring, owning, maintaining or improving any such dam or dams. Such betterments may be assessed upon properties benefiting from the acquisition, ownership, repair, maintenance or improvement of such dams and in such amounts as the selectmen shall determine.”    

The Need for More Information To address the need for more information about possible future options for dams, there are some important resources that need to be brought together for municipalities.  These resources relate generally to future options involving dam removal, retrofits of dams for hydropower, and fee mechanisms and programs for repairing and maintaining a dam that does not generate income for a dam owner but has recreational values that a community seeks to protect.  

Massachusetts Fish and Wildlife’s Division of Ecological Restoration (formerly Riverways) and the non governmental organization American Rivers have great expertise on dam removal, and can also provide important insights on the ecological impacts associated with hydropower development.  The Division of Ecological Restoration has worked with the Department of Environmental Protection and with the Office of Dam Safety in the development of several important guides.  The Division of Ecological Restoration has also conducted a series of trainings to develop a corps of people in the state who can serve as managers of dam removal projects.   One PVPC staffer has participated in this training program. 

Another important resource for municipalities is The Massachusetts Technology Collaborative, which offers grants to explore the feasibility of hydropower projects, including the use of existing conduits for water supply, etc.  There are also important examples from communities that have developed watershed districts (taxable districts that provide funding for dam repair and maintenance) or explored the use of betterment fees as a way to repair and maintain a dam.   These case studies need to be more widely described for municipalities.   

SECTION 5: RECOMMENDATIONS  A regional services program on dams should begin with a focus on the key lower cost services, such as title research, Phase 1 inspections, and addressing the need for more information about future options.   Addressing the larger issue of capital costs may occur through information sharing, where municipalities learn about creative options such as the establishment of watershed districts, but there is no clear set of services that can address this important issue of financing repair and maintenance.   

For the services described through the recommendations below, the high hazard and significant hazard dams listed in Table 7 should be of highest priority for attention in the region based on both their unsafe or poor condition and the threat they pose to public safety should they fail structurally.  Services required for these dams varies greatly.  Recommendations for specific services below identify these priority dams in italics.          

Based on the responses municipalities had to the PVPC survey, the following set of seven recommendations constitute the framework for services that could be provided through a regional program for dams.  Recommendation #1, however, will occur through the

dissemination of this final report.   Identifying funding sources for this program or for program elements is an important next step in moving forward with this program. 

Recommendation #1: Provide names of dams to Massachusetts Division of Ecological Restoration (Riverways) for which municipality wishes to explore dam removal  

Several communities expressed a desire to explore the possibility of dam removal.  One of these dams, the Mountain Lake Dam in Chicopee is high hazard and in poor condition.  Though Northampton has the high hazard poor condition Robert’s Meadow Upper Reservoir Dam, the City is already working with an engineering firm to explore removal.  PVPC will forward the list of dams below to the Massachusetts Division of Ecological Restoration, formerly Riverways, which may be able to help PVPC and municipalities with some of the next steps in exploring removal.  The dams, drawn from Table 4, are as follows.

Recommendation #2: Identify possible funding strategy and then issue invitation to bid on title research for dams where ownership is unknown or contested 

Identify a funding strategy and then issue the invitation to bid on title research (Appendix E) to resolve all dam ownership issues in the Pioneer Valley region.  Before issuing this bid, work with DCR to make certain that the list of dams that require title research is complete.  Where deemed appropriate by a municipality, this list will also include dams where private parties are contesting their ownership, especially where the condition is poor and the hazard index rating is high or significant.   Title research will be conducted in priority order, depending on the condition of the dam and its hazard index rating.  The dams for research currently known are as follows (drawn from Table 2 and Table 7):

Recommendation #3: Identify possible funding strategy and then develop regional services request for proposals for Phase 1 inspections 

Phase 1 inspection services were requested on 18 dams, 10 of which are publicly owned.  Such inspections typically cost $2,000 to $5,000, with follow up Phase 1 inspections being less expensive.  There can be certain economies of scale that can be achieved by issuing bulk requests for these inspections.   The regional services request for Phase 1 inspections could address the 10 municipal dams listed in priority order in Table 1.  This request might also be

expanded to establish a flat rate fee for such inspections for all municipally‐owned dams in the region on an as needed basis.    

 

Recommendation #4: Work with the Massachusetts Department of Conservation and Recreation to communicate better about the status of the dams in their portfolio 

Several communities that have DCR‐owned dams within their boundaries, have expressed concern about the threat these dams pose to public safety.   It would be very helpful for communities to better understand from DCR the status of these dams and progress made toward resolving any problems.  The municipalities might, in turn, be of use to DCR in working with legislators to make the case for funding of safety improvements at specific dams.   DCR owned dams that pose specific concerns for municipalities based on PVPC’s survey (and drawn from Tables 5, 6, and 7 in the report) are: 

Upper Highland Lake Dam, Goshen, High hazard, Poor condition  Lower Highland Lake Dam, Goshen, High hazard, Poor condition  Aldrich Lake Dam, Granby, Significant hazard, Unsafe condition   Jabish Brook Dam, Pelham, Low hazard, though higher risk now due to    beaver activity 

 

Two other DCR owned dams in the region that are recorded as in poor condition (drawn from Table 7) are:

Recommendation #5: Produce resource guide for municipalities on hydropower 

Explore a possible collaboration with the Massachusetts Technology Collaborative to develop a resource guide for municipalities on hydropower.  The guide should describe hydropower generation, including run of river and recent developments in the use of existing conduits (i.e., water supply distribution systems), which are exempt from FERC licensing.  The guide should also describe state programs and opportunities to examine the feasibility of such projects, and important ecological considerations when examining hydropower options.   

 

Recommendation #6: Work with communities to explore options for the future 

Several communities did not stipulate whether they want to pursue hydropower or dam removal options, but spoke more generally about exploring options for the future.   PVPC and interested partners should identify funding sources so that it can help communities explore future options that make sense at their particular dam.   PVPC is already working with the

Belchertown Land Trust to explore options at the Upper Bondsville Dam.  Other dams where such services would be helpful as are follows based on survey responses (drawn from Table 4):

Recommendation #7: Develop and conduct a regional meeting for dam managers Municipal dam managers often struggle in isolation with attending to their dams.  One respondent to the survey in particular expressed great frustration with finding monies to repair a dam when municipal budgets are so tight.   In contrast, the City of Springfield, while it has many troubled dams in its portfolio, is identifying some creative ways to move forward with repair.  There are also many other important conversations about public safety and options for the future that could benefit municipal dam managers.  A regional meeting would also present opportunities for dam managers to connect with one another and overcome communication issues where they have concerns about the status of dams within their boundaries that are owned by other municipalities.  A conference seems the best forum for such conversations and could bring dam managers together with one another and with important resource agencies within the state, including The Massachusetts Technology Collaborative, the Massachusetts Fish and Wildlife’s Division of Ecological Restoration, and the Massachusetts Department of Conservation’s Office of Dam Safety.

Appendix A - Survey Cover Letter and Form

September 18, 2009 Dear __________ While the example of the Whittenton Mill Pond dam failure in Taunton during a heavy October rainfall provides important impetus to avoid such threats to public safety and extreme costs of such emergency responses, it is clear that many dam owners are struggling with the responsibilities of inspections, repairs and maintenance. As a first step toward easing these pressures in the Pioneer Valley, the Pioneer Valley Planning Commission (PVPC) is conducting a survey of dams throughout the region to identify needs and develop a package of services that could help reduce costs to our member communities. This package of services could include: safety inspections, ownership research where the issue of dam ownership is unknown or unclear, and reconnaissance surveys and public outreach to determine options for the future of a dam, including power generation, removal, and/or modification. The enclosed spreadsheet shows information for both public and private dams within the boundaries of your municipality, as well as information for dams owned by your municipality (that may be located in other municipalities). There is also a map enclosed showing known locations of dams within your municipality. Please take a few minutes to add, update, and correct any information on the spreadsheet and the map, and to answer the questions on the enclosed survey. Then send material back to us using the enclosed mailing label and postage (you can use reuse the envelope that we sent to you). I need your response by Friday, October 2. Once we receive responses, we will rank projects throughout the region, and develop regional requests for proposals to procure services for dams. Provision of these services will depend on the availability of funding. Support for this regional services initiative comes from the Massachusetts State Legislature, which has provided Direct Local Technical Assistance funding to PVPC. TITLE RESEARCH CONSULTANT

A. Project Overview

1. On behalf of its municipalities, The Pioneer Valley Planning Commission (PVPC) is in need of a Title Research Consultant to research and identify owners on each of four dams in the region. The title standard shall be the Real Estate Bar Association standard. The Title Research Consultant will be responsible for title research to establish ownership for the following dams:

Pulpit Rock Pond New Dam, Monson, Significant hazard, Poor condition Hardwick Pond Dam, Ware, Significant hazard, Fair condition O'Brien Pond Dam, Ware Significant hazard, Fair condition Driscoll Pond Dam, Hampden, Significant hazard, Condition unknown Norwich Pond Dam, Huntington, Non jurisdictional

Task 1. Conduct title and deed research to establish ownership on the five dams specified above, including the following tasks:

Consult local Assessor’s records to determine abutting landowners

Conduct Registry of Deeds search, chaining deeds to these properties

Run names of landowners forward and note whether they granted anything or released

anything related to their property

Conduct all other necessary research (i.e., Land Court, local history, town records, and Legislative Acts) to produce a chain of titles and descriptions of ownership history at each of the dams. Provide documentation and description the year that the dam was put into place and the legislative acts giving the right to impound the water of a stream or pond.

Task 2. Prepare a separate document for each dam reporting and describing all findings including the following:

Deed information, including grantor, grantee, date and book and page number

All notes relating to the dam, including whether the owner eventually purchased the perpetual

right to flow and the conditions under which maintaining the dam can continue

Any other relevant information

All sources consulted.

C. Bid Submission Procedures

1. The submission and review of all bids must comply with Chapter 30B of the Massachusetts General Laws, and any other applicable state and federal regulations. Acceptance of any bid submission to provide such services is subject to the continued availability of funds.

2. A sealed envelope should clearly identify the party submitting the bid and indicate that it

contains bid information for the Title Research Consultant Bid. An original and two copies of all requested materials and documents must be contained in each bid submission. Envelopes should be submitted to:

4. At the time the bids are opened, a register of all bids, including the name of each bidder, price

submission and the number of bid modifications submitted by each bidder, will be made available to the public.

D. Modifications to Proposals

1. Modifications to bid submissions may be submitted prior to the date and time specified for receipt of bids.

2. An original and two copies must be submitted together with a transmittal letter signed by an

authorized official of the firm. 3. Modifications must be submitted in sealed envelopes, clearly marked "Title Research

Consultant - Modification No.__".

E. Submission Requirements

1. Each bid submitted should contain the following:

a) A current resume detailing work history, experience and compliance with minimum qualifications.

b) Price Proposal (Attachment A)

c) Certificates of Non-Collusion, Non-Discrimination and Affirmative Action, and Compliance

(Attachments B, C, and D).

d) A list of at least four (4) references (Form provided in Attachment E must be used).

e) The name and title (if any) of all those who will be assigned to this project.

2. If any part of the scope of services under this IFB is to be completed by a subcontractor, the bidder will provide a complete description of the services to be subcontracted for along with a complete description of the qualifications and capabilities of the subcontractor. As part of the contract award for services, the PVPC reserves the right to approve or disapprove any and all such subcontractors and to revoke any approval previously given.

F. Quality Requirements

The following shall be considered minimum standards necessary to perform the scope of work. Acceptable evidence or certification must be provided to demonstrate the minimum standards are being met. Failure to meet the minimum standards as described below shall result in a rejection of the proposal.

1. The Title Research Consultant must have at least ten (10) years of previous title research

experience. 2. The Title Research Consultant must have performed at least one similar search involving a unique

and non-residential property.

3. The Title Research Consultant must possess, or be able to obtain prior to entering into a contract, a minimum of $500,000 professional liability insurance.

G. Rule for Award

1. The award will be made to the lowest priced responsive and responsible bidder who meets or exceeds the quality requirements as provided in Section F of this IFB.

2. Price proposal comparisons will be based on the fees itemized in Attachment A. The best price

shall be the lowest total cost.

3. As previously noted, the PVPC reserves the right to reject any proposal which, in its judgment, fails to meet the requirements of this IFB or which is incomplete, conditional, or obscure; or which contains additions or irregularities; or in which errors occur; or if it is determined to be in the best interests of the PVPC to do so.

4. The PVPC reserves the right to waive minor informalities of form (not substance) or permit a

competing firm to clarify or correct such discrepancies without prejudice to other bidders or the PVPC. The PVPC reserves the right to award the contract up to forty-five (45) days after the proposal due date.

5. The PVPC will be the awarding and contracting authority.

WITNESSETH THAT: WHEREAS a number of communities throughout the Pioneer Valley Region have requested assistance in determining ownership at dams located within their town boundaries; and WHEREAS … NOW THEREFORE, in consideration of the foregoing and of the mutual covenants and agreement hereinafter set forth, the parties agree as follows: I. TIME OF PERFORMANCE: The services of CONSULTANT are to commence on _______________.

All services required hereunder shall be completed on or about _________ unless otherwise agreed to by the Commission and CONSULTANT. Performance in a manner which hinders the timely implementation of the program, without good cause, shall constitute grounds for termination of this Contract under Article XI (A.1.).

II. RESPONSIBILITY OF THE COMMISSION: The Commission shall assume responsibility for assisting

insofar as possible for the purpose of efficiency and furnishing CONSULTANT with adequate information, administrative and office support needed to satisfactorily complete the services.

III. SCOPE OF SERVICES: The CONSULTANT shall perform those services as detailed in Attachment X. IV. STAFFING: In carrying out the foregoing services, CONSULTANT shall provide adequate replacement

staff, for the purposes of carrying out the required services to fulfill the obligations under this Agreement, during the temporary absence of CONSULTANT or scheduling conflicts of CONSULTANT. The Commission reserves the right to approve or disapprove any staff or subcontractor hired by CONSULTANT.

V. COMPENSATION: The Commission will pay CONSULTANT at a rate of XXX XXXXX. The CONSULTANT will bill the Commission for services provided per this Agreement. Each bill will be

accompanied by a progress report prepared by CONSULTANT which describes work to date. The CONSULTANT will be paid, upon receipt of an invoice, within 30 days of receipt of payment. The CONSULTANT shall not be entitled to any other compensation from the Commission for its performance under this Contract. The Commission will reimburse CONSULTANT for program related expenses such as postage, photography, etc. The Commission will not reimburse CONSULTANT for office supplies or mileage, unless a Commission pre-approval has been received for that specific item.

VI. SPACE: The Commission shall provide the CONSULTANT with adequate information, administrative

and office support needed to satisfactorily complete the services and perform its obligations under this Contract. In addition, the CONSULTANT will report to the Commission office as needed to meet with Commission staff and/or hand deliver payment requests, contracts, change orders, etc.

VII. COMPLIANCE WITH _________________: VIII. ASSURANCES: IX. SEPARABILITY: If any portion of this Contract shall be declared invalid, it shall not affect the validity of

any other portion. X. AMENDMENTS: No amendments or alterations to this Contract shall be made except upon written

mutual agreement of the parties. XI. TERMINATION: A. The Commission may suspend or terminate this Contract by providing the recipient with fifteen

(15) days written notice for reasons outlined as follows: 1. Failure of the CONSULTANT, for any reason, to fulfill in a timely and proper manner its

obligations under this contract including compliance with applicable federal, state or local laws, or regulations, and such procedures or guidelines as may be established by the Real Estate Bar Association ;

2. Submission by the CONSULTANT to the Commission of reports that are consistently

and continually late, incorrect, or incomplete in any material respect; 3. Cancellation, revocation, suspension, or termination of those State or Federal Grant

Agreements providing funding for the Pioneer Valley Planning Commission for title research on dams.

4. Violation of Section VIII. I. of this Contract. 5. A determination by the Commission that the CONSULTANT has engaged in fraud,

waste, mismanagement, or misuse of funds, or criminal activity with any funds provided by this Contract.

Except in the case of a suspension or termination resulting from 3.or 4. above, The

CONSULTANT upon receipt of a notice to suspend or terminate this Contract shall have fifteen (15) days to reply in writing, if CONSULTANT does not concur with the reasons for the suspension or termination.

B. The CONSULTANT may suspend or terminate this Contract by providing the Commission with

fifteen (15) days written notice for the following reasons: 1. Failure by the Commission to pay the fee in accordance with Article V. 2. Actions or inaction’s by the town or the Commission which seriously hinder the

CONSULTANT's ability to perform its obligations in accordance with this Agreement and applicable federal, state, or local law.

3. A reasonable determination by the CONSULTANT that the satisfactory completion of

one or more of the agreed upon activities is rendered improbable, infeasible, impossible or illegal, without fault of the CONSULTANT, provided however that CONSULTANT shall first have

a. advised the Commission of the reasons for the determination, and b. developed and proposed such solutions as appear feasible, and c. sought to negotiate an amendment of the Agreement with the Commission, and

such efforts have not satisfactorily removed the impediment to completion. C. In the event of suspension or termination, the Commission shall pay the CONSULTANT for

services rendered through the date of suspension or termination. XII. ASSIGNMENT AND SUBCONTRACTING: Inclusive of Section IV. of this Agreement, the

CONSULTANT may not subcontract, sell, transfer, assign, or otherwise dispose of this Contract or its rights, title, or interest therein, without the prior written approval of the Commission.

XIII. NON COLLUSION AND/OR FRAUD: The CONSULTANT agrees to perform this contract in good faith and without collusion or fraud with any other person and shall not cause to interfere or influence any related contract or program as a result of the services agreed upon hereunder.
