• The Second Party is an international specialist Destination Management Company with considerable experience and knowledge in connection with providing the services requested by QTA.;

Second Party means: Myriad^ MarketingInternational,LLC;

______Commencement Date means 1st August 2016 [01 / 08 / 2016], as further explained in Article (4)

below;

Tender means the tender No. 09/2015 issued by the First Party to request proposals for

services;

Proposal means the Second Party’s technical and

commercial final proposal after the direct negotiations between the First Party and Second Party and which has been accepted by the First

Party to execute the services mentioned.

Services means the services requested by the First Party to be implemented by the second party in the Tender, and described in clause [3] below;

Scope of. works means the Services programme for

the commencement, execution and completion of the Services, hereinafter as (Scope of Work or

"SOW”) and attached hereto as Annex (l);

Day means a calendar day, consisting of 24 hours from midnight to midnight;

Working Day means a Day other than a Friday,

Saturday (as applicable) or those days declared as public holidays in the State of Qatar.Confidential Information means all non-public information, in whatever form, relating to the business of either Party, the Services and/or

Licensed Materials, including, without limitation

other information or data regarding a Party’s systems or technical information, books, records,

2. InterpretationIn this Agreement, unless the context otherwise

Article (3fThe Second Party hereby acknowledges that it was

informed of the plan of the Services and inspected all technical requirements needed by the First Party to carry out the Services hereof and provide all technical support works. The Second Party also acknowledges that it has reviewed all works

required for the performance of this Agreement in a way that satisfies the First Party's workflow and

requirements, reviewed all requirements needed, and has comprehensively studied all matters from all aspects and has fully acquainted itself with all

works assigned, and based on the same, it submitted its Proposal.The Proposal referred to hereinabove aligns with the Scope of Work and Timetable of SOW which has been approved by the First Party and this constitute an integral part of and a complementary

thereof.It has been agreed between the parties hereto that the Second Party shall carry out all comprehensive works required for the. performance of all works and services hereof, and execute the Scope Of

Article (4)Term of the Agreement

The validity period of this contract will be (36) thirty-six calendar months, beginning from the

Commencement Date.,

The Second Party shall execute the Scope of Work

which is contained in Annex (1) within the timetable However, the First Party shall reserve the right to terminate the Agreement before the Second Party’s commence execution of the works, and the Second

Party may not object or claim any compensation against the First Party for such action.The Second Party shall deliver all works assigned and stated herein to the First Party completed on the dates stipulated .The works shall be fully delivered to the First Party after completion of all

phases by virtue of Report of Handover indicating the First Party’s acceptance of such works, while the Second Party shall remain responsible for supervising the completed works, subject-matter

Article (5)Increase or decrease in the SOW

Without prejudice to the accomplishment of execution in the agreed period, the First Party has the right to make any necessary modification during the execution period and the Second Party shall adhere to such modification.

The First Party has the right, throughout the term of the Contract to request the Second Party to

carry out Variations, as well as, to increase or decrease the scope of works and services, subject- matter herein with a proportion not exceeding 20% of the pecuniary value of the Contract, after

satisfying the required approvals and in accordance with the conditions and regulations provided in article (80) of the Executive Regulations of the Regulations of Tenders and Auctions Law No. (24), for the year 2015."

Article (6)Agreement Price & Payment Terms

1. In consideration for the Services delivered by the Second Party and accepted by the Authority, the Authority shall pay the Second Party in accordance with the prices provided in Annex (2) (Price Schedule) attached hereto (the “Price Schedule”).

terms are not specific, payment shall be within [thirty (30) days] after receipt of delivery and acceptance of the Services by the Authority.

4. In case of any unaccepted or disputed

Services, the Authority may, acting reasonably, withhold such part of the payment relating to those Services.

5. Unless otherwise agreed by the Authority, the Authority shall not be responsible for any out of pocket expenses or other ancillary costs or charges incurred by the Second Party in connection with the performance and delivery of the Services and/or this Agreement.

6. For avoidance of doubt, the prices agreed in the prices Schedule shall be deemed as inclusive of the Second Party's costs and

expenses, including, without limitation (a) the costs associated with any computer software or hardware, electronic equipment or information technology services purchased from third party vendors by the Second Party that are used for and during the performance of the Services; (b) the

costs of the Second Party’s compliance with any applicable law; (c) all taxes and license fees due by the Second Party; (d) all insurance costs incurred by the Second Party in connection with the performance of the Services; (e) all costs and expenses incurred in contracting with third parties to the extent permitted under this Agreement, and (f) legal fees in respect of litigation, arbitration, settlement or other proceedings

or negotiations in which the Second Party may be involved in with respect to the

Services.7. The Second Party shall be responsible for

towards First Party and shall conserve the final responsibility of the execution of its

task as regards technical and financial

matters.8. If the interests of work requested additional

work should be performed by a third party, such work is secured by a second party, in this case, the Second Party has to provide the First Party at least with three Quotations from three different suppliers (if applicable) in order to allow the First Party to compare and to choose the best supplier. The First Party shall be invoiced directly by the Second Party who will settle, the

payments with the Third Party, upon payment from the First Party.

9. Taking into account the above-mentioned in regard to the other services’ remuneration: In compensation of the other services,

which shall be possibly incurred by the Second Party, acting as independent

contractor, the Second Party’s remuneration shall be the subject of an estimate, and shall be submitted for prior agreement of the First Party.

10. All technical services provided in the framework of the present contract, incurred

by the Second Party acting as an independent contractor, shall be invoiced at the price of the Quotes submitted to the First Party in advance for approval. The Second Party will identify7 these special payment conditions in advance and advise the First Party accordingly.

11. Costs and expenses incurred at the First

Party’s request, including but not limited to, research studies, external advice, specialized

consultation and services, shall be the subject of an estimate, submitted for prior agreement by the Client before invoicing.

12. It is agreed between the parties hereto that the total price amount mentioned above shall include all amounts which the First Party takes upon itself to pay to Second

Party in consideration of the execution of the scope of works by the Second Party,

which amount shall include all fees, wages,

expenses and costs required for the execution of this contract. The Second Party shall borne any additional amounts whatsoever incurred as charges, expenses, fees and remunerations for personnel and

equipment, licenses, taxes ...etc., while the First Party shall only incur the agreed-upon price as set out above in this Article.

Article (7)Final Handover

Final handover of the works and services completed shall be made after completing all works of the Agreement as specified in the Scope of Work within the Timetable of SOW and after approval by the

First Party through a receipt signed by both parties.

Article (8)Certificate of Completion

Certificate of Final Completion shall be issued each time for the works completed after approval by the First Party supervisor for the works.Certificate of Final Completion is the key to settling the payments stipulated in Article (6) above in each batch of payments that unrequited, non-issuance of the certificate every time is not reimbursable.

ATAR

1. In ease the Authority determines that the delivered Services are non-conforming, or are

otherwise lacking what the Authority reasonably requires to be able to accept and use the Services, the Authority may, in lieu of rejecting the Services, notify the Second Party in writing with adequate details regarding the detected non-conformance and request the Second Party to rectify the Services. The Second Party shall

immediately thereafter take such necessary steps to rectify the Services and/or remedy any non-conformance, or otherwise obtain the Authority’s approval on a plan to rectify the Services within a reasonable period of time, at the Second Party’s own cost and expense.

2. The Authority’s failure to provide a notice to the Second Party in a timely manner as provided above shall not be considered as a waiver by the Authority of its right to require the Second Party to correct such Services at a later date as long as such request is made during the Term.

3.. Without prejudice to the Second Party’s obligation of timely delivery of conforming Services, the Second Party shall immediately give the Authority notice in writing of any delay in delivery or non-conformity in the Services. Failure to deliver on the date specified, or subsequently agreed, of conforming Services shall entitle the Authority (without prejudice to any other rights it may have) to:

a) cancel the relevant Services without any penalty to the Authority;

b) refuse to accept any subsequent Services;c) recover from, the Second Party any

expenditure reasonably incurred by the

Authority in obtaining the Services in substitution from another Second Party; or

d) claim damages for any additional costs

incurred by the Authority that are in any

Article (13)Obligations of the Second Party

In addition to any other obligations which rest with the Second Party and which are provided for in this

Agreement, The Second Party shall abide by carrying out the following:

1) The services described in the SOW and any other tasks reasonably requested by the First Party in connection with these Services. Upon execution of this Agreement, the Services shall include the following:

a. The services described in the SOW Schedule 1 attached.

b. All items listed in the Second Party Proposal.

2} The Second Party shall perform the Services in a professional manner and in compliance with the terms of this Agreement and all applicable laws.

3) All works and services must be created and they should not be drawn or extracted from previous or used works, or preserved

programs of another party. The Second Party will be solely responsible for Third

Party copyright or intellectual property.4) The Second Party agrees to carry out all the

works concerning this Agreement in

5) The Second Party must conclude ail

actions to carry out all the SOW and works which are mentioned in this Agreement.

6) The Second Party agrees to carry out all the indicated works according to periods, dates and the time-table submitted from them in the SOW.

7) The Second Party agrees to submit a detailed monthly report outlining the

implementation and progression of all the

Services and works which are mentioned in the SOW, in accordance to the time-table of the implementation of works.

8) Without violation of completion of the all Services and works in the time agreed, the First Party has the right to make modifications if required during the carrying

out of the SOW, and the Second Party should adhere to these modifications, and the settlement between the two parties, in this instance, will be according to the actual delivery of the works.

9) The Second Party should follow the First Party’s instructions and notices during the implementation of the SOW; this will be done in writing directly to the First Party or by its representatives. Also, The Second Party should adhere to all the current bylaws and regulations in each instance related to the all Services and works required from them, and further adhere to issuing of any permits and payment of any fees, any kind of taxes and any kind of expenses

concerning the carrying out of the Services and works.

10) The Second Party shall perform the SOW described in this Agreement, and any other

casks reasonably requested by the First

Party in connection with the SOW upon execution of this Agreement. And the Second Party should carry out the additional works and any other tasks after such have been approved by the First Party and

mutually agreed upon in writing.11) The ownership of the executed work will be

transferred to the First Party (QTA) after implementation. And the rights of the intellectual property publishing and transmission concerning the Agreement works must be transferred to (QTA).

12) All required works of the Agreement must be prepared on (open source) and be delivered to the First Party (QTA). The competence of insertion and alteration on the date, and the publishing and transmission use are preserved to the rights of the First Party (QTA).

13) For the avoidance of doubt, it is agreed that

the First Party shall have the right to request certain Services to be provided in Arabic, English or both languages._______ .

Article (14)Representations and warranties

The Second Party hereby represents and warrants, and at all times during the Term shall be deemed to represent and warrant, to the Authority that:

a. The Second Party is fully able to perform the

Services pursuant to this Agreement;b. Neither the entering into nor the

performance of this Agreement shall constitute of give rise to any breach of any

agreement to which The Second Party is a

Article 1151confidential information

e. Both during and after the Term, the Second

Party shall not disclose any Confidential Information pertaining to the Authority to third

parties and shall cause its employees, agents, representatives and consultants not to directly or indirectly disclose such Confidential Information to third parties except as provided

in this Clause 15. The Second Party shall take reasonable security' precautions at least as great as the precautions it takes to protect its own Confidential Information (but in any event no less than reasonable care) to keep the Authorities Confidential Information

confidential. The Second Party' may disclose the Authority's Confidential Information only to its

employees, agents, representatives and consultants necessary for the fulfilment of this Agreement and who have a need to know.

f. The Second Party’s obligation not to disclose

Confidential Information shall not apply in the following circumstances: (1) with the prior written consent of the Authority, or (2) by reason of legal compulsion in any legal proceedings or pursuant to law. In the event the Second Party proposes to make any such disclosure pursuant to the exclusion contained in item (2) of the preceding sentence, the Second Party shall, prior to making such

disclosure and to the extent legally permitted, furnish the Authority a written opinion of legal

counsel reasonably acceptable to the other

1- The Second Party acknowledges that the Authority is the owner of the Marks and of the

entire right, title and interest in, to and under any intellectual property embodied in the Marks.

2- Nothing contained herein will confer on the Second Party any right to or interest in any Mark, and the Second Party shall not use any Mark except on or in connection with the Services or as permitted by the Authority pursuant to this

Agreement.3- The Second Party hereby represents and warrants to the Authority that it is the sole and lawful owner or an authorized user of all intellectual property in the Services, including, without limitation, any patents for, and copyrights in, hardware and software used in the

resulting from or relating to the performance of this Agreement and/or the Services shall be the

sole and exclusive property of the Authority. To the extent necessary or appropriate, the Second

Party shall grant the Authority an exclusive, unlimited and perpetual license with respect to any and all intellectual property rights relating to the Services, which license shall include without limitation, the right to use, reproduce, amend and

license all or part of the intellectual property

rights contained in the Services.5- The Second Party shall promptly inform the

Authority of the development of any intellectual property during the Term and shall promptly cooperate with the Authority in signing any documentation necessary to assign such

intellectual property to the Authority or to allow the Authority to register its property7 rights therein, and shall obtain agreements from its employees and agents as necessary to effectuate

the purposes of this clause.6- The Second Party7 shall defend, indemnify and hold harmless the Authority from and against any claim that the sale or use of the Services infringes

any intellectual property right, including any patent or copyright, of a third party and any

related losses, liabilities, damages, costs and expenses (including any and all reasonable attorneys’ fees and costs of investigation, litigation, settlement and judgment), interest and penalties; provided that the Authority shall give the Second Party prompt written notice of such claim and the information, assistance and

authority, at the Second Party’s expense, to enable the Second Party to defend such claim and the Second Party shall have sole control of the

defences and all related settlement negotiations.

This Agreement shall expire at the end of its term,

unless renewed at the request of the First Party and with the consent of the Second Party.

1- This Agreement shall become effective as of

the Effective Date and will remain in effect until

the end of the Term, after which this Agreement shall be subject to the Parties’ express

agreement to renew the Agreement for successive Renewal Term, either on the same terms or upon agreement by the Parties on new terms, not later than [sixty (06)] days prior to the end of the Term or the then-current

Renewal Term.2- Notwithstanding the foregoing, this

Agreement may be terminated prior to expiration of the Term or any Renewal Term as follows:

3- The Second Party may terminate this Agreement if the Authority commits a material

breach of this Agreement (which may include non-payment hereunder) and, if capable of cure, such breach continues more than Two (02) months after written notice of such breach is given to the Authority by the Second Party.

4- The Authority may terminate this Agreement if the Second Party commits a material breach of this Agreement and, if

capable of cure, such breach continues more than ten (10) Business Days after written notice of such breach is given to the Second Party by

the Authority.5- To the extent permitted by applicable law,

either Party may give notice of termination, effective immediately if and when (a) the other party becomes insolvent or admits its inability

to pay its debts generally as they come due, (b) a case is filed against the other Party under any applicable insolvency law and such case continues undismissed for ninety (90) days; or

(c) the other Party is dissolved or liquidated or

takes any corporate action for such purpose.6- The Authority may terminate this

Agreement for convenience at any time (in case

interest so requires Such as: requiring public interest, or because of the higher guidance, or due to the issuance of decisions from the higher authorities that will lead to the termination of the agreement) by giving written notice to the Second Party. On receipt of such notice, the Second Party shall cease all work relating to the

Services. In full settlement, the Authority shall pay a fair and reasonable price for all Services delivered or in a deliverable state at the date when such notice is given, together with such other charges occasioned directly by the

termination, as the Authority shall consider reasonable,

infringement, property damage, and any breaches arising out of the performance of the Second Party’s obligations under this Agreement, or otherwise in connection with the acts or omissions of the Second Party’s directors, officers, employees or agents at no expense to the Authority, except to the extent those claims are caused by the wilful misconduct of the Authority or its

representatives.3- Neither Party shall be liable for any claim

under the provisions of this Agreement, other than Clause 12, for any loss of profits, loss of

use, special, indirect, exemplary or

consequential damages.4- At all times during the term of this

Agreement, the Second Party shall at its own cost maintain in force policies of general commercial liability insurance providing coverage for the Second Party’s obligations under this Agreement, as well as coverage for

death, personal injury and loss and damage to personal property arising from use of the

Services.

hereof, the First Party has the right to either course of action as following:a) Carry out the works and services which the Second Party failed to perform at its own expense, and deduct the difference in price from the due amounts entitled for the Second Party by the First Party or any other governmental body, in addition to the penalty levied for the period of delay in completion of works and any loss incurred. However, if the actual price of the works and

services is less than the price agreed upon in the contract, the Second Party may not claim the difference in price, and without prejudice to the First Party's right to collect the penalty of delay.b) Terminate the contract and forfeit any financial

entitlements payable by the second Party. Whatever the case may be, the foregoing shall be

without prejudice to the First Party’s right to claim compensation from the Second Party against

damages incurred accordingly.

Miscellaneous Conditions

1- NO AGENCY: The relationship between the Second Party and the Authority is that of independent contractors. Neither Party shall be the agent of the other for any purpose whatsoever, or shall have any power or authority

to make or give any promise, warranty or

representation, to execute any contract or otherwise create, issue or assume any liability, obligation or commitment in the name of or on

behalf of the other Party, except to the extent specifically authorized in writing by the other

Party. Nothing contained in this Agreement shall

be construed so as to create a partnership or joint

2r FORCE MAJEURE: Neither Party shall be liable to the other in any way for failure or delay in carrying out the terms of this Agreement resulting from any cause or circumstance beyond

its reasonable control, including, by way of illustration but not lihiited to, any act of Cod, fire, flood, war, explosion, labor difficulties, inability to obtain necessary labor or materials, interruption of transportation, accident, civil commotion and acts of any governmental authority; provided,

however, that the Party so affected shall have given prompt written notice to the other Party hereto of anv such event which has or which mav have the effect of preventing or delaying its performance under this Agreement. No such failure or delay shall terminate this Agreement and

each Party shall complete its obligations hereunder as promptly as reasonably practicable following the cessation of the cause or circumstances of such failure or delay; provided

that each of the Second Party and the Authority shall have the right to terminate this Agreement if such failure or delay on the other’s part shall continue uninterrupted for more than [ninety (90)] days.

3- AMENDMENT: This Agreement may be amended by the Parties only by an instrument in

writing signed on behalf of each of the Parties.4- NO WAIVER: Any failure by either Party to

comply with any agreement, covenant or condition herein may be expressly waived in writing by the other Party hereto, but such waiver or failure to insist upon strict compliance with such agreement, covenant or condition shall not operate as a waiver of, or estoppel with respect

to, any subsequent or other failure.5- BINDING EFFECT: This Agreement is

binding upon and shall inure to the benefit of the Parties and their respective successors and permitted assigns.___________

6- NOTICES: All notices, requests, consents

and other communications hereunder to any Party shall be deemed to be sufficient if contained in a

written instrument delivered in person or sent by facsimile, electronic mail or internationally-

recognized overnight courier, addressed to such Party at the address set forth below each Party’s signature or such other address as may hereafter be designated in writing by such Party to the other Parties. All such notices, requests, consents and other communications shall be deemed to have been delivered and received (i) in the case of personal delivery or deliver}' by facsimile or electronic mail, on the date of such delivery and (ii) in the case of dispatch by internationally-

recognized overnight courier, on the next business day following such dispatch.

7- ANNOUNCEMENT: The Parties agree to consult with each other prior to issuing any public announcement or statement with respect to the transaction contemplated by this Agreement.

8- NO ASSIGNMENT: Neither this Agreement nor any of the rights, interests nor obligations hereunder shall be assigned by any of the Parties without the prior written consent of the other

Party.9- GOVERNING LAW: This Agreement and the

rights and obligations of the Parties shall be governed in all respects by the laws of the State of Qatar. The Parties hereby submit themselves to the jurisdiction of the courts of Qatar, for the resolution of any dispute arising under or in connection with this Agreement.

10- HEADINGS: The headings in this Agreement are for convenience only and in no way alter,

modify, amend, limit or restrict the contractual obligations of the Parties. The Annexes hereto are hereby incorporated herein by reference.

11- COUNTERPARTS: This Agreement may be executed simultaneously in two or more

Qatar as a visitor destination and generate increased international visitor traffic to Qatar. The Contractor will implement the approved Strategic Marketing, Public Relations and Communication

plan developed in conjunction with QTA’s Marketing and Promotions division.

The duration of the representation is for 3 years.

SCOPE OF WORK

The scope of work must include but not be limited to the following areas:

TRADE RELATIONS

* Trade Relations - Leisure: Build destination awareness and maintain and develop regular contact with tour operators, travel agents, wholesalers and airlines, to encourage initiatives and the expansion of their Qatar product line or air access routes to Qatar. Activities may include, but not be limited to sales calls, trade training, familiarisation trips, trade shows and attendance at trade events.

■ Trade Relations - MICE / Business Events: Build destination awareness and maintain and develop regular contact with incentive houses, PCOs, conference organisers and related associations and airlines, to encourage initiatives and the expansion of their Qatar air access routes to Qatar. Activities will be requested and charged on an ad hoc basis and not require full time servicing.

MARKETING

■ Marketing campaigns: Develop, initiate and fulfill marketing campaigns (both trade and consumer) in market as and when required by QTA.

■ Reports: Monthly reports will be required, including but not limited to travel trends and statistics, specifically relating to Qatar, as well as updates on all QTA projects and ROI on specific trade and/or PR promotions. Reports must include monthly budget expenditure and KPI updates and status.

■ Sales Missions/Workshops: Organise, manage costs and coordinate any proposed sales missions or educational workshops for QTA and their private sector partners in the region.

■ Budget Management: Manage all budgets relating to each activity and marketing initiative undertaken.

■ Key Trade Exhibitions: Provide comprehensive support at key trade shows in each region and if and where necessary, secondary regions including selecting and arranging appropriate trade, media and any other appointments and agendas for QTA delegations. You will be required to undertake full briefings on market trends, profiles of meeting attendees and have a dedicated on stand presence.

■ Marketing Campaign and third party partnership payment tracking: Submission and tracking of all invoice submissions to QTA Financing relating to approved campaigns. All invoices must be accompanied by support documentation verifying successful completion of activation by third party together with all direct banking details for payment processing.

■ Marketing Activities : MICE / Business Events : Developed and charged on an ad hoc basis and will not require full time servicing.

PUBLIC RELATIONS & COMMUNICATIONS

■ Public Relations: Develop and maintain a public relations and communication campaign that will generate positive media exposure of Qatar as a destination targeting both consumers and travel trade within Qatar’s targeted demographic. The specific goals and key messages of this campaign will be developed in coordination with QTA on an annual basis, but will typically include the following:

o Enhancing Qatar’s overall image o Deployment of the destination brand o Highlight Qatar’s diverse product in all key areas

The PR activity may include, but not be limited to media familiarization trips (both individual and group), press release dissemination, support at events and trade shows, general media liaison and meetings, crisis management and arranging high-level media agendas.

■ Trade, media and consumer response: Fulfill website, phone and email requests from travel trade, consumers and media, including brochure storage and distribution

■ Social Media create, respond and manage social media campaigns articulated to consumer trends in the region

■ Media monitoring and social media monitoring services: Provide necessary services through third party providers furnishing full detailed evaluation on print/web/radio/TV coverage relating to Qatar with a primary focus on tourism related exposure.

■ MICE / Business Events : Developed and charged on ah ad hoc basis and will not require full time servicing.

Please note that activity is not limited solely to above highlighted activities and you may be requested to undertake additional work upon request to be included within the monthly retainer fee.

Day to day reporting will be to the Chief Marketing & Promotions Officer, or designated appointee based at QJA in Qatar. This will include general enquires, advice, written reporting etc. Interaction with Head Office in Doha will be on a structured basis with optional weekly telephonic updates (or
