To whom it may concern,

The Pointe is requesting proposals from interested and suitably qualified entities to lease and operate Retail and Food & Beverage tenancies at their new development at One Bay Street, Nassau, The Bahamas.

INTRODUCTION

Construction recently commenced on the first phase of the $300MM Pointe project, located at the western end of Nassau’s bustling downtown neighborhood just steps from the cruise port. The Pointe is an unrivaled lifestyle and residential development, framed by a quarter mile of sun- kissed ocean frontage. This dynamic seven-acre district will include luxury residences, an entertainment hotel, a well-equipped marina, restaurants and world-class shopping interspersed with oceanfront promenades and swaying coconut palms.

PROPOSAL REQUIREMENTS

Interested parties should visit www.thepointenassau.com/tenant- opportunities and download the Retail, Bars & Dining brochure which provides an overview of the districts planned throughout the development. In addition, the Proposer should download and review the Design Manual, which describes the technical aspects of each tenancy space, together with the responsibilities/requirements that each end user is expected to comply with. This document should be passed to the architect/designer as it is mainly technical in nature.

Proposers shall submit the following for consideration to the Developer;

a. Conceptual – Describe in detail the Retail/F&B concept being proposed; how it will fit into The Pointe development and compliment the culture and quality of the project. b. Marketing & Customer Service – Describe the marketing plan and an outline description of the general operation, with an emphasis on measures designed to obtain maximum patronage during both peak and non-peak periods.

c. Hours – Provide proposed days and hours of operation for the proposed tenancy.

d. Menu – For Food & Beverage tenancies, include a copy of the proposed menu and any associated merchandise being proposed, which includes non- alcoholic and alcoholic beverages, portion sizes, suggested pricing and named brands.

Proposers should also include a brief history of their business entity, noting any changes (or proposed changes) to the Proposer’s name and ownership structure and any other DBA’s under which the Proposer has been doing business.

a. Operational – Submit sufficient information to allow The Pointe to evaluate the management structure and operating program of the proposed tenancy.

b. Describe current retail or F&B operations demonstrating competency in the desired tenancy. For Food & Beverage tenancies The Pointe may elect to perform a site visit to review/confirm current restaurant conditions.

c. Minimum Qualifications – Provide evidence that the Proposer has experience in the relevant business and be able to show progressive quality management of similar types of tenancy for the past five (5) years.

d. References – Provide references to evidence the minimum experience requirements, and annual gross generated.

e. Management Structure – Describe the management structure to be employed in the operation of the tenancy. Include a job description for the on-site manager; include the number of employees and a proposed daily schedule to deliver high levels of customer service during proposed hours of operation.

f. Insurance Coverage – Provide evidence that the Proposer has the ability to obtain the necessary insurance required for the operation of the tenancy. Acceptable evidence includes letter from the Proposer’s insurance company dated no earlier than two weeks before the submittal deadline date and signed by an officer of the insurance and security provider.

Proposers should include an outline capital investment plan illustrating the cost for interior construction, finishes, furnishings, fixtures, trade equipment, architectural and engineering fees and the proposed method of financing.

Proposers should include the following financing documents (enclosed in a separate envelope marked ‘confidential information’).

a. Reviewed financial statements including an audited balance sheet and income statement prepared by a Certified Public Accountant in accordance with generally accepted accounting principles (or tax documents for a sole proprietor) for the previous two (2) complete fiscal years, including disclosure and cash flow statements.

b. If it is intended that the business is operated as a sole proprietorship, then the Proposer must submit a personal financial statement no older than ninety (90) days and his/her most recent tax returns.

c. If the Proposer is a corporation, partnership, limited liability corporation or joint venture, and has been in business for less than one (1) year, then the Proposer needs to provide personal financial information for ownership which could include shareholders, partners or members of a limited liability company, or joint venture partners.

INSTRUCTION AND SCHEDULE FOR SUBMITTAL OF PROPOSALS

The Pointe shall not be liable for any expenses incurred by the Proposer in relation to the preparation or submittal of proposals. Expenses include but are not limited to, expenses by Proposer in: Preparing a proposal or related information in response to the RFP, negotiation with The Pointe on any matter related to this RFP and costs associated with interviews, meetings, travel or presentations. Additionally The Pointe shall not be liable for expenses incurred as a result of rejections of any proposals made in response to this RFP.

Proposals are due before 5.00PM on Friday May 27th 2016. This time and date are fixed and extensions will not be granted. All proposals received after the deadline shown will be rejected, returned to sender and will not receive further consideration.

EVALUATION AND SELECTION CRITERIA

The Pointe will conduct the selection process and it reserves the right to reject any or all responses or to terminate development negotiations at any time at its own discretion.

As part of the evaluation process, The Pointe expects to interview some but not necessarily all of the parties submitting proposals. The intent of the RFP process is to identify qualified parties interested in operating and maintaining a facility or amenities within The Pointe development.

The selection of a qualified Proposer will be based generally upon his/her experience in the relevant industry or trade and the ability to demonstrate progressive quality management over at least a five (5) year period. Also included for consideration is the quality of the proposed tenancy and the demonstrable capacity to carry out the proposed fit-out in a carefully and coordinated manner with The Pointe’s team.

The primary basis for The Pointe’s consideration of response to this RFP will be the contents of the party’s proposal, and the results of The Pointe’s diligence and reference checks.

The operator will be selected based upon the following key criteria;

(a) Strength of the tenancy team and management approach.

(b) Demonstration of relevant project experience.

(c) Financial strength and capability of the entity.

(d) Quality of the proposed fit-out.

(e) Financial feasibility of the proposed tenancy moving forward.
