3 Page No. 40, Clause No. 2.25 – Substitution of Key Personnel 2.25.2 The Authority expects all the Key Personnel to be available during implementation of the Agreement. The Authority will not consider substitution of Key Personnel except for reasons of any incapacity or due to health. Such substitution shall ordinarily be limited to one Key Personnel subject to equally or better qualified and experienced personnel being provided to the satisfaction of the Authority. As a condition to such substitution, a sum equal to 20% (twenty per cent) of the remuneration specified for the original Key Personnel shall be deducted from the payments due to the Consultant. In the case of a second substitution hereunder, such deduction shall be 50% (fifty per cent) of the remuneration specified for the original Key Personnel. Any further substitution may lead to disqualification of the Applicant or termination of the Agreement.

The PMC shall provide equally or better qualified professional to the satisfaction of the authority. In such case no deduction on the remuneration specified in the original since the reasons of substitution are Health or incapacity, which are beyond the control or purview of anyone.

The request cannot be agreed to, tender conditions prevail.

4 Page No. 40, Clause No. 2.29 – Commencement of Assignment. The Consultant shall commence the Services at the Construction site within seven days of the date of effectiveness of the Agreement.

We suggest that the Consultant shall commence the Services at Construction site within Thirty (30) days of the date of award of Contract. Kindly confirm.

5 Page No. 81, Clause No. 2.9.1 (h) – The Authority, in its sole discretion and for any reason whatsoever, decides to terminate this Agreement.

We suggest that written notice of 60 days shall be given in case of termination by sole discretion. Kindly confirm.

6 Page No. 87, Clause No. 3.4 - Liability of the Consultant

The liability of the Consultant shall not exceed an amount equivalent to amount of fees received as on the date of raising of any such claim in accordance with the terms of the Agreement.

8 Page No. 98, Clause No. 7.2 – Liquidated Damages Notwithstanding anything contained in this Agreement, annexures, schedules or any other document, the maximum amount by way of Liquidated damages, because of any of the covenants of this Agreement, or any other document, any of the annexures or schedule of this Agreement and/or because of any indemnity agreed in any of the documents herein above mentioned, shall not exceed an amount equivalent to maximum of 10% of the Contract value.

The proof checking of structural designs for the work will be got done by the main work contractor through IITs which will be submitted by him to the PMC through department for scrutiny for any value engineering.

The PMC will Proof check the designs and detailed drawings for MEP, HVAC, Firefighting and other services submitted by the Contractor through the Department

There seems to be some ambiguity in these clauses. As per clause 1.2.1(14), the consultant is required to ensure compliance to labour laws but Working on all days would be violation such laws.

II. Demonstrated experience in

Keeping in view the magnitudeand complexity of this project and the kind of expertise required and with best interest of the client receive competitive bids from firms of repute, we request the client of kindly consider turnover of not less that Rs. 50 Crore in each of the last three financial years.

The age of above personnel shall not be more than 60 years as on the date of submission of Proposal

We request the client to kindly consider Key personnel of age not less than atleast 65 years to enable us to engage our most experienced experts for this prestigious project. This is a normal practice being followed by many Government and PSU organisations.

The Authority shall retain by way of Retention Money (the "Retention Money"), 5% (five percent) of all the amounts due and payable to the Consultant, to be appropriated against breach of this Agreement or for recovery of liquidated damages as specified in Clause 7.2 herein. The balance remaining out of the Retention Money shall be returned to the Consultant at the end of three months after the expiration of this Agreement pursuant to Clause 2.4 hereof.

In the event of submission of a

Performance Guarantee,retention money is not retained by the client.

11. General Mobilisation advance Consultants have to incur huge costs initially during mobilization of their personnel for the project. Regular cash flow is very much necessary for the consultants. We request the client to kindly provide at least 10 % mobilization advance.

Insurances, risks and coverages

We request Client to kindly clarify the Sum required for each category of insurances pointed under clause 3.5.2. In Insurance Clause, “Third party insurance for an amount of 5 crores” was mentioned. Since the PMC does not involve or responsible for any works execution, the point may be removed Since the selected consultant is already submitting Performance Security and Retention Money to Client an additional security in terms of Insurances, risks and coverages should not be levied on Consultant. We request you to kindly waive off these insurances.

10 Responsibility of Contractor and Architect

We assume that all the construction drawings and shop drawings for this project will be provided by the contractor. Also the Architect (M/s ARCOP) shall be responsible for providing clarifications regarding Architecture, MEP, Structure & other services design, also any design changes required/suggested shall be done by ARCOP. Kindly confirm the same.

1. The proof checked structural drawings submitted by the Contractor to the PMC through department shall be scrutinized for any value of engineering and release the drawings as GFC. Architectural drawings will be given by ARCOP.

2. The PMC shall Proof check designs and detailed drawings for MEP, HVAC, fire-fighting and other services submitted by the Contractor through the Department.

11 Preparation of BIM Designs

We suggest that the Contractor should be responsible for preparation of BIM Designs after the 2D-Designs furnished by him are approved by PMC

BIM is included in the scope of work of PMC and the implementation is also to be checked by the PMC

12 Review of Designs during Pre-construction Phase

We assume that the scope of PMC consultants starts from Review of Design stage hence the duration of services should be atleast 4 months Pre-Construction and 21 months Construction. Before the Contractor start active

construction, a small team from PMC

consisting of the Project Manager,

One Senior Architect, One Junior

Architect, One Structural Engineer

and 3 MEP Engineers need to work

on the designs furnished by the

contractor for about 3 months to

approve them.

Since Deployment of the above

personnel begins prior to construction

of the project, this may be included in

the man- months schedule or it may

be shown separately to ensure

quality in the initial stage and for

smooth payment to the agency.

2.25 Substitution of Key Personnel

In case the PMC Agency and the Authority mutually accepted/agreed that a key personnel is not performing well and decided to change him/her, there should not be any penalty on the Agency. Otherwise the agency will cover the mistakes of an employee and will continue him only though employee is not performing up to the mark, to avoid penalty.
