1. System Description AXEON

Water Technologies proposes to provide a reverse osmosis membrane system capable of providing up to

6.9 gallons per minute. The system design shall be based on a feed supply of < 35,000 TDS, with an SDI of < 3 over

an operating temperature of 77F. The reverse osmosis system provided shall be of robust construction and designed to conservative standards for versatility in the event of feed water quality and temperature variations. The system design has incorporated a 5% allowable fouling or flux decline for the membranes without loss of system product water capacity. The RO unit provided will include the appropriate high pressure feed pump, FRP pressure vessels, spiral wound thin film composite RO membranes, Schedule 80 PVC low pressure feed piping, and high pressure piping fabricated of stainless steel. The RO unit will be provided skid mounted, pre-assembled, pre-wired and shall have been fully operationally tested at the factory prior to shipment. The RO system supplied will include Microprocessor based controls and shall be capable of automatic operation with minimal operator intervention. Safety devices shall be provided to protect the RO system and its components from common fault conditions. RO Process Description As water pressure builds in the RO high pressure feed pump suction line, a pressure switch senses the line pressure of the water entering the pump. This switch activates a timer which delays further start sequences until all water lines and pressure vessels reach normal start-up pressures. At the end of the time delay, a start control signal is sent to the RO high pressure feed pump starter. The RO high pressure feed pump then starts and supplies the necessary feed water pressure to the membrane array. The RO feed water is split into two streams, permeate or purified water and concentrate or reject water. The RO permeate flows to the permeate water storage tank. The concentrate is disposed of in accordance with local environmental regulations. When the permeate storage tank is full, the level switch sends the shutdown signal to the RO control panel and the system then begins its post-feed flush cycle which significantly reduces concentrated contaminants from the system. Once complete, the system waits for the next start signal.

2. Components

2.1 Reverse Osmosis Membranes

Filmtec 8” SW30HRLE-400 spiral wound thin-film composite membranes were chosen for this application. Filmtec

8” SW30HRLE-400 spiral wound membranes are the optimum choice for most industrial water applications.

Design Flux rate (the ratio of water produced per ft² area of membrane) is 12.5 GFD.

This low flux rate helps to insure optimum performance and longevity for the

system with ample allowance for normal membrane fouling. These spiral

membranes are less susceptible to fouling from colloidal and scale solids and are much easier to clean than the

hollow-fiber types. The materials of construction are not subject to bacterial attack or hydrolysis at high or low pH.

Filmtec 8” SW30HRLE-400 membranes offer a higher productivity and less compaction, as well as a better salt

rejection with lower applied pressure.

2.2 Pressure Vessels

Protec Fiberglass reinforced pressure vessels are utilized for the RO membranes. These vessels have a working

pressure rating of 1000 psi. Third year operational requirements have been taken into consideration. These

vessels shall be manufactured, tested, and designed based on ASME code standards. These

vessels offer superior corrosion and chemical resistance. 316 Stainless Steel is utilized for

inlet and reject ports. PVC or Thermoplastics are utilized for low-pressure product water

ports. Vessels shall be compatible with cleaning solutions at a pH range of 2 –12.

2.3 Pre-Filtration

Five micron pre-filtration is the accepted standard minimum pre-filtration requirement for an AXEON Reverse Osmosis Systems. A dual pre-filtration system, with AXEON 4.5” X 20”, 5 Micron Sediment depth filters are included. The housings are to be constructed of polypropylene materials suitable to industrial environments and operating conditions.

The pre-filter housing shall be compatible with a feed water pH range of 2-12 without adversely

affecting the materials of construction and shall be designed to operate at 150 psi. The pre-filter

housing top shall be securely fastened to the pre-filter vessel by means of a convenient V-band clamp closure

mechanism. The housing shall provide a knife edge seal for positive seating of provided DOE cartridges. The pre-

filter housing shall have separate drain connections for the clean and dirty chambers of the housing.

2.4 High Pressure Pump

A CAT Power Unit Pump shall be provided. The RO pump will boost the supply pressure to the

required operational pressures. The booster pump shall be constructed of stainless steel for

maximum resistance to corrosion, abrasion and wear.

2.5 Motor

The pump motor provided shall be 20 HP, wired for 460V 3Phase 60HZ operation utilizing standard TEFC

construction. Note: Other power arrangements are available.

2.6 Piping

All low pressure piping, less than 125 psi, is Schedule 80 PVC or specially qualified thermoplastic tubing. This

insures freedom from corrosion and chemical degradation, as well as strength to withstand

abuse. All high-pressure piping is 316L stainless steel. High pressure thermoplastic tubing shall

be utilized for gauge and sensor lines. Specialty piping/tubing shall be selected, appropriate to

the chemicals being injected, at all chemical injection point to insure compatibility with the

chemical solution. The arrangement of piping and valves has been developed for ease of service

and operation.

2.7 Valves

All low-pressure valves are PVC ball, ball check, or solenoid valves. All high-pressure valves (over 125 psi) are

stainless steel ball, butterfly, globe or needle valves. The system shall utilize an electronic solenoid valve for system

isolation during shutdown and for system flushing.

2.8 Pressure Gauges

Pressure gauges are provided to measure the following points:

Pre-filter in pressure

Pre-filter out pressure

Pump discharge pressure

System pressure

Concentrate pressure

Standard gauges are stainless steel, electro polished case acrylic crystal with a positive seal.

2.9 Flow Indicators

Paddlewheel type flow sensors shall be provided to monitor product and reject flows. Indication will appear via the

operator interface located on the main systems control panel.

2.10 Permeate Water Quality / Conductivity Monitor

The RO system shall be provided with dual continuous reading, (Feed & Permeate) tds and 2 constant tds cells to

provide constant indication of the feed and permeate water tds. This monitor shall be panel mounted in the RO

control panel for ease of viewing/monitoring. The provided tds cells and digital display shall provide +/- 2% accuracy

over the span of the measurement, a sensitivity of 0.05% over the same span, and will offer 0.1% repeatability over

the span of measurement range. The tds cells shall have automatic temperature compensation to 25C over a

temperature range of 0C to 100C and shall have a 316 stainless steel sensor mounted in A PVC fitting with Teflon

insulator and EPR o-ring seals.

2.11 Structural Fabrication

All process equipment described herein shall be affixed to and mounted on structural skids. The

RO membrane skid will be constructed from structural carbon steel with all fasteners to be

composed of stainless steel or plastic materials. Skid shall be powder coated.

3. System Control Centers

A Microprocessor as manufactured by R&D Specialties will be provided for control of the RO unit. The Microprocessor will have the requisite capacity to accept control signals/inputs from the system, evaluating the system inputs and maintain the operation of the system within the design parameters. The RO system Microprocessor will include all requisite interrupt and fast counter functions.

3.1 Safety Devices

The R.O. pump is protected from low suction conditions by a pressure switch on the suction side of the pump.

The R.O. pump is protected from high discharge pressure by a pressure switch.

All pump motors include overload protection.

3.2 Automation

Automatic on/off operation via a storage tank level sensor input. System start/stop can be manual or automatic. System shutdown will occur during backwash/regeneration of any ancillary equipment. All standard automatic shutdowns as described under safety devices.

System control will operate via a Microprocessor.

All auxiliary process equipment will be automatically switched “on” with plant start-up. All safety devices as

previously described are operable in the automatic mode. All automatic shutdowns as described under safety

devices are indicated after shutdown.

Normal automatic operation of the system is accomplished by use of a product water tank level switch. As water

level in the storage tank drops the R.O. system is brought on line. As water level increases the unit is shut down.

7. Contractual Details

7.1.1 Optional Equipment

A. Antiscalant Feed System

A chemical feed system is required to introduce Antiscalant into the feed water. The

Antiscalant will aid in preventing fouling of the membranes with calcium carbonate and

other scale forming constituents. The chemical feed system will be provided as a

standalone item and will include a chemical feed pump, 50 gallon solution container and

level switch assembly. The feed pump will be controlled by the main system control center

to turn on when the automatic inlet valve to the RO unit opens.

B. Integrated Cleaning System

Since all R.O. membranes may eventually get dirty, a membrane clean in place system is

recommended so that the membranes can be cleaned to optimize their performance,

extend their useful life, and to control bacterial proliferation in the system.

This system to be provided shall be complete with recirculation pump, pre-filter housing

and cartridge filters, pressure gauges, polyethylene cleaning solution tank, and all the

necessary connection to complete the cleaning operation.

C. AXEON Zeolite System

AXEON Zeolite Systems use advanced media filtration technology in order to meet the most demanding water conditions. These systems are designed for maximum performance with a minimal amount of maintenance and comply with all industry standards and specifications.

AXEON Zeolite Systems are effective in reducing sediments as low as 5 Microns while providing higher service flow rates and long filter runs. AXEON Zeolite Systems require periodic backwashing to dispose of accumulating sediments. This is accomplished by backwashing with clean water and then disposing the effluent.

D. AXEON Water Softening System

AXEON Water Softening Systems use advanced media filtration technology in order to meet the most demanding water conditions. These systems are designed for maximum performance with a minimal amount of maintenance and comply with all industry standards and specifications.

AXEON Water Softening Systems are effective in reducing / removing hardness while providing higher service flow rates and long filter runs. AXEON Water Softening Systems require periodic backwashing to dispose of accumulating hardness. This is accomplished by backwashing with a clean water / Sodium Chloride mixture and then disposing the effluent.

Ordering:

Orders may be phoned, faxed, or emailed to AXEON Water

Technologies. Purchase orders must include AXEON Water

Technologies part numbers and pricing. Purchase orders must also state if partial shipments are allowed. If you do not have the

correct part numbers, pricing, or case quantities, please contact our

sales department.

Order Confirmations:

All purchase orders will be confirmed by phone, fax, or email. Any

discrepancies in part numbers, pricing, descriptions, or case

quantities will be listed on the order confirmation. It is the customer's responsibility to review the order confirmation and

advise if any changes are to be made. If we do not hear from the

customer regarding the confirmation within 24 hours, we will assume everything is correct and will invoice and ship accordingly.

Shipping weights, dimensions and anticipated ship dates are all

approximate and subject to change.

Quotes:

Quotations are valid for a period of up to 30 days or for the term stated on the quote, whichever term is shortest.

Minimum Orders:

Minimum order accepted is $100.00, not including freight or taxes.

Prices:

We make every effort to notify customers with price change information. However, prices are subject to change or correction

without notice.

Taxes:

Taxes are not included. Quoted prices are exclusive of all taxes.

Purchaser shall be responsible for payment of all applicable state/local taxes. Orders shipped within California are subject to

applicable state tax rates unless a completed resellers card or

exempt certificate is on file.

Freight:

All shipments are F.O.B. AXEON Water Technologies, Temecula, California, unless otherwise specified.

Shipment:

The shipment method should be specified by the customer on the

purchase order; otherwise, AXEON Water Technologies will choose the method of shipment.

Packaging:

Pricing includes packaging that is satisfactory for air, ocean, truck,

or containerized shipments at no additional cost, unless otherwise

stated.

Domestic Customer Terms:

Except as otherwise provided in the Proposal, payment is due within thirty (30) days from the date of invoice with a prior credit

approval, unless otherwise stated and mutually agreed upon by

both parties. Otherwise, payments are due prior to shipment by check, money order, wire transfer, or credit card. Credit cards that

are accepted are Visa, MasterCard, and American Express. C.O.D.

shipments are to be paid by cashier's check, money order. A deposit may be required for special or custom ordered items.

Interest will be charged on past due accounts. Interest charges will

be calculated on the unpaid balance at 3% per month (36% per annum) or the maximum rate allowed by law, whichever is less.

All questions regarding invoices and terms must be addressed with

our accounting department before invoices become due. Orders will not be shipped if any account is past due and/or until payment

by check has cleared.

International Customer:

Except as otherwise provided in the Proposal, all payments due are

in U.S. dollars and must be made in advance by check (must clear before shipment), money orders, wire transfer, or credit card.

Credit cards that are accepted are Visa, MasterCard, and American

Express. Irrevocable Letters of Credit are accepted with a minimum order of $20,000.00 U.S. dollars, per order. Unless

specifically included as a separate item, prices quoted do not include any city, county, state or federal taxes, or transportation of

merchandise. A deposit may be required for special or custom ordered items.

Will Call Orders:

All standard ordering terms apply to Will Call orders. The

customer must advise what day and time they will pick up the

order. Completed Will Call orders will be held for a maximum of 1 week. A restock charge may be assessed to any Will Call orders

that are not picked up within one week. Additions or deletions to

Will Call orders after invoicing are subject to all new order Terms and Conditions. Orders are typically pulled within one working

day. Will Call orders can be picked up Monday - Friday from

8:00am to 11:30am and from 1:30pm to 3:30pm.

Order Changes:

AXEON Water Technologies will review and consider engineering change order requests, provided, that buyer agrees to accept any

additional lead time and to pay additional costs associated with

such change order.

Cancellation:

Orders cancelled within 5 days of the payment of the deposit will

be charged a cancellation fee equal to 15% of the total sale price of

the order. Orders cancelled after 5 days following payment of the

deposit by within 10 days will be charged a cancellation fee equal to 50% of the total sale price of the order. No refund will be given

for orders cancelled after 10 days following payment of the

deposit. In order to request a cancellation, buyer must provide written notice of cancellation to AXEON Water Technologies via

email or fax, and any notice of cancellation received by AXEON

Water Technologies after normal business hours will be counted as received on the following work day. All orders are non-returnable,

subject only to the warranty obligations set forth below.

Freight Claims:

Any damage, discrepancies and/or freight claims must be made

immediately and directly, in writing within ten (10) days to AXEON Water Technologies. AXEON Water Technologies will

provide reasonable assistance in resolving claims. However,

AXEON Water Technologies will not be held responsible for breakage or shortage after products are accepted by common

carrier. All shipments must be inspected for damages and counted

for shortages at the time of delivery.

Contingencies:

AXEON Water Technologies shall not be responsible for any liability due to any delay in the performance of any order accepted

by it due to unforeseen circumstances or to causes beyond its

reasonable control, including, without limitation, acts of God, strikes, war, riots, fire, accident, unusually severe weather, freight

embargoes, lock-out of suppliers necessary to the execution of the order, failure, breakdown or shortage of components necessary to

the completion of the order, subcontractor caused delays, or the

compliance with any law, regulation or order, whether valid or invalid, of any cognizant government body or any instrumentality

thereof, whether now existing or hereafter created. Performance of

an order shall be deemed suspended so long as any such circumstances or causes delay its execution. Whenever such

circumstances or causes have been remedied, buyer shall accept

performance under said order. As used herein “performance” shall include, without limitation, fabrication, shipment, delivery,

assembly, installation, testing and warranty repair of replacement.

AXEON Water Technologies may modify specifications or manufacturing processes provided the modifications do not

adversely affect the form, fit or function of the products.

Warranties:

AXEON Water Technologies warrants that the products will

conform to the description contained in the applicable specifications. AXEON Water Technologies agrees to repair or

replace, at its option, any product found to be defective in workmanship or material during the warranty period. THIS

LIMITED WARRANTY IS IN PLACE OF ALL OTHER

WARRANTIES, EXPRESS OR IMPLIED, INCLUDING

IMPLIED WARRANTIES OF MERCHANTABILITY AND

FITNESS FOR A PARTICULAR PURPOSE. THERE ARE

NO WARRANTIES WHICH EXTEND BEYOND THE

DESCRIPTION ON THE FACE HEREOF. THIS IS THE

SELLER’S ONLY LIABILITY FOR ANY CLAIM IN

CONNECTION WITH THE PRODUCTS. AXEON WATER

TECHNOLOGIES SHALL NOT BE LIABLE FOR

INCIDENTAL, SPECIAL OR CONSEQUENTIAL

DAMAGES, LOSS OF PROFITS OR FOR DAMAGES IN AN

AMOUNT EXCEEDING THE COST OF ANY DEFECTIVE

PRODUCT(S). IT IS AGREED THAT THE BUYER’S SOLE

REMEDY AGAINST AXEON Water Technologies IN

CONNECTION WITH THE PRODUCT IS LIMITED TO

REPAIR OR REPLACEMENT OF THE DEFECTIVE

PRODUCT OR REFUND OF THE PURCHASE PRICE OF

THE PRODUCT.

There is no warranty for any product that has been (i) subjected to

misuse, neglect or accident, or (ii) altered or repaired in an

improper manner. No agent, distributor or any other person is

authorized to modify or extend the terms of this warranty in any

manner whatsoever. Some states do not allow the exclusion or

limitation of incidental or consequential damages, nevertheless, the foregoing paragraph should be construed to limit the liability of

AXEON Water Technologies to the fullest extent permitted under

the laws of any particular jurisdiction, as applicable. This warranty provides specific legal rights yet buyer may also have other legal

rights which vary from state to state.

AXEON Water Technologies warrants that the use or sale of the

products (or materials) delivered hereunder will not infringe the claims of any U.S. Patent covering the products themselves; but

does not warrant against infringement by reason of the use thereof

in combination with other products or in the operation of any process.

The maximum total liability of AXEON Water Technologies for all causes including any breach of warranty or failure to deliver

conforming goods shall not exceed the value of the purchase order.

Assignment: AXEON Water Technologies may assign all or any part of its

rights and/or obligations hereunder to any subsidiary or an authorized distributor of AXEON Water Technologies without

buyer’s prior consent. Otherwise, neither party shall delegate any

obligations herein or assign any interest or rights without the prior consent of the other.

Import and Export Controls:

Any and all obligations of AXEON Water Technologies to provide

products, as well as technical assistance, shall be subject in all respects to such United States laws and regulations as shall from

time to time govern the license and delivery of products abroad by

persons subject to the jurisdiction of the United States, including the Export Administration Regulations issued by the Department

of Commerce, Bureau of Export Administration. Without in any

way limiting the provisions of these Terms and Conditions, buyer agrees that it will not export, re-export or transship, directly or

indirectly, any of the products sold to buyer in violation of U.S.

export laws and regulations.

Waivers:

A waiver by AXEON Water Technologies of any default by buyer shall not be deemed to be a continuing waiver or a waiver of any

other default but shall apply solely to the instance to which the

waiver is directed.

Controlling Law:

These Terms and Conditions shall be governed by and subject to the laws of the State of California, U.S.A. These Terms and

Conditions shall be considered entered into in the State of

California, U.S.A. The Federal (Central District of California) and

State (Orange County) courts within the State of California shall

have exclusive jurisdiction to adjudicate any dispute arising out of

these Terms and Conditions. Buyer hereby irrevocably waives any claim it may have that any proceedings brought in such courts have

been brought in an inconvenient forum expressly consents to (i) the

personal jurisdiction of these federal and state courts within California, and (ii) service of process being affected upon it by

Technologies. The parties specifically waive application of the UN Convention on Contracts for the International Sale of Goods.

Indemnity:

Each party will indemnify and hold the other party harmless from and against any and all claims, as incurred, arising out of any

negligent or willful acts or omissions of the indemnifying party

which results in personal injury (including death) or damage to tangible property (not including lost or damaged data).

Professional Fees:

In any suit or proceeding relating to these Terms and Conditions

the prevailing party will have the right to recover from the other its

reasonable costs and expenses incurred in connection with such suit or proceeding, including reasonable fees and expenses of

attorneys, accountants and other professionals.

Severability:

If any court of competent jurisdiction holds that any provision of

the purchase order is illegal, invalid, or unenforceable, the legality, validity, and enforceability of the remaining provisions of the

purchase order will not be affected or impaired, and all remaining

terms of this purchase order remain in full force and effect, provided that this provision shall not be applied to defeat the intent

of the parties.

Entire Agreement:

These Terms and Conditions are intended as the complete and

exclusive statement between AXEON Water Technologies and buyer and supersedes all prior agreements and negotiations relating

to the subject matter hereof. Notwithstanding the foregoing, if

there is a conflict between these Terms and Conditions and the written Proposal to which these Terms and Conditions are

attached, the Proposal will control with respect to such

inconsistency.
