I. BACKGROUND

The subject property was the site of the Aplaya Diesel Power Plant (ADPP) which was sold by PSALM as a decommissioned power plant in 2009. The Aplaya Diesel Power Plant had six 18-MW diesel engine units which were commissioned between 1979 and 1982. The plant was decommissioned in 1998 due to high cost of operation. PSALM sold the 108-megawatt Aplaya diesel power plant to TEC Industries in May 2009.

II. LOCATION AND DETAILS OF THE PROPERTY

The ADPP land occupies an area of approximately 15.5-hectare consisting of forty-nine (49) irregularly shaped parcels of land along the coastal Cagayan-Butuan National Highway in the Municipality of Jasaan, Province of Misamis Oriental, approximately 25 kilometers east of Cagayan de Oro and 5 kilometers west of Jasaan town proper. The former plant site is situated on the east side of the National Highway while the housing site is at the opposite side fronting Macajalar Bay.

The property is situated in a built-up area/industrial zone per General Land Use Plan and Zoning map of Jasaan, Misamis Oriental.

Asset Categorization

The Property is categorized under Strategic Plan for PSALM’s Real Estate Assets as Category 4-a (Various Lands for Privatization – Sites of Decommissioned Power Plants).

Land Data and Possessory Rights A. Land Data

By virtue of Republic Act 9136 or the Electric Power Industry Reform Act of 2001, the Power Sector Assets and Liabilities Management Corporation (PSALM) took ownership of all existing NPC generation assets, liabilities, IPP contracts, real estate asset and other disposable assets, including the subject Property.

The Property is comprised of forty-nine (49) lots with the total area of 139,266.00 square meters.

This is a one storey concrete framed building with plastered concrete hollow block walls, corrugated GI sheet roofing, concrete floor cement and steel roll-up doors. It is painted and provided with electrical lighting and plumbing facilities. It is also includes a chemical storage room. Floor area is approx. 697 sq. m. located at former plant site.

This is a one storey concrete framed building with beveled wood sidings on concrete hollow block zocalo walls, corrugated GI sheet roofing on timber frames, plain cement finishes concrete floor, steel casement windows with glass panes. This is one storey, timber framed building with plywood sidings and wire mesh screen, plain galvanized iron sheet roofing on timber frames, plain cement finish on concrete floor, and plywood flush-type doors. The building is provided with electrical lighting. Total floor area is approximately 60 sq. m.

It consists of 2.4 m. high concrete hollow block walls with concrete column spaced at every 3.0 m., barbed wire is provided on top of the wall and fence and steel gates securing the plant site, tank farm and housing sites. Steel lighting posts, 5” x 20” tapered type post and 4” x 10” tapered post, globe type. Located at the plant site and housing site.

IV. GENERAL DESCRIPTION, ACCESS AND UTILITIES The subject property is located along the main highway and can be directly accessed via the Butuan-Cagayan de Oro-Iligan road. (See Annex “B” for Lot Plan)

Jasaan source its electric power from Misamis Oriental II Electric Services Cooperative (MORESCO II) and Cagayan Electric Power and Light Company (CEPALCO).

V. NEIGHBORHOOD Jasaan is a second-class municipality in the province of Misamis Oriental, Philippines. It is approximately 28 kilometres (17 mi) east of the capital city of Cagayan de Oro. It borders on the municipalities of Villanueva, Claveria and Balingasag, while Macajalar Bay is to the west. Then town grew and developed into one of the agro-industrial municipalities of Misamis Oriental. Jasaan town is mostly residential with agricultural lands planted primarily with coconut trees. Fishing is also a major industry in the area. The immediate area where the subject property is located is mostly medium commercial mixed zone and residential cluster zone. Some of the notable developments, establishments and industry in the vicinity are:

1. Aplaya Elementary School- 350 meters 2. Spring View Resort- 3.6 kilometers 3. Aplaya Municipal Hall- 6.3 kilometers 4. Pilipinas Kao, Inc.- an oleochemical manufacturing complex in

the Jasaan Misamis Oriental Ecozone 5. Philippine Iron Construction and Marine Works Inc. (PICMW)- a

General Engineering and Construction company with local and overseas activities, focusing on industrial construction, ship building, ship repair and overseas deployment.

6. RI Chemical Corporation (RI Chem)- a wholly Filipino-owned subsidiary of Resins Inc., engaged in the business of manufacturing resins, plywood adhesives and coatings.

VI. ZONING AND LAND USE

The subject property is assessed for Industrial. Per official general land use plan and zoning map prepared by the Municipal Planning and Development Office of Jasaan Municipality, the subject property falls under built up area and industrial zone.
