I had the great privilege and blessing to work very closely with Mr. Khare over the last 20 years or so. I first met Mr. Khare in early 1995 when my uncle, the late R.N. Divgi suggested that we approach Mr. Khare with the request to join the Board of Directors of our new joint venture company, DivgiWarner Ltd. My uncle had known Mr. Khare since 1955 around the time he had just started his practice in Bombay. As a young and freshly minted Chartered Accountant and Company Secretary, Mr. Khare had helped my uncle R.N. Divgi unravel and resolve a complex issue that had arisen in my uncle’s Import-Export business that he ran out of his office on Pherozeshah Mehta Road in Bombay. Their association and friendship had started then and they had kept in touch with each other.

Mr. Khare’s experience, knowledge, wisdom, and sagacity helped our joint venture company, DivgiWarner, bootstrap itself from humble beginnings and become a stable enterprise that today is on a sound footing.

Mr. Khare’s contributions to India too in terms of helping evolve the revenue justice system through many landmark cases at the Income Tax Tribunal were formidable as was the contribution to the country in terms of perhaps the thousands of CA’s who trained in B.K. Khare and Co. But to me and my brother Hirendra, Mr. Khare was someone very special as a personal mentor and guru. He was a penetrating conscience keeper and that very special inner voice that encouraged us to think big, did not hesitate to reprimand us when we probably deserved it and was always there for us with his ocean-like reservoir of experience, knowledge and wisdom.

As our personal tribute to Mr. Khare, I wish to reproduce a poem my brother Hirendra Divgi has composed on Mr. Khare that captures what he meant to us.

To our dear Khare Sir –

Many a time when falsehood tempted me,An inner voice cautioned, and made me seeThe reasons things go right and wrong in this world,Truth withstanding the barrage of lies, against it hurled. Many a time when injustice made me powerless,An inner voice gave me strength, made me fearless,Why power corrupts those who possess it and seek,Wisdom always stands, to protect the meek.

Many a time when insecurity made me possess,An inner voice said, try being generous,Why fear has mutated into this demon, greed,Fearless amongst us are indeed a rare breed. Many a time when I was numb to others’ suffering,An inner voice awakened in me compassion,Why poverty pervades our society,Healing, a gift given to few, by divinity. Dear Khare sir, over the years through your speech and action,You were a guide to us, the next generationWhen for the last time I touched your feet, in reverence,I realized you live to be that inner voice, my inspiration.

Hirendra Divgi

To describe the life that Mr. Khare lived would be to write the Bhagavad Gita all over again – but there are these verses that come to my mind again and again:

Fearlessness, complete purity, steadfastness in knowledge and yoga, charity, self-restraint and yajnya sacrifice, self-study, austerity, and uprightness…

... these belong to one born of divine state, O Bhaarata

~ Bhagavad Gita XVI.1

His soul will no doubt find that eternal peace and tranquility of that आध्यात्मिक परमियार्थ to which he dedicated the conduct of what he called the व्यावसयाय्क प्रपंच of his life.

The Auto Expo 2014 gave DivgiWarner excellent insight into how it can leverage all its competencies to foray into

products that would be the next “happening thing” in the automotive industry - Dual-Clutch Transmissions (DCT) and Electric Vehicle Transmissions. And, to forcefully announce to the automotive world about these competencies that it possessed, DivgiWarner was convinced that it will have to participate as an independent entity at the Auto Expo 20161 from 4 – 7 February, 2016. In a humble beginning, DivgiWarner set up a 48 sq. m. stall to display its wares.

The product display, a combination of products under current production and future-ready technologies – Torque Transfer Systems, Synchronizer Systems and Transmissions – clearly exhibited DivgiWarner’s end-to-end strengths – Product Design and Development, Program Management, Manufacturing Excellence and Global Supply Chain – in bringing a product to the market.

FEATURE STORY

1. Up until this time, DivgiWarner had always participated with the other subsidiary companies of BorgWarner in India from within the “BorgWarner” pavilion.

DivgiWarner at the Auto Expo 2016

The products on display included the Electric Shift on-the-Fly and Torque-on-Demand Transfer Cases for RWD applications, the NexTrac® for FWD applications and Multi-Cone Synchronizer Transmission Solutions. Also on display were products for the future, the DCT and the Electric Vehicle Transmission that is being targeted to the emerging vehicle electrification market in India.

Clearly, the DCT was the draw of the season. Keen interest was evinced by existing and potential customers on this product and follow-up meetings have commenced with prospects on the same.

In all, the show was received very well by all visitors and DivgiWarner expects some of its on-going discussions to conclude into business in the near future.

What is your current role in DivgiWarner?

I am heading the Operations Group of DivgiWarner. My current role in the organization is to coordinate the internal functions of two plants viz. Bhosari and Sirsi as also coordinate with customers and suppliers to ensure timely decisions to achieve the revenue targets set through “Customer Requirement Schedule (CRS)”. I am responsible for the continual improvement of business processes and Key Performance Indicators (KPIs) every year using various management tools and practices such as the BorgWarner Production System (BWPS), TS-16949 Standards, Quality System Basics (QSB), etc. through our Operational Excellence initiatives. “Customer Satisfaction” is the true goal of my group as well as of the company which we always try to achieve through Quality Products, On-Time Delivery and Hassle-free Services. I am also responsible for the upkeep of facilities, machines and benchmarking of equipment to world-class standards.

What has been your experience with DivgiWarner?

I have always believed in the philosophy, “Interdependence and Team Work is the key to Success”. In the 15 years that I have been associated with DivgiWarner, this philosophy of mine has been put to its ultimate test. When I stepped into the Sirsi plant in 2001 as head of the overall functions of the facility, only a few components were being produced with a small team of 24 members. Over the years, the facility has grown to a formidable team of over hundred members with a capacity to produce a vast variety of components involving several manufacturing operations. This was achieved by forming various Cross-Functional Teams that utilized the unique strengths of each person appropriately to deliver results – exporting of flanges, transfer case and ALH parts to our customers worldwide. With this team, we also achieved QS 9000, TS 16949 for Sirsi and ISO 14K certifications for both the plants.

The “People and Culture” initiative of the HR Department gave scope in implementing various Employee Development initiatives including Operator Licensing, Management and Supervisor Development Programs as well as employee engagement initiatives such as birthday celebrations, health check-ups, blood donations, suggestion schemes and sports activities within and between the plants. As part of the “Right Talent at Right Place” initiative, I have been able to help individuals develop careers by setting up knowledge-share programmes between the group companies.

The twin opportunities that I got in 2008, attending the BWPS kick-off meet at Detroit, USA and the training program on BWPS in Beijing, China really helped us achieve Operational Excellence under the umbrella of 7 Pillars and 23 Tactical Elements. We, as a team, were awarded the first position amongst all BorgWarner group companies.

My visits to several global and Indian customers, each with their unique QMS requirements, helped me and my team learn and update ourselves in achieving manufacturing excellence at DivgiWarner. Overall, the experience at DivgiWarner has been very challenging yet very satisfying.

What has been your contribution in DivgiWarner’s Product Leadership Initiatives?

Under the umbrella of Superior System Solutions, Distinctive Products and World class Manufacturing Excellence, we worked on the development and manufacturing of many new projects (different transfer case and synchronizer technologies). Through the above learning, we have been able to flawlessly deliver many export components including flanges to General Motors and Toyota and other complex components such as Engine Timing Gears to Nissan- Ashok Leyland.

Due to the rigorous adherence to best practices in manufacturing – BWPS, QSB, Gemba approach in problem solving, CTP’s Early Containment – in 2011, we were adjudged the No. 1 implementer of the BWPS across all units of BorgWarner Torque Transfer Systems.

What do you believe are some of your notable achievements at DivgiWarner?

There are many, but few listed below are those that I feel are notable:

» Bringing visibility to the Sirsi facility as a world-class components development and manufacturing facility of BorgWarner

» Initiating many new concepts like 5S, standardization, lean concepts, ergonomically designed workstations right from the early days of production

» Implementing the BWPS and receiving the No. 1 award across all BorgWarner units worldwide

» Implementing Quality System Basics » Team building in the effort to bring in the “ We ” in place of

“ I ” concept » Receiving the CII National Operational Excellence Quality

Award (TQM) in 2015-16 » Presenting an SAE paper on “BWPS Implementation in

DivgiWarner – a Case Study” at the COMVEC, Chicago, USA » Participating as a team member for publishing the first

Sustainability Report on G4 guidelines

In 1886, although the first automobile invented by Karl Benz reached a top speed of just 16 km/h (10 mph), the then Locomotive Act of 1865 (the “Red Flag Act”) did not permit it to move beyond a maximum of 4 mph (6.4 km/h) in the country and 2 mph (3.2 km/h) in the city due to concerns over safety to human life due to its “life-threatening” speed.

The increasing vehicle speeds have ever since become a potential risk to life due to loss of vehicle control i.e. loss in vehicle traction on poorly conditioned roads. The 4WD technology came as one of the most effective technologies that significantly improved vehicle stability and, therefore, safety to life.

Over the years, test tracks that simulated real-life road conditions began to be extensively used by OEMs to get an insight into improving vehicle stability and durability.

Some of the test tracks used for 4WD traction are:

» Gradient Track: a ramp set at various gradients for traction evaluation

» Wet-grip Track; a slick surface meant to simulate high speed driving/ braking efficiency simulating wet and icy road conditions

» Mud Track; a deep layer of slushy mud track for simulating rainy country road conditions

In India, the tests are conducted at established test tracks that have been set up by:

» International Centre for Automotive Technology, Manesar, Haryana

» National Automotive Testing Tracks (NATRAX Indore)at Pithampur, Indore

» Wabco Test Track, Chennai

The DivgiWarner Torque Transfer Systems fitted on six of Tata Motors’, four of Mahindra’s and one of Ford’s applications have undergone all of these tests and ensure that the passengers sitting inside these “carriages” feel as safe as a child in a mother’s womb.

Five years have gone by like a flash of lightning. But not without its learnings.

The Synchronizer Assembly Unit was transferred from Shivare to Sirsi in October, 2010. The journey was fraught with its unique complications. But, it gave the opportunity to all to upgrade their skills; how to manage a Zero Customer Line PPM, maintain a robust QSB implementation and handle new business opportunities. Many audits have been successfully conducted without a single non-conformance instance. Appreciation has been received from customers over the years. This gives a sense of great satisfaction that the efforts put have been rightly directed into satisfying customers.

Since the transfer, the unit has sold more than 930,000 synchronizer assemblies to various OEMs.

But, it’s just the beginning. The unit is warming up to big plans. And all are hungry to experiment — just as it was five years ago. More to go…..

It’s the dedication of the team and the unstinted support of the top management that has made sure that the synchronizer systems along with the DivgiWarner Quality Systems has delivered more than “most”.
