NOTICE OF SCHEDULE OF ASSUMED AND ASSIGNED

EXECUTORY CONTRACTS AND UNEXPIRED LEASES

PLEASE TAKE NOTICE that, on March 2, 2021 (the “Petition Date”), the debtors and

debtors in possession in the above-captioned cases (together, the “Debtors”) each filed a voluntary

petition for relief under chapter 11 of title 11 of the United States Code (the “Bankruptcy Code”)

in the United States Bankruptcy Court for the Eastern District of Virginia, Richmond Division (the

“Court”), commencing these chapter 11 cases (the “Chapter 11 Cases”).

PLEASE TAKE FURTHER NOTICE that, on the Petition Date, the Debtors filed a

motion [Docket No. 25] (the “Sale Motion”) seeking entry of orders (a) approving the sale (the

“Sale”) of all or substantially all of the Debtors’ assets (the “Assets”), and (b) an order, (i)

approving bidding procedures (the “Bidding Procedures”)2 to be used in connection with the Sale,

(ii) establishing certain dates and deadlines for the sale process, including scheduling an auction

of the Assets (the “Auction”), if applicable, in accordance with the Bidding Procedures, and the

hearing with respect to the approval of the Sale (the “Sale Hearing”), (iii) approving the form and

manner of notice of the Bidding Procedures, the Auction, if any, and the Sale Hearing, (iv)

authorizing certain procedures for the assumption and assignment of certain executory contracts

and unexpired leases in connection with the Sale and approving the form and manner of notice

thereof, and (v) granting related relief.

PLEASE TAKE FURTHER NOTICE that, on April 2, 2021, the Court entered the Order

(I) Approving Bidding Procedures in Connection with Sale of Substantially All of the Debtors’

Assets, (II) Scheduling a Sale Hearing, (III) Approving the Form and Manner of Notice Thereof,

(IV) Approving the Assumption and Assignment of Executory Contracts and Unexpired Leases,

and (V) Granting Related Relief [Docket No. 310] (the “Bidding Procedures Order”), by which

the Court authorized, among other things, certain procedures related to the assumption by the

Debtors and assignment to the Successful Bidder of executory contracts and unexpired leases in

connection with the Sale (the “Assumption and Assignment Procedures”).

PLEASE TAKE FURTHER NOTICE that, on April 12, 2021, the Debtors filed the

Notice of Potential Assumption and Assignment of Certain Executory Contracts or Unexpired

Leases [Docket No. 337] (the “Original Notice”), which stated that, upon the closing of the Sale,

the Debtors intend to assume and assign to the Successful Bidder certain executory contracts and

unexpired leases (the “Proposed Assumed Contracts”). A schedule listing the contracts and leases

that may potentially be assumed and assigned as part of the Sale was attached as Exhibit 1 thereto.

PLEASE TAKE FURTHER NOTICE that, on April 15, 2021, the Debtors filed the First

Amended Notice of Potential Assumption and Assignment of Certain Executory Contracts or

Unexpired Leases [Docket No. 356] (the “First Amended Notice”). A revised schedule listing the

contracts and leases that may potentially be assumed and assigned as part of the Sale was attached

as Exhibit 1 thereto.

PLEASE TAKE FURTHER NOTICE that on May 13, 2021, the Court granted the Sale

Motion by entering the Order (I) Approving the Sale of Substantially All of the Debtors’ Assets

Free and Clear of All Liens, Claims, Encumbrances and Interests; (II) Authorizing the Assumption

and Assignment of Certain Executory Contracts and Unexpired Leases; and (III) Granting Related

Relief (the “Sale Order”) [Docket No. 486], which approved (a) the sale of the Purchased Assets

to the Purchaser pursuant to the Asset Purchase Agreement, and (b) the assumption and assignment

of the Debtors’ executory contracts and unexpired leases identified by the Purchaser and the

proposed cure amounts with respect thereto. Pursuant to the Sale Order, the Debtors hereby file

the attached schedules of Purchased Contracts, which collectively constitute the Final Assumption

and Assignment Notice.

PLEASE TAKE FURTHER NOTICE that attached hereto as Exhibit 1A is a schedule

of the executory contracts that the Debtors have assigned to the Purchaser in connection with the

Closing and the corresponding cure amounts for such Assumed Contracts. Attached hereto as

Exhibit 1B is a schedule of the unexpired leases that the Debtors have assigned to the Purchaser

in connection with the Closing and the corresponding cure amounts for such Assumed Leases.

PLEASE TAKE FURTHER NOTICE that attached hereto as Exhibit 2 is a schedule of

certain of the Debtors’ unexpired leases the (“To-be-Amended Leases”) where the Debtors or the

Purchaser and the applicable counterparties have agreed to amendments to such unexpired leases

but the applicable counterparties have not, as of the date hereof, entered into legally binding


agreements reflecting such amendments. If at any time prior to the entry of an order of the

Bankruptcy Court dismissing the Bankruptcy Case the Purchaser notifies the Debtors in writing

that, with respect to any To-be Amended Lease, the counterparty to such To-be Amended Lease

has not executed the amendment upon the previously agreed terms, such To-be Amended Lease

will not constitute a Purchased Contract or be assumed by the Debtors or assigned to Purchaser.

PLEASE TAKE FURTHER NOTICE that attached hereto as Exhibit 3 is a schedule

of certain of the Debtors’ unexpired leases that are subject to unresolved cure disputes (the

“Unresolved-Cure Leases”). Pursuant to and consistent with the Bid Procedures Order, the

Purchaser shall have until the entry of an order of the Bankruptcy Court dismissing the Bankruptcy

Case to notify the Debtors in writing that an Unresolved-Cure Lease will not constitute a Purchased

Contract or be assumed by the Debtors or assigned to the Purchaser.

PLEASE TAKE FURTHER NOTICE that any To-be-Amended Lease or Unresolved-

Cure Lease that is not listed in a notice, motion or other pleading seeking rejection of such

agreement and filed with the Court prior to the entry of an order of the Bankruptcy Court

dismissing the Bankruptcy Case shall automatically be deemed to be a Purchased Contract, and

shall be deemed to have been assumed by the applicable Debtor and assigned to Purchaser as of

the Closing of the Sale. The Debtors agree that they will not seek entry of an order dismissing the

Bankruptcy Case until sixty (60) days after the Closing.

Copies of the Sale Motion, the Sale Order, the Asset Purchase Agreement, and all other

documents filed with the Court are available free of charge on the Debtors’ case information
