INTRODUCTION TO VERITAS ENTERPRISE VAULT™ 6.0 VERITAS Enterprise Vault 6.0™ is the first major release of Enterprise Vault since VERITAS acquired KVS. This release is designed to substantially extend the product’s leadership position in the market. The new release will become Generally Available (GA) on July 5th, 2005 at which time all pricing and licensing changes in this document take effect. This Pricing and Licensing Guide (“Guide”) is subject to change without notice at VERITAS’ sole discretion. Key new features in Enterprise Vault 6.0 include:

• Support for additional sources of archived content o Automated discovery, management and migration of PST files o SMTP message capture o Microsoft SharePoint Portal Server 2003 o Lotus Domino journaling (Available in 6.0 SP1 – 3Q05)

• Strong ecosystem of partner integration through new Software Developers’ Kit Enterprise Vault 6.0 continues to build on the Enterprise Vault 5.0 architecture, creating a comprehensive archiving framework designed to scale from departmental or workgroup environments all the way to the enterprise. ENTERPRISE VAULT 6.0 LICENSING METERS Enterprise Vault 6.0 is licensed by three separate “meters” or dimensions. The meters are the means by which we price our products. Enterprise Vault 6.0 meters are Per Server, Number of Users, and Per Gigabytes of data.

• Per Server:

o Enterprise Vault Server- number of servers requiring Enterprise Vault services

• Number of Users: o Microsoft Exchange Mailbox Archiving- number of mailboxes requiring archiving o Microsoft Exchange or Lotus Domino Journaling- number of mailboxes across the Exchange

servers configured for journaling o Microsoft SharePoint Portal Server Archiving- number users accessing archived SharePoint sites o Microsoft Exchange PST Migrator- number of users with PST files to migrate o Microsoft Exchange Public Folder Archiving- number of users with Public Folders to archive o Microsoft Exchange Offline Vault- number of offline users (i.e. Notebook users) o Discovery Accelerator- number of users with archived items (not the number of users performing

the searches) o Compliance Accelerator- number of users with archived items (not the number of users

performing supervisory review) o SMTP Capture- number of unique addresses from which SMTP messages are archived

o Microsoft Exchange Historical Vault- number of users (mailboxes) in the “Historical Vault” o FSA Search & Explorer- number of users accessing archived files

Symantec defines “users” as the number of unique mailbox instances. Each mailbox requires an individual user license. User licenses cannot be inactivated and reused under the same user license. For example, if a given company has 100 users archiving data into Enterprise Vault at a given point in time and 10 of those employees leave the company and subsequently 10 new employees are added as replacements, 110 users would need to be licensed.

• Per Gigabyte of data archived (uncompressed):

o Custom archiving- amount of data to be archived o Base FSA- amount of data to be archived

Enterprise Vault typically compresses the original data volume by approximately 50%. When quoting gigabyte usage, the gigabytes needed should be calculated using the 50% compression rule of thumb. WHAT’S NEW IN ENTERPRISE VAULT 6.0 PRICING AND LICENSING With the release of Enterprise Vault 6.0, we are introducing revised pricing to make it easier to sell and order the product and to continue to make it competitive with the market. We extensively analyzed the pricing, discounting and operational issues with Enterprise Vault 5.0 pricing and defined a new model that will be quotable and transactable through normal VERITAS and partner systems. Furthermore, as we continue to develop Enterprise Vault as an archiving platform, versus simply an e-mail archiving point product, we have adjusted the packaging and presentation of the pricing to reflect the value of the Enterprise Vault Archiving Framework. Below is an overview of the new pricing and licensing model:

The Enterprise Vault Archiving Framework provides the base archiving platform capabilities – storage, retention, expiration, viewing, restoration, compression, migration, administration, categorization and filtering. The framework is priced based upon the number of Enterprise Vault Servers required. Customers can then purchase modules focused on their archiving area of interest (e.g., Microsoft Exchange Mailbox Archiving, SharePoint Archiving, etc.) These modules are priced based upon the number of users or Gigabyte, depending on the specific module. These modules plug into the same consistent Archiving Framework, unlike competitors who have simply “cobbled together” non-integrated archiving point products. Importantly, to simplify the process of ordering for our sales force, our partners and our customers, we defined volume-tiered transactable SKUs for each module based upon the volume of users or Gigabyte. These Per User / Per Gigabyte tiers are shown below:

10,000 25,000 Each SKU’s list price already includes a built-in incentive (lower cost per user or Gigabyte) based upon the volume in the given SKU. As will be explained later in this Guide, partners can order combinations of these SKUs to achieve the volume level desired by the end-user. For example, to purchase 15,000 user licenses for Microsoft Exchange Mailbox Archiving, a 10,000 user license and a 5,000 user license should be ordered. Enterprise Vault is available on a Per Server, Per User, and Per Gigabyte basis as discussed above. We are introducing three new licensed offerings in Enterprise Vault 6.0:

• SMTP Capture. This new capability of Enterprise Vault 6.0 allows for capture and archiving of SMTP messages. This capability will be priced based upon the number of users from which SMTP messages are being captured.

• Microsoft Exchange Historical Vault. This capability allows customers to setup a second “Historical Vault” with a completely separate installation. Typically customers would set this up to restore historical e-mail from tape or other backup media. The “Historical Vault” requires primary Mailbox Archiving or Journaling also be licensed. This capability will be priced based upon the number of users (mailboxes) in the “Historical Vault.”

• Custom Archiving. This capability allows customers to capture other “custom” sources of data such as instant message or database archives and will be licensed in Per Gigabyte increments of 50, 200, 1000, 2000, 5000, 10000 and 20000 based upon the amount of data to be archived.

o Note: This price is in addition to the price of the third-party software (e.g., third-party instant messaging capture software) required to capture the custom data.

We are introducing two new bundles to make it easier to quote “typical” configurations:

• Microsoft Exchange Optimization Bundle. This bundle contains Microsoft Exchange Mailbox Archiving, Microsoft Exchange PST Migrator and Microsoft Exchange Offline Vault and when purchased as a bundle, will be offered at an MSRP that already reflects 10% off the MSRP of the individually priced components.

• Microsoft Exchange or Lotus Domino Governance Bundle. This bundle contains Microsoft Exchange or Lotus Domino Journaling, Compliance Accelerator and Discovery Accelerator and when purchased as a bundle will be offered at an MSRP that already reflects 10% off the MSRP of the individually priced components.

To address competitive issues in selling File System Archiving, we split the product offering into two pieces:

• File System Archiving Base. This module enables transparent archiving but does not provide indexing/search or Archive Explorer. This is targeted at customers who simply want “data movement” and is priced Per Gigabyte. The pricing of this module has been set for competitiveness with other file system archiving or “HSM” solutions.

• File System Archiving Search and Explorer. This module is an add-on to “Base FSA” and requires the File System Archiving Base component to also be licensed. This component adds Indexing/Search, Future-Proofing and Archive Explorer to files captured via FSA. This module is priced Per User based on the number of users who will have access to the archived content.

We are making Lotus Domino Journaling, a new feature in Enterprise Vault 6.0 SP1, available via the same Journaling SKU for Microsoft Exchange Journaling. This SKU will now be called Microsoft Exchange or Lotus Domino Journaling. Finally, we are bundling some previously-licensed functionality into the underlying Archiving Framework to provide more value for our customers and establish stronger competitive differentiation:

• OSL Collector/Migrator: Now included with Enterprise Vault Server • OSL Legacy Migrator: Now included with Enterprise Vault Server • Archive Explorer: Now included with Microsoft Exchange Mailbox Archiving, File System Archiving

Search and Explorer and Microsoft SharePoint Portal Server Archiving.

ENTERPRISE VAULT 6.0 OFFERINGS Enterprise Vault is an archiving platform with the modularity to meet individual customer needs (e.g., e-mail archiving) and the flexibility to add modules over time (e.g., file system archiving) to enable an integrated archive strategy. This is in stark contrast to competitors who offer point archiving solutions or “portfolios” of non-integrated archiving products. We have defined the pricing model to reflect this archiving platform strategy. Customers first purchase the Enterprise Vault Server, which provides the capabilities of the Archiving Framework, and then add in modules based upon the number of Users or Gigabyte of data archived, for the specific types of information to be archived.

Archiving Framework: Enterprise Vault Server License An Enterprise Vault Server license is required for each Enterprise Vault server the customer requires. This is the server that has the core Enterprise Vault services installed, i.e., Directory Service, Storage Service, Indexing Service, Archiving Service, and Retrieval Service. Depending on the customer’s environment, there may be more than one Enterprise Vault server required, and these services can be distributed over the servers as required. This license provides the Enterprise Vault Archiving Framework, which includes storage/retention/expiration, viewing/restoration, compression/migration, administration and categorization/filtering. Microsoft Exchange or Lotus Domino Journaling Enterprise Vault™ 6.0 can archive directly from the Exchange Journal mailbox. This is typically used for compliance-based archiving when the customer’s requirement is to capture ALL e-mail sent and received via their Exchange Servers. Journal archiving can be used on its own, or alongside Microsoft Exchange Mailbox Archiving. The number of users is based on the total number of mailboxes across the customers Exchange servers configured for journaling. In addition, in Enterprise Vault™ 6.0 SP1, customers can archive from Lotus Domino Journal mailboxes as well. The same SKU will unlock Journaling for both Microsoft Exchange and Lotus Domino, but Lotus Domino Journaling will not be available until Enterprise 6.0 SP1. File System Archiving Search and Explorer File System Archiving Search and Explorer requires the File System Archiving Base offering to also be licensed. The File System Archiving Search and Explorer component provides Archive Explorer and Indexing/Search capabilities on top of archived files. Archive Explorer provides a structured folder-style Web-based view of archived files and indexing/search provides full-text search of archived files. Microsoft Exchange PST Migrator Enterprise Vault 6.0 can automatically import e-email items from users Personal Store folders (.PST files). This option allows administrators to import the e-mail items directly into Enterprise Vault, and can also create the shortcut links back into the user’s primary mailbox using the same folder structure found in the PST file. This option is only required if the customer currently has an issue with PST files and would like to move them directly into the Enterprise Vault repository. Microsoft Exchange Offline Vault When items are archived by Enterprise Vault, the archived data is stored on the Enterprise Vault server. In this case it can limit access to items when Notebook users are offline and unable to connect to the corporate network. The Microsoft Exchange Offline Vault module provides a local copy of the user’s archived data on their notebook, which is synchronized with the Enterprise Vault archive store. Discovery Accelerator Discovery Accelerator provides a highly customizable means to automate and optimize the search and discovery process. Compliance Accelerator Compliance Accelerator is a highly configurable add-on solution to Enterprise Vault for Microsoft Exchange. Compliance Accelerator allows organizations to perform cost-effective supervisory review of broker-dealer email to ensure compliance with regulatory bodies. Compliance Accelerator requires other modules that actually archive items; customers typically purchase Compliance Accelerator with Microsoft Exchange or Lotus Domino Journaling. Compliance Accelerator is priced based upon the number of users with archived items – not the number of users performing supervisory review. OVERVIEW OF ENTERPRISE VAULT PRODUCT FULFILLMENT In Enterprise Vault 6.0, we offer a single media kit with CD’s containing both software and soft copy documentation. As with 5.0, you will need to order a CD kit for your customer, and then the additional licenses that your customer needs. The media kit will be delivered to the customer in a single shipping box along with the license key certificate. The certificate will contain directions for obtaining the license keys. A URL will be provided with instructions on how to download the license key file. The customer can then download each license key file, along with instructions on how the files are to be combined into a single license file to be used during installation. Once the customer has their basic Enterprise Vault CD set, they can purchase agents and options in the future simply by ordering additional license keys. When existing customers order additional functionality they will receive a file for only the new functionality. This file will need to be merged into the existing license file. Enterprise Vault 6.0 will not be available through the VERITAS Volume Incentive Program (VIP). Explanation and Limitations: It is important to note that in a scenario like this pricing provided by VERITAS will already reflect the “built-in” volume discount associated with the MSRP of each volume tier. In quotes to our channel partners, the channel partner’s standard / approved discount will be applied to a quote that reflects an already volume-discounted MSRP for each volume tier comprising the order. Hence, in the above 17,000 user example, even though the customer is buying entitlement for more than 10,000 users, this does not imply that the entire order will reflect the same 10,000 user discount for all 17,000 users. The MSRP price points against which this purchase will be quoted already contains multiple discount levels based on each volume SKU ordered – the MSRP for each of the 10,000, the 5,000 and also for the two 1,000 user volumes purchased already contains the approved baked in discount for each volume SKU. Again, please note that the current VERITAS buying programs and fulfillment systems do not provide the ability to sum all users for a given customer or deal and extend a flat volume discount based off the total. The appropriate volume discounts are already reflected in the various MSRP volume tiers comprising the order, and the channel discount is then applied to that total.

Importantly, there is no accumulation for purposes of establishing what volume tier MSRP applies to later purchases. If a customer purchases additional licenses at a later date, the MSRP used to price the new order to the channel will not be based on total cumulative product quantity licensed to-date, but rather be based at the volume level of that incremental transaction/purchase. For instance, if a customer has 10,000 users licensed for

Microsoft Exchange Mailbox Archiving and they return at a later date to purchase licenses for an incremental 1,000 users, the MSRP volume tier at which the order will be quoted will be the MSRP at the 1,000 user discount level and not at the MSRP reflecting a 10,000 user discount level, even though cumulatively with past purchases they have exceeded the 1,000 user threshold in their environment. The MSRP on which each new purchase is quoted by VERITAS is based on that transaction. This limitation will continue until such time that new buying programs and supporting systems are implemented. In this example, again notice that MSRP with different baked in discount levels are used to generate this quote. The four MSRP volume discounted levels in this quote are different from the three MSRP volume discounted levels used for the customer in Example 1 (10,000 + 5,000 + (2) 1,000 level SKUs). If the customer in Example 1 subsequently purchased an additional 1,000 user-level SKU to bring their cumulative total to 18,000 users, the 10,000, 5,000 and three (3) 1,000 user-level SKUs would be necessary, because the later purchase is a standalone order for 1,000 users with its corresponding 1,000 user MSRP volume discount level. By contrast, in Example 2 the order would be quoted by VERITAS using the 10,000, 5,000, 2,500 and 500 user-level SKUs because all of it is being ordered at one time so the 2,500 + 500 SKUs can be used. Importantly, in all volume purchases, the channel will receive an overall implied discount through the combined MSRP discount levels. As the user-levels approach the next highest volume interval (e.g., 450 users vs. 500 users, or 9,000 users vs. 10,000 users) it is often more cost effective on a per user basis for the customer to buy at the next highest tier in order to maximize the discount their order will receive. For instance, in the 18,000 user example above, the customer’s order would receive a higher effective discount from VERIAS to the channel, by ordering (2) 10,000 level skus (or 20,000 users) than combining the smaller sku quantities to reach the 18,000 user-level. We suggest that partners bear this in mind as a positive alternative, to allow the customer to purchase for future needs via orders that receive a maximized discount.

Extending Discounts beyond the MSRP Volume Incentives Enterprise Vault 6.0 embeds quantity-based volume discounts into the MSRP of the license SKUs. Any competitive or discretionary discounts beyond the discount included in the MSRP and contractual discounts can only be provided to partners after consideration under the standard VERITAS discount approval process. All sales opportunities proposed outside of standard terms or beyond authorized discounting authority require a Business Approval Form (BAF) before sending a quote to a partner or processing through ERP. Enterprise Flexible Licensing Enterprise Vault 6.0 is available in the Enterprise Flexible License (EFL) Program. The EFL Program is designed to meet the needs of customers who require flexible deployment across a variety of VERITAS products. Customers purchase the right to deploy a fixed dollar amount of products within specifically identified product families (“D” SKU’s where available) on identified OS platforms, over a fixed time period. However, unlike VERITAS traditional contracts, at the time the contract is signed, customers do not have to identify up front the specific “point” products (i.e., “A” SKU’s) or applicable license counts they wish to deploy from within such product families. To qualify for the Enterprise Flexible Program, the customer must place an initial order with an end user contract net value of at least $250,000 (USD) based on the net license revenue, plus Extended Support (24x7) Services (subject to BAF approval). Target customers include VERITAS Global and Medium to Large Named Accounts. This program is designed for new contracts in support of new license deployments and does not offer a grandfather clause for existing customers’ legacy licenses. This program is open to participation by qualified channel partners. CLUSTERED ENVIRONMENTS Enterprise Vault licenses are required for only the active node of a cluster pair, not both the active and passive nodes. The removal of node locking in the licenses keys, when VERITAS acquired KVS, allows a single key to be utilized through out the clustered environment, avoiding the need to acquire additional licenses.

MAINTENANCE/SUPPORT Offerings: Standard maintenance/support is available for Enterprise Vault 6.0:

• Basic (regional business hours/VS1) is available in one (1) year terms. • Extended (24x7/VS2) is available in 1 year terms or 2-year (multi-year) terms.

Pricing: MSRP for annual Basic Maintenance/Support is 18% of license MSRP MSRP for annual Extended Maintenance/Support is 23% of license MSRP. (If the customer pre-purchases a 2 year (multiyear) support contract, the MSRP for that 2-year term is 46% of the license MSRP.) CONSULTING Consulting Services are available to help clients plan and deploy Enterprise Vault at their site. These services provide the consultancy necessary to assess the Client’s policy and configuration requirements and to ensure a best practice solution. The consulting offerings vary by region as outlined in this section. Americas In the Americas, Enterprise Vault 6.0 consulting SKUs are on Controlled Product Release (CPR) hold pending approval from Enterprise Consulting Services (ECS) management. NFRs Not-for-Resale (NFR) licenses are available for Enterprise Vault 6.0. A 12-month time bound evaluation license will be offered via a stand-alone SKU. NFRs are strictly for use by qualified resellers and partners for evaluation, demonstration, and testing and other purposes allowed by their contracts. They should NEVER be ordered for a customer. At the end of 12-months, the key will expire and must be replaced by another 12-month key to keep the product functional. DATA LIFECYCLE MANAGER TO ENTERPRISE VAULT UPGRADES With the purchase of KVS last year, the VERITAS Data Lifecycle Manager (DLM) product was placed on End of Life status (EOL). As part of the End-of-Life process for DLM and the integration efforts for Enterprise Vault, all current DLM customers have been systematically updated to the Enterprise Vault product.
