ACCEPTANCE OF ORDERS

All orders are subject to acceptance by FLUIDRA USA and to the

conditions herein set forth. Written orders only, oral and telephone

orders are not accepted.

PRICE AND PAYMENT

All prices are F.O.B. FLUIDRA USA’s Jacksonville, Florida plant ship-

ping dock. All shipping, rigging and other destination charges will

be invoiced by FLUIDRA USA and paid by Buyer. Prices are subject to

change without notice. Prices do not include any applicable local or

state taxes. Buyer is responsible for furnishing resale certificate. All

amounts due to ASTRAL shall be paid in full by Buyer no later than

thirty (30) days from the date of delivery. Restrictive endorsements,

terms or other statements accompanying any payment shall be inef-

fective even though payment is accepted by FLUIDRA USA. FLUIDRA

USA shall have the right to change the payment terms extended to

Buyer or cancel or reschedule delivery of the products if FLUIDRA

USA, in its sole discretion, determines that Buyers financial condition

or previous payment record warrants such a change.

ORDERING

To insure prompt and proper shipment, please order using product

part number and description in this catalog. FLUIDRA USA reserves

the right to segment the order to allow for standard packaging. ie.;

case lots. (Orders less than $50.00 net are subject to a $20.00 han-

dling charge). FLUIDRA USA reserves the right to make substitutions

and modifications in the specifications of the products at any time

prior to delivery subject to the condition that such substitutions

or modifications do not materially affect the performance of such

products and such products remain functionally similar.

SHIPMENT

In the absence of sufficient stock, FLUIDRA USA will reschedule the

delivery time.

The non-fulfillment of the delivery date does not authorize the Buy-

er to cancel his order nor to claim any indemnification or compensa-

tion whatsoever, and Buyer expressly waives any actions to which he

might otherwise be entitled for delays when same are due to invol-

untary contingencies and/or force majeure or when Buyer has not

fulfilled all or part of his obligations.

FLUIDRA USA schedules delivery for the time which is confirmed on

the purchase order acknowledgement form sent to Buyer. Delivery

occurs when FLUIDRA USA places the product at its Jacksonville,

Florida plant shipping dock for Buyer’s disposal.

Title to products delivered hereunder, including, without limitation,

parts and accessories and all risks of loss or damage thereto shall

pass to Buyer upon delivery.

Acceptance of the Products shall be deemed to have taken place

five (5) business days after delivery, unless rejected in writing by

Buyer within such five (5) day period.

WARRANTIES

FLUIDRA USA guarantees that all products, when shipped, are free

from manufacturing defects or faults when installed, applied and

used according to specifications. All products are warranted for a

period of one year from the date of purchase, unless specified on

the individual product warranty. Defective products which fail dur-

ing the warranty period, except as a result of improper installation or

modifications, damages or losses, careless handling, negligence or

any other abuse, may be replaced or repaired without charge within

60 days of the receipt of defective products. No claims for cartage,

labor, or other consequent damages will be allowed.

EXCEPT AS STATED IN THIS SECTION, FLUIDRA USA, ITS SUBSIDIAR-

IES AND AFFILIATES MAKE NO WARRANTIES, EXPRESS, IMPLIED OR

STATUTORY, AS TO ANY MATTER WHATSOEVER. IN PARTICULAR, ANY

AND ALL WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A

PARTICULAR PURPOSE AND NONINFRINGEMENT OF THIRD PARTY

RIGHTS ARE EXPRESSLY EXCLUDED.

LOST OR DAMAGED FREIGHT

Our responsability for any shipment ceases when the carrier signs

the Bill of Lading. Thoroughly inspect each shipment immediately

upon arrival. If cartons, packages, or crates are received in short or

damaged condition, it is important that you notify the driver and in-

sist on a notation of the loss or damage across the face of the freight

bill; otherwise, no claim can be enforced against the carrier.

If concealed loss or damage is discovered, you must notify the

carrier at once and request an inspection. It is important that you

do not discard the shipping carton or container. A concealed dam-

age report must be made within five (5) business days of delivery

of the shipment. It is the carrier agent's responsability to schedule

an inspection. If you give the carrier a clear receipt for the goods

that have been damaged in transit, you do so at your own risk and

expense. FLUIDRA USA is willing to assist you in every possible man-

ner to collect claims for loss or damage, but our willingness does

not make us responsible for collection of claims or replacement of

material.

RETURNS

No returns to be made without written request and authorization.

Products returned without authorization freight collect, will be re-

fused by FLUIDRA USA. After receipt of a returned goods authori-

zation form, the products are to be shipped freight prepaid in the

manner and to the destination designated. Products may be re-

turned for credit, if in original condition and resaleable, subject to a

20% (25% if carton is damage and usable) handling and restocking

charge. Under no conditions will returned products be accepted af-

ter 6 months.

TERMS

Shipments will be made on open account upon final approval by

FLUIDRA USA’s credit department, accounts unpaid after 30 days

will be considered delinquent and will be subject to a service charge

of 1.5% per month (18% per annum) on the unpaid balance, or the

maximum amount permitted under applicable law on all amounts

overdue until payment thereof Shipments to delinquent accounts

as well as new accounts will C.O.D. or prepaid until credit is reestab-

lished.

TAXES

Buyer shall pay all foreign, federal, state or local income taxes, sales

taxes, withholding taxes, excise taxes, use taxes, customs duties or

assessments, or other taxes, charges, duties or assessments, includ-

ing interest and penalties, except any tax levied or imposed upon

FLUIDRA USA’s income. All taxes which FLUIDRA USA is obligated to

pay or collect in connection with the import, sale or delivery of the

products shall be paid by Buyer.

CANCELLATION

Without prejudice to other claims to which FLUIDRA USA may be

entitled, FLUIDRA USA reserves the right to rescind or cancel any

transaction by full right in the event of Buyer’s breach of any of the

terms set out herein, and in the event of partial or total nonpayment

of an order, or delay in the payment of previous supplies, and if fore-

closure proceedings were to be initiated against Buyer or if same

were to be declared in temporary receivership or bankrupt.

In the event of rescission or cancellation by Buyer of an order or

any part of an order, without prior agreement, Buyer agrees to pay

FLUIDRA USA an indemnification equivalent to 20% of the value of

the goods affected by the rescission or cancellation, without preju-

dice to the right of FLUIDRA USA to claim, moreover, the damages

caused by the cancellation of the order.

CONFIDENTIALITY

Buyer is obliged to maintain in secret the information that FLUIDRA

USA supplies to him as confidential, and Buyer undertakes to pre-

vent the disclosure of the same. Buyer acknowledges that the unau-

thorized use, disclosure or transfer of any information confidential

or proprietary to FLUIDRA USA or any information which, at law or in

equity, ought to remain confidential, will (a) substantially diminish

the value to FLUIDRA USA of its trade secrets or other proprietary

interests and (b) give rise to irreparable injury to FLUIDRA USA in-

adequately compensable in damages. Accordingly, in addition to

any other legal remedies which may be available, FLUIDRA USA may

seek and obtain injunctive relief or any appropriate decree of spe-

cific performance against any actual or threatened breach or viola-

tion of any of the foregoing undertakings without the necessity of

FLUIDRA USA posting a bond or showing that actual or monetary

damages would not afford an adequate remedy.

RESERVATION OF OWNERSHIP

On all sales on credit and financed sales, FLUIDRA USA reserves the

ownership of the goods sold until Buyer has made absolutely all the

payments, and FLUIDRA USA moreover reserves the right to with-

draw such goods, wholly or partially, from the domicile of Buyer.

JURISDICTION AND COMPETENCE

All transactions between FLUIDRA USA and Buyer shall be governed

in all respects by the laws of the State of Florida, without regard to

any rules of conflict and choice of laws which would require the ap-

plication of laws of another jurisdiction. FLUIDRA USA and Buyer (a)

agree that any suit, action or other legal proceeding between them

shall be brought and heard in a court of competent jurisdiction in

Jacksonville, Florida; (b) consent to the jurisdiction of any such court

in any such suit, action or proceeding; and (c) waive any objection it

may have to the laying of venue of any such suit, action or proceed-

ing in any such court. The prevailing party will be entitled to costs

and reasonable attorney fees.

GENERAL

These Terms and Conditions of Sale constitute the entire Agreement

between FLUIDRA USA and Buyer with respect to the subject matter

hereof and supersedes all previous proposals, negotiations, repre-

sentations or commitments between the parties, both written and

oral. These terms shall prevail in the event that there is a conflict or

variance with the terms and conditions of any purchase order form

or other document submitted by Buyer or with any invoice or other

document submitted by FLUIDRA USA.
