OFFICES IN THE PERIOD OF COVID-19 AND AFTER
What should tenants know at this point?
Offices in the period of COVID-19
and after – what should tenants
know at this point?
22 April 2020
Jakub Sylwestrowicz
Office demand decrease
Shift from relocations to renegotiations
Flex offices as an alternative
Tenants look for savings and cautious solutions

Short term consequences for the office market:
Uncertainty over timely delivery of investments(buildings, space arranged for tenants)
Increase of fit-out costs(higher costs of office projects overall)
Little can be done to ease that challange(value engineering)

Short term consequences for the construction market:
© 2020 Jones Lang LaSalle IP, Inc. All rights reserved. 17
Tenants challanges:
Office activities not prohibited... but actual use of premises is reduced
Overall slown down of business and temporary liquidity hardships
Deteriorating PLN – EUR exchange rate
Landlord challanges:
Irrespective of the situation, need to pay back its bank loans
Obligation to upkeep of the premises

Commercial negotiations in COVID-19 reality (1)
No statutory automatic mechanism allowing for unilateral
suspension of rental payments or its reduction
Civil code („Kodeks cywilny”) provisions enable to bring the
case up to the court but... mind the uncertainty of the court’s
verdict and certainty of legal fees
Each case is individual and should be analysed separately –limited chance for any ‚collective action’

Commercial negotiations in COVID-19 reality (2)

Review your lease and its legal provisions(eg. force majeure provisions, early termination clauses)
Consider an arrangement with landlord aimed at:
Lease restructuring (temporary rental exemptions being paid back later
on; service charges adjustment)
Lease renegotiations (rental exemptions in return for extending the lease,
waiving the break option/ contraction option)
In reality, amicable solution (win-win) is a must

So what can office tenants do?
Negotiations outcome depends on factors related to the landlord specifics and the attractiveness of the ‚bargain’
Acquisition financing and ownership structure
Existing insurance policy of landlord (loss of rent)
Structure of landlord’s portfolio (e.g. office vs. retail component)
Tenant’s barganing chip (e.g. willingness to extend the lease)
Rent free inducement or/ and temporary postponement of rental
obligations; perhaps review of service charges fees

What can office tenants achieve?
© 2020 Jones Lang LaSalle IP, Inc. All rights reserved. 23
Structural change towards home office & remote working
More selective approach to choosing business partners
BCP more embedded into corporate real estate planning
Need to re-define the office we’ll return to (sanitary/ health
requirements, office set up, approach to semi-permanent remote working of larger teams)

• BCP works for most
• HR & Talent: most centers and GBS organizations continue as usual• Hiring, onboarding continues (few hiring freezes)
• HR support activity increase
• Work tracking, management issues
• Technology: higher maturity and agility now pay off• Automated centers move with ease (no paper invoices…)
• Tech investments into communication tools (Teams, Slack…): delay of other projects ?
• SDM: too early to tell how changes in GBS will look like, different views on everything• More automation
• Issues with „interim phase“: we live out of suitcase
• Only certainty short term is cash importance

HOW GBS ORGANIZATIONS ARE MANAGING THE CRISIS AND WHAT COMES NEXT
2020 COVID-19 GBS Pandemic Response Quick Poll
No company was fully prepared for the level of business disruption caused by the coronavirus crisis. In response, GBS organizations have mostly implemented measures to confront immediate challenges. Now GBS must start to plan for a return to "new normal" conditions that are not yet fully understood, made more complicated by a deep recession.
PARTICIPATE AND LEARN
• How GBS organizations were impacted most by the crisis
• How they responded and which strategies were most effective
• What practices will be continued and operationalized as recovery starts
• The most pressing issues GBS will have to deal with once the crisis eases, and how they plan to address them
In return for your participation, you will receive an instant report of consolidated results, and a full report with more in-depth analysis in mid-May. The poll should take only about 15 minutes to complete. Please be assured that your responses will remain completely confidential.
