SACEOS was set up in 1979 to be the voice and champion of the meetings, incentives, conventions and exhibitions (MICE) industry, to help those in the business to develop and prosper, and to work closely with the government to meet the objective of making Singapore the best venue in Asia.

1. The raw exhibition space at Arts House, Gallery II, will be assigned by level of sponsorship and on a first-come, first-served basis upon submission of the completed application form. Includes 1 cocktail table, 2 high-chairs and power point.

Conditions of ParticipationI. ApplicationProvided it is submitted within the registration period, this application constitutes the Sponsor’s offer to enter into a legally binding arrangement with theOrganizer strictly in accordance with these Conditions of Participation unless as otherwise stated by the Organizer.

II. Acceptance/Contractual Obligation1. The Organizer’s acceptance of the Sponsor’s offer is solely at the Organizer’s discretion, and shall be strictly in accordance with these Conditions ofParticipation unless as otherwise stated by the Organizer as provided at sub-clause 3 below. For the avoidance of doubt, should the number ofapplications for sponsorship complying with the requirement profile and received by the Organizer prior to the expiration of the registration periodexceed the number of available slots for sponsorship, the admission of successful Sponsor applicants shall be solely at the discretion of the Organizer.The decision of the Organizer in this regard shall be final.

2. The Sponsor may be disqualified from admission to the conference, if the Sponsor failed in the past to fulfil his financial obligations vis-à-vis theOrganizer at any time, or if he failed to fulfil such financial obligations within the prescribed period of time.

3. A legally binding contract between the Sponsor and the Organizer shall be concluded upon written notification of acceptance from the Organizer to theSponsor (“the Acceptance”) except as provided herein. Should the content of the Acceptance differ from that of this application, the contract shall beconcluded under the terms of the Acceptance. Additionally, if the Organizer finds it necessary to change the dates of the Event and/or to change thevenue of the Event (“the Change”), provided that any changes are reasonably made, the Organizer shall notify the Sponsor of the Change in writing. TheOrganizer shall have the opportunity to object to the Acceptance or the Change in writing within 2 weeks after receipt of the written notification.

4. The Acceptance only applies to the Event, the Sponsor, its products and/or services.

5. Upon expiration of the 2-week objection period provided at sub-clause 3 above, there shall be no release from this contract without the Organizer’sconsent.

6. The following cases will fall solely within the Sponsor’s scope of risk:

a) where the products, which have been stipulated for the presentation, cannot be introduced at the venue of the event due to legal requirementsprevailing there or due to other reasons, or

b) Where such products do not arrive in time, do not arrive undamaged or do not arrive at the venue of the event at all – e.g. as a result of any loss, delayin transport or customs, etc. – or

c) Where the journey of the Sponsor’s employees or the Sponsor’s stand or installation personnel is delayed or becomes impossible.

The Sponsor will in all the above cases remain under the obligation to pay all the contractual charges and fees agreed upon.

7. All cancellations on the part of the Sponsor should be made in writing to the Organizer at least 1 month before the commencement of the Event.Should the Sponsor cancel its participation one (1) month prior to the commencement of the conference, a cancellation fee of 50% of the CancellationCharge will apply. Cancellation less than 1 month before commencement of show will result in a cancellation fee of 75% of the Cancellation Charge.Cancellation less than 2 weeks before commencement of show will result in a cancellation fee of 100% of the Cancellation Charge. For the purpose of thissub-clause the term “Cancellation Charge” shall be equal to the sponsorship amount or the sponsorship value of products/services provided in kind.

III. Participation Fee and Other Costs / Terms of Payment

1. The Organizer shall invoice the Sponsor no later than 2 weeks prior to the Event.

2. Failure to make payment in time will result in interest charges amounting to 6% per annum. Should the damages incurred by the Organizer exceed thisinterest amount, he shall be entitled to these additional damages. The claim for compensation will cease or be reduced, if the Sponsor may prove that theOrganizer has incurred substantially less or no damage as a result of the payment default.

3. Should payment of the invoice not be received within 2 weeks of the date of the invoice, the Organizer is entitled to terminate the contract.

4. As a security for all claims the Organizer might have against the Sponsor, the Organizer has a pledge on all movable objects belonging to the Sponsor onthe stand area.

5. Any services that the Organizer has provided will be invoiced either in SGD, EUR, in USD or in another currency to be determined by the Organizer atthe Organizer’s discretion. The Sponsor is obliged to pay the amount and currency stipulated on the invoice (“billing currency”). Should the Organizer, as acourtesy, accept settlement of the invoice in a currency other than the billing currency, such payment must be calculated based on the conversion on theofficial buying rate of the billing currency on the date of payment. Any exchange rate losses in relation to the billing currency after the invoice becomesdue for payment are at the Sponsor’s expense.

6. Any complaints relating to the invoice must be made in writing, without undue delay, at the latest 2 weeks after receipt; complaints submitted at alater date cannot be considered.

7. Any projecting or overhanging parts, pillars, installation connections and other permanent internal fittings in the stand space do not entitle therespective Sponsor to any reduction in the participation or other costs.

8. The Organizer shall also be entitled to the payment of the full amount, should the Sponsor fail to fulfil any of his contractual obligations. This does notaffect further claims for damages. Should the Organizer fail to fully or partially fulfil his contractual obligation, the Sponsor isentitled to a proportional reimbursement of any payments already made by the Sponsor. Exceeding claims are excluded in accordance with section VII.

9. In the event of counter claims being made against those claims arising from the contract, the sponsor may only set off or assert his right of retention inas far as these claims are undisputed or have been awarded by an enforceable judgment.

10. Should an invoice upon request of the Sponsor be sent to a third party, this does not constitute any waiver of claims or obligations of the Sponsor. Thelatter remains obliged to pay until such time as the account receivable has been settled in full.

11. All payments being due to the Organizer must be made in full without deductions, whereas bank charges, currency exchange fees etc. have to beborne by the Sponsor or debtor.

IV. Warranty / Liability / Insurance

1. The Organizer does not assume any obligation to exercise proper care of exhibits, stand fittings and objects, which are the property of the standpersonnel. Any liability for damages and losses is expressly excluded, if it is possible to underwrite the risks. This does not affect the liability incurred bywilful acts or grossly negligent misconduct. This exclusion of liability is not affected by security measures of the Organizer.

2. Within the scope of liability, the statutory regulations concerning the burden of proof shall continue to apply; they will not be affected by this clauseexcept in cases concerning liquidated damages.

3. The Sponsor is liable to the Organizer for any damage inflicted on the Organizer, provided that such damage is attributable to the Sponsor’s culpable(wilful action or negligence) action or the culpable action of the Sponsor’s personnel, the Sponsor’s employees or any third party which the Sponsor hasappointed or any other third parties, whose services the Sponsor is using for the purpose of fulfilling his obligations.demand liquidated damages in the amount of 25 % of the participation fee (including rent and additional services) without providing any proof. However,in this case the Sponsor shall have the right to prove that a damage or loss has not been incurred or that the quantum of the damage or loss incurred isless than the liquidated damage. The Organizer may choose to claim damages exceeding the amount of 25 % of the participation fee if the Organizer canprove such higher damage.

5. The Sponsor shall be liable and bear the risk for all damages incurred during transportation to and from the conference venue including all damagesincurred during transportation within the conference building.

V. Period of LimitationAny claims of the Sponsor, which may be asserted against the Organizer and which may arise from the contractual relationship, as well as all other claimsrelating thereto, shall become time-barred after one year, unless a shorter statutory limitation period applies or the liability of the Organizer results froman intentional action. The longer statutory limitation period for tortuous claims, fraudulent intent and culpable impossibility of performance shall remainunaffected. The limitation period shall commence at the close of the month, in which the closing date of the eventfalls.

VI. Reservations / Final Provisions1. The Sponsor is solely responsible for compliance with all the laws, guidelines, and other regulations being applicable at the place of venue of the event,even if the contents of the Organizer’s Conditions for Participation deviate from such regulations. The Sponsor must inquire about the relevantregulations prevailing at the venue of the event promptly and comprehensively, and thereby obtain the required information. The Organizer will notassume any liability for damages and other losses, which might result from any non-compliance with this obligation.

2. The Organizer shall have the right to postpone, shorten, extend or cancel the event, as well as to terminate the event temporarily or definitely, as wellas individually or collectively, if such an action is required due to unforeseen events such as force majeure, natural disasters, wars, disturbances, strikes,breakdown or obstruction of traffic and communication. In the event of any postponement, shortening, extension or termination, the Sponsor shall notbe entitled to the payment of any resulting damages, which the Sponsor may suffer. The Sponsor shall have the right to rescind the contract, if he losesinterest in participating because of such an action and if the Sponsor consequently waives the reservation for the stand space allotted to him. Upon fullknowledge of the change, the rescission of the contract must be declared in writing and without undue delay.

3. In case of the cancellation of an event, the Organizer shall not be liable for damages and/or other losses, which might be incurred for the Sponsor.Upon request of the Organizer, the Sponsor will be obligated to defray a reasonable share of the expenses resulting from the preparation of the event.The amount of the share to be paid by each Sponsor shall be stipulated by the Organizer after consultation with the business organizations concerned,whereas the maximum shall be 5% of the total costs. By signing the application form the Sponsor acknowledges the Organizer’s Conditions ofParticipation together with all other regulations relating to the contractual relationship, as legally binding.

4. Should these provisions be or become partially legally invalid, vague or void, this shall not affect the validity of the remaining provisions or the contract.In this event, the parties bind each other to replace the invalid provision with a valid provision that comes to the commercial purpose of the invalidprovision as close as possble.

5. This contract constitutes the entire agreement of the parties relating to the subject matter addressed in this contract. This contract supersedes all priorcommunications, contracts, or agreements between the parties with respect to the subject matter addressed in this contract, whether oral or written. Allagreements, approvals and alterations to the contract must be made in writing.

VII. Place of Fulfilment / Jurisdiction / Governing Law1. The place of fulfilment for monetary obligations of the Sponsor – no matter on which legal basis – shall be the principal place of business of theOrganizer (i.e. Singapore).

2. The parties submit all their disputes arising out of or in connection with this contract to the non-exclusive jurisdiction of the Courts of Singapore.

3. This contract is governed by and shall be construed in accordance with the laws of Singapore.
