What Is Thompson Hine Contract Solutions?
Contract Solutions is a comprehensive, systematic approach to creating, reviewing, executing and managing contracts throughout the contract lifecycle. Beyond software programs or outsourcing, Contract Solutions integrates a variety of resources and strategies to deliver a consistent, high-quality work product tailored to the contract management needs of each client. Thompson Hine brings it all together, enabling us to help clients maximize operational and financial performance while mitigating risk.
Contract Problems Solved
By uniting all of our contract management strategies and experience into a methodical, coordinated approach, we provide solutions to common problems encountered in the contract management arena.
Problem Symptoms
High volume of contract-related requests • In-house staff is swamped • Internal customers unhappy with service level
Significant volume of “urgent” requests • Too much time spent on requests that are
not high priorities for the overall business • Higher-risk contracts do not get attention they need
Repetitious requests • Knowledge not captured/shared • In-house team always re-inventing the wheel
Requests often involve working from a counter-party’s form
• Increased time to process as team always “starting from scratch”
• Increased risk
Purchasing/Procurement or another internal organization “owns” contracts
• Key dates missed • Risks not addressed
Advantages of Contract Solutions
Contract Solutions offers distinct advantages over other firms and vendors.
Dedicated, Knowledgeable Team – We will develop your Thompson Hine team based on your needs. We anticipate that each engagement would be staffed by a senior attorney, a contract administrator and one or more (as needed) reviewing attorneys. Each team member will have knowledge of your organization, industry and specific contract parameters.
Not “One Size Fits All” – Contract Solutions can be customized to fit the specific needs of each client. From discrete, contract- or project-based assistance to comprehensive development and implementation of the client’s contract intake and management process, we tailor our services to the client’s needs. We assist along the full spectrum of contract management services, including:
- Reviewing and negotiating individual contracts
- Reviewing, negotiating and managing portfolios of contracts
- Performing a full examination of a client’s contract management “present state” and helping develop and implement the client’s “desired state”
Driven by Technology – Contract Solutions leverages a cohesive combination of robust proprietary and externally-developed tools to ensure high levels of quality and consistency.
- With real-time reporting, the client always knows the status of an individual contract or of an entire portfolio of contracts
- Electronic contract storage is secure and searchable
- Key dates and reminders can be docketed
- Contract data can be exported into the client’s systems
- Contract assembly software increases processing speed and reduces errors
Value-Based Pricing – Thompson Hine offers a variety of alternative fee arrangements for all kinds of matters and engagements. Contract Solutions pricing will vary depending on factors including contract volume and complexity. Options could include:
- Blended hourly rate
- Fixed fee per contract
- Monthly “retainer” arrangement (i.e., we handle all contract requests for a fixed fee per month)
- Fixed fee for upfront “process review” phase
- Flat fee for delivery of your Playbook
Multi-disciplinary legal and subject matter expertise
Legal project management and process improvement experience
Flexible staffing, including lower-cost contract attorneys
Proprietary systems, software and tools
Carefully selected external technology tools
What Is a Playbook? A Playbook is a definitive, comprehensive guide to a client’s contract. The Thompson Hine team reviews the client’s form contract as well as a sample of executed contracts based on that form contract to develop an understanding of the client’s unique regulatory and risk issues and assess how contract clauses could be utilized to help manage those risks. After completion of the review (and consultation where necessary with Thompson Hine subject matter experts), the team makes recommendations for changes to the form contract to speed up negotiation time without subjecting the client to increased risk. The team also works with the client to establish pre-approval thresholds and identify alternative/fallback provisions that could be utilized if the initial provisions are not accepted by the other party. For example, if the client always approves alternative payment terms for transactions of a certain size, that information would be captured in the Playbook so that Thompson Hine would not have to go back to the client for approval of that position. In a nutshell, the Playbook captures everything one needs to know in order to successfully manage a contract on the client’s behalf, including best practices and detailed drafting notes, and can be used by Thompson Hine for ongoing contract management or can be delivered to the client for its internal use.
