Lord Darzi

In evidence to the Health Select Committee July 2008:… What happens with these health centres, the type of services they provide, has to be a local decision…

Equitable Access

Conclusion

• The locally led approach to the procurement of the Equitable Access Programme, and the emphasis on services being designed to meet local needs, means that there will inevitably be variation between what we mean by “polyclinics”. Whereas a multi-service facility may be appropriate for some PCTs, it may not be suitable for others. But a key issue is that Equitable Access is principally about improving services rather than procuring new facilities.

Ideally flexibility is required.

The alternative approaches to the provision of premises

Use of your existing premises:-• Owned by you• Occupied under Lease• Occupied under Licence

New Premises which you propose to:-• Licence• Lease – of already constructed premises• Lease – of newly constructed premises by third party• Acquisition and development of new premises by you

The Alternative Approaches

Existing Premises

Page 57: Polyclinics: Navigating the opportunities, dispelling the ... · for more information visit us at ... Making it work for you Ian Hempseed Partner – Commercial Team and Head of Charities

57

Existing Premises – general points

Essential points to consider generally:-

• Is the new contract to be held in the same name as that of the present occupiers?

Consider e.g.

• “Partnering” arrangements with other Practitioners

• the setting up of a new limited company

• If not - new arrangements will be required for occupation by the new entity.

• Consider any planning restrictions.

• e.g. restricted hours of opening

• e.g. car parking issues

Page 58: Polyclinics: Navigating the opportunities, dispelling the ... · for more information visit us at ... Making it work for you Ian Hempseed Partner – Commercial Team and Head of Charities

58

Existing Premises – already owned by you

Ensure there is no conflict with:-• The terms of any mortgage• Any restrictive covenant on the Title• Consider the implications upon termination of the contract with regard to:-

• Any rent/rent reimbursement which has been paid.• Any contribution received towards rates, utility bills, staff costs.

• Your ability to continue to fund any mortgage outgoings.

Page 59: Polyclinics: Navigating the opportunities, dispelling the ... · for more information visit us at ... Making it work for you Ian Hempseed Partner – Commercial Team and Head of Charities

59

Existing Premises – Current Lease

• Will your extended proposed use breach the terms of your Lease?

• If so this could lead to forfeiture of the Lease which will also impact upon your core business.

• You may apply to Court for relief from forfeiture (provided the breach (and thus the contract) ends.

• A very expensive procedure!

Page 60: Polyclinics: Navigating the opportunities, dispelling the ... · for more information visit us at ... Making it work for you Ian Hempseed Partner – Commercial Team and Head of Charities

60

Existing Premises – Current Licence

• A Licence does not provide an “interest” in land. • It merely grants “permission to occupy”.• Very little security.• A breach of a Licence could lead to termination.• No right to apply for reinstatement of the Licence.

Page 61: Polyclinics: Navigating the opportunities, dispelling the ... · for more information visit us at ... Making it work for you Ian Hempseed Partner – Commercial Team and Head of Charities

62

New Premises – to be occupied under Licence

• Consider the same points as above.• Significantly quicker to negotiate the terms than any alternative form of occupation.

• Likely to impose less onerous obligations upon termination.

Page 63: Polyclinics: Navigating the opportunities, dispelling the ... · for more information visit us at ... Making it work for you Ian Hempseed Partner – Commercial Team and Head of Charities

63

New Premises – Lease of already constructed premises

Generally:-• The shorter the Lease Term, the less cost effective it is.

• The longer the Lease Term, the higher the SDLT (if payable).

• Investigation of title and negotiation of Lease terms• A Lease is a contract imposing liabilities:-

• During the Term.• At the end of the Term, i.e. dilapidations

Summary

• Timing is crucial.• Flexibility may be crucial:-

• Your premises’ provision may need to include a combination of any of the above

• Consider what you are seeking to achieve:-• Limited liabilities/no capital gain/short term occupation or• accept risks and liabilities/long term investment/ potential capital gain.
