POLY V® THE BELT FOR ALL APPLICATIONS
Poly V® is a power transmission ribbed belt.It operates from contact between the ribs of the belt and the grooves of the pulley.Its one piece structure guarantees an even distribution of tension accross the width of the pulley where the belt is on contact.
Feel free to ask for: Aramid cord Resistant compounds (to oil, or ozone, or high temperature…) Special hardness (61, 67, 73 shore A) Extra thickness overbackings… Hutchinson can propose rectified belts or matched sets of belts.

Article 4 - PAYMENT:Our products are invoiced on delivery andmust be paid by the customerwithinfortyfive(45)daysendofthemonth.Wereservetherighttodemandadepositorpaymentagainstorderandthecustomershallbeboundtoeffectpaymentswithoutdeduction(expenses,taxes,dutiesetc.)withtheexceptionofadiscountonthetermsandconditionsbelow.In the case of early payment agreed by us, the customermay deduct a discountcalculatedinaccordancewiththefollowingformula:
Invoiceamountpayablex(i)x(nd) 365x100where(i)istheannualrateoflegalinterestand(nd)isthenumberofdaysyettorunbetween thedateof credit (bank transfer)or thechequeclearancedate (dateof dispatch + eight days) and the due date 60 days of the end of themonth ofdispatch.Thediscountthuscalculatedshallbedeemedinclusiveoftaxandthenetamountbeforetaxshallbedeductedfromourtaxableturnover.TheamountofVATdeductiblebythecustomershallbe thatshownonthe invoiceless thecalculateddiscount.We shall not issue an adjusted invoice or confirmation credit note forcalculateddiscounts.Ifthecustomerhaspromisedtomakepaymentoncashterms,i.e.withintendaysofthedateofinvoice,theamountofthediscountwillbeshownontheinvoiceanddeductedfromtheprice.Paymentsaretobesent totheaddressshownonthefrontof theinvoice.Failingwhich, theyare tobesent toCentreAdministratifHUTCHINSON,17rueAndréBoulle,86107ChatelleraultCedex.Allinvoicesaretobepaidontheduedateevenintheeventofdisputeoverthedescriptionorcontentsthatwill,ifnecessary,betheobjectofasubsequentadjustment.However,nocomplaintwillbeconsideredmorethan12monthsaftertheinvoicedate.Savingourexpressagreement,undernocircumstancesisthecustomerauthorisedtodeferorstaggerthepaymentsdue.
Article 5 - INTERESTS ON ARREARS AND COMPENSATIONS :ThecustomershallbecompelledtopayinterestonarrearsonthebasisofaratetheamountofwhichshallnotbelessthanthreetimesthelegalrateinforceinFranceonthedateofthelateness:- intheeventoffailuretopaythepricepayableontheduedate,- orintheeventofpartpaymentonlyorofnon-acceptanceofanagreementwith
theperiodstipulatedor in theeventof terminationofbusinessorof transferof capital, the whole of the balance still owing becoming then legally duefollowingdefaultofpayment.
InaccordancewitharticleL.441-6, I,12eal.of theFrench“Codedecommerce”a lump sum payment equal to 40 € will also be payable by the customer incompensationforcollectioncharges.Thelumpsumpaymentamountshallbeaddedtotheaforementionedinterestonarrears.Interestsonarrearsandlumpsumpaymentwillbepayableassoonasthecustomerisinformedbyaletterofadvisethattheyhavebeenchargedtohisaccount.Theapplicationoftheaboveinterestonarrearsandlumpsumpaymentshalltakeplacewithoutprejudice to the applicationofotherprovisions laiddown in thesegeneraltermsandconditions,or,moregenerally,ofanyotherlegalprovision.
Article 6 - CANCELLATION:Failuretopaythesumsdueatthetimesagreed,andfailuretocollectortoaccepttheproductssold,shalllead,withoutneedforformalnoticeorsummons,tocancellationof theorder,unlesswe require,asweare legallyentitled todo,executionof theorder.In addition, all refunds, discounts or other special advantages not having beenappliedandpaidpriortosuchcancellationshallremainlegallyacquiredbyusevenretrospectivelyifnecessary,ascontractualcompensationandpenalty.
Article 7 - RESERVE OF OWNERSHIP:Ownershipofourproductsshallpasstothecustomeronlyonthedateonwhichthepricepayablehasbeenpaidinfull.Thisreserveofownershipshallnotauthorisethecustomertocancelhisorherorder,thisoptionbeingopenonlytous.Inconsequence:
THE ACT OF SENDING AN ORDER TO OUR COMPANY ENTAILS ACCEPTANCE BY THE CUSTOMER OF OUR GENERAL TERMS AND CONDITIONS OF SALE SET OUT BELOW, NOTWITHSTANDING ANY CONTRARY CLAUSE ON THE CUSTOMER’S PART AT ANY TIME AND IN ANY WHATSOEVER FORM.
Article 1 - ORDERS:Orders placedwith us shall be binding on us onlywhen the object of a writtenacceptancefromus.Anordershallcomprise:- thecontractsignedbybothpartiesortheorderformandacknowledgementof
receipt,- ifnecessary,specificsupplementarytermsandconditionsand/orspecialtermsand
conditions,- thesegeneraltermsandconditionsofsalewhichshallformanintegralpartof
theorder.Wereservetheright,withinthestrictframeworkofqualityrules,duringexecutionof the order, tomake anymodifications to our products rendered necessary bycompellingcircumstancessuchasachange to technicalstandardsofproductionmethods,legislativeprovisionsorregulationsaffectingthetermsandconditionsofexecutionoftheorder,without,however,affectingtheessentialcharacteristicsoftheproducts.Ifsuchmodificationsmakeitimpossibleormoredifficulttoexecutecertainstipulationsoftheorder,inparticularregardingpriceordeliverytime,weshallcommunicatetheappropriatejustificationstothecustomer,andanadditionalclauseontheorderwillbesignedformalisingthenecessarymodifications.
Article 2 - PRICES:Ourscalesofcharges, includingvolumediscounts,are shown inourprice lists.Theyareavailabletocustomersandwillbesentonrequest.Ourpricelistsdonotconstituteanofferandmaybemodifiedwithoutpriornotice.Our products are always invoiced at the price in force on the date of delivery.Ourpricesarequotedexclusiveof tax,ex-works,carriageandpackinginvoicedseparately.
Article 3 - DELIVERY - ACCEPTANCE:3.1 DeliveryWhatever terms and conditions of delivery agreed, delivery times are given forguidanceonly,withnopromisebyus.Latedeliverycannotbeusedasgroundsforcompensationorforcancellationoftheorder.Deliveries, unless otherwise expressly agreed, shall be deemed effected in ourfactoriesorourdepots(or thoseofoursuppliersorsub-contractors)byhandingover to thecarrierofourchoiceandaftercustomsclearance, ifnecessary(FCAourproductionunitorourdepot).Intheeventofexpressagreementtothecontraryresultinginaderogationfromthisprinciple,wecanonlybeheldliablefordamageor loss arising during transport if the customer has completed the formalitiesofArticle 105 of theFrenchCommercialCode andwe have been informedbyregisteredletterwithacknowledgementofreceiptwithintheperiodstipulatedinsaidArticle105.Weshallbereleasedfromourobligationtodeliverintheeventofforcemajeure.Quantitiesreadytobedeliveredatthetimeoftheoccurrenceofaneventofforcemajeuremustbeacceptedbythecustomer.Noreturnsorreinstatementswillbeacceptedwithoutourexpressprioragreement.If thecustomerdoesnot takepossessionof theproductsdirectlyor throughhiscarrierattheplaceandonthedateagreedwithus,heisnonethelessboundtomakethepaymentsstipulatedinthecontractasiftheproductshadbeendelivered.Intheeventofthecustomer’sfailuretocollectandpayfortheproducts,weshallbe entitled to store said products at the customer’s expense and risk. In suchcircumstances,weshallalsobeentitledtodemandreimbursementofallexpensesincurredinexecutionofthecontract.
3.2 AcceptanceSavingspecialagreement,acceptanceofourproductsshalltakeplaceatourworksoratthoseofoursuppliersorsub-contractorsonthedateagreedintheorder.If the product forming the object of supply is to be assembled or installed byourselvesorbyoursub-contractors,thecustomershallproceedtoacceptanceoftheproductwhenassembledor installed in theplacestipulated in theorderandshallissueanacceptancereporttous.However,theproductshallbedeemedacceptedonthefirstofthefollowingdates:- thedayoffirstusebythecustomer,- onemonthaftercommissioningifthecustomerhasnotconductedorarranged

1. In theeventofnon-payment, thecustomerisabsolutelyforbiddentocontinuetouse,byconversionorincorporation,pledgeorresellourproductsoverwhichownershipisreserved.
2. Insofarastheyarefoundinkind,inwholeorinpart,atthecustomer’spremises,claimsoverproductsdeliveredmaythenbemadebysingleregisteredletterwithacknowledgementofreceipttothecustomer,aletterwhichwillthenbefollowedimmediatelybyexecutionbyuswithoutneedforacourtorder.Suchclaimmayrelatetoalltheproductsfromthemomentthecustomerleavesunpaidallorpartofasumdue.
3. Payments by the customer regardless of the latter’s allocation of same maysubsequently be allocated first for application of this clause to those of ourinvoicescorrespondingtotheproductswhichhavebeenusedorresold.
4. Furthermore,thecustomershallbecomethesolekeeperoftheproductswhoseownershipisreservedfromthemomentoftheireffectivetransfer.Inparticular,heorsheshallassumefullresponsibilityand,intheeventoflossordamageforanywhatsoeverreason,heorsheshallpaythepriceagreedinfull.Heorsheshallproveatfirstrequestthatadequateinsurancehasbeentakenout.
Article 8 - GUARANTEE:Theguaranteewegiveagainstdefectsofdesign,materialsormanufacturingofourproductscomprisesonlythereplacement,modificationorrepairofpartsacknowledgedtobedefectiveandtakingwearandtearintoaccountwithoutanycompensationbeingawardedforanywhatsoeverreason.Inparticular,wecaninnocircumstancesberequiredtobearcostsotherthanthoseforwhichthisclausemakesusresponsible,suchascostsincurredbythecustomerorbythirdpartiesduringimmobilisationoftheproductoroftheequipmentintowhichourproducthasbeenincorporated.Allclaimsshallonpenaltyofinadmissibilitybesentbyregisteredletterpostedwithintendaysofreceiptoftheproduct.Intheeventofouracceptanceoftheclaimitshallbereturnedcarriageandpackingpaid.Itemsreplacedundertheguaranteeareourpropertyandaretobereturnedtousattheplaceofdeliveryonrequest.Weshallnotbeliableundertheguaranteeinthefollowingcircumstances:- defectarisingfromdesign,materialsormanufacturingorassemblytechniques
imposedbythecustomerandoverwhichwehaveissuedreserves,- interventionontheproducteffectedbythecustomerorbyathirdpartyorparties
inconditionsnotapprovedbyusinwritingpriortotheintervention,- defectsordeteriorationcausedby themisuseornegligenceof theuserof the
productorbyanincidentofforcemajeureorfortuitouscircumstances,- failuretocomplywithourinstructionsforuse,- on-goingmaintenanceoperationsorreplacementofpartsmadenecessarybythe
normalwearandtearoftheproductorbyitsexposuretobadweather.
Article 9 - LIABILITY:Our liability is strictly limited to the obligations defined in the order. In nocircumstancesshallwebeliableforintangibledamage(consequentiallossordamage)thatmaybesufferedbythecustomer.Ourliabilityislimitedallcausescombined,tothecontractualpriceofourproductsgivingrisetotheclaim.
Article 10 - TOOLING:Contribution to allorpartof thecostsofproducing theproduction toolingofourproducts,requestedfromthecustomerintheformofaseparateinvoice,shallnotleadtothetransferofownershipofsuchtoolingtothecustomersavingexpresscontraryagreement.
Article 11 - SECRECY:Weshallretainownershipofstudies,plansanddrawings,modelsandalldocumentsweissueorofwhichthecustomermayhaveobtainedknowledgeinthecontextoftheorder.Suchitemsmayonlybeusedbythecustomerforthepurposesofexecutionoftheorder.Thesedocumentsareconfidentialandmaynotbedistributed,published,ormoregenerally,communicatedtothirdpartieswithoutourpriorauthorisation.Theymustbereturnedtousatthefirstrequestfromus.We shall retain exclusive ownership of the studies completed by us or by ourrepresentatives,stafforsub-contractorsontheoccasionofexecutionoftheorder.
Article 12 - FORCE MAJEURE:Our obligations shall be suspended in circumstances constituting force majeureandmoregenerally in theeventofanywhatsoeverstoppagesofwork,productionaccidents,fire,flood, lockoutoccurringonourpremises,on thoseofoursuppliersand sub-contractors, problemsof importation and exportation, and in the event oftheoccurrenceof eventsbeyondour control andpreventingus from fulfillingourobligationsinnormalconditions.
Article 13 - COMPETENT LAW - LEGAL VENUE:Unless otherwise specified in the Contract, any dispute relating to the Contract,includingitexistence,validityand/orterminationshallbesubjectto:

• FrenchlawandtothejurisdictionoftheTribunal de Commerce de Paris ifthedeliverytheSupplyistotakeplaceinFranceoroutsidetheEuropeanUnion;
• thelawandtothejurisdictionoftherelevantcountryofdelivery,ifthedeliveryistotakeplaceintheEuropeanUnion(otherthanFrance).
The Purchaser and Supplier expressly renounce application of the UnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG),signedinViennaon11April1980.
