    Welcome Joint committee exploring consolidation:

    PNBOA President Tim Gately SOWB President Noel Bourke SOWB Member Mile Lloyd PNBOA Member Kent Binning

    Reached out to Spokane Group who already successfullyconsolidated and Snohomish who are in the process ofconsolidating.

    Nothing is set in stone! What we are presenting is whatwe think would be best for both organizations. It is awork in process.

    We are looking for member input.

    Why Consolidate Survey of both Memberships showed a desire to do some sortof consolidation

    Both Organizations do similar things Recruiting Training, Meetings, Assign Games, Officiate Games, Bill

    Customers, Pay Officials, Evaluate Games, Have Varsity/JV Lists

    Only real difference is one group officiates Boys Basketballand the other officiates Girls Basketball

    174 of 283 total officials already work JV/Varsity in bothorganizations

    41 of 85 PNBOA Varsity list 57 of 72 SOWB Varsity list 44 of 62 PNBOA Non-Varsity list 32 of 64 SOWB JV list

    Benefits Would put more $ in officials pockets by providing

    more game opportunities and less assessments

    Would give officials more flexibility and less gameassignment administration

    Would simplify managing WOA Rosters Would be easier for schools and leagues to deal

    with just one organization

    Would reduce overhead costs Would alleviate PNBOA and SOWB from having to

    pay possible B&O back taxes

    Concerns Total one time cost of $10k-$15k to implement

    consolidation

    Includes attorney fees to create legal documents, filingsfees and other expenses

    Some officials may not work as many games asthey are used too or feel like they arent working thelevel of competition they deserve.

    Game Assignments

    Currently assign over 21,000 games between bothorganizations

    Role of assigning will not be a one person job withConsolidation

    Officials will continue to have the option of workingBoys only, Girls only or both

    Evaluations

    2 Varsity Lists 2 JV Lists Evaluations on Boys games will only count for

    Boys lists

    Evaluations for Girls games will only count forGirls lists

    You will be voting on

    January 2012 to Allow the exploratory process of Consolidation to move

    forward

    Authorize the organizations to spend the time, moneyand effort to nail down the specifics on consolidating the

    organizations based on the preceding model

    This includes Creating new governing documents Addressing the financial impact Legal implications

    A majority vote of approval in January 2012 allows theexploratory process to move forward.

    This vote of approval DOES NOT mean the Consolidationis a done deal

    Goals for 2012 ifConsolidation Initiative is

    approved Address the financial and legal issues involved. This will

    take time to do and will have the biggest impact on thetimeline.

    Update Members monthly with the specifics so everyonewill have all the information available when voting inJanuary 2013.

    January 2013 Members of each organization will voteon dissolving their current organization and becomingpart of the new joint organization.

    Requires 2/3 majority of each membership to makeconsolidation happen!

    If passed in 2013, Consolidation would take affect bythe beginning of the 2013/2014 season.
