This Lease Agreement, entered into by and between:

LESSOR LESSEE 123 Pioneer Studios Inc. 123 Pioneer Street and Mandaluyong City 1550 Philippines

Witnesseth: TERM OF LEASE AGREEMENT: The terms and conditions of this Lease Agreement shall be effective for one (1) year from its date of execution. Should there, however, be a change in the Lessee’s authorized representative within the period, said new representative shall have to sign this Agreement and agree to be bound by the terms herein. COVERAGE: Rental of a studio includes the free use of three (3) strobe lights plus accessories, which the Lessee shall inspect and confirm to be in full working condition prior to each shoot. RENTAL RATES: The Studio’s rental rates are those that appear on the website and quoted to the Lessee in advance upon making a reservation. The rates shall apply only to the specific shooting day reserved, and may not be construed as the rental rate for the entire term of this Lease Agreement. The standard rental rates apply to the Studio’s regular schedule– Monday to Saturday, 9:00 am to 6:00 pm. Rental beyond 6:00 pm on regular days shall be charged the Studio’s overtime rates. Rental on Sundays, special non-working holidays, and legal holidays are charged at a premium, and overtime rates are applicable to these as well. All shoots have a three-hour minimum. Arrival up to 30 minutes early is allowed for set up. At the end of the rental period the studio must be clean and vacated. Should the Lessee go over the agreed studio rental period, rental charges will be calculated at 15-minute intervals based on the current rate; however, no overtime shall be allowed if the studio is booked at the time by another client, which information shall be made known to the Lessee prior to his/her shoot. The rental rates are exclusive of VAT and any and all other taxes, fees or charges, that may now or hereafter be collected by the government, which shall be for the account of the Lessee. OTHER CHARGES: In addition to the rental charges, the Studio shall charge the Lessee the following at the rates stated in the website at the time the reservation was made for the specific shooting date, when applicable:

• Cleaning Fee: The Studio shall provide two (2) large garbage bags suitable for the average amount of waste produced from a shoot. However, in cases of extreme waste, such as in uses of elaborate sets or large crews, which cannot be accommodated by the abovementioned provision, extra charges will result to compensate for the garbage removal.

• Storage Fee: A daily storage fee will be applied to large props left at the studio at least 24 hours before or after the reserved shooting date(s). Props are considered large if they take up a considerable amount of space and full use of the studio is hampered. Props left at the studio longer than six (6) days will be assumed abandoned and may be discarded or kept by the Lessor for Lessor’s use, with no compensation due to the Lessee, at the discretion of the Lessor. (The period is based on a Monday to Saturday workweek, and excludes non-working holidays.)

• Electricity Fee: The Lessee may bring in and use continuous lights without a generator for a shoot, so long as the

total wattage does not exceed 4,500 watts. In these cases, the Studio shall charge an additional fee per 100watts/hour for use of electricity.

• Paper Background Fee: Pioneer Studios shall allow the Lessee to use its paper background free of charge as long as it does not extend onto the floor. Once the paper background is stepped on or cut away, the Studio shall charge an additional fee per yard consumed.

BONUS SHOOT: The Lessee shall be entitled to a FREE shoot worth 3,000.00 pesos upon completion of ten (10) fully paid shoots within a three (3) month period in any of Pioneer’s rental studios. Free shoots are non-transferrable. Any additional expenses incurred by the Lessee during the free shoot shall be his/her responsibility. PAYMENT: A 50% deposit is required to book the Studio. The Lessee’s date will not be held until this payment is received and cleared. The Lessee may deposit the amount to 123 Pioneer Studios Inc. BPI account (1891-0554-27) or hand-deliver the payment to Pioneer Studios. The 50% deposit is non-refundable and non-transferrable, unless the reservation is cancelled six (6) days prior to the reserved date. (The period is based on a Monday to Saturday workweek, and excludes non-working holidays.) The balance of the rental amount as well as all additional charges shall be paid by the end of the reserved shooting day. All payments should be personally delivered to the Manager or Receptionist of Pioneer Studios. Payments can be made in cash, debit/credit card and/or check (applicable to repeat clients only). Please make checks payable to “123 Pioneer Studios Inc.” STUDIO USE: The Lessee agrees to use the studio for the purposes of photography or video shoots only. Eating and drinking in the studio shooting areas is strictly prohibited, with the exception of the make-up room. In the following cases, the Lessee should make a written request to, and shall be subject to approval of, Pioneer Studios management:

• Activities other than photo and video shoots; • Shooting in locations other than the rented space; • Any form of set construction inside the studio area, including painting of the cyclorama; • Cigarette smoking or use of smoke implements in photo or video shoots; • Use of exotic animals, vehicles, hazardous materials, stunts, and explosives and/or pyrotechnics;

No subletting will be allowed, unless by written agreement with Pioneer Studios. Studio rental shall not be used for residential purposes or overnight stay. Pioneer Studios reserves the right to refuse studio rental if it feels the shoot will endanger, cause harm or injury to any person, and/or result in damages to its property. EQUIPMENT: Pioneer Studios’ standard equipment and accessories included in the rental package are deemed to be in good working order but management makes no special guarantees as to their suitability for the Lessee’s purposes. Before the shoot, the studio assistant will brief the Lessee about the proper handling of the equipment and provide instruction manual(s) whenever possible. However, it is the responsibility of the Lessee to inspect the equipment and to operate it in accordance with the manufacturer’s instructions. The studio will not be responsible for equipment failure due to inadequate knowledge or mishandling by the Lessee or his/her guests (assistants, employees, models, clients etc.). To avoid this, we highly recommend hobbyists and amateur photographers to request the studio assistant to handle the equipment at all times during the shoot. Any broken equipment (including flash tubes and bulbs) due to mishandling of the studio assistant will not be charged to the Lessee. Any broken equipment (including flash tubes and bulbs) due to mishandling of the Lessee and/or his/her guests, assistants, models, clients, will be charged to the Lessee. Should the equipment fail to operate properly during the rental period, the Lessee should notify the studio assistant immediately. Pioneer Studios’ equipment should not leave the studio at any time. VIDEO: All Lessees intending to hold video shoots are required to book the entire studio, provide a complete equipment list and a headcount of his/her guests (assistants, employees, models, clients etc.) upon making a reservation. The use of continuous lights without a generator is allowed if the total wattage of the lights does not exceed 4,500 watts, but will incur additional charges, as discussed in the provision on Electricity Charge. Pioneer Studios is not a soundstage; recording “live sound” shall be at the Lessee’s own risk. DAMAGES: The Lessee agrees to leave the studio and adjacent grounds in the same condition, as they were when the Lessee arrived. The Lessee agrees that if any equipment, furniture, fixture, etc. are mishandled, broken, ruined or stolen while they are using the studio they will replace all items or pay repair/replacement costs within six (6) working days. (The period is based on a Monday to Saturday workweek, and excludes non-working holidays.) The extent of damage shall be assessed by the Studio in the presence of the Lessee and/or his/her authorized representative. WEATHER AND OUTAGES: Pioneer Studios is not liable for acts out of its control that may affect the shoot, such as power outages, weather or emergencies. In such cases, the studio agrees to refund a portion of the Lessee’s rental payment. This amount shall be determined by the studio and based upon the loss of rental time suffered by the Lessee.

MODELS: The Lessee is solely responsible for verifying that all the models employed during the rental period are of legal age or in the case of minors, have their parent’s consent for the activities they are to be engaged in. Pioneer Studios has no responsibility to determine or verify the age of the participants in the Lessee’s activities but reserves the right to end those activities if it becomes aware that legal age violations are ongoing. INSPECTION: Pioneer Studios shall have the right to inspect the studio and/or equipment at any time during the shoot. If a breach of any of the provisions of the Rental Contract occurs, or it becomes apparent that the studio is being used for illegal purposes, Pioneer Studios has the right to revoke Lessee’s access to the studio and/or equipment without any liability to the Lessor, and without prejudice to Pioneer Studio’s rights to receive rent due or accrued to, including the date of revocation. COPYRIGHT: The Lessee warrants that it/he/she has obtained all consents, licenses and clearances required from performers, models, copyright owners, and any and all other persons having proprietary interest or interest of whatever nature, necessary for and arising from the shoot and use of the Studio’s space and equipment. The Lessee shall hold the Lessor free from all liability arising from the foregoing, and the Lessee undertakes to indemnify the Lessor for any liability to third persons as a result of its violation of the foregoing requirements. WAIVER OF LIABILITY: Use of the studio and/or equipment is AT THE LESSEE’S OWN RISK. The Lessee or his/her/its authorized representative shall be present at the studio during the entire shoot. The Lessee agrees that he/she will not hold Pioneer Studios liable (including its owners, agents, representatives, and contractors acting on its behalf) for any loss, injuries or accidents that occur within or outside the studio premises. The Lessee agrees to inform all his/her guests (assistants, employees, models, clients etc.) that Pioneer Studios will not be held liable for any loss, injuries or accidents that occur within or outside the studio premises. The Lessee agrees to be solely responsible for any legal infractions the Lessee or any of his/her guests (assistants, employees, models, clients etc.) make during the shoot, be they in the studio or elsewhere. This includes parking tickets, all other violation or citations, and legal action resulting from the conduct of the shoot, taken at whatever time. Pioneer Studios endeavors to maintain tight security within the premises, but shall not be liable for loss, damage or theft of any property of the Lessee or of his/her guests (assistants, employees, models, clients etc.). APPLICABLE LAWS: This agreement shall be governed by the laws of the Republic of the Philippines. In the event of any dispute, the Lessee shall agree to the exclusive jurisdiction of the courts of Mandaluyong. Should any part of this document be declared void for whatever reason, the other parts of this document not affected thereby shall remain in full force and effect. The Parties have read both the entire Agreement, agree to all its terms, and acknowledge receipt of a complete copy of the Agreement signed by both Parties. Each person signing as Client below shall be fully responsible for ensuring that full payment is made pursuant to the terms of this Agreement. Moreover, the Parties warrant that their respective representatives are authorized to transact business on their behalf.
