All data gathered, analysed, organized and
summarized into any format, including all
schedules, exhibits, annexure, files and
databases, whether physical or digital,
(collectively, the “Data”) are works made
by the Agency for hire, and shall be the sole
property of SERP, and SERP shall be
entitled to publish or otherwise utilize all
Data for any purpose, in its sole discretion.
The Agency is not authorized to use the
Data for any other purposes.
We would request that all the deliverables
created by the Agency shall be on a principal-
to-principal basis. The title of the deliverables
shall pass on to SERP only upon receipt of
payments by the Agency for such deliverables.
We suggest this alternate clause:
1) It is agreed that all the rights relating to the
trademarks and copyrights independently
created by the Agency in respect of advertising
and publicity work including press
advertisements, literature, lyrics, scripts for
radio tapes and programmes, scripts for
TVC’s, films and paid for by SERP shall vest
with SERP. However, with respect to music,
radio spots, TV films, etc. that are generated by
Agency through third parties for SERP and
paid for by SERP shall vest with SERP subject
to third party terms and conditions, if any, as
applicable and the same shall be abided by the
SERP.

2) It is further agreed between Agency and
SERP that all concepts, designs, logos, that
may have been created by Agency in the
course of offering the Services to SERP, all the
concepts or formats that may be conceived or
created by Agency in the course of the
Services rendered to SERP which do not form
part of the brief given by SERP and/or for
which there is no contract and / or which is not
approved by SERP and / or for which there is
no payment made by SERP shall remain the
exclusive property of Agency with exclusive
rights of Agency to deal with the same at its
sole discretion. It is agreed that SERP shall not
claim on such concepts or formats which may
be created by Agency.

levels of data confidentiality. The survey

documentation secure and all data must
be kept confidential. The Agency should
stipulate what measures it will take to
keep all data confidential.

leaving, and thus, if a resource decides to
leave, a replacement can be provided. Thus,
penalizing the organization for the same seems
too harsh.

with the winning bidder.

assignment shall be included in the

cover remuneration for all the Personnel

Conflict of Interest as specified in

40 5.36.1 The Selected Applicant may, if necessary, be
invited for negotiations. The negotiations shall
generally be for reducing the price of the
Proposal and also will be for re-confirming
the obligations of the Consultant under this
RFP. Issues such as understanding of the
RFP, methodology and quality of the work
plan shall be discussed during negotiations. A
Key Personnel who did not score 50% (fifty
per cent) marks as required under Clause 6
“Criteria for Evaluation” shall be replaced by
the Applicant with a better candidate to the
satisfaction of the Authority. In case the
Selected Applicant fails to reconfirm its
commitment, the Authority reserves the right
to designate the next ranked Applicant as the
Selected Applicant and invite it for
negotiations.
The Selected Applicant shall have the right to
discuss and mutually agree to the terms of the
LOA as well as the SLA that would be
executed between the parties.

The Consultant shall, subject to the
provisions of the Agreement, indemnify the
Authority, for an amount not exceeding the
value of the Agreement, for any direct loss
or damage that is caused due to any
deficiency in Services.
We request the indemnity clause is made

We suggest this alternate indemnity clause:
1)Agency agrees to keep saved and harmless
SERP from and against all proven and
adjudicated claims, suits or proceedings
(“Claim”) arising from any act committed by
Agency or its personnel, other than an act(s)
performed at the specific instruction of SERP.
2)SERP agrees to indemnify Agency against
any claims or proceedings brought against
Agency relating to the accuracy of information
provided by SERP to Agency for use in the
providing of any services or deliverable items
or arising out of the nature or use of any of
SERP’s products or services or arising out of
SERP’s misuse of any deliverable items.
3) In any or all circumstances, Agency’s total
and aggregate liability for any claims, liability,
or damages arising under this
Proposal/Agreement, either in tort and/or
contract, shall be limited to a maximum of
50% of the Fee received during the Term of the
Agreement.

40 5.39 Award of Consultancy
After selection, a Letter of Award (the
“LoA”) shall be issued, in duplicate, by the
Authority to the Selected Applicant and the
Selected Applicant shall, within 7 (seven)
days of the receipt of the LoA, sign and
return the duplicate copy of the LoA in
acknowledgement thereof. In the event the
duplicate copy of the LoA duly signed by
the Selected Applicant is not received by
the stipulated date, the Authority may,
unless it consents to extension of time for

related thereto. All information collected,
analyzed, processed or in whatever

contract or tort, under statute or
otherwise, for aggregate damages in
excess of the fees actually paid in
connection with claims arising out of this

damages caused by the Consultant’s fraud
or to the extent prohibited by applicable
law or professional obligations.
