1. BACKGROUND

COMMENCING DATE: 30th SEPTEMBER 2011

CONTRACT DURATION: 3 YEARS

JOB LOCATION: MADRID - SPAIN

 

(RESPONSIBILITIES)

2.2 Specific anticipated duties are assignments based on theCompany needs and personal skill sets.

2.3 In providing these services, the Employee shall liase, maintaingood relations with the staff of PETIT PALACE LONDRES andconsult with the personnel admin. On matters relevant to theirresponsibilities. The Employee shall provide the services described inClause 2 to the standard, which the Company expects.

 2.4 The Company shall pay by the end of the month on satisfactoryperformance of the services of appropriate monthly the sum of €

12,500 (Twelve Thousand Five Hundred Euros) to theEmployee. Any work performed beyond the normal work time, shallbe due for an overtime benefit to be paid at € 500.00 per hour orUSD equivalent depending on employee’s home country and can betransferred to any Bank or Country of your choice.2.5 WORK PERIODS: Mondays to Fridays, Time: 8.00am to

4.00pm with break period between 12.00noon to 2.00pm. Fridaysare Holidays for our Muslims workers2.6   ALLOWANCE: Hazard/Inconveniences allowance? 15% of Basic salary. Entertainment allowance 10% of Basic salary. Allallowances are paid weekly and locally in EU currency in its Eurosequivalent at the existing exchange rate. (B) Employee shall beentitled to a leave allowance of an additional 100% percent of theirbasic salary. (C) Free to and fro tickets to cover the span of theirhome leave. No allowances on leave period

2.7 The PETIT PALACE LONDRES shall provide the necessaryequipment, supplies, free medical care, insurance policy, andefficient security system, transportation, email system for theContractor’s use while undertaking the services described in Clause2.

2.8. PAID HOME LEAVE: All expatriates are entitled to a one (1)month paid home leave, which can be taken once at a time.

2.9. MEDICAL/HEALTH SERVICE FACILITIES AND INSURANCEPLAN FOR FAMILY: (A) The Employee shall be entitled to acomprehensive health care service, which is to be administered byMedical Experts. (B) In a case of emergency situation, Employee willbe attended by the best Spanish experts or any country suitable forthe best medical attention. This decision can be influenced by thefindings of the company’s medical experts, unless the expatriate inquestion states otherwise. (C) After three (3) months of service allexpatriates will be entitled to a Health Service Insurance Plan (HSIP)for family. The Health Service Insurance Plan is designed to coveronly five (5) members of your family. The Health Service InsurancePlan (HSIP) allowance can also be paid to the expatriates at the rateof €1,500.00 per family member per month (€1,500.00 per month)

which can be transferred on monthly basis without being subjectedto tax.

2.10. ACCOMMODATION: The Company will provide a four Bedroom Apartment for the employee.

TRANSPORTATION: An official vehicle shall be provided on 24-hour daily basis to Employee for local transportation. (B) A roundtrip flight ticket to cover the span of employment engagement willbe provided and delivered to you on the completion of your relevanttravel documents and immigration particulars.

2.11 ADDITIONAL SERVICES:  Recreational/Sports Facilitiesshall also be made available at the disposal of all expatriateswith no expenses to be incurred. (B) Laundry and DryCleaning Service will also be made available to all expatriatesby the company’s laundry and dry cleaning unit.

 2.12. TELECOMMUNICATION/INTERNET FACILITIES: There arestandard Telecommunication Facilities and Internet services at thedisposal of all expatriates, and same shall be accessible to allpersonnel (Local/Foreign) without any charge or expenses to beincurred. Cellular Phones can be obtained by expatriates from theLocal dealers/Service Providers in Spain, but must be used inaccordance with the safety regulations on Job Locations.

2.13 Except where the Employee already holds professionalindemnity insurance, the Company will arrange such cover for theemployee in respect. The employee shall give the Companyimmediate notice in writing to HR Strategy Manager, HumanResources Division,

(a) Any claim made against the contractor:(b) The receipt of notice from any person of any intention to holdthe employee responsible for the results of an alleged negligent act,error or omission

(c) Any circumstance of which the Employee shall becomeaware which may give rise to a claim or claims under theinsurance policy.

The Employee shall be solely liable for any consequences of theemployee’s failure to give notice as required by this clause. Theobligation to notify applies regardless of the apparent extent of any

potential liability.

(d) (The Employee does hold professional indemnity insurance,OR(ii) The Employee does not hold professional indemnity insurance.

2.14 FAMILY STATUS ARRANGEMENTS: Family statusarrangements can only be applied after at least three (3) months of service. The Application of family status arrangement indicates thatan expatriate will be entitled to a free visa and airfare for his wife orspouse or any other family member, which is to be provided by theCompany. (B) Expatriates who intend to travel with their

wife/spouse within the first three (3) months of employment

engagement will have the cost of visa and air fare being borne bythem and can only be reimburse by the Company for embarking onhis/her to resuming duties.

2.15 The employee shall be obliged to act professionally, honestly,diligently and with due care in performing the services under thisAgreement.

2.16 The Employee shall not accept any remuneration from anyother source for services of the same nature as those providedunder this Agreement without the express prior approval of thePETIT PALACE LONDRES.

3. CONFIDENTIALITY3.1 The Employee acknowledges that in the course of providingthe services to PETIT PALACE LONDRES, He/she will acquireconfidential information, including any information relating to:

(I) Personal information of any of the employees, and(ii) The business practices, techniques or methods of operation of the Company.

3.2 The Employee shall not during the term of this Agreement orat any time thereafter divulge to any person any such confidentialinformation except in the proper course of his/her duties or use orattempt to use any such confidential information in any mannerwhich may injure or cause loss either directly or indirectly to theCompany or its business or may be likely to do so.

3.3. CLAIMS/ENTITLEMENTS: All reimbursement on expenses

associated with this job/contract engagement process will be madealong side with your relocation expenses and travel allowancespayment before your travel for the commencement of work.Such expenses include cost of obtaining medical certificate;Immunization/shots in the case were an expatriate gets such servicefrom a special or personal doctor. Cost of obtaining Job ContractEngagement papers. Cost of employment authorization documents/and Travelling Documents if found satisfactorily committed. A proveof payment in form of an official receipt will facilitates a promptreimbursement of all claims/expenses

3.4 MOBILIZATION: Employee should obtain residence and

employment authorization document to indicate his/herreadiness/seriousness to the Employment Offer. One month’s salaryshall be paid before Employee embarks on journey to assume duty.This is to enable Employee settle all domestic needs before travel.As such, no excuse will be entertained on assumption of dutyrelating to default. All payment of salary after assumption of dutyshall be 75% paid into an offshore account to be provided byemployee with the remaining 25% paid locally in Spain. 75% of yoursalary will be paid into your offshore account while the remaining25% will be paid into your local account here in Madrid. The localaccount will be opened as soon as you arrive for duty. The 25% willbe paid into your local account here, which will assist you to coversome, various expenses you will be making for yourself.

4. YOUR OBLIGATION AS A NEW EMPLOYEE

You are required to present an N.I.E NUMBER (Número deIdentidad de Extranjero) and a RESIDENCE CARD (Tarjeta deResidence Comunitario) which must be procured from theNational Police of Spain and in accordance to Spanish law decree(Real Decreto 338-1990) of 9th March establishes that everyone, of whatever nationality, resident or not, who has any "official business"in Spain, must have a fiscal number (NIE) which is used to identify

them on all official documents. It is now official policy for allforeigners entering Spain wishing either to reside or commence a jobin Spain to show their NIE NUMBER /RESIDENCE CARD at thepoint of entrance as this is also in line with sub-section 17.6 Article11.2 of the PETIT PALACE LONDRES constitutional policy and code of conduct which you must adhere to.

Below is the contact information of the Principal attorney whom youare to contact immediately for assistance on procuring your NIENUMBER /Residence card through the National Police here inSpain. All employees are expected to bear the cost of procurementof the NIE NUMBER /Residence card because this will enable the

company to provide free work permit visa to Non EU citizens onconfirmation of the NIE NUMBER /Residence card.

5. PUBLICITY

5.1 The Employee shall not make any press or other publicannouncement concerning any aspect of this agreement, or makeany use of the name of the Company or any of its employees,contractors or agents in any publication or otherwise in connectionwith this agreement, without the prior written consent of PETITPALACE LONDRES.

6. TERMINATION OF AGREEMENT

6.1 The Company may terminate this agreement by giving onemonth’s written notice in any of the following circumstances:

(I) the employee dies or becomes unable to perform his/herduties due to illness of incapacity:

(ii) The employee is convicted of an offence, which affects theperformance of his/her duties;

(iii) The employee acts in a way, which PETIT PALACELONDRES considers materially prejudicial to its business orreputation or interests of its members:

(iv) The employee fails to perform the services expeditiously, withreasonable diligence and in a competent manner:

(v) The employee commits or permits any breach of the terms of this agreement and fails to remedy the Breach within 14 days of receiving notice in writing from the PETIT PALACE LONDRESrequiring the breach to be remedied:

(vi) The employee commits any breach of Clause 3.2 whether such

breach is committed intentionally or not:

(vii) The employee commits an act of bankruptcy or makes orenters into any arrangement.

6.2 The employee may terminate this agreement by giving onemonth’s written notice to PETIT PALACE LONDRES 

6.3 Where this agreement is terminated by notice by theContractor or the employee, the Company shall have the option of electing that the employee ceases providing the servicesimmediately or at any time during the notice period without affecting

the Company obligation to continue paying the employeeremuneration until expiry of the notice period.

7. THE AGREEMENT

7.1 This agreement supersedes and replaces all previouscontracts, written and verbal, between the parties and constitutesthe entire agreement between the parties.

7.2 Neither party may assign their obligations nor rights underthis agreement to any other person in any circumstanceswhatsoever except with the prior written consent of the other party.

7.3 No waiver of any breach of this agreement shall be deemedto be a waiver of any other or subsequent breach. The failure of either party to enforce any provision of this agreement at any timeshall not be interpreted as a waiver of the provision.7.4 This Agreement shall be construed in accordance with theSpanish laws. A single arbitrator agreed upon by the parties shalldecide any dispute between the parties arising out of thisagreement.
