Ardian has agreed to sell its96.5 percent stake in Novotema, an Italy-based rubber component maker, toIDEX. No financial terms were disclosed.

April 20th 2015 – Ardian, the independent investment company, todayannounces that it has signed an agreement to sell its 96.5% stake inNovotema, a rubber component manufacturer, to IDEX, a US-listed industrialcompany.
Founded in 1973 and headquartered in Villongo, Italy, Novotema designsand produces rubber seals for the automotive, medical, gas control andindustrial sectors. Ardian invested in Novotema in June 2012. Since then thecompany has strengthened its position in key markets and has diversified itsclient base through the growth of its sales force and the strength of itstechnical department.
Based in Illinois, USA, IDEX is a leading diversified industrial corporation(fluid and metering, health and science, dispensing, fire and safetyequipment), serving high growth specialized markets across the world. In2014 the business had a turnover of $2 bn. With Novotema’s technology andproduction facilities, IDEX will be able to broaden its product offering andfurther strengthen its specialty sealing design and manufacturing capabilitiesfor customers on a global basis.
Following the sellers’ profit sharing policy, the employees of Novotema willreceive a bonus for their valuable contribution to this success story.

The company covers a total surface of 23,000sq.mts and has about 160 employees.
Ardian invested in Novotema in June 2012. Since then the company has strengthened its position in
key markets and has diversified its client base through the growth of its sales force and the strength
of its technical department.

Ardian, società di investimenti indipendente, ha confermato la sigla dell'accordo per la
cessione della quota detenuta in Novotema, pari al 96,5% del capitale della società attiva nella
progettazione e nella realizzazione di guarnizioni in gomma, alla società americana IDEX,
attiva nel settore industriale.
Novotema, società fondata nel 1973 a Villongo, nel bergamasco, passa al colosso dell'Illinois, IDEX,
attivo in diversi settori industriali (liquidi e misurazione, farmaceutico, erogazione, attrezzatura
antincendio e di sicurezza) che fornisce i suoi prodotti ai mercati in rapida crescita di tutto il mondo.
Nel 2014, IDEX ha registrato un fatturato di 2 miliardi di dollari. Grazie alla politica di condivisione dei
profitti da parte del venditore, i dipendenti di Novotema riceveranno un premio economico come
riconoscimento per il loro contributo al successo della società.
Gli aspetti legali dell'operazione sono stati seguiti dallo studio Gattai Minoli Agostinelli con un team
composto da Stefano Catenacci, Michele Ventura e Maria Persichetti.

Ardian cède sa participation dans Novotema à IDEXArdian, la société d’investissement indépendante, annonce aujourd’huiavoir signé un accord concernant la vente de sa participation de 96,5 %dans Novotema, le fabricant de composants en caoutchouc, à IDEX, unesociété industrielle cotée aux Etats-Unis.
Fondée en 1973 et basée à Villongo en Italie, Novotema conçoit et fabrique des joints en caoutchouc àdestination des secteurs de l’automobile, de la santé, du gaz ainsi que d’autres secteurs industriels.Ardian a investi dans Novotema en juin 2012. Depuis la société a consolidé son positionnement sur sesmarchés et a réussi à diversifier sa base clients grâce à l’augmentation de ses équipes commerciales etau renforcement de son département technique.
Basé dans l’Illinois aux Etats-Unis, IDEX est un grand groupe industriel aux activités diversifiées (fluideet mesure, santé et sciences, systèmes de distribution, équipements de lutte contre les incendies), surdes marchés internationaux en forte croissance. En 2014 le groupe a réalisé un chiffre d’affaires de 2milliards de dollars. Grâce à la technologie et à la capacité de production de Novotema, IDEX varenforcer ses capacités de conception et de production de composants en caoutchouc pour ses clientsinternationaux.
A la suite de la mise en place, par les vendeurs, d’une politique de partage de la valeur, les employés deNovotema recevront une prime pour leur contribution à la croissance de la société.
