NOMINATION GUIDELINES FOR PAGLAUM MBA FIRST ANNUAL MEETING Board Room, PMPC New Office, Eastern Looc, Plaridel, Misamis Occidental

February 4, 2014 (Tuesday)

A. RATIONALE Under Article V, Section 3 of Paglaum MBA,Inc. by-laws provides and to quote:

“ The Board of Trustees shall be elected by majority of its members during its annual meeting and shall hold office for a term of two years unless earlier removed for a cause, or have resigned or become incapacitated due to illness or death, and until their successors have been elected, qualified and have discharge the duties of the officer provided, that during the election at the first annual meeting after registration, THAT THE FIRST THREE (3) HIGHEST VOTES SHALL SERVE FOR TWO YEARS AND THE REMAINING TWO (2) WINNERS SHALL SERVE FOR ONE (1) YEAR AND ARE SUBJECT FOR REELECTION FOR THE NEXT YEAR.

The two (2) independent trustees shall be appointed by the majority of the board and shall serve for TWO years. Notwithstanding the foregoing, for the duration that the Association is under a conservatorship of the Insurance Commissioner, the independent trustees shall be appointed by, and shall serve at the pleasure of the Insurance Commission.

The independent trustees are deemed members of Paglaum Multi-Purpose Cooperative and shall pay the usual membership dues. They have the same obligations, rights and privileges as regular members in good standing.”

In this light the nomination committee has laid down for the setting –up of guidelines for Nomination of Paglaum MBA Inc., to wit:

1. Five (5) Board of Trustees through election 2. Two (2) Independent Board of Trustees through appointment 3. Three (3) members of Nomination Committee through election 4. Three (3) members of the Oversight and Audit Committee through appointment/election 5. Three (3) members of the Executive Committee through automatic appointment

B. BOARD OF TRUSTEES

B.1. Composition – The Board of Trustees of Paglaum Mutual Benefit Association, Inc., shall consist of five (5) members namely the following: Chairman, Vice-Chairman, Secretary, Treasurer, and Board Member B.2. Qualifications

1. Of legal age or 18 years to 65 years old 2. Recognized Active member of Paglaum MBA, preferably has an experience as MBA

Coordinator and has diligently paying her/his weekly contributions and at the same time an active member of PMPC

3. Has consistently performed very satisfactorily for at least the last three (3) years in her membership and has ongoing businesses funded by loan from Paglaum Multi-Purpose Cooperative

4. No member convicted by final judgment of an offense punishable by imprisonment for period exceeding six (6) years, or a violation of the Corporation Code of the Philippines committed within five (5) years prior to the date of her election or appointment

B.3. Disqualifications

1. Must not have a concurrent directorship or officership positions with PMPC and its affiliates

2. Must not be an employee of PMPC and its affiliates

B.4. Tenure of Office That the first three (3) highest votes shall serve for two years and the remaining two (2)

winners shall serve for one (1) year and are subject for reelection for the next year provided he/she is not elected as member of Nomination Committee during his/her term.

C. INDEPENDENT BOAR D OF TRUSTEES C.1. Composition – Two (2) independent trustees, to be appointed by the Board of Paglaum Mutual Benefit Association, Inc..

C.2. Qualifications

1. Of legal age or 18 years to 65 years old 2. Must have an accounting and finance background or knowledge 3. Must be a member of Paglaum MPC or its affiliates 4. No member convicted by final judgment of an offense punishable by imprisonment

for period exceeding six (6) years, or a violation of the Corporation Code of the Philippines committed within five (5) years prior to the date of her election or appointment

C.3. Disqualifications

1. Must not have a concurrent directorship or officership positions with PMPC and its Affiliates

2. Must not be an employee of PMPC and its affiliates

C.4 Tenure of Office An Independent Board of Trustee shall serve for two (2) years.

D. NOMINATION COMMITTEE

D.1. Composition - shall be composed of at least three (3) members of the Board of Trustees, one of whom must be independent. D.2 Tenure of Office A Nomination Committee Member shall serve for one (1) year but subject to re-election.

E. OVERSIGHT & AUDIT COMMITTEE

E.1 Composition -Shall be comprised of two (2) independent board of trustees and one (1) board of trustee.

E. 2 Tenure of Office An Independent Board of Trustee shall serve for one (1) year but subject to re-

appointment/re-election.

F. EXECUTIVE COMMITTEE

F.1. Composition – the elected five (5) members of the board of trustees shall automatically compose the executive committee.

G. MANNER OF VOTING The casting of votes shall be through secret balloting either by :

G.1. Proxy/Representative Voting

The Paglaum MBA,Inc shall adopt the proxy voting or representative voting during Annual Membership Meeting whom shall be represented by its present MBA Coordinator in every branch equipped with written proxy voting authorities. Each vote shall be equivalent to the total number of authorized proxy votes per branch plus his/her own vote. In effect of the proxy representative voting, the authorized MBA Coordinator shall cast votes to each and every seat.

PMPC and its Affiliates’ employees may manifest to have their individual right to vote through proxy voting by passing on such right to the MBA Coordinator of their respective branches coupled with the execution of Proxy Voting Form.

G.2. Individual Voting

Each of the official delegates per branch exclusive of each and every MBA Coordinator invited to attend the Annual Membership Meeting shall be entitled to one (1) vote per seat. Thereby official delegates under this classification shall not be included in the execution of proxy votes for every branch.
