The panelists will discuss current financial trends, such as how the growth in private equity is changing the face and direc- tion of the telecommunications and media industries, as well as the role that regulatory and legislative factors play in the decisions of private equity firms. The event, moderated by Blair Levin of Stifel Nicolaus, will be held at the Mayflower Hotel, 1127 Connecticut Avenue, NW. The doors will open for regis- tration and networking at 11:30 a.m. and the luncheon will begin at 12 noon. Please use the form on page 16 to register. William E. Kennard joined The Carlyle Group in May 2001 as Managing Director. The Carlyle Group is a global private equity firm with over $71.4 billion under manage- ment. At The Carlyle Group, Mr. Kennard specializes in investments in the telecommu- nications and media sectors. DEAR MEMBERS :

This fall is promising to be an active one at the FCBA, offer-ing a combination of luncheons, receptions, CLEs, andbrown bag educational sessions. The first luncheon of theyear on October 2nd will feature a panel of private equityinvestors active in the communications arena, who will fill usin on how they look at the telecom and media industries andthe role private equity firms play in the market. On October10th, the International Telecommunications Committee isorganizing a panel introducing telecom attaches from foreignembassies, followed by a reception at the spectacular new House of Sweden on theGeorgetown waterfront. The annual reception to meet and greet FCC and NTIABureau and Office Chiefs will take place on October 25th.

There will also be full slate of educational sessions offered by FCBA committeesand chapters throughout the fall – and it’s about to get even easier to sign up forthese events. FCBA members will soon be able to enjoy the convenience of regis-tering for events online, thanks to software upgrades currently being implementedand tested by the FCBA office. We’ll soon be e mailing around information on howto use this new functionality.

This year’s ad hoc Speakers Committee, comprised of Ruth Milkman, Henry Riveraand Bryan Tramont, planned the October luncheon, and are working on futurebreakfast and luncheon events for this year. I know they would welcome your ideasfor speakers or topics. I have also asked Anna Gomez, Mark Schneider and RyanWallach to serve as an ad hoc Sponsorship Committee, and they will be coordinat-ing sponsor outreach efforts for FCBA events.

As a former FCC staffer, a focus for me this year will be on continuing the FCBA’sefforts to ensure that our activities are as relevant and accessible as possible to ourGovernment members. To that end, the FCBA provides substantial discounts formembership dues and prices for attending CLEs, receptions and other events, as wellas scholarships to the Annual Seminar. This year the Executive Committee hasalready implemented an additional CLE discount for Government lawyers that havegraduated recently, and we are considering ways to expand the successful scholarshipprogram for the Annual Seminar, which will be in nearby Cambridge Maryland nextMay. I would like to do some brainstorming in the near future about ideas forimproving the FCBA’s services for Government members, and I encourage those ofyou in Government to contact me with any ideas you have along these lines.

October 2nd, 6:00 –8:15 p.m.Buying and SellingPolitical Time in aHot Election SeasonPresented by the Mass Media Committee

Those who sell TV and radio time topolitical candidates know only half ofthe equation behind campaigns’advertising decisions. On Tuesday,October 2, 2007 from 6:00 – 8:15 p.m.,a Mass Media Committee CLE seminarwill offer insights on the other half—thanks to the participation of twoprominent media buyers, KyleOsterhout, of Media Strategies &Research, and Kyle Roberts, of SmartMedia Group. Osterhout representsDemocratic candidates at both the stateand federal level, including the HillaryClinton presidential campaign in the2008 cycle. Roberts has representedRepublican candidates at thegubernatorial and federal level in 48states, including Senator John Thune’ssuccessful 2004 campaign againstincumbent Tom Daschle. BothOsterhout and Roberts also havedirected ad-buying efforts for a widerange of issue advocacy groups andassociations.

Joining them on the CLE panel will bethe FCC’s specialists on the politicalprogramming rules, Bobby Baker andHope Cooper. The four will engage in alively discussion about political ad-buying practices and the FCC rules thataffect them, with an emphasis on theequal opportunities rules, reasonableaccess mandates, and “lowest unitcharge” rate requirements. Thepanelists also will discuss the mediabuyers’ perspectives on how theyinteract with the FCC staff, thecommon problems the buyersencounter in purchasing time, and thesteps that stations can take to avoiddisputes.

Moderators David O’Connor, ofHolland & Knight, and Jack Goodman,

of WilmerHale, will open the floor to abroader range of political programmingissues. Those include topics specific tothis election cycle—such as the still-evolving dates for the early primariesand caucuses, which are pushing the45-day windows for “lowest unitcharge” political ad rates well intoholiday ad season in many states. Theseminar schedule also reserves asubstantial amount of time for questionsfrom attendees.

Louis Clark Stephens(1913-2007)Louis Stephens, attorney at the FCC for35 years in various senior staffpositions, later a privatecommunications lawyer and an FCBAmember in the early 1990’s, died onMay 30 at the age of 93 of esophagealcancer.

Fluent in five languages, Louis served asSenior Legal Advisor and InternationalLaw Advisor to the Broadcast Bureau,now the Media Bureau. He was severaltimes detailed to the State Departmentto serve as principal attorney for theUnited States on delegations tointernational conferences to negotiatespectrum usage treaties. He representedthe United States at conferences inGeneva, Switzerland; Fortaleza and Riode Janeiro, Brazil; Lima, Peru; andMexico City.

While at the Commission from 1954 to1989, he also served as Chief of Legal

Services in the Rules and StandardsDivision of the Broadcast Bureau. Hemade major contributions to thedevelopment of educational television,was also Director of a special FCC studyof broadcast conglomerates, and was aLegal Advisor to CommissionerBenjamin Hooks.

Following his service at the FCC, Louisworked for several years at the firm ofPepper & Corazzini. He participatedwhile there with Vince Pepper on casesbefore the Commission, the Court ofAppeals for the D.C. Circuit, and theUnited States Supreme Court.

A native of New York City, Louisreceived a B.A. degree from RoanokeCollege and a J.D. from GeorgeWashington University Law School,where he was a Law Review Editor. Healso did post-graduate work ininternational law at the University ofLondon.

He served in World War II, enlisting asan Army Private and later being

commissioned as a Lieutenant, thenpromoted to Captain. He provided airtransport for troops in Europe.

After completion of his military serviceand prior to his years at the FCC, Louiswas Legal Advisor at the EuropeanHeadquarters in London of the UnitedNations Relief and RehabilitationAdministration, and was GeneralCounsel at the UNRRA’s DisplacedPersons Headquarters in Paris. He wasalso Deputy General Counsel andGeneral Counsel to the InternationalRefugee Organization in Geneva. Hesuccessfully fought for the right ofhomeless children to choose where theywould settle rather than letting thegovernment make that choice for them.He returned to the United States in1952 to become Regional Director ofthe Office of Price Stabilization. In1954 he joined the staff of the FCC.

Louis is survived by his wife of 40 years,Regina Stephens of McLean, Virginia, bytwo children, two grandchildren, andtwo great-grandchildren.

Julie G. Richardson is a ManagingDirector of Providence Equity Partnersand leads the New York office. Ms.Richardson is currently a director ofOpen Solutions, SunGard Data Systemsand USIS. Prior to joining Providencein 2003, Ms. Richardson served as ViceChairman of JP Morgan’s investmentbanking division and Chairman of thefirm’s Telecom, Media and Technologygroup. Prior to joining JP Morgan in1998, Ms. Richardson was a ManagingDirector at Merrill Lynch, where shespent over 11 years. She received aBachelor of Business Administrationfrom the University of Wisconsin-Madison, and spent a year studyingfinance at the Stanford Graduate Schoolof Business. Ms. Richardson serves onthe Dean’s Advisory Board of theUniversity of Wisconsin-Madison.

James S. Rubin is a Managing Directorof One Equity Partners, New York, NY.Prior to joining One Equity Partners in2001, Mr. Rubin was a Vice Presidentwith Allen & Company, a New Yorkmerchant bank specializing in mediaand entertainment transactions andadvisory work. From 1996 to 1998,Mr. Rubin held a number of senior poli-cy positions with the FCC underChairman Reed Hundt. Mr. Rubinreceived his AB from Harvard Collegeand JD from Yale Law School.

Mr. Rubin is a board member of EchoingGreen Foundation, (Echoing Green pro-vides first-stage funding and support tovisionary leaders with bold ideas forsocial change), and Common Ground(Common Ground’s mission is to solvehomelessness). He is also a member ofthe David Rockefeller Fellowship.

Tom Wheeler is a Managing Director ofCore Capital Partners. Mr. Wheeler sitson the boards of Core portfolio compa-nies Roundbox, UpdateLogic andTwisted Pair Solutions. In addition, he

is on the boards of Earthlink, Helio andTelephia. Before joining Core CapitalPartners, Mr. Wheeler was CEO of theCellular Telecommunications &Internet Association (CTIA) andPresident of the National CableTelevision Association (NCTA). Mr.Wheeler also served as CEO of newtechnology start-ups, including the firstcompany to offer high speed delivery ofdata to home computers and the firstdigital video delivery service.

Presidents Clinton and Bush eachappointed Mr. Wheeler a Trustee of theJohn F. Kennedy Center for the

Performing Arts, where he served for12 years. He is currently Chairman ofthe Kennedy Center affiliate VSA Arts,an international organization whichtouches the lives of over five millionindividuals with disabilities by provid-ing equality of experience and accessi-bility to the arts. He is Chairman andPresident of the Foundation for theNational Archives, and is the author oftwo books about the Civil War andAbraham Lincoln. He is a graduate ofOhio State University and the recipientof its Alumni Medal for national andinternational career achievement.

Cyberspace Committee and will consider issues related to Internet-basedtechnologies, service, and applications.

3. A new ad hoc committee was added, the Ad Hoc Privacy & Data SecurityCommittee, which will look at privacy and data security issues in thecommunications industry.

4. The new Ad Hoc Intellectual Property Committee will expand the scope ofthe previous Ad Hoc Communications Law, Copyright & Digital RightsCommittee, and will consider copyright, digital rights management, patent,and trademark issues.

September 5, 2007“Taking Stock of theAntitrustModernizationCommission Report”

Wednesday, September 5, 2007, from3:00 to 8:00 p.m. at the University ofColorado School of Law in Denver, CO.This past spring, the AntitrustModernization Commission issued a449 page report addressing the state ofantitrust law and practice. In general,the report highlighted that the antitrustlaws remain effectively positioned toaddress anticompetitive conduct.Notably, the report rejected calls for newstrategies or institutions to address hightechnology markets. It did, however,highlight a number ofrecommendations related to theintersection of antitrust and intellectualproperty law, including ones related topatent law reform and conduct relatedto standard setting bodies.

In line with its generally approving toneof current antitrust enforcement, thereport did not call for any significantreforms of merger review, turning awayan array of criticism of current practice.First, some commentators havesuggested that the agencies abuse theirleverage under the Hart Scott RodinoAct to obtain regulatory oversight ordemand relief that they would nototherwise be able to achieve in court.Second, others have complained that

the antitrust authorities have allowedmergers to proceed without imposingeffective remedies and that the mergerremedies process is often a black box.Third, some have suggested that theimpact of innovation and potentialentry are overly discounted by thecurrent Merger Guidelines and that theauthorities should have a greatertolerance of mergers than traditionalantitrust metrics would call intoquestion.

This conference will evaluate thejudgments of the AntitrustModernization Commission report,examining its basic conclusion thatthere are no fundamental flaws inmodern antitrust law and practice aswell as its various suggested for reform.To do so, we will bring together some ofthe Commissioners who evaluated thestate of antitrust law, current and formerantitrust enforcers, and a number ofleading antitrust practitioners. Inparticular, we will examine the report’sconclusions within three broadheadings—Rethinking Merger Review;Antitrust in the New Economy; and theAntitrust/IP Interface.

Many in the mainstream media areincreasingly asking themselves howthey can take advantage of this

phenomenon. They also realize that thisphenomenon is no passing fad, withonly 3% of executives in a recent surveylabeling “social media” as a temporaryphenomenon. More interestingly, two-thirds of those executives were“positive” that their firms would makemoney off of such media, but only aquarter of them had any idea of howthey would do so.

This conference will analyze thegrowing trends related to user generatedcontent. In so doing, it will begin withthe question of what new technologiesare emerging and how they willtransform traditional media and usagepatterns. Secondly, it will ask whatbusiness models will emerge—both fornew upstarts and established mediacompanies—to turn this phenomenoninto profitable ventures. Will, forexample, established firms incorporateuser-generated content into theirofferings, offer the rights to theirtraditional content for others to remix,or both. Finally, it will examine the legalissues that arise in connection with thisphenomenon, ranging from intellectualproperty issues to questions ofconsumer privacy to calls for regulationto protect children and guard againstdefamation in this emerging medium.

The proceeds of this year’s CharityAuction will benefit Kid Power DC,which provides extracurricular educa-tional and civic instruction to under-privileged elementary school studentsin the District, involving them in arange of activities and events aimed atfostering intellectual and social devel-opment. The Charity Auction is one ofWashington, D.C.’s premier “must-attend” events for the communicationsindustry. The event features a live auc-tion, silent auctions, raffles, and foodand drinks. As in the past, prizes areexpected to include vacation packages,consumer electronics products, ticketsto various sporting events (includingRedskins and Nationals games),Verizon Center events, theater tickets,dinners, lunches, spa packages, andgift certificates from area businesses. Kids Enjoy Exercise Now (“K.E.E.N.”)and Fair Chance, which last yearreceived over $86,000 in auction pro-ceeds.

McKenna’s WagonSeeking Volunteersfor September 23rdMcKenna’s Wagon is a mobile soup andsandwich wagon that goes “on location”to deliver food to the needy. For thosewho have volunteered, it has been awonderful experience and a great wayto help the needy in the D.C.community. This is an especially goodexperience for the teens and pre-teensamong us who do not have a fullappreciation of the many privileges theyenjoy. Community service credits arealso available.

The Wagon is a white van that is loadedup with sandwiches, snacks and soup.We meet at Martha’s Table at 4:45 p.m.in comfortable clothes and shoes.Martha’s Table is located in a yellowbuilding at 2114 Fourteenth Street, NW,in the District, near the intersection of14th and U Streets. On-street parking isavailable.

Upon arrival we get assignments (someof us will distribute snacks andsandwiches, others will serve soup), andput on aprons before we depart in thevan to 5th and New York Ave., NW(near the new Convention Center). Weare driven by one of our experiencedvolunteers and the trip to distributionlocation takes about 10-15 minutes.

We serve about 30-75 people per visitincluding a few mothers who come forfood for their families. The area is wellpatrolled by police. The fooddistribution is conducted in an efficient,calm and orderly fashion and many of

the people we serve are quiteappreciative of our efforts. Once weserve all of the food, we do a clean up ofthe immediate area. Total time for thedistribution takes about one hour andwe usually return to Martha’s Table byor before 6:30 p.m.

Volunteer Outreachfor Martha’s Table –September 30thMany of us are stretched for time thesedays, but why not consider spending afew hours on a Sunday to help theFCBA Foundation’s partner charities?For several years now, the FCBA hasbeen providing volunteers to Martha’sTable and McKenna’s Wagon. Theseorganizations rely on the good work ofour members each month, so grab afriend, colleague or family member andjoin your fellow FCBA volunteers!

Martha’s Table feeds hundreds ofhungry, homeless adults and childrenon the streets of Washington daily,through its mobile soup kitchen.Children and friends are also welcome.We will begin at 10:00 am and workuntil 1:00 pm. Martha’s Table is locatedin a yellow building at 2114 FourteenthStreet, NW, in the District, near theintersection of 14th and U Streets. On-street parking is available. Volunteersare asked to bring food if possible, (e.g.,cold cuts, bread, peanut butter, jelly,vegetables and potatoes) because thecenter often runs out of donated food.
