IntroductionTheForeverLivingProductscompanies(FLP)areuniqueintheutilizationoftheirconceptthatencouragesandsupportstheuseandretailsalesofitsproductsthroughindependentDistributorsworldwide.FLPisafamilyofrelatedcompanieswithDistributorsmarketingFLPproductsthroughouttheworld.FLPprovidesitsDistributorswiththebestqualityproducts,supportstaffandmarketingplanintheindustry.ItisuniqueinutilizationofForeverTeamMarketing.TheaffiliatedcompaniesandtheirproductsprovideanopportunityforconsumersandDistributorsto improvethequalityof their livesfromuseofFLPproducts,andequalaccesstosuccesstoanyonewillingtoproperlyworktheprogramme.Unlikemostbusinessopportunities, there is littlefinancial risk toFLP’sparticipants,sincenominimumcapitalinvestmentisrequiredandtheCompanyprovidesaliberalbuybackpolicy.

Our companiesdonot represent thataDistributorwill achievefinancial successwithoutworkingorbyrelyingsolelyontheeffortsofothers.Compensation intheFLPcompaniesisbasedupon thesaleof itsproducts.ADistributor isan independentcontractorwhosesuccessorfailuredependsonhisorherpersonalefforts.

TheFLPCompanieshavealonghistoryofsuccess.ThefundamentalgoalofFLP’smarketingplanistopromotethesaleanduseoftheCompany’shighqualityproductstoconsumers.TheprimarypurposeofDistributorsistobuildasalesorganizationtopromotethesaleanduseoftheCompany’sproductstoconsumers.

IndependentDistributorsatalllevelsoftheForeverLivingMarketingPlanareencouragedtomakeretailsaleseachmonthandkeeprecordsofsuchsales.

SuccessfulDistributorsgaincurrentknowledgeofthemarketbyattendingtrainingmeetings,maintainingtheirownpersonalretailcustomersandsponsoringotherstosellretail.

2. Definitions2.1 Any person who purchases product for their own personal use is a “Retail

Customer.”

2.2 A“Case Credit”isaunitofmeasurementforadvancements,bonuses,awardsandearnedincentivesforDistributorsassetforthintheFLPMarketingPlan.OneCaseCredit isawarded foreachonehundredandsixtydollars ($160)ofFLPproductspurchasedfromtheCompany.

2.3 The“New Distributor”LevelisaDistributorwhohasnotyetachievedthelevelofAssistantSupervisor.

2.4 A“Distributor”isaperson,18yearsofageorolder,whohascompletedaDistributorApplication form and has been personally certified at a Company-approvedOpportunity Meeting, or by a Company-authorized representative. DistributorspurchaseproductdirectlyfromtheCompanyatthepublishedwholesaleprice.

2.5 An“Active Distributor”isaDistributorwhohasfourormorecasecreditsofPersonalAccreditedPurchasesforthemonth,at leastoneofwhichispersonallyacquired.Personal Accredited Purchases can be acquired personally or from personallysponsoredNewDistributors.TheActivestatusofaDistributorisestablishedeachmonth.

3. Warranty, Guarantee, Product Return and Buy Backs3.1 Thefollowingtimeperiodsshallapplyexceptwheremodifiedbylocallaw.

3.2 FLP warrants satisfaction and guarantees its products are free from defect andsubstantially conform to product specifications. For all FLP products exclusive ofliterature and promotional products, this warranty and guarantee shall be for aperiodendingthirty(30)daysfromdateofpurchase.

Retail Customers3.3 RetailCustomersareguaranteed100%productsatisfaction.Withinthirty(30)days

fromthedateofpurchase,aRetailCustomermay(a)obtainanewreplacementforanydefectiveproduct;or(b)cancelthepurchase,returntheproductandobtainafullrefund.Inallcases,propernotice,proofoftimelypurchaseandtimelyreturnoftheproductisrequiredtobegiventosourceofpurchase.FLPreservestherighttorejectrepetitivereturns.

3.4 WhenFLPproductsareacquiredfromorthroughanFLPDistributor,thatDistributoristheprimarypartyresponsibleforcustomersatisfactionbyexchangingtheproductorrefundingthemoney.Intheeventthereoccursadispute,FLPwilldeterminethefactsandresolvetheissue.IfcashisdisbursedbyFLP,thesamewillbechargedbacktoFLPDistributorswhobenefitedfromtheproductsales.

Refund and Buy Back Procedure For Distributors3.5 Duringtherespectivestatedperiodsofwarrantyandguarantee,FLPwillprovidea

newreplacementofthesamesuchproductinexchangeforthedefectiveproductorforonethathasbeenreturnedtoaDistributorbyaRetailCustomerforlackofsatisfaction.Suchreplacementshallbesubjecttovalidationofpresentedproofoftimelypurchase.Inaddition,forreplacementsofproductstoaDistributorforproductreturnsbyRetailCustomers,aproofofsaletotheRetailCustomerandwrittenproofofcancellationalongwithasignedreceiptforreturnoffundsaswellasthereturnofproductoremptycontainerswillberequired.Suchpurchasemusthavebeenbythepartyreturningtheproduct.Repetitivereturnsofproductbythesamepartieswillberejected.

3.6 FLPshallbuybackanyunsold,salableFLPproductthathasbeenpurchasedwithintheprevioustwelve(12)monthsfromanyFLPdistributorwhoterminatestheirFLPDistributorship.SuchbuybackwillbeaccomplishedbytheterminatingdistributorfirstgivingwrittennoticetoFLPoftheirintenttoterminatetheirFLPDistributorshipand forgo all rights and privileges relating thereto. The terminating distributormust complete a Product Return form and return all Product for which a refundisbeingclaimed,alongwithproofofpurchasetoFLP.Iftheproductreturnedbyaterminatingdistributorisgreaterthan4cc,allbonusesandcasecreditsreceivedbytheterminatingdistributor’suplinefortheproductsreturned,maybedeductedfromtheupline. If thecasecreditswereusedforany levelmove-upsof thedistributororupline,thosemove-upsmaybere-calculatedafterdeductingthecasecreditstodetermineifthemove-upsshouldremaininforce.IfaterminatingdistributorreturnsaTouchofForeveroranyotherCombinationPak,anditismissingsomeproduct,therefundwillbecalculatedasiftheentireComboPakwasreturned,andthenthewholesalevalueofthemissingcomponentswillbedeductedfromtherefundissued.Afterverificationofthefacts,theDistributorwillreceivearefundchequefromFLPintheamountequaltotheDistributor’scostof theproductsbeingreturned, lessthebonusespersonallyreceivedbythemfromtheiroriginalpurchaseandthecostofhandling,freightandanyotherappropriatesetoffs.Afterrecoupinganycostsordamagesresultingfromtheterminateddistributor’sadverseconduct,ifany,FLPwillremove theDistributor from theFLPMarketingPlan,andhis/herentiredownlineorganizationwillmove up directly under the terminating Distributor’s Sponsor intheircurrentgenerationsequence.

3.7 The “BuyBackRule” isdesigned to imposeupon theSponsorand theCompanytheobligation toensure that thesponsoredDistributor isbuyingproductswisely.Distributorsmaynot buymoreproduct than they canuse for their businessandpersonalneeds. TheSponsor shouldmakeeveryeffort toprovide recommendedguidelinestoDistributorssothattheypurchaseonlyasmuchproductasisrequiredtomeet immediate salesneeds,and thatadditionalproductsbepurchasedonlyafter75%ofthatproduct’sinventoryhasbeensold,consumedorotherwiseutilized.Productspreviouslycertifiedashavingbeensold,consumedorutilizedshallnotbesubjecttorepurchaseunderthe“BuyBackRule.”

OnceyouhavereachedthelevelofAssistantSupervisorthefollowingwillapply:

4.1.1 Personal Volume Bonus (P.V.B.) is a bonus on Personal AccreditedPurchasesandonPersonalAccreditedSalesofpersonally sponsoredNewDistributors.

4.1.2 GroupVolumeBonus (G.V.B.) isabonuspaidonall groupAccreditedPurchases of your personally sponsored Assistant Supervisors,SupervisorsandAssistantManagers.

4.2 NDP Pricing4.2.1 WhenaNEWRECRUITjoinsthebusiness,theywillpurchasetheirfirst2

casecreditsatRETAILPRICE(CustomerPrice)less15%discount.

4.2.2 TheNEWRECRUITwillalsohavetheoptionofpurchasingtheirfirst2cc’seitherimmediatelyorover2consecutivemonths.

4.2.3 OncetheNEWRECRUITreachesthelevelofAsst.Supervisor,theywillbeentitledtopurchaseatWHOLESALEPRICE(DistributorPrice).

4.2.4 TheSPONSORoftheNEWRECRUITwillalsoreceivea15%SPONSORINCENTIVEonthefirst2ccoftheNEWRECRUIT.

• ThisamountwillbepaidtotheSPONSORwithin10daysoftheNEWRECRUIT’Sorderbeingprocessed.

• ThisSPONSORINCENTIVEwillbepaidasanadditionalamount,overandaboveyourmonthlybonus.

4.2.5 ImmediatelytheNEWRECRUITbecomesanAsst.Supervisor,theywillthenbeabletorecruitnewpeopleintotheirbusinessandbeeligibletoreceivethe15%SPONSORINCENTIVEontheirNEWRECRUITS’first2cc.

4.2.6 It ismost important foraNEWRECRUIT topurchase theirfirst2cc’sandtoreachAsst.Supervisorlevelassoonaspossible.ThebenefitsofbecominganAsst.Supervisorare:

• YouwillpurchasefromtheCompanyatWHOLESALEPRICE.

• Youwillbeabletorecruitnewpeopleintoyourbusinessandearnthe 15% SPONSOR INCENTIVE on your NEW RECRUITS first 2cc,payablewithin10days.

4.3 NDP Enhancement4.3.1 EffectiveNovember1,2010,aDistributorwhohasbeensponsoredfor

sixfullmonthsandhasnotachievedthelevelofAssistantSupervisor,willbeeligibletochooseanewSponsor.

4.3.2 DistributorswhochooseanewSponsorwillloseanyformerdownlinesand accumulated move-up case credits, and will count as newly-sponsoredforallapplicableincentives.

4.4 New Distributor • NoP.V.B.paidatthislevel.

4.5 Assistant Supervisor • 5%P.V.B.onallpersonalAccreditedPurchases.

• NoG.V.B.paidatthislevel.

4.6 Supervisor • 8%P.V.B.onallpersonalAccreditedPurchases.

• 3% G.V.B. on all personally sponsored Assistant SupervisorsandtheirgroupAccreditedPurchases.

4.7 Assistant Manager •13%P.V.B.onallpersonalAccreditedPurchases.

• 5%G.V.B.onallpersonallysponsoredSupervisorsand theirgroupAccreditedPurchases.

• 8% G.V.B. on all personally sponsored Assistant SupervisorsandtheirgroupAccreditedPurchases.

4.8 Manager • 18%P.V.B.onallpersonalAccreditedPurchases.

• 5%G.V.B.onallpersonallysponsoredAssistantManagers andtheirgroupAccreditedPurchases.

• 10%G.V.B.onallpersonallysponsoredSupervisorsand theirgroupAccreditedPurchases.

• 13% G.V.B. on all personally sponsored Assistant SupervisorsandtheirgroupAccreditedPurchases.

4.9 ANewDistributorisnoteligibletoreceivebonusesorsponsorothersintotheFLPMarketingPlanuntil theyhaveachieved the levelofAssistantSupervisor. This isachievedbysubmittingtheapplicationformtogetherwithaninitialorderoftwo(2)casecreditspurchasedfromtheCompany.

4.10 ThePersonalVolumeBonusontheaccreditedpurchasesofanewDistributorwillbepaidtothenewDistributor’sSponsor.Inaddition,thecasecreditswillcountaspersonalaccreditedsalesforboththenewDistributorandtheSponsor.

4.11 Anyonemonthor twoconsecutivemonthsmaybeused toaccumulate thecasecreditsnecessary toachieveSupervisor, AssistantManagerorManager level. Allmove-upsshalloccurontheexactdatethatsufficientcasecreditsareaccumulatedtoreachthespecifiedlevel.

4.12 AllbonusesarecalculatedontheU.S.SuggestedRetailPrice(SRP)assetforthintheDistributor’smonthlyrecap.

4.13 There is no requalifying for these levels once they are earned unless theDistributorshipisterminatedortheDistributorisresponsored.

4.14 There canbe no transferring ofDistributorships. Assignments ofDistributorshipscanonlybemadeintheeventofdeath.

4.15 AllDistributorswhoterminate,orareterminated,mustwaitaminimumoftwoyearsbeforesubmittinganewapplicationforconsiderationbytheExecutiveCommittee.

4.16 ADistributorwillnotpassuptheSponsorontheirwaytoachievinganylevel.

4.17 To qualify for Group Volume Bonuses and special bonuses earned from theirsponsored groups, Supervisors, Assistant Managers and Managers must qualifyasActiveDistributors(see2.5)andmustalsomeetallotherrequirementsoftheMarketingPlan.

4.18 Bonusesarecalculatedaccordingtopositionswithinthemarketingplan.Bonusesarepaidatthecurrentlevelattained.Example:IfanAssistantSupervisorreceives30personalcasecreditsin1or2consecutivecalendarmonths,theywillearn5%onanypersonalpurchaseswithinthefirst25casecreditsand8%onanypersonalpurchaseswithintheremaining5casecredits.

4.19 New Manager Example: If an Assistant Supervisor has Accredited Purchases of150casecreditsinacalendarmonth,achievingthelevelofmanager,theiractiveSponsorwillreceivefullcasecreditforthefirst120casecredits.Theremaining30casecreditsofAccreditedPurchaseswillbeadjustedat40%,20%and10%fortheuplineLeadershipBonusQualifiedManagersaccordingly.

4.20 AnAssistantSupervisor,SupervisororAssistantManagerdoesnotreceiveaG.V.B.onanyDistributorinthesponsoredgroupwhoisatthesamelevelinthemarketingplan.However,theselevelswillreceivecasecreditsfromsuchsourcesformove-upinthemarketingplan.

4.21 Bonuschequesaremailedonthefifteenthofthemonthfollowingproductpurchase.Example: bonuses for January Accredited Purchases will be mailed on February15th.

4.22 A Distributor becomes a “Recognized” Manager and receives a gold Managerpin when (1) their organization produces 120cc Personal and/or Non-ManagerAccreditedPurchasesduringanyoneortwoconsecutivemonthperiod,and(2)theyarepersonallyactiveduringthesameoneortwoconsecutivemonthperiod,and(3)thereisnootherDistributorintheirdownlinewhoqualifiesasManagerduringthesameoneortwoconsecutivemonthperiod.

If a downlineManager qualifies during the same one or two consecutivemonthperiod, theDistributor will be a “RecognizedManager” if (1) they are personallyactive during the same one or twomonth period, and (2) they have at least 25personaland/orNon-ManagercasecreditsinthefinalmonthofqualificationfromDistributorsindownlinesotherthanthedownlineManagermovingupinthesamemonth.

5. Leadership Bonus (L.B.)5.1 After a Distributor becomes a RecognizedManager, that person should support

theirvariousdownlineswiththeintentofhelpingthemachievesuccessasanFLPDistributor.

5.2 ALeadershipBonuscanbepaidatthefollowingratestoRecognizedManagerswhohavedownlineManagers:

• 6%Bonuspaidonall1stGenerationManagersandtheirgrouporders.

• 3%Bonuspaidonall2ndGenerationManagersandtheirgrouporders.

• 2%Bonuspaidonall3rdGenerationManagersandtheirgrouporders.

Managers arealsoallocated case credits basedon theaccredited sales of theirdownlineManager’sgroups,asfollows:

• 40%oftotalcasecreditsoffirst-generationManagersandtheirgroups.

• 20%oftotalcasecreditsofsecond-generationManagersandtheirgroups.

• 10%oftotalcasecreditsofthird-generationManagersandtheirgroups.

5.2.1 The Leadership Bonus and Leadership Case Credits (40%-20%-10%)of a Manager who does not qualify for Leadership Bonus will beproportionately distributed to the upline Leadership Bonus QualifiedManagers.

5.3 An Active Recognized Managerbecomes a Leadership Manageronce they have developed adownlineManager,andmayqualifyto receive their Leadership Bonusif they have Accredited Purchasesof 12 ormore personal and “Non-Manager” case credits permonth.“Non-Manager” case credits arethose that do not pass through aManager(ActiveorInactive).

AnActiveRecognizedManagercanreduce the monthly requirementfrom 12 case credits to 8 casecredits, by having two separatedownlines with Active RecognizedManagers who have AccreditedPurchases of at least 25 or morecasecreditspermonth,asreflectedoneachdownlineManager’srecapfromthepreviousmonth.

In addition, an Active RecognizedManager can reduce the 12 casecreditsto4casecreditspermonthbyhavingthreeseparatedownlineswith Active Recognized Managerswho have Accredited Purchases ofat least 25 or more case creditsper month, as reflected on eachdownline Manager’s recap fromthe previous month. The 25cc ofthe downline Active RecognisedManagercanbecomprisedoftheirown personal and non-Managerbusinessand/orthe40%,20%10%oftheirdownlinegroups.

5.4 AnyActiveRecognizedManager’sdownline,whichhasAccreditedPurchasesofatleast25ormorecasecreditspermonth,asshownonthepreviousmonth’srecap,willcounttowardsthereductioninalluplineManagers’minimumcasecreditsof12,8or4casecredits.

5.5 WhenanActiveRecognizedManagergenerates12personalandnon-managercasecredits,he/shequalifiesforallcorrespondingLeadershipBonuses.

5.6 WhenanActiveRecognizedManagerhastwoseparatedownlineActiveRecognizedManagerswhohaveaccreditedsalesof25casecreditsormorereflectedoneachdownlinemanager’srecapfromthepreviousmonth,thepersonalandnon-managercasecreditswillbereducedfrom12casecreditsto8casecredits.

5.7 WhenanActiveRecognizedManagerhasthreeseparatedownlineActiveRecognizedManagerswhohaveaccreditedsalesof25casecreditsormorereflectedoneachdownlinemanager’srecapfromthepreviousmonth,thepersonalandnon-managercasecreditswillbereducedfrom12casecreditsto4casecredits.

5.8 If aRecognizedManager isnotActive (see2.5) for threeconsecutivemonthsormore,he/she isnoteligible foraLeadershipBonus. 8. Gem Bonus GemManagerswhohavequalifiedtoreceiveaLeadershipBonusmayalsoqualify

toreceivetheGemBonusbymeetingthefollowingrequirements:

8.1 Gem Managers who have nine (9) or more Active 1st-Generation SponsoredManagersduringamonthwill receiveanadditional1%onall their1st,2ndand3rd Generation Managers and their group Accredited Purchases for that month(7%-4%-3%).(Inherited,TransferredorUnrecognizedManagersarenotSponsoredManagers).

8.2 GemManagerswhohaveseventeen(17)ormoreActive1stGenerationSponsoredManagersduringamonthwillreceiveanadditional2%onalltheir1st,2ndand3rdGenerationManagersandtheirgroupAccreditedPurchasesforthatmonth(8%-5%-4%).

8.3 GemManagerswhohavetwenty-five(25)ormoreActive1stGenerationSponsoredManagersduringamonthwill receiveanadditional3%onall their1st,2nd,3rdGenerationManagersandtheirgroupAccreditedPurchasesforthatmonth(9%-6%-5%).

8.4 Foreign distributors may count towards Gem bonus qualification if they haverequalifiedasSponsoredManagersinthatcountry.OncetheyrequalifyandreceiveawaiverfromtheirHomeCountry,theywillbeconsideredactiveandmaybecountedbytheiruplinetowardstheGemBonusqualification.

8.5 In connectionwith InternationalSponsoring,GemBonus is paidbyeach countrybasedonactivityofManagersinthatcountry.Therefore,toqualifyforaGemBonusfrom any country, youmust have the required number of Active 1st GenerationSponsoredManagerslocatedinthatspecifiedcountryforthemonthinwhichyouarequalifyingforabonus.

9. Earned Incentive Programme9.1 AllCompany incentiveprogrammesare intendedtopromotesoundMLMbuilding

principles. This includes the proper sponsoring and selling of product in usable,resalable quantities. Contest points and prizes are not transferable, and will beawardedonlytothosewhoqualifybybuildingtheirbusinessinaccordancewiththeletterandspiritoftheFLPMarketingPlanandCompanyPolicies.

9.1.1 RecognitionpinsandtripstotheWorldRallywillbeawardedonlytotheDistributorshipasitappearsonthedistributorApplicationformonfileattheHomeOffice.

9.1.2 Incentivetrips,includingthe1500ccand2500ccFLPSuperRallyandPost Rally, the Sapphire, Diamond-Sapphire, Double-Diamond, andTriple-Diamondtripsareawardedtothedistributorandspouse.Ifthereisnospouse,orthespousecannotattend,thedistributormayelectanotherpersonwhoisofageandotherwiseeligibletobesponsoredasadistributortoaccompanyhim/her.

9.2 AllActiveDistributorsareeligibletoparticipateintheEarnedIncentiveProgramme.AllManagersparticipatinginthisprogrammemustberecognized.

9.3 TheEarnedIncentiveamountistobeusedbytheDistributortopurchaseorleaseanassetintheirownname,e.g.,car,house,boat,airplane,etc.

9.4 Threelevelsofincentivesareavailable:

a) Level 1: TheCompanywillpayamaximumof$400.00permonth foramaximumof36months.

9.7 Thethirdmonthvolumemustbemaintainedorincreasedthereafter.Ifadistributor’stotalcasecreditvolumedropsbelowthecaserequirementforanygiventhirdmonth,themonthlyearnedincentivebonuswillonlyreflecttheamountearnedbasedon$2.66percasecreditfortheDistributor’sgroupvolume.

9.8 If thequalifyingdistributor’s totalcasecreditsdropbelow50casecredits inanygivenmonth,theearnedincentivebonus,forthatmonth,willnotbepaid.Ifinthesubsequentmonthsthequalifyingdistributorscasecreditsincreaseto50ormoretheearnedincentivewillbepaidinaccordancewithparagraph9.7.

9.9 Totalcasecreditvolumeisbasedonpersonalgroupcases,plus40%ofthegroupcases for any 1st Generation Managers, plus 20% of the group cases for any2ndGenerationManagers, plus 10% of the group cases for any 3rd GenerationManagers.

9.10 AllManagerswhohavefive(5)personallysponsoredActive1stGenerationRecognizedManagersduring the thirdqualificationmonthandallsubsequentmonthsduringthe36monthperiodwillberequiredtohaveatotalvolumeofonly110,175or240casecredits,forlevels1,2and3respectively.Foreveryfive(5)additionalpersonallysponsoredActive1stGenerationRecognizedManagersduringthethirdqualificationmonth,andallsubsequentmonthsduring the36monthperiod, thecasecreditswill be reduced by an additional 40 case credits for level 1, 50 case credits forlevel2,and60casecredits for level3.WhenaManagerhas twenty-five (25)ormorepersonallysponsoredactive1stGenerationRecognizedManagersinanygivenmonth,thetotalcasecreditrequirementfortheirearnedincentivewillbewaivedforthatmonth.

9.11 AftercompletingthethirdqualifyingmonthforanEarnedIncentive,aDistributormayqualifyforahigherincentiveleveltheverynextmonth.Forexample,aDistributorqualifiesforlevel1inJanuary,February,andMarch.ThisDistributorwillbeeligibletoqualifyforlevel2or3inApril.

9.12 At theendof the36monthperiod,aDistributormay requalify foranewearnedincentiveusingthesamequalificationsasoutlinedabove.Thisrequalificationcanbesatisfiedduringany3consecutivemonthsduringthe6monthperiodimmediatelypriortotheendoftheoriginal36monthperiod.

10. FLP Super Rally10.1 Managerswhomeetminimumannualcasecreditrequirementsof1,500casesfrom

April1throughMarch31ofeachyearwillqualifyforanexpense-paidtriptothenextFLPSuperRally,plus$500spendingcash.TheManagerwillmeet theExecutiveStaffandattendtheRally,trainingsandmotivationalmeetings.ManagersqualifyingforthefirsttimewillalsoattendthePostRallyTour.

10.2 OnceManagershavequalifiedfortheFLPSuperRally,theycanrequalifyinfutureyearsbyachieving1,500casecreditsduringthecontestperiod.ThiswouldqualifythemtoattendtheFLPSuperRallyonly.ManagerscanalsoqualifytoattendtheSilverPostRallyTourbyachieving2,500casecreditsduringthecontestperiod.

10.2.1 Managerswhoachieve2,500casecreditswillqualifyfortheallexpense-paidSilverPostRally Tour, plus receiveanadditional$500spendingcash(foratotalcashawardof$1,000).

10.2.2 Managerswhoachieve5,000casecreditswillqualifyforanadditional$1,000spendingcash(foratotalcashawardof$2,000),plusspecialrecognitionattheSuperRallyanduseoftheVIPlaneforcheckoutintheRallyshoppingarea.

10.2.3 Managerswhoachieve7,500casecreditswillqualifyforanadditional$1,000spendingcash(foratotalcashawardof$3,000),plusaspecialsessionwiththeCompanyVPduringtheSilverPostRallyTour.

10.2.4 Inadditiontotheabove,Managerswhoachieve10,000casecreditswillreceiveanupgradetoflyBusinessClasstoandfromtheSuperRally.

10.2.5 FortheSilverPostRallyTouronly:Qualifyingdistributorswhowishtobringtheirchildrenmaydoso,providingthattheyagreetothefollowing:

a) All transportation, lodging,meal, andmiscellaneousexpenses forthechildrenmustbepaidforbythedistributors.

b) Nochildrenwillbeallowedinmealfunctionsorotheractivities;i.e.daytrips,beachactivities,etc.

c) We are not able to accommodate children on the chartered airflights. Therefore,distributorswouldneed tomakeseparateflightarrangements for their children; and, if it is necessary for thedistributors to travelwith their children, thedistributorswouldberequiredtopayfortheirownairfareaswell.

10.3 Inordertoachievethe1500or2500casescreditsawardsadistributormaycombinecasescreditsfromallthecountrieswheretheyhaveagroup.Itistheresponsibilityof thedistributor toprovide to theirHomeOfficebyApril30th theproofofcasescreditsearnedinothercountries.

11. Manager Status and Requalifications11.1 Inherited Managers WhenaManager terminates, theirentiredownlineorganizationwillbemovedup

directlyundertheterminatedManager’spresentSponsorandwill remain intheircurrentgenerationsequence.

11.2 If the terminated Manager is a Sponsored Recognized Manager, and also hasany 1st Generation RecognizedManagers in their organization, theseManagerswill beclassifiedas “InheritedManagers” in theirnewlyappointedSponsor’s1stGeneration.However, oneof thesemanagersmaybeselectedasa “Sponsored”Managertoreplacetheterminatedfirstgenerationmanager.

11.3 “InheritedManager”doesnotaffectthevolumebonusesorleadershipbonusespaidtoanyManagerortheirupline.Theactivityofan“InheritedManager”however,doesnotcountforqualificationfortheGemBonus,casereductionfortheEarnedIncentiveProgramme,forobtainingGemManagerstatus,norforanyotherprogramme.

Transferred Managers11.4 AManagerwhointernationallySponsorsintoacountryotherthanhis/heroriginal

countryofsponsorshipshallbea“TransferredManager.”“TransferredManagers”donotcounttowardGemManagerstatus,qualificationforGemBonus,casereductionfortheEarnedIncentiveProgramme,norforanyotherprogramme.

Activity Qualification11.5 Supervisors, AssistantManagers orManagers who do not achieve Active status

(see2.5)willnotbepaidavolumebonusontheirgroupthatmonth,andshallnotbeconsideredan“ActiveDistributor.”AnyunearnedbonuswillbepaidtothenextActiveDistributorupline.Inturn,theirbonuswillbepaidtothenextActiveDistributorupline and so on. Distributors who forfeit any bonusmay requalify the followingmonth(withnoretroactiveapplication)asanActiveDistributor.

11.6 Allcasecreditsarecalculatedonacalendarmonth.Example: January1 throughJanuary31,April1throughApril30,etc.

Requalification Procedures11.7 IfyouareanUnrecognizedManager,youcanrequalifyasaRecognizedManagerby

meetingthefollowingrequirements:

a) YoumustbeActivewith4PersonalCaseCredits(see2.5),and

b) Youmusthavea totalof120casecredits (cc)ofPersonalandNon-ManagerAccreditedPurchasesinoneortwoconsecutivemonths.Youcanusethecasecredits thatwerenot associatedwithadownlineManagermove-up from thefinalmonthyoumoveduptothepositionofUnrecognizedManagertorequalifyasaRecognizedManager,provided that therequalificationoccursduring themonthimmediatelyfollowing.

c) From the date that you achieved the 120 Personal and Non-Manager casecredits, you will begin to accrue Leadership Bonuses and Leadership CaseCredits on orders placed after that date, as long as you have qualified as aLeadershipBonusManager(seeSection5).

11.8 If you are a Transferred or InheritedManager, you can requalify as a SponsoredManagerbymeetingthefollowingrequirements:

a) Youmusthavea totalof120casecredits (cc)ofPersonalandNon-ManagerAccreditedPurchasesinoneortwoconsecutivemonths,and

b) YoumustbeActivewith4PersonalCaseCreditsduringthemonthsthe120ccaregenerated(see2.5).

c) If requalifying in a foreign country, youmust achieve Active status (see 2.5)eitherinyourhomecountry(yourcountryofresidence)orinthecountrywhereyouareachievingSponsoredManagerstatus.

12. Responsoring Policy12.1 AnexistingDistributorwhohasbeenadistributorforatleast24monthsandwho

hasnotpurchasedanyFLPProductsforaminimumoftwenty-four(24)months,fromtheCompanyorfromanyothersource,andhasnotreceivedanyotherpaymentsfroman FLPDistributor during that same time frame,may be considered for re-sponsoring.TheexistingDistributorcannothavesponsoredanyotherindividualsintotheFLPbusinessduringtheprevioustwenty-four(24)months.TheDistributorbeingre-sponsoredwillberequiredtosignandhavenotarizedanaffidavitunderpenaltyofperjurywithrespecttotheabovepolicybeforere-sponsoringwillbeallowed.AChangeofStatusformsignedbyboththeDistributorandtheintendedSponsorwillalsoberequired.

12.2 Re-sponsored Distributors begin again at the Distributor level under their newSponsorandloseanydownlineacquiredtothatpointinallcountriesintowhichtheyaresponsored,andwillnotcounttowardsthesponsoringrequirementsundertheProfitSharingIncentiveProgramme,noranyotherincentive.

13.8 Whenordering a product thatwas the subject of a prior order, theDistributor iscertifyingtotheCompanythat75%ofthepriororderofthatproducthasbeensold,usedorotherwiseutilizedintheirbusiness.

13.9 Distributors are authorized to purchase product for the purpose of using saidproductintheirbusinessandfortheirpersonaluseinthecountryoftheirdomicile.Distributorsarenotauthorizedtopurchaseproductforthepurposeofexportingsaidproductstoacountryoutsidethecountryoftheirdomicileexceptfortheirpersonaland family use in a countrywhere there is noauthorizedFLPoffice,without thewrittenconsentoftheHomeOfficeinScottsdale,Arizona,USA.

13.10 ADistributormaynotordermorethan25casecreditsinanycalendarmonthwithoutpriorHomeOfficeapproval.

13.11 Bonus Buying Prohibited Bonusbuying isstrictlyprohibited.“BonusBuying” includes:(a)theenrollmentof

individualswithouttheknowledgeofand/orexecutionofanIndependentDistributorApplicationandAgreementbysuchindividuals;(b)thefraudulentenrollmentofanindividualasaDistributor;(c)theenrollmentorattemptedenrollmentofnon-existentindividuals as Distributor or Customer (“phantoms”) to qualify for commissionsor bonuses; (f) any othermechanism by which strategic purchases aremade tomaximizecommissionsorbonuseswhenaDistributordoesnothaveabonafideusefortheproductspurchased.

14. Legal Requirements14.1 Independent Contractors

14.1.1 All Distributors are considered Independent Contractors. They arerequiredtoconducttheirbusinesswithinthetermsoftheDistributorshipAgreement, and in compliance with the Company Policies that areapplicableinthecountryinwhichtheyareconductingbusiness.

14.1.2 AnFLPDistributorshipconsistsoftheDistributorandtheDistributor’sspouse,orthesoleindividualasitappearsontheDistributorApplicationformonfileattheHomeOfficeinCapeTown.

14.1.3 CouplesshallbesponsoredtogetheronthesameDistributorApplicationform.Couplescannotsponsoreachother.IfonespousechoosesnottobeanFLPDistributor,thespouseactingasanFLPDistributorexpresslyagreesandunderstandsthathis/herDistributorshipmaybeterminatedforanyactionstakenbythenon-DistributorspousewhichwouldviolateCompanypolicies.

14.1.4 Distributor relationship with FLP is one of a contractual nature. Onlyadultindividuals,18yearsofageorolder,maycontractwithFLPtobeDistributors.

14.1.5 FLPagreestosellsuchDistributorproductandpayvolumebonusesasprovided in theCompanyMarketingPlan,providedsuchDistributor isnotinviolationofsuchDistributor’scontractwithFLP.

14.1.6 In theevent that thedownlinesofadistributorsponsor intoa foreigncountryandtheyhavenotpreviouslybeensponsoredintothatcountry,thedistributorwillbeautomaticallysponsoredintothatforeigncountryandagreetotheprevailingpoliciesandlocallawsofthatforeigncountryand agree to be bound by the dispute resolution policies set forthherein.

14.2 Company Policies14.2.1 Company Policies have been implemented to provide restrictions,

rulesand regulations forpropersalesandmarketingproceduresandtopreventimproper,abusiveorillegalacts.SuchCompanyPoliciesarerevised,modifiedandaddedto,fromtimetotime.

14.2.2 EachDistributorhasanobligationtobecomefamiliarwiththeCompanyPolicies.

14.2.3 EachDistributor,uponsigningtheDistributorApplicationform,agreestoabidebyFLPCompanyPolicies.Languagethereonspecificallyrefersto theDistributor’s contractual commitment to follow FLP’s CompanyPolicies.TheplacingofordersforproductwithFLPisareaffirmationofsuchcommitmenttoabidebytheCompanyPolicies.

14.2.4 Any transfer other than by inheritance of a Forever Living ProductsDistributorship is against company policy. Without prior companyapproval,suchtransferwillbevoid.Forthepurposeofthisprovision,achangeofbeneficialinterestofaTrustheldFLPdistributorshipshallbetreatedasatransferwhichrequireswrittenapprovalbytheCompanytobevalid.

14.2.5 DistributorsshallnotpermitCompanyproductstobesoldordisplayedinretailstores,militarybases,fleamarkets,orlikeexhibitions.However,exhibitions for a period of less than one week in a twelve-monthperiodatthesamevenueareconsideredtemporaryandarethereforepermittedafterreceivingapprovalfromtheHomeOfficeinCapeTown.Distributors who have service-oriented offices, barber shops, beautyshopsandhealth clubsareexceptionsandwill beallowed todisplayandsellproductswithintheiroffice,shoporclub.However,exteriorsignsorwindowdisplaysbysuchDistributorstoadvertisethesaleofCompanyproductswillnotbepermitted.Productsmaybepromotedandservedinrestaurantsbytheglassorportion.

14.2.6 “Stacking”, which is the practice of purchasing product from theCompanyinthenameofadistributorotherthanyourself,and“Buy-In”,whichispurchasinginquantitieswhichexceedtheamountrequiredtomeetimmediatesalesneeds,willnotbepermitted,andwillresultinlossofqualificationortermination.

14.2.7 In the event a distributor’s spouse does not attend an earned trip,the distributor may bring a guest provided that the guest is eithera distributor or is eligible to become a distributor. Earned trips arelimited to the following: 1,500cc and above Super Rally, Post Rallyand Silver Post Rally, Sapphire, Diamond Sapphire, Double-Diamond,andTriple-Diamondtrips.Allother tripsawardedby theCompanycanonly be attendedby personswhosenamesappear on thedistributorapplication.

14.2.8 FLPDistributorsmustnotdisparageotherDistributors,FLP’sproducts/services, theMarketing and Compensation Plan, or FLP’s employeesto other Distributors or third-parties. Any questions, suggestions orcommentsregardingtheseissuesshouldbedirectedinwritingtoFLP’scorporateofficesonly.

14.3 Terminations14.3.1 Termination means a severance of all domestic and international

privilegesandcontractualrightsavailabletoanFLPDistributor,includingtheprivilegetobuyanddistributetheproducts.TheTerminationwillresultintheinabilitytoqualifyforincomeandvolumebonuses,andseveranceofparticipationintheEarnedIncentiveProgramme,prizeprogrammes,andotherbenefitprogrammessponsoredbytheCompany.

14.3.2 A terminated Distributor shall, upon demand by FLP, be liable torepay, return or compensate FLP for any benefit programmes, prizes,inventories,orbonuses received fromFLP fromandafter thedateofthe activities causing such Termination. After recouping any costs ordamagesresultingfromtheterminateddistributor’sconduct,forfeitedbonuses,causedbysuchTermination,shallbepaidtothenextqualifyingDistributoruplinewhoisnotinviolationofthecontractterms.

14.3.3 Prohibited activities causing grounds for termination and liability foranydamagescausedbysuchacts include,butarenot limitedto, thefollowingconduct:

14.3.3.1 FLP is a company built on the quality of its products andtheirusebyconsumers.DistributorsarestrictlyprohibitedfrompurchasingproductsorencouragingotherDistributorsto purchase products solely for the purpose of qualifyingfor bonuses. In order to ensure no inventory loading isoccurring:

a. EachDistributorwhoordersproductthatwasthesubjectofapriororder,shallalsobeconfirmingandcertifyingto the Company that 75% of the prior order of thatproducthasbeensoldorotherwiseutilized.Distributorsshouldkeepaccuraterecordsofmonthlysalestotheircustomers,whichrecordscanbesubjecttoinspectionbytheCompanyuponreasonablenotice.Suchrecordswill includereportsreflecting inventoryonhandattheendofthemonth.

b. The Company will be liberal in its application of thebuy back policy on termination of a Distributorship,butFLPwillnot repurchaseproductsor issue refundson products certified as having been consumed orsold. Falsely representing the amount of product soldorconsumedinordertoadvanceinthemarketingplanshallbegroundsfortermination.

c. To discourage any Distributor from encouragingother Distributors to circumvent the inventory loadingprohibition, the Company will charge back to aterminated Distributor’s upline any bonuses paid onproductreturnedfromaterminatingDistributor.

14.3.3.2 Engaging inactivities thatareprohibited inallsectionsof14.9, 14.11, 14.14 and sections14.12 and14.13 as setforthherein.

14.3.3.3 Appearing in, being referenced in, or allowing thedistributor’snameorlikenesstobefeaturedorreferencedin any promotional, recruiting or solicitation materials foranotherdirectsalescompany.

14.3.3.4 SellingordisplayingCompanyliteratureorproductsinRetailStores,MilitarybasesorinviolationofInternetPoliciesand/orAdvertisingandPromotionalguidelines.

14.3.3.5 Any act or failure to act by Distributors which evidencesintentionaldisregardand/orgrossnegligenceofCompanyPolicies.

14.3.3.6 Distributors shall not make claims as to the therapeutic,safety or curative properties of the products. Only suchstatements or claims that are officially approved by FLPor are as contained in the official FLP literature may bemade or used. NoDistributormaymake any claims thatFLP products are useful in the treatment, prevention,diagnosisorcureofanydisease.MedicalclaimsregardingFLP products are strictly prohibited. Distributors shouldrecommend to any customer who is currently under aphysician’s careoranymedical treatment, that they seektheadviceoftheirhealthcareproviderbeforealteringtheirnutritionalregimen.

14.3.3.7 UnlessFLP’spriorwrittenapprovalisobtained,projectionsof income earnings and potentially misleading incomerepresentationsarestrictlyprohibited.Thefinancialsuccessof a Distributor depends entirely upon that Distributor’sindividualeffort,dedication,andthetrainingandsupervisionthe Distributor provides to his or her downline and FLPbusiness.

14.4 Dispute Resolution/Waiver of Trial14.4.1 If a controversy or claim arising out of or relating to the Distributor

relationship or FLP products cannot be resolved by negotiations, theCompanyandDistributoragree that inorder topromote to the fullestextent reasonably possible a mutually amicable resolution of thedisputeinatimely,efficientandcost-effectivemanner,theywillwaivetheir respective rights toa trialandsettle theirdisputebysubmittingthe dispute to arbitration in South Africa for binding arbitration inaccordancewiththewrittenproceduresadoptedbyFLPforresolutionof disputes.Maricopa County, Arizona shall be deemed the sole andexclusiveplace for jurisdictionandvenueofanydisputebetween thecompany and the Independent Distributor, and if appropriate, underFLP’sdisputeresolutionprocedures,acourtofcompetent jurisdictionlocated in the State of Arizona, Maricopa County. The IndependentDistributorApplicationandAgreementshallbegovernedinallrespectsbythelawsofSouthAfrica.

14.4.2 Participating in the international sponsoringprogramme isaprivilegethatgiveseachdistributorthechancetobenefitfromFLP’sinternationalnetwork of companies. The international sponsoring programmeismonitored from FLP’s home office inMaricopa County, Arizona. Adistributor participating in the international sponsoring programmeagrees and consents to any disputes arising out of or relating to thedistributorrelationshiporFLPproducts,involvinganyoftheFLPaffiliatedcompanies, shall be resolved throughbinding arbitration inMaricopaCounty, Arizona, pursuant to FLP-US and Forever Living ProductsInternational,Inc.’scurrentdisputeresolutionpoliciesassetforthaboveandstatedonFLP’shomeofficewebsiteatwww.foreverliving.com.

14.5 Voluntary Terminations14.5.1 IfaDistributorwishestoterminatetheirDistributorship,theymustsubmit

awrittenrequest,signedbytheDistributor(s).Theeffectiveterminationdate is the date on which the Home Office accepts the terminationrequest.TheterminatingDistributorforfeitsthecurrentsaleslevelandall downlines, including those in foreign countries, establishedat thetime.Aftertwoyears,aDistributormayreapplysubjecttoHomeOfficeapproval.

14.5.2 Once a Distributor terminates, their spouse (if applicable) is alsoconsideredterminated.

14.6 Valid Applications14.6.1 Except for authorized responsoring, it is against Company Policy for

any distributor to, directly or indirectly, change Sponsors. FLP willonly consider the first valid Application received by the Home Office.Subsequentapplicationswillbedisallowed.

14.6.2 ADistributorship, and any resulting downline, created or operated byproxy, either intentionally or inadvertently, is not allowed, and shallbe adjusted for compliance with Company Policies by the ExecutiveCommittee. The Executive Committee’s decision to terminate adistributorshipor todisallow, realignor adjustbonuses, case credits,compensationoranyincentiveawardsforanyDistributor’sinvolvementin activities or omissions that are not in conformancewith CompanyPoliciesshallbefinal.IntentionalactsofomissionanddisregardfortheCompanyPoliciesbyaDistributorshallbeseverelydealtwithwhichmayincludeterminationandlegalactionfordamages.

14.7 Testamentary Transfers14.7.1 TheinheritablerightstoaDistributorshiparelimitedandrestrictedas

follows:

14.7.1.1 TheheirmustbeapersonwhocanqualifyasaDistributor.

14.7.1.2 Because the heir must be an adult individual, a trust orguardianshipmayhavetobeestablishedformultipleheirsorminorchildren.Intheeventatrustisestablished,acopymustbeplacedonfilewithFLP.ItstermsmustclearlyallowthetrusteetoactasaDistributor.Aguardianoratrusteeofatestamentarytrustmustbeappointedbythecourtofproper jurisdiction and receive specific approval to be aDistributoronbehalfoftheminors.

14.7.1.3 A trustee or guardian shall retain the Distributor statusso long as the Distributorship agreement is not violated,until the beneficiaries have attained the age of majority,and an heir accepts the responsibility of operating theDistributorshipwithpriorapprovalofthecourt.

14.7.1.4 A trustee, guardian, spouse or other representative-typeDistributor shall be responsible for the actions of thebeneficiary,ward,ortheirspouseforpurposesoffollowingthepolicytermsoftheDistributorshipagreement.Aviolationof Company policies by any of the above individualsmayresultinterminationoftheDistributorship.

14.7.1.5 TheinheritableDistributorshippositionwithintheCompanyMarketingPlan is limited to recognitionatnohigher thanthat of Manager. However, bonuses shall be paid at thesame levels and requirements as held by the deceased.DistributorshippositionsbelowManagershallbeinheritedatthatlevel.

14.7.1.6 AllFLPDistributorapplicationsthatcontaintwosignatures,regardless ofwhen signed, shall be treatedas creating aJOINT OWNERSHIP WITH RIGHT OF SURVIVORSHIP (thetermsoftherightbeingmorefullysetouthereinbelow).Ifyouaremarriedincommunityproperty,thenthepartnersshallbetreatedasCOMMUNITYOFPROPERTYWITHRIGHTOF SURVIVORSHIP. On the confirmation of death of anyoneofthetwosigningdistributors,theFLPDistributorship,including any monies due by FLP, will automatically betransferredtothesurvivorofthetwo.Thiswillbethecaseregardless of what is stated in theWill of the first dieingDistributor. The effect of JOINT OWNERSHIP WITH RIGHTOF SURVIVORSHIP is that when two persons have signedtheFLPDistributorApplication thesurvivorof the twowillbethesoledistributorafterthedeathofthefirst.Ifyoudonotwish this result, youmust contact theHomeOffice inwritingtoexpressyourneedsandtodetermineifyourneedscanbeaccommodated.KeepinmindthatnochangeinaDistributorshipcanbemadeduringyour lifetimeexcept inthecaseofalegalseparationordivorce.

DistributorapplicationsofalegallymarriedpersonwhohascheckedthemaritalstatusboxasbeingMARRIED,buttheapplicationonlycontainsthesignatureofoneofthemarriedparties,thecompanywilltreatthedistributorshipasbeingaJOINTOWNERSHIPWITHRIGHTOFSURVIVORSHIP.

Distributor applications that have the marital status boxchecked as being single and with only one signature willbetreatedby thecompanyaccordingly.Shouldtherebeachangeinthemaritalstatus,theDistributormustsendintotheHomeOfficeanewdistributorapplicationindicatingthattherehasbeenachangeofmaritalstatusaccompaniedbyacopyofthemarriagecertificate.Atthattime,theCompanywill treat such distributorship as a JOINT OWNERSHIPWITH RIGHT OF SURVIVORSHIP. To a single person’s FLPDistributorshipondeath,suchDistributormusthaveaWilloruseofaTrust.

14.8 Transfers Due to Divorce14.8.1 Husbandsandwivescannotsponsoreachother.Distributorswhomarry

anotherDistributormaymaintainseparateDistributorshipswhichwereinexistencepriortotheirmarriage.

14.8.2 IntheeventaDistributorshouldmarryanon-Distributor,thisDistributorshould submit a Change of Status (COS) form signed by the existingDistributor as well as his/her spouse indicating the new spouse’sinterest in the Distributorship. Regardless of whether a COS form issubmittedbythenewspouse,theexistingDistributorexpresslyagreesandunderstandsthathis/herDistributorshipmaybeterminatedforanyactionstakenbyhis/herspousewhichwouldviolateCompanypoliciesasifthatnewspousewasanFLPDistributor.

14.8.3 Duringapendingdivorceornegotiationofapropertysettlement,FLPwillcontinuetodisbursepaymentstotheregisteredDistributoraswasdonepriortothependingaction.

14.8.4 Intheeventofdivorceoralegalseparation,alegallyenforceablepropertysettlementagreementmaydecreetheDistributorshipbegrantedtoonespouseortheother.TheDistributorshipcannot,however,bepartitioned.OnlyoneadultindividualwillbeentitledtoretainthecurrentdownlineofthisDistributorship.TheotherspousemaychoosetoestablishtheirownDistributorshipatthesameleveloftheMarketingPlan,butnotaboveManager,asestablishedwiththeex-spouse.Suchotherspousemustusethesamesponsor.Theotherspouse’snewDistributorshipshallbetreatedbythesponsorasInheriteduntilrequalified.

14.8.5 Totheextentpermittedbylaw,FLP,itsdirectors,officers,shareholder,employees,assignsandagents(collectivelyreferredtoas“Associates”)shallnotbeliablefor,andtheDistributorsreleaseFLPanditsAssociatesfromandwaivesallclaims,foranylossofprofits,indirect,direct,specialorconsequentialdamages,andforanyotherlossesincurredorsufferedby Distributors as a result of: (a) Distributor’s breach of their FLPDistributorship Agreement of FLP Company Policies and Procedures;(b) thepromotionoroperationof theDistributor’sFLPdistributorshipand Distributor’s activities related to it; (c) Distributor’s incorrect orwrongdataorinformationprovidedtoFLPoritsAssociates;or(d)theDistributor’s failure to provide any information or data necessary forFLP to operate its business, includingwithout limitation,Distributor’senrollmentandacceptanceintotheFLPMarketingPlanandthepaymentof volume bonuses. EACH DISTRIBUTOR AGREES THAT THE ENTIRELIABILITYOFFLPANDITSASSOCIATESFORANYCLAIMWHATSOEVERRELATEDTOTHERELATIONSHIPOFAWARENESSINCLUDING,BUTNOTLIMITEDTO,ANYCAUSEOFACTIONSOUNDINGINCONTRACT,TORT,OREQUITY,SHALLNOTEXCEED,ANDSHALLBELIMITEDTO,THEAMOUNTOFPRODUCTSDISTRIBUTORHASPURCHASEDFROMFLPTHATAREINRESALABLECONDITION.

to purchase an FLP approved Independent Distributor website formarketingproductsonlineusingadirectlinktoFLP’sinternetshoppingwebsiteatwww.foreverliving.comanditsMyFLPBiz.Thisinternetlinkisarrangedsothat theFLPpageswill remainwithin the IndependentDistributor’swebsite.Theguestsvirtuallynever leavetheDistributor’swebsite.InordertomaintaintheintegrityofFLP’sbrandname,productline and the Distributor/Customer relationship, Distributors may notsellanyFLPbrandproductsonlinethroughtheirindependentwebsite.FLPmarketingorpromotionalmaterials,thathavenotreceivedwrittenapproval from an authorized FLP source, cannot be used or sold byFLP Distributors. E-Commerce sales can only bemade directly by orthroughalinktotheofficialFLPwebsiteatwww.foreverliving.comanditsMyFLPBizfunctionality.Salesofproductsthroughonlinemarketingmedia,onlinemalls,orauctionsites,suchas,butnotlimitedtoeBayorAmazon.com,areprohibited.DistributorsmaynotsellFLPproductstoanyoneforthepurposeofresalenorentrustotherstosellFLPproducts.CompanyapprovedindependentFLPDistributorwebsiteswillbeallowedformarketingandpromotion,butnotforE-CommercesalesofproductsorsponsoringofDistributors.

14.9.2 Independent Distributor Websites Independent FLP distributor websites marketing and promoting

FLP products or FLP’s business opportunity, without online sales orsponsoring,willbepermittedsolongastheycomplywithoraremodifiedtocomplywithFLPCompanyPolicies.

SponsoringDistributorsonlineviaanelectronicsignatureapplicationoronlineformisnotpermittedoutsideofthedirectapplicationorlinktotheofficialFLPwebsiteatwww.foreverliving.com.

Distributorsmaynotusethename“ForeverLivingProducts”oranyofitstrademarks,tradenames,productnames,domainname(URL)orcopyoruseanyFLPmaterialsfromanysourcethatmayresultinmisleadingorconfusingtheuserintothinkingtheDistributor’swebsiteisthatofFLPoranyofitsofficialaffiliates.FLPproductnamesarestrictlyproprietarytoFLPandcannotbeusedbyanyDistributorasa sponsored linkorforanyotherunauthorizeduse.IndividualFLPdistributorwebsitesmustclearlyindicatethatitrepresentsanindependentFLPdistributorwhoisnotanagentoftheFLPcompanyoranyofitsworldwideaffiliates.

14.9.3 Electronic Advertising IndependentFLPdistributorwebsitesthathavebeenapprovedbyFLP,

orareaspartofanonlinebannerordisplayadsthatconformtoFLP’sadvertisingguidelinesandhavebeenapprovedbyFLPwillbeallowed.Onlinebannersordisplayadsmustbesubmitted toFLP forapprovalprior to posting online andmust link a user to theCompanywebsiteoranindependentFLPDistributorwebsitethathasbeenapprovedbyFLP. Allelectronicadvertising issubject toandcontrolledby theFLPCompanyPoliciesrelatingtoadvertisingandpromotionalguidelines.

14.10 Errors or Questions IfaDistributorhasquestionsaboutorbelievesanyerrorshavebeenmaderegarding

bonuses,downlineactivityreports,charges,orchanges,theDistributormustnotifyFLPwithinsixty(60)daysofthedateofthepurportederrororincidentinquestion.FLPisnotresponsibleforanyerrors,omissionsorproblemsnotreportedwithinsixty(60)days.

14.11 Confidentiality & Nonclosure Agreement Downline reports and all other reports and genealogical information, including,

butnotlimitedto,downlinesalesorganizationinformationandcommissionrecapstatements,areprivate,proprietaryandconfidentialtoFLP.

EveryIndependentDistributorwhoisprovidedwithsuchinformationmusttreatitasprivateandconfidentialandtakecaretomaintainitssecrecyandrefrainfrommakinganyusethereofforanypurposeotherthanthemanagementofhisorherdownlinesalesorganization.

AsaresultofyourFLPdistributorship,youmayhaveaccesstoprivateandConfidentialInformationwhichyouacknowledgetobeproprietary,highlysensitiveandvaluabletoFLP’sbusinessandisbeingmadetoyousolelyandexclusivelyforpurposesoffurthering thesaleof FLPproductsandprospecting, trainingandsponsorshipofthirdpartieswhomaydesiretobecomeFLPIndependentDistributorsandtofurtherbuildandpromoteyourFLPbusiness.

“TradeSecret”or“ConfidentialInformation”shallalsomeaninformation,includingaformula,pattern,compilation,programme,device,method,techniqueorprocess,that:

1. derivesindependenteconomicvalue,actualorpotential,fromnotbeinggenerallyknowntootherpersonswhocanobtaineconomicvaluefromitsdisclosureoruse;and

2. isthesubjectofeffortsthatarereasonableunderthecircumstancestomaintainitssecrecy.

14.11.2 Confidential Information1. WheneverFLPmakesavailabletotheIndependentFLPDistributor

information, it shall be for the sole purpose of conducting FLPbusiness.

2. Distributorshallnotuse,disclose,duplicateorotherwisemakeanyTradeSecretorConfidential InformationavailabletoanyoneotherthanFLPIndependentDistributors,withoutthepriorwrittenconsentofFLP.

3. Distributor shall not directly or indirectly use, capitalize upon orexploit any Trade Secret or Confidential Information for its ownbenefit,orforthebenefitofanyoneelse,otherthanforthepurposeofconductingitsbusinessforFLP.

4. Distributor shall maintain the confidentiality and security of theTradeSecretandConfidentialInformationinitspossessionandtoprotect against disclosure,misuse,misappropriation or any otheractioninconsistentwithFLP’srights.

14.12 Further restrictive Covenants InconsiderationtoFLPforthereceiptofTradeSecretorConfidentialInformation,the

DistributorinherentlyagreesthatforthetermoftheFLPdistributorship,Distributorshall not takeor encourageanyaction, thepurposeor effect ofwhichwouldbeto circumvent, breach, interfere with or diminish the value or benefit of FLP’scontractual relationshipswithanyFLPdistributor. Without limiting thegeneralityoftheforegoing,forthetermofthedistributorship,Distributoragreesnottodirectlyorindirectly,contact,solicit,persuade,enroll,sponsororacceptanyFLPdistributor,FLPcustomeroranyonewhohasbeenanFLPDistributororCustomerforthelasttwelve(12)months,into,ortoencourageanysuchpersoninanywaytopromote,opportunities in marketing programmes of any direct sales company other thanFLP.

14.13 Term Theagreementscontainedinthe“ConfidentialInformation”sectionofthesepolicies

shallremainforeverandinperpetuity.Theagreementscontainedinthe“FurtherRestrictiveCovenants”sectionofthesepoliciesshallremaininfullforceandeffectduringthetermofthepreviouslyexecutedDistributorshipAgreementbetweenFLPand theDistributor, and thereafter until the later of one (1) year from the latestreceiptofanyConfidential Informationor twelve (12)monthsafter theexpirationandterminationofsuchDistributorshipAgreement.

14.14 Advertising & Promotional Guidelines14.14.1 Trademarks, Trade Names, Copyright Materials and Advertising Thename“ForeverLivingProducts”andsymbolsofFLPandothernames

asmaybeadoptedbyFLPincludingFLPProductnamesareproprietarytradenamesand/ortrademarksoftheCompany.

14.14.2 Limited License to use Company Marks Each Distributor is hereby licensed by FLP to use FLP’s registered

trademarks, service marks, and other marks (hereinafter collectivelyreferred to as “Marks”), in conjunction with the performance of theDistributordutiesandobligationsundertheDistributorshipAgreementandthecorrespondingpoliciesandprocedures.AllMarksareandshallremaintheexclusivepropertyof“FLP”.TheMarksmayonlybeusedasauthorizedby theDistributorAgreementand theFLP’scorrespondingpoliciesandprocedures.ThelicensegrantedhereinshallbeeffectiveonlyaslongastheDistributorisingoodstandingandinfullcompliancewiththeFLP’spoliciesandprocedures.However,it isprohibitedforaDistributortoclaimanyownershipofFLP’sMarks(i.e.,registeringforadomainnameusingthename“FLP”,“ForeverLiving”,oranyotherFLPMarkinanyway,shapeorform)unlessithasbeenapprovedinwritingbyFLP.

These Marks are of great value to FLP and are supplied to eachDistributorforeachDistributor’suseinanexpresslyauthorizedmanneronly. Distributorsarenot toadvertiseFLPproducts inanywayotherthanthroughtheadvertisingorpromotionalmaterialsmadeavailabletoDistributorsbyFLPandmaterialspre-approvedbyanauthorizedofficerofFLP. Distributorsagreenottouseanywritten,printed,recordedoranyothermaterialinadvertising,promotingordescribingtheproductorFLPmarketingprogramme,orinanyothermanner,anymaterialwhichhas not been copyrighted and supplied by FLP, unless suchmaterialhasbeensubmittedtoFLPandapprovedinwritingbyFLPbeforebeingdisseminated,publishedordisplayed.FLPDistributorsherebyagreetomakenodisparagingrepresentationsaboutFLP,theproducts,theFLPcompensationplanorincomepotentials.

14.14.3 Promotional Materials AnFLPDistributormaydevelophisorherownmarketing techniques,

so longas theyarenot in violationofanyCompany, state, federalorjurisdictionalrules,regulationsorstatutes.UnlesstheCompany’spriorwritten approval is received, the use, production or sale of any salesaid ormaterials, other than those provided by or approved inwritingbyFLPtootherFLPDistributors foruse inpromotingFLPproducts, isprohibited.

15. Communications15.1 In order to best serve the interest of Managers and Distributors, and to keep

everyonecurrentonCompanyactivitiesandpolicies,theHomeOfficehasdevelopedasystemofcommunication.DistributorswithquestionsshouldaddressthemtotheOperationsManageratoperations@forever.co.za.Distributorsmayalsocontactthelocalcompanyproductcenterorviawww.foreverliving.com.

15.2 TheOperationsManager isresponsibleforhandlingthesequestionsonbehalfoftheCompanyaswellastransmittingtoDistributorsanynewinformation,activities,orpoliciesfromtheHomeOffice. If theOperationsManager isunabletoproperlyrespondtoaDistributor,theywillmakedirectcontactwiththeirCountryManager.If the Country Manager is unable to properly respond to a Distributor, they willmakedirectcontactwiththeirVicePresidentintheHomeOfficeforassistanceorinstructions.BaseduponthiscommunicationwiththeHomeOffice,theOperationsManagerwillthenre-contacttheDistributortomakeafinalresolution.Byfollowingthis method of communication (OperationsManager - Country Manager - HomeOffice),informationwillflowsmoothlyandefficientlytoallconcerned.

16. International Sponsoring Policy ForeverLivingProductshasdesignedaworldwideprogrammethatoffersDistributors

throughout the globe the opportunity to expand their business into all countrieswhere FLP has officially established business operations in accordancewith thelawsofthatcountry.Distributorswillenjoythebenefitsofincreasedincomeandtheprestigeofowninganinternationalbusiness,whileatthesametimehelpingotherswiththeirhealth,beautyandnutrition.

TheproceduresforInternationalSponsoringarequitesimpleandtherewardscanbeconsiderable.InternationalSponsoringincreasesyourincomepotential,convertsyourForeverbusinessintoatrulyinternationaloperation,andprovidesyouroverseasfriendsandfamilywiththeopportunitytoearnextraincomeandbenefitfromthepersonalgrowthadvantagesthataremadepossiblethroughForeverLivingProducts.ThispolicyaffectsallInternationalSponsoringafterMay22,2002.

16.1 CommunicateyourrequesttotheHeadOfficeofyourHomeCountryviaemail,faxor telephone. Include your full name, address andDistributor number. Once theinformation is entered into your Home Country’s database, you and your uplinesponsors will appear in the foreign country’s database within 24 hours. Yourdomestic identificationnumberwillbeused inallcountrieswhereyousubmitanapplication.

16.2 Youwillautomaticallystartatyourcurrentattainedsaleslevelinallforeigncountrieswhereyousponsor.

16.3 ManagerswhomaintaintheminimummonthlypurchaserequirementtobedeemedActive(see2.5)intheircountryofresidencewillhavetheminimummonthlypurchaserequirementwaivedforthefollowingmonthinallforeigncountriesinordertoqualifyforavolumebonus.

a) Forexample,IfaManagerisactiveduringthemonthofJanuaryintheircountryofresidence,theirActiverequirementwillbewaivedinallforeigncountriesforthemonthofFebruary.

16.4 DistributorsthathavenotyetreachedtheManagersales level in theircountryofresidencewillhavetoachieveActivestatus(see2.5)ineachcountrywheretheyaresponsoredinternationallyinordertoreceiveabonusfromthosecountries.

16.5 Your sponsor will be the person who appears as the sponsor on your very firstapplicationformacceptedbyFLP.

16.6 Youwill,asanActiveDistributorqualifyforabonusfromtheforeigncountryonthe15thofthemonthfollowingthemonthyourgroupintheforeigncountrywasactive.

16.7 QualifyinginyourcountryofresidenceforaLeadershipBonuswillalsoqualifyyou,duringthefollowingmonth,inallforeigncountriesforaLeadershipBonus.

a) Forexample,IfaManagerqualifiesforLeadershipBonusduringthemonthofJanuaryintheircountryofresidence,theirLeadershipBonusrequirementwillbewaivedinallforeigncountriesforthemonthofFebruary.
