OZO Storytellers Program

This OZO Storytellers Program (“Program”) agreement (the “Agreement”), is a legal agreement between you (either an individual or a legal

entity) (“Participant”) and the Nokia Party (defined below) and governs participation in the Program offered in conjunction with the sale of the

Nokia OZO Professional VR camera. “Nokia Party” shall mean (i) Nokia USA Inc. If Participant is located in the U.S. or Canada; (ii) Nokia Technol-

ogies Beijing (Co.) Ltd if the Participant is located in China and (iii) Nokia Technologies Ltd. if Participant is located in a country outside of the

U.S., Canada or China where the Nokia OZO Professional VR camera is available for purchase. The Program is not available in countries where

the Nokia OZO Professional VR Camera is not available for purchase. Nokia shall mean the Nokia Party and its Affiliates. An “Affiliate” means

an entity controlling a Nokia Party; controlled by a Nokia Party or under common control with a Nokia Party.

If Participant does not agree to the terms and conditions contained in this Agreement, Participant may not participate in the Program and is

not eligible for the discounts described herein.

EligibilityParticipant’s participation in the Program is subject to acceptance by Nokia of Participant’s application.

Discount Upon signed agreement with the terms here in and placement of an order for a Nokia OZO Professional VR Camera during the term of the

Program, Participant is entitled to receive a one-time discount of fifteen thousand U.S. Dollars ($15,000) (North America Participants), one-

hundredthousand Chinese Yuan Renminbi (CNY 100,000) in the Peoples’Republic of China or fourteen thousand Euros (€14,000) (European

Economic Area and Switzerland Participants) (the “Discount”) on the purchase of one (1) Nokia OZO Professional VR Camera. For the avoid-

ance of doubt, Participant acknowledges that Participant’s purchase shall be subject to the terms and conditions of sale accepted by Partici-

pant during the purchase process. This discount may not be combined with any other discount, offer or promotion.

Program RequirementsIn exchange for receiving the Discount described in Section 2 above, Participant agrees:

a. To be referenced as a customer of Nokia in promotion of the Nokia OZO Professional VR Camera, comprising inclusion in publicly available

customer lists and usage of the Participant’s name and logo on Nokia’s website and in its public communications and marketing materials

relating to Nokia OZO Professional VR Camera and related OZO technologies; and either

b. Subject to the content license set forth in Clause 4 below, to, within ninety (90) days following the delivery of the Nokia OZO Professional

VR Camera Participant purchased from Nokia, deliver at least one (1) minute of finished footage captured using the Nokia OZO camera (“VR

Content”), which footage the Participant considers appropriate for Nokia to use in promoting Nokia OZO Professional VR Camera and related

OZO technologies. Participant shall also submit the raw footage of the VR Content to Nokia; or

To provide at least two (2) minutes of pre-recorded product testimonial or behind the scenes/making-of OZO VR experience, subject to the

terms herein, to Nokia for use publicly in Nokia promotions or marketing pursuant to the content license herein; and, in either case to also

c. Participate in not more than one (1) one-hour sessions in which Participant shares its experiences in using the Nokia OZO Professional VR

Camera within sixty days (60) days following the delivery of the Nokia OZO Professional VR Camera

Content Licensea. Subject to and in accordance with the terms of Clause 4(b) below, Participant grants Nokia a non-exclusive, worldwide, perpetual, fully

paid-up, sublicensable (for the Permitted Use as described in Clause 4(b) below) right to reproduce, make, have made, create derivative

works and use copies of and perform as well as distribute, communicate to the public, make available, localize, adapt and interoperate with

Nokia products the VR Content and/or Participant’s intellectual property rights in and to the review or testimonial provided and to install or

otherwise incorporate any copy thereof into any Nokia product, service and brand and to use them in or in connection with any Nokia product

and use or otherwise utilize copies or part of copies of the VR Content solely for the Permitted Uses.

OZO Storytellers Program

b.“Permitted Use” means use of VR Content and/or the review or testimonial provided:

i. At Nokia’s offices and other premises occupied by Nokia;

ii. In other premises for the purposes of demonstration and promotion of Nokia products and/or brand and other related products

and/or services of Nokia;

iii. At industrial and other exhibitions to live audiences at (including but not limited to) stadiums, media events, public location adver

tising and in-store use for the purpose of the promotion and sale of Nokia products and/or brand and other related products and/or

services, if any;

iv. The showing of VR Content on websites and social media channels for promotion and demonstration of Nokia’s VR technologies and

related content;

v. Inclusion of the VR Content in (x) Nokia demonstration applications; and/or (y) streaming VR and/or 360 degree video players

distributed directly or indirectly by Nokia for promotion of Nokia’s OZO technologies;

vi. In Nokia and/or Nokia partner VR application(s) for the showing of VR Content and for promotion of VR technologies and VR Content

and communication to public end users of the VR Content via such application downloadable from various store platforms (including

but not limited to Oculus, HTC, Google etc.); and

vii. For Nokia’s internal testing, evaluation and research and development purposes (including by contractors to Nokia).

Participant representations and warrantiesParticipant represents and warrants that:

a. If Participant is executing this Agreement on behalf of a legal entity, Participant has the requisite authority to accept this Agreement on

behalf of such legal entity and grant the licenses set forth herein to Nokia;

b. The VR Content has been originally produced or validly acquired or licensed by Participant and Participant has the rights necessary to grant

Nokia the license set forth in Clause 4;

c. The VR Content and/or its use in accordance with this Agreement does not infringe any intellectual property rights of any third party;

d. In creating the VR Content and licensing the same to Nokia under this Agreement, Participant has complied with and acted in accordance

with all applicable laws, statutes and regulations and the VR Content does not violate any applicable laws, statutes or regulations;

Feedback & TestimonialsAs set forth in Clause 3(b) Participant agrees to participate, upon Nokia’s request, in sharing its ideas, suggestions and experiences in using

the Nokia OZO Professional VR Camera (collectively “Feedback”). Nokia will be free to exploit and disclose any Feedback on an unrestricted

basis without having to notify or compensate Participant. Participant hereby releases Nokia from all liability and obligations that may arise

from the receipt, review, use, distribution, disclosure or sublicensing of any portion of any Feedback in any form whatsoever.

In connection with any review, testimonial or endorsement made or provided by Participant, Participant shall ensure the following: 1) that

Participant’s statements reflect Participant’s actual use of Nokia technology and Participant’s honest opinion; 2) any claims made by Partici-

pant are supported by adequate substantiation and reflect a typical experience; 3) Participant discloses the nature of its connection with

Nokia as participant in the Program; and 4) that Participant discloses the discount or any other compensation received from Nokia. Disclo-

sures should be prominent and clear. Where the testimonial or endorsement is made in a video, livestream or VR content, the disclosure

must appear in the content itself, not simply on the web page where it is first posted. Nokia may work with Participant prior to the public use

of any testimonial or endorsement to confirm the disclosures have been adequately made and reserves the right but not the obligation to

monitor Participant’s activities under this Agreement.

Participant marksParticipant hereby grants to Nokia a non-exclusive, non-transferable, personal license to use Participant’s marks and logos (collectively

referred to as “Participant Marks”) for the purposes of Nokia’s exercise of the rights granted under Clause 3(c) above. Nokia shall comply with

Participant’s reasonable brand guidelines in using Participant Marks.

Participant’s failure to comply with program requirementsIn the event Participant fails to fulfil its obligations under this Agreement, Participant acknowledges that Nokia may rescind the Discount

offered hereunder and issue an invoice to Participant in an amount equal to the Discount given to Participant, plus any applicable taxes.

Governing law and jurisdictionThis Agreement shall be construed and interpreted in accordance with the laws of the State of New York, excluding the application of its laws

or rules governing choice of law. The United Nations Convention on the International Sale of Goods shall not apply and is expressly excluded

from applicability under this Agreement. Any controversy or claim arising out of or relating to this Agreement, the breach thereof, or the

product(s) shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration

Rules, including its rules on emergency interim relief, and judgment on the aware rendered by the arbitrator(s) may be entered in any court

having jurisdiction thereof. The arbitration shall be held in New York, New York, in the English language.

Entire Agreement and SeverabilityExcept with respect to the terms of sale applicable to the purchase of the Nokia OZO Professional VR Camera, this Agreement contains the

entire agreement between Participant and Nokia with respect to Participant’s participation in the Program, supersedes all prior agreements,

negotiations and oral understandings, if any, and may not be amended, supplemented, or modified in any way, except by an amendment in

writing and signed by authorized representatives of Nokia. No amendment will be effected by the acknowledgment or acceptance of a pur-

chase order, invoice or other forms stipulating additional or different terms. If any of the terms and conditions of this Agreement are held to

be invalid or unenforceable under any applicable statute or rule of law, such term or terms shall be deemed omitted and the remaining provi-

sions of the Agreement shall remain in force and unchanged.

Non-WaiverNokia shall not be deemed, by any act or omission, to have waived any of its rights or remedies hereunder unless such waiver is in writing and

signed by Nokia, and then only to the extent specifically set forth in such writing. A waiver with reference to one event will not be construed

as continuing or as a bar to or waiver of any other right or remedy, or as to a subsequent event.

No ChangesThe terms of Nokia’s offer under this Program are offered “as-is” and may not be modified or amended by any dealer of the Nokia OZO VR

Professional camera or any other third party.
