1. Introduction

i. Staatsolie Maatschappij Suriname N.V. (“Staatsolie”) is the National Oil Company in

Suriname responsible for negotiating and signing petroleum contracts on behalf of

the Government.

ii. Suriname is seeking to attract companies that have a demonstrated ability to

explore, develop and produce petroleum in a safe and environmentally responsible

manner.

iii. Staatsolie therefore invites oil and gas companies (“O&GCs”)to submit proposals for

areas, onshore and offshore, they are interested in exploring. Annex 1 includes the

lease map.

iv. Several data packages are available as per Annex 2.

v. Submission of proposals for areas does not result in any commitment, right or duty

to the O&GC.

vi. Every O&GC should go through the qualification (detailed in section 6) process

before the proposal is taken into consideration.

vii. Staatsolie will post on its website www.staatsolie.com/pio that it received a proposal

but will keep the identity of the O&GC that submitted a proposal confidential.

viii. For ninety (90) calendar days other O&GCs will have the opportunity to be aware of

the proposal and submit another proposal for the same acreage.

ix. If after ninety (90) calendar days Staatsolie has not received another proposal for the

acreage, Staatsolie will start negotiations with the O&GC that submitted the

proposal.

x. If within the ninety (90) calendar days Staatsolie receives a another proposal it will

select the best proposal based on the submitted work program.

2. Expression of interest in Blocks and/or Areas

All proposals to be considered and analyzed by Staatsolie should contain the:

i. Registration Form For Proposals, fully completed and signed;

ii. Technical Sheet; and

iii. A Map (shape file) and the coordinates of the proposed block/area on the WGS84

spheroid.

4. Technical Sheet

i. A detailed geological evaluation of the selected block/area of the proposal. Please list all

data and information used for the evaluation.

ii. Proposed work program of the block/area; please specify in detail the proposed exploration

phases.

Offshore Suriname is divided into a 5*5 minute grid and all PSC blocks are based on this grid.

5.2 Onshore Suriname

The open blocks onshore Suriname are the Nickerie Block, the Coronie Block, and the

Commewijne Block.


6. Qualification Criteria

All O&GCs wishing to be considered for the acreage must be qualified in their own right. The

process of qualification is the evaluation by Staatsolie of their HSE track record, the

technical, financial and management capabilities of each company or group of companies

expressing interest in acreage.

Companies wishing to qualify must submit, as a minimum the documentation and

information described below in 6.1, 6.2, 6.3 and 6.4:

6.1 Information Relating to Technical Capacity

Areas in the world where current exploration and production activities are conducted (as

operator or non-operator), current production and investment (exploration and production)

levels.

6.2 Information Relating to Financial Capacity

A. Audited consolidated financial statements for the applicant company with notes of

the last three (3) years, including:

i) Balance Sheet

ii) Income Statement

iii) Cash Flow Statement

iv) Nature of capitalization

B. Any additional information supporting the financial capacity of the applicant that the

O&GC wishes Staatsolie to take into account.

6.3 Legal and Administrative Requirements

A. The name, title, address, telephone and fax number of the person who shall be the

single point contact in the applicant company to whom all correspondence should be sent.

B. A copy of the Articles of Incorporation and By-Laws of the applicant company

6.4 HSE Requirements

i) Health Safety and Environment (HSE) policy statements

ii) Evidence of established and implemented HSE Management system(s)

iii) HSE certificates according to best industry practice e.g. ISO certification

iv) Corporate Social Responsibility reports

v) HSE records over the last three ( 3) years, including spills, site fatalities and injuries,

major fires and explosions, emission and waste and main remedial efforts

The decision whether to qualify an applicant will be made by Staatsolie in its sole judgment

and discretion. However, Staatsolie may reject any application without giving reasons for so

doing.


Qualified companies will be free to form consortia. The only restrictions that will apply are:

i) Each consortium must name the Operator that has an interest of at least a 30% and

ii) The minimum interest that may be held by an applicant in a consortium is 10%.

O&GCs wishing to qualify can submit their application using the contact details of section 7.

Staatsolie will notify the O&GC of if they qualify for the acreage they are interested in.
