WHEELER PEDIATRIC DENTISTRYWIN WHEELERS WHEELS SWEEPSTAKES

OFFICIAL RULES

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN.A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. ENTRY PERIOD: The Win Wheelers Wheels Sweepstakes (the Sweepstakes), sponsored by Wheeler Pediatric Dentistry(Sponsor), begins on January 1, 2013 and ends on December 31, 2013 (the Entry Period).

2. ELIGIBILITY: This Sweepstakes is open to legal residents of the State of Texas who reside within 25 miles of zip code 77382(the Eligibility Area) and who are 18 years of age or older at the date of entry. Employees, officers, directors and agents (and theirimmediate families and household members regardless of where they live, or members of the same households [whether related ornot]) of Wheeler Pediatric Dentistry, its affiliates, agents, and advertising/promotion agencies (collectively Sweepstakes Entities)are not eligible to participate in the Sweepstakes or to win any prize. Further, current or former clients of Wheeler PediatricDentistry whose accounts have been referred to a collection agency are not eligible to enter or win. Sponsorsdeterminations of eligibility and are final and may be made at any time. VOID OUTSIDE OF THE ELIGIBILITY AREA AND WHEREPROHIBITED OR RESTRICTED BY LAW. All federal, state and local laws and regulations apply.

3. TO ENTER: Official Entry Forms will be made available in participating Wheeler Pediatric Dentistry locations during the EntryPeriod. To enter, visit a participating Wheeler Pediatric Dentistry location during regular business hours during the Entry Period,obtain an Official Entry Form from the office staff, hand print the requested information on the Official Entry Form, and deposit theform in the designated entry location prior to that locations closing time on December 31, 2013. Requested information mayinclude, among other things, entrants name, age, address, phone number, e-mail address (optional) and related registrationinformation.

Limit one (1) entry per person, per office visit. Only original Official Entry Forms will be accepted. Entries will bedisqualified if they are late, incomplete, and/or in excess of the stated entry limits. All entries become property of Sponsor and willnot be acknowledged or returned. If Sponsor or independent judging agency, in its sole discretion, determines that any entrant hasattempted to subvert or abuse the entry process, all entries from that entrant will be void and future entry attempts by the entrant atissue may be blocked.

4. RANDOM DRAWING/ODDS: On or about January 7, 2014, an independent judging organization will select the winner in arandom drawing from among all eligible entries received. Odds of winning depend on the number of eligible entries received.

5. GRAND PRIZE: One (1) Grand Prize will be awarded: a 1957 Porsche Speedster replica automobile, approximate retail value

$16,500.00 (the Vehicle). For the avoidance of doubt, the Vehicle is an aftermarket conversion of a vintage air-cooledVolkswagen and has a manual transmission. Vehicle will be previously titled and as such should be considered "used" when beingtitled by the winner in his/her jurisdiction of residence. Options and current mileage of the Vehicle will be determined by Sponsor inits sole discretion. Vehicle may display Sponsor name and/or logos. The Vehicle will be awarded on an "AS-IS" basis withoutwarranty, guaranty or representation of any kind express or implied by Sponsor (including without limitation any implied warranty ofmerchantability or fitness for a particular purpose, safety, durability, reliability, and/or performance). Grand Prize winner will havethirty (30) days from notice of availability to pick up the Vehicle at a location selected by Sponsor within proximity to winners home,as determined by Sponsor in its sole discretion. Grand Prize winner must present a valid driver's license, evidence of insurance andany other information required by Sponsor in order to pick up the Vehicle. If the winner does not pick up the Vehicle within suchthirty (30) day period or otherwise fails to satisfy the requirements set forth in these Official Rules, the Vehicle will be forfeited andawarded to an alternate winner selected at random from among the remaining eligible entries. Grand Prize winner is solelyresponsible for all federal, state and local taxes, including incremental income taxes; license, title and registration fees; insurance;travel to/from the pick-up location determined by Sponsor; and any other expenses related to acceptance and use of the Vehicle.Vehicle may differ from any vehicle depicted in Sweepstakes advertising and promotional materials. Any prize details not specifiedwill be determined by Sponsor in its sole discretion. Grand Prize is non-transferable, with no cash redemptions, equivalents or

substitutions except in Sponsor's sole and absolute discretion.

6. WINNER NOTIFICATION/VERIFICATION/ADDITIONAL PRIZE RESTRICTIONS: Potential winner will be notified by mail,overnight courier, email and/or phone, at the postal address/email address/phone number provided in the applicable entry. Actualmeans of notification will be determined by Sponsor in its sole discretion. No responsibility is assumed by Sponsor for any incorrectpostal address, email address or phone number provided by a participant, or any change of address, email or phone number ofparticipant after participation. Potential winner will be required to complete a notarized affidavit of eligibility, a liability release, and(where permitted by applicable law) a publicity release, which must be returned (along with any other required documents) withinthe time period specified in potential winners notification letter. For tax reporting purposes, winner will be required to return aproperly completed IRS W-9 form within the time period specified by Sponsor, and winner will receive an IRS Form 1099 issued intheir name for the actual value of prize received. Sponsor makes no representations regarding the tax liability associated with anyprize, and winners are advised to seek counsel regarding any tax liabilities associated with their prize. Any winner or potentialwinner may be disqualified in Sponsors sole discretion, and at any time, if any required documents are not completed and returnedwithin the required time period, or if winner fails to comply with any of the terms of these Official Rules. In the event of

disqualification of a winner, the prize will be awarded to an alternate winner selected from among the remaining eligible entries,pending verification of eligibility.

7. GENERAL: Sweepstakes Entities are not responsible for incomplete, late, lost, misdirected entries or postage-due mail, or forany technical malfunction, human error, lost/delayed data transmission, omission, interruption, deletion, defect, or line failure inconnection with any telephone network, computer equipment, software or any combination thereof. Entries are void if unreadable,inaccurate, incomplete, mutilated, tampered with, forged, mechanically reproduced, irregular in any way, or otherwise not incompliance with these Official Rules. Sweepstakes Entities make no warranties, and hereby disclaim any and all warranties,express or implied, concerning any prize furnished or made available in connection with the Sweepstakes. Although Sponsorattempts to ensure the integrity of the Sweepstakes, Sweepstakes Entities are not responsible for the actions of entrants or otherindividuals in connection with the Sweepstakes, including entrants' or other individuals' attempts to circumvent the Official Rules or

otherwise interfere with the administration, security, fairness, integrity, or proper conduct of the Sweepstakes. In the event of anyconflict between any Sweepstakes details contained in these Official Rules and Sweepstakes details contained in any Sweepstakesadvertising materials, the details of the Sweepstakes as set forth in these Official Rules shall prevail. If, for any reason, theSweepstakes is not capable of running as planned by reason of damage by computer virus, worms, bugs, tampering, unauthorizedintervention, fraud, technical limitations or failures, by reason of any acts of God, terrorist acts, earthquake, war, fire, flood,unusually severe weather, strikes or legal disputes (whether legal or illegal), industry conditions, bankruptcy or liquidation,marketplace demands, applicable law, unforeseen obstacles, or any other causes which, in the sole opinion of Sponsor, couldcorrupt, compromise, undermine, or otherwise affect the administration, security, fairness, integrity, viability, or proper conduct ofthe Sweepstakes, Sponsor reserves the right in its sole and absolute discretion to cancel, terminate, modify, or suspend all or anypart of the Sweepstakes, and to select the winner from among all eligible entries received up to the time of such cancellation,termination, modification, or suspension, as applicable, or to proceed in such a manner as may be deemed fair and equitable bySponsor in its sole discretion. Entry must be made by the entrant and via the means described above in Section 3 only.

8. RIGHTS OF PUBLICITY: By entering this Sweepstakes, unless prohibited by law, the potential winner consents to use of his/hername, voice, photograph and/or likeness for advertising or publicity purposes for this and similar promotions without compensation,and may be required to provide a signed release acknowledging such consent. Moreover, by entering this Sweepstakes, unlessprohibited by law, the potential prize winner agrees to grant to Sponsor, and its licensees, affiliates, and assigns, the right to print,publish, broadcast, and use, worldwide in any media now known or hereafter developed, including without limitation the World WideWeb, at any time or times, the potential prize winners name, likeness (actual or simulated), voice (actual or simulated), andbiographical information as news or information and for advertising and promotional purposes without additional consideration; andfurther without such additional compensation, appear for, or provide biographical information for use in, any prize presentationceremony or other activity which may include filming/audio/video/electronic or other recordings and/or interviews, as may bedetermined from time to time by Sponsor in its sole discretion.

9. CONDUCT: BY ENTERING AND PARTICIPATING IN THIS SWEEPSTAKES, ENTRANTS (A) FULLY ANDUNCONDITIONALLY AGREE TO BE BOUND BY THESE OFFICIAL RULES AND BY ALL DECISIONS OF SPONSOR (WHICHDECISIONS SHALL BE FINAL AND BINDING IN ALL RESPECTS), INCLUDING WITHOUT LIMITATION DECISIONSREGARDING ELIGIBILITY, WINNER AND THE INTERPRETATION OF TERMS USED IN THESE OFFICIAL RULES; (B)REPRESENT AND WARRANT THAT ALL INFORMATION PROVIDED BY ENTRANT IN CONNECTION WITH THE

SWEEPSTAKES IS TRUE, ACCURATE AND COMPLETE; AND (C) AGREE TO COMPLY WITH ALL FEDERAL, STATE ANDLOCAL LAWS AND REGULATIONS. SPONSOR RESERVES THE RIGHT, AT ANY TIME AND AT ITS SOLE DISCRETION, TODISQUALIFY AND/OR DEEM INELIGIBLE TO PARTICIPATE IN THIS SWEEPSTAKES OR ANY FUTURE SWEEPSTAKES OROTHER PROMOTIONS, ANY INDIVIDUAL IT SUSPECTS: (A) TO BE TAMPERING WITH THE ENTRY PROCESS OR THEOPERATION OF THE SWEEPSTAKES; (B) TO BE ACTING IN VIOLATION OF THE OFFICIAL RULES OR SPONSOR'S TERMSOF SERVICE, PRIVACY POLICY OR OTHER TERMS, CONDITIONS OR GUIDELINES; (C) TO BE ACTING IN BAD FAITH OR INA DISRUPTIVE MANNER, OR WITH THE INTENT TO ANNOY, ABUSE, THREATEN OR HARASS ANY OTHER PERSON; (D) TOHAVE FAILED TO AGREE TO THESE OFFICIAL RULES; OR (E) TO BE IN VIOLATION OF THESE OFFICIAL RULES. ANYATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATIONOF THE SWEEPSTAKES IS A VIOLATION OF THESE OFFICIAL RULES AS WELL AS CRIMINAL AND CIVIL LAWS. SHOULDSPONSOR BELIEVE OR BECOME AWARE THAT SUCH AN ATTEMPT HAS BEEN, IS BEING, OR WILL BE MADE, SPONSORRESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY RESPONSIBLE ENTRANT(S) AND OTHERRESPONSIBLE INDIVIDUAL(S) FOR THE ATTEMPTED DAMAGE TO THE FULLEST EXTENT PERMITTED BY LAW,INCLUDING WITHOUT LIMITATION CRIMINAL PROSECUTION.

10. RELEASE AND INDEMNIFICATION: BY ENTERING THE SWEEPSTAKES, ENTRANTS FOREVER AND IRREVOCABLYRELEASE, INDEMNIFY AND HOLD THE SWEEPSTAKES ENTITIES, AND EACH OF THEIR PARENTS/SUBSIDIARIES,OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AGENTS, SHAREHOLDERS, SUCCESSORS AND ASSIGNS(AFOREMENTIONED INDIVIDUALS AND ORGANIZATIONS COLLECTIVELY, RELEASEES) HARMLESS FROM ANDAGAINST ANY AND ALL LOSSES, DAMAGES, RIGHTS, CLAIMS, AND ACTIONS OF ANY KIND ARISING IN WHOLE OR INPART, DIRECTLY OR INDIRECTLY, FROM THE SWEEPSTAKES, ATTENDANCE OR PARTICIPATION IN ANYSWEEPSTAKES-RELATED ACTIVITY, OR RESULTING DIRECTLY OR INDIRECTLY, FROM THE ACCEPTANCE,POSSESSION, USE, OR MISUSE OF ANY PRIZE AWARDED IN CONNECTION WITH THE SWEEPSTAKES, INCLUDINGWITHOUT LIMITATION PERSONAL INJURY, DEATH, AND/OR PROPERTY DAMAGE, AS WELL AS CLAIMS BASED ONPUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY AND THE COLLECTION, USE AND/OR SHARING BYSPONSOR OF PERSONALLY IDENTIFIABLE INFORMATION OF THE ENTRANTS.

11. LIMITATION OF LIABILITY: IN NO EVENT WILL RELEASEES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES ORLOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR

PUNITIVE DAMAGES, ARISING OUT OF ANY PARTICIPATION OR ATTEMPTED PARTICIPATION IN THE SWEEPSTAKES ORRELATED EVENTS, DISCONTINUATION OF ACCESS TO ANY MATERIALS, OR ANY HARM RESULTING FROM THEACCEPTANCE, POSSESSION, USE OR MISUSE OF, OR ATTENDANCE OR PARTICIPATION IN, ANY PRIZE AWARDED INCONNECTION WITH THE SWEEPSTAKES. WITHOUT LIMITING THE FOREGOING, THE SWEEPSTAKES, ALL PRIZES, ANDALL RELATED MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED,INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULARPURPOSE, AND NON-INFRINGEMENT.

12. GOVERNING LAW: Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising outof, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of classaction, and exclusively by the appropriate court located in the State of Texas. All issues and questions concerning the construction,

validity, interpretation and enforceability of these Official Rules, entrants rights and obligations, or the rights and obligations ofSponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State ofTexas, without giving effect to any choice of law or conflict of law rules (whether of the State of Texas or any other jurisdiction),which would cause the application of the laws of any jurisdiction other than the State of Texas.

13. PRIVACY: Information submitted in connection with the Sweepstakes will be treated in accordance with these Official Rules. Ifyou are chosen as a potential winner your entry information will be shared with the appropriate third parties for the purposes ofwinner verification, prize fulfillment, and winner reporting requirements.

14. SEVERABILITY/HEADINGS: If any provision of these Official Rules is found to be unlawful, void, or for any reasonunenforceable, then that provision shall be deemed severable from these Official Rules and shall not affect the validity andenforceability of any remaining provisions. Headings and captions are used in these Official Rules solely for convenience ofreference, and shall not be deemed to affect in any manner the meaning or intent of these Official Rules or any provision hereof.

15. WHO WON?: To receive the name, city and state of the winner, send a self-addressed stamped envelope to: Win WheelersWheels Sweepstakes Winner List, c/o Wheeler Pediatric Dentistry, 6707 Sterling Ridge Drive Suite F, The Woodlands, TX 77382.Winner list may also be requested from office staff at a participating Wheeler Pediatric Dentistry location. Requests must bereceived by February 28, 2014.

16. RULES REQUESTS: A copy of these Official Rules may be requested from off ice staff at a participating Wheeler PediatricDentistry location, no later than February 28, 2014.
