A. OVERVIEW

A Object: Select the most advantageous architectural proposal in accordance with this Competition Brief and its annexes, which will serve as the future design outlining the development of Nou Camp Nou.

B Procedure: Competition comprised of 2 phases. 1st Phase is a pre-qualification phase. 2nd Phase is an invited competition with 6 to 8 participants to develop a design proposal.

B. GENERAL INFORMATION

1. Introduction

This Competition Brief aims to define the rules for the organization of the Nou Camp Nou architectural competition elaborated into 2 discrete phases. This document also serves to regulate the terms and conditions by which the final competition winner will be selected and awarded the position of “General Planner” for the Nou Camp Nou renovation project, including but not limited to the following: drafting of the complete Schematic and Design Development Package (Projecte Bàsic) and the complete Construction Documents Package (Projecte Executiu) for the Nou Camp Nou, as well as the supervision of the construction work and successful testing, commissioning and turnover of the stadium to FCB.

1.1. Background

Futbol Club Barcelona (“FCB”), in September 2012, commissioned a viability study of the possible strategic real estate options for the Club. The study was performed by a multi-disciplinary team comprised of international and local consultants, which analyzed various options in a preliminary phase called VSA (Venues Strategic Analysis). The result of this feasibility study was presented to the FCB Board of Directors (“Junta”) on the 9th of December 2013 and recommended the rehabilitation and reform of the existing stadium, Camp Nou, and the construction of a new Palau Blaugrana as well as the re-organization of the entire FCB site and its relationship with the neighborhood, neighbors, roads and city.

The Board of Directors approved the proposal and on the 5th of April 2014, the FCB Members (Socis) approved the proposal, Nou Espai Barça project, in a referendum with over 72% of the votes in favor of the Project.

In order to meet this mandate established by the Junta and Members (“Socios”), FCB expanded its internal organization in the summer of 2014 established a Espai Barça Team spearheaded by William T. Mannarelli, Director Espai Barça, to focus solely on the development of the Project. As part of this process, FCB retained several international and local consultants from the VSA Phase 1) to develop the Project program further, 2) to conduct an extensive cost plan establishing target budgets for the Project units, 3) to establish Project timelines through an investigation of construction phasing and 4) to develop a robust business plan ensuring FCB’s success for generations to come. In order to facilitate the organization and planning of Espai Barça, the Project was divided thematically into the following 6 units: U.P.1 - Modification of the Metropolitan General Plan (“MPGM”) Les Corts

1.1 Drafting and negotiation of necessary urban planning issues to support the Espai Barça Project at Les Corts 1.2 Conceptual design & geometric definition of infrastructure works surrounding FCB’s primary campus 1.3 Engineering design & construction of infrastructure derived from planning agreed with Barcelona’s City Council:

• Extension and redevelopment of surrounding roads • Reconfiguration of road layout and modification of campus boundaries

U.P.2 - Modification of the Metropolitan General Plan (“MPGM”) Sant Joan Despí + Mini Estadi 2.1 Drafting and negotiation of necessary urban planning issues to support the Espai Barça Project at Sant Joan Despí 2.2 Conceptual design and geometric definition of infrastructure works surrounding FCB’s training facility 2.3 Engineering design and construction of infrastructure derived from planning approved with Sant Joan Despí‘s City Council:

1.2. Current Situation

U.P.1 - Modification of the Metropolitan General Plan (“MPGM”) Les Corts

Concerning U.P.1 MPGM Les Corts, FCB has a technically approved master plan; however, this has not been formally submitted to Barcelona’s City Council for various political reasons. The zoning modifications to accommodate other uses and corresponding compensatory measures need to be approved by Barcelona’s City Council before licenses can be submitted leading to the commencement of construction. As U.P.1 MPGM will NOT be approved by the time of this competition, it can be anticipated that the winning architect of this competition may have to revisit various urban conditions to satisfy Barcelona’s City Council before licenses can be submitted. The planners / consultants leading this effort are as follows:

The work product from the planners / consultants listed above have been organized into chapters under ANNEX 1: MPGM LES CORTS DESIGN BRIEF U.P.2 – Modification of the Metropolitan General Plan (“MPGM”) Sant Joan Despí + Mini Estadi As previously mentioned, during 2014, FCB and its urban planning advisors redacted the MPGM for Sant Joan Despí in order to incorporate and consolidate the recently purchased property called “Tennis El Forn”. The purchase of this site and the eventual approval of the MPGM will permit the construction of the Nou Mini Estadi for the Barça B team on the Tennis El Forn site and the reorganization of the Cuitat Esportiva.

The MPGM received initial approval in January 2015 and provisional approval from the municipality of San Joan Despí in May 2015. Definitive approval by the Generalitat (representing Catalonia) is pending and anticipated to be secured in the third quarter of 2015. The MPGM was drafted and managed with a professional team comprised of PB2 Arquitectes and PricewaterhouseCoopers (“PwC”).

In the short term, FCB will start drafing the Projects for re-parceling and urbanizing the area subject to the MPGM for Ciutat Esportiva de Sant Joan Despí.

Internally FCB is developing the Strategic Plan 2025 for the Ciutat Esportiva Joan Gamper, taking advantage of the MPGM process, to re-organize the Cuitat Esportiva in order to improve the operations and functionality and create state of the art training facilities for the Club. These studies are ongoing and are being advanced by BCA Arquitectura. The preliminary documentation is included in ANNEX 11: PLA ESTRATEGIC 2025

The information related to the MPGM of Sant Joan Despí, as well as the Nou Miniestadi architectural proposal is organized in ANNEX 2: MPGM SANT JOAN DESPÍ DESIGN BRIEF Batlle i Roig Arquitectes was selected in May 2015 as General Planner for the future Nou Miniestadi project, responsible for the design and supervision of the construction works. U.P.3 - Nou Camp Nou (approx.105.000 capacity) Since September 2012, FCB has done extensive work to develop the program for Nou Camp Nou (“NCN”). The current plans call for the complete renovation of Europe’s largest stadium with an estimated investment of €360 Million including ALL related soft costs and contingencies. At the heart of this development is FCB’s business plan, which is informed and regulated by Camp Nou’s seating bowl and the business opportunities that the NCN seating bowl affords. Per the NCN seating bowl, all 85k season ticket holders will have optimized seating conditions (sightlines & limited overhangs) and FCB will be able to improve its VIP offering from 2% to almost 5% to ensure the Project’s sustainability. Documenting the above, FCB has retained the professional services of the following planners / consultants to develop NCN’s program to support the NCN bowl design and FCB’s operations. - MILLET, BIOSCA I ASSOCIATS SLP (“MB&A): Architect - PRISMA Topography: Surveyor - BOSCH & VENTAYOL: Geotechnical Surveyor - Solumetrics: Scanning As-Built 3D - Eloi Coloma & EYPM & Engiproject: BIM Management - Xpresa: Geoscan - BAC: Structural Engineer (existing structure + new concept ideas) - SBP: Roof Specialist - ELIN: Electrical Engineer - GesConRed: Gas & Water Engineer

U.P.4 - Nou Palau Blaugrana (approx. 10.000 sports seating capacity / 12.500 end stage standing capacity) In order for FCB to be compliant with EUROLEAGUE regulations (minimum 10k basketball capacity), a modern Nou Palau Blaugrana (“NPB”) has been included in the Espai Barça Project. The current plans for the NPB call for an estimated investment of €90 Million including ALL related soft costs and contingencies. While the NPB has been conceived to accommodate all of FCB’s sporting activities, it has also been conceived as a multi-purpose Palau with the possibility of hosting small to medium size live events. Documenting the above, FCB has retained the professional services of the following planners / consultants to develop NPB’s program while including FCB’s operational requirements. - MILLET, BIOSCA I ASSOCIATS SLP (“MB&A): Architect - PRISMA Topography: Surveyor - G3 GEOTECNIA: Geotechnical Surveyor - ELIN: Electrical Engineer - GesConRed: Gas & Water Engineer - Centerplate: Food & Beverage Consultant - RLB & PROJECTS & Facilities Management (“PFM”): Quantity Surveying - PROJECTS & Facilities Management (“PFM): Global Schedule

The work product from the planners / consultants listed above have been organized into chapters under ANNEX 4: NOU PALAU BLAUGRANA DESIGN BRIEF U.P.5 - Espai Barça Campus + Underground Parking (approx. 3,5k capacity) Of considerable importance to this Project is the Espai Barça Campus primarily located between the 2 anchor tenants NCN and NPB. The proposal calls for the elimination of perimeter fencing and the establishment of a public space or plaza that can be enjoyed by visitors on match and non-match days alike. To accommodate the public plaza, a series of underground parking facilities have been conceived for the Tribuna side (west) and Lateral side (east) of Nou Camp Nou.

1.3. FCB Project Management

Sr. William T.Mannarelli, Director Espai Barça, is responsible for the direction and management of the Espai Barça project.

At the time of awarding the architectural contract, subject of this competition, FCB will nominate a Project Management team (internal or external) in order to develop and assist in the management of this Project. This team will act as the client representative for FCB managing the day to day activities with other professionals and companies in relation to this Project.

2. Object of the Competition

This Competition Brief aims to define the rules for the organization of the Nou Camp Nou architectural competition elaborated into 2 discrete phases. This document also serves to regulate the terms and conditions by which the final competition winner will be selected and awarded the position of “General Planner” for the Nou Camp Nou renovation project, including but not limited to the following: drafting of the complete Schematic and Design Development Package (Projecte Bàsic) and Construction Documents Package (Projecte Executiu) for the Nou Camp Nou, as well as the Supervision of the construction work and successful testing, commissioning and turnover of the stadium to FCB.

In addition, the design team will also develop and submit the Technical Environmental License study (Projecte Tècnic de Llicència Ambiental), Health and Safety Report (l’Estudi de Seguretat i Salut) and the Energy Certification (Certificació Energètica) for the Project.

Upon finalization of the construction, the General Planner team will be responsible for the closeout of the construction works (liquidació de l’obra), generate as-built documentation, Technical Specifications Document (Document d’Especificacions Tècniques (DET)) and the Building Energy Certification (Certificació Energètica de l’Edifici), and all other documentation required for completing the Llibre de l’Edifici documenting project participants, as-built information, maintenance manuals, warranties, etc. per Spanish regulations.

The Project graphically, operationally and functionally must be developed across all disciplines subject BIM (Building Information Modeling) methodology and requirements.

3. “General Planner” Definition

The “General Planner”: is the Project head during the preliminary design stages through the construction management stage of the Project and is responsible for coordinating ALL of the different parties involved in ALL phases of the Project, in order to ensure the successful conclusion of the Project. The “General Planner” may be an individual, a company or more than one individuals or companies (structured as joint venture) to assume the responsibility of the Project. If the team is structured as a joint venture for the purposes of this Project, it is not required that the joint venture is legally formalized and registered until the contract has been awarded in their favor. The teams structured as joint ventures will be jointly obligated to FCB and all official bodies concerned in the Project, and will appoint a single representative or agent with powers to exercise its rights and fulfill the obligations arising out of the contract until the termination thereof. 4. Competition Description

This architectural competition is structured into two discrete phases. Phase 1 is open and will not be compensated. Those participants selected to participate in the 2nd Phase will be compensated and the winner of the 2nd Phase will be awarded the contract as described and subject to the conditions identified in this brief. The competition winner will be contracted to carry out the drafting and management of the works, under the conditions stipulated in the architectural services contract (a draft contract that will be provided in technical documentation in the 2nd Phase). It is mandatory that the finalist of the 2nd Phase review and submit their comments on the contract. The 1st Phase is open to all architects and architectural companies (national or international) legally authorized to practice architecture, current on all financial obligations including registration fees and whose participation in this competition does not pose a conflict of interest. In order to be a candidate for selection by the Jury to participate in the 2nd Phase, the team must comply with the criteria established in Clause 15 of this Competition Brief. Given that the competition is aimed at the selection of design ideas that will later be developed into a construction project, it is required that at least one member of the General Planner is legally authorized to practice in Spain. The Jury will select between 6 to 8 finalists to participate in the 2nd Phase of the competition. Participants may present individually or as a team (in the form of a joint venture). Each team will be responsible for defining the primary contact or representative to interface with FCB. Each participant may only participate once or as a part of one team. Each team may submit only one project proposal. NOTE: FCB is conducting two parallel architecture competitions, one for the Nou Camp Nou and one for the Nou Palau Blaugrana, as such; it is not possible for the Responsible Party to be a finalist in both competitions, as explained in Clause 22.

5. Conflicts

Notwithstanding possible legal and professional conflicts previously established in this document, professionals may not participate in this competition if any of the following applies:

- Participants are also members of the Jury and / or the Technical Committee - Participants with a direct familiar relationship with members of the Jury and / or the Technical Committee

collaboration today - FCB employees

If any of the above Clauses apply, the participant will be immediately excluded from the process. 6. Project Objectives

The Nou Camp Nou should be designed to ensure a capacity of 105,000 spectators and comply with the requirements defined by the FCB program, estimated budget and timetable established, as well as the comfort and technical specifications as required by UEFA and FIFA for official competitions. The objective of this architectural competition is to identify the future architect for the Nou Camp Nou. By hosting an international competition, FCB intends on exposing FCB’s brand to the creativity of the architectural community in an effort to develop iconic venues that match FCB’s excellence on and off the pitch. FCB’s future stadium should serve as exemplary projects for FCB, Barcelona and Catalonia striking a balance between aesthetics and sustainability – economically and environmentally.

A successful design should address the following:

• Social: Improve the stadium’s services, accessibility and comfort for the Members • Ambiance: Europe’s largest stadium with an excellent atmosphere for capturing and celebrating football • Tradition: Maintain FCB’s identity and history. FCB is “more than a club” • Sustainable: Financially and environmentally • Smart: Modern, state of the art, cutting edge • Integration: With the Espai Barça Campus and Les Corts neighborhood as proposed by the MPGM plan

7. Design competition scope of work

As indicated previously, the future contract contemplates the following: drafting of Schematic and Design Development (Projecte Bàsic) and Construction Documents (Projecte Executiu) for the Nou Camp Nou, as well as the supervision of the construction work.

In particular for the 2nd Phase of the competition, the participants will be requested to develop an architectural proposal, which includes the following concepts:

- Roof for Nou Camp Nou, taking into account impact on spectator comfort and experience, technical installations and pitch

- Nou Camp Nou façade - Vertical circulation inside the stadium (including all necessary elements such as stairs, ramps, escalators,

elevators, freight elevators, etc.) - Ameba / Platform around the exterior of Nou Camp Nou, which must be viable from an access and

evacuation standpoint. - Architectural solution for the future FCB Museum (location in relation to the Nike Store, integration with

regard to other architectural elements like the façade, ameba, etc...). - Integration of the proposed solution with the conceptual proposal of the exterior urbanization and

landscaping around the stadium and city. - Architectural solution for the underground parking within Nou Camp Nou footprint. - Enhanced sightlines and services (food and beverage offering, bathrooms, WiFi, wayfinding, handicap

positions and services, etc.) for all Members - Attractive programmatic solutions for Tier 3 Tribuna - Architectural solutions within the parameters of the program, which add value to the Business Plan on

match and non-match days (for example, publicity, sponsorship and partnership activation, improvements to VIP areas and Pitch Club, etc.)

- Demonstrate through overlays how Nou Camp Nou could host a UEFA Champions League Final match

The finalists from the 1st Phase that are invited to participate in the 2nd Phase will be informed as to the exact documentation required for their proposal submission. In summary, the following minimum documentation will be required:

- Plans, sections and elevations depicting architectural concept - Exterior and interior renderings (the exact position from which images should be rendered will be provided

at a later time) - Exterior renderings depicting Champions League Final overlay with supporting documentation - Model of Nou Camp Nou including the surrounding campus (scale to be determined) - Exterior renderings depicting architectural concept – horizontal circulation, facade, vertical circulation and

roof

- Animation demonstrating construction sequencing for Nou Camp Nou - Any other audiovisual that the participant considers interesting such as animations / fly through video(s)

8. Documentation provided to participants in both rounds of the competition

8.1. Documentation provided during the 1st round

During the 1st Phase, the participants may request graphic information regarding the Project (longitudinal section and internal and exterior renderings) at the following email address: [email protected]

During the 1st Phase, the teams may visit the Camp Nou and the Les Corts site with the Espai Barça team depending upon availability.

8.2. Documentation provided during the 2nd Phase

During the 2nd Phase, FCB will provide all the technical documentation elaborated as per section C (Annexes).

FCB will periodically arrange workshops and technical visits as necessary for the finalist teams participating in the 2nd Phase. FCB commits to sending all information arising in such meetings and visits to all participants. This will also be done for any other questions or queries raised by any participant. The generic answers will be sent to all participants to ensure that all finalists are working with the same information.

9. Jury and Technical Commission Composition

9.1. Jury

The Jury will be constituted with 9 members as follows:

- FCB will maintain 5 members o 4 members from the future elected FCB Board of Directors o 1 member- an architect chosen by FCB with experience and knowledge of sports facilities

- COAC will maintain 3 members o 1 member- COAC (Col·legi Oficial d’Arquitectes de Catalunya) Dean o 2 members- Architects chosen by the COAC with experience and knowledge of sports facilities.

- Barcelona Municipality will constitute one member

The Jury is responsible for selecting the finalist list to participate in the 2nd Phase of the competition as well as the final competition winner.

The President of the Jury will be an FCB appointed member.

The Jury is considered to have a quorum when 5 members are present. Decisions will be based on a simple majority. If there is a tie, the President will cast the deciding vote.

In the case that one of the Jury members is unable to participate due to force majeure, he or she may designate a replacement member who must comply with previous defined requirements.

9.2. Technical Commission

The Technical Commission is comprised of 9 members according to the following structure:

- FCB - 7 members from the technical team that have participated in the Development of the Espai Barça project during the past 2 years.

- COAC – 2 architects with experience in prestigious and large projects and/or sports facilities.

The Technical Commission is responsible for recommending to the Jury the finalists to participate in the 2nd Phase based on the criteria defined in Clause 15.1. The Technical Commission is also responsible for performing a technical review of the architecture proposals submitted at the end of the 2nd Phase and recommending a possible winner to the Jury based on the selection criteria detailed in Clause 15.2.

10. Documentation Required (1st Phase)

Participants in this architectural competition are required to submit two envelopes (envelopes A and B) with all the required documentation, as defined in this section. If the documentation submitted is incomplete, FCB reserves the right to exclude the participant from the competition.

The envelopes must be sealed and identified on the outside in the following manner: SOBRE A o B “Documentació 1a Volta – Concurs UP3 - NCN Espai Barça”, Participant or Project Responsible Name, followed by the participant company details including name, address, telephone, email and signed by the individual or designated representative.

Two copies of all the required documentation must be submitted in each of the relevant envelope as well as digital copies of all documents in pdf and native format to FCB, Av. Arístides Maillol s/n, 08028 Barcelona, to the attention of William T. Mannarelli.

The participants must deliver the documentation before 14:00 CET on Monday, the 6th of July de 2015. The participants may not submit more than one proposal or participate on more than one presenting team or joint venture. Violation of this will be cause for automatic exclusion from the competition.

Documentation presented after the defined deadline will not be accepted.

The information and documentation submitted by each of the participating parties is detailed below (the Documentation). The official language of the Competition and documentation is Catalan. In the event of any discrepancies between the Catalan and the English text, the Catalan text shall prevail. 10.1. Envelope A – Basis for participation and documentation

10.1.1. Documentation to confirm capacity participate

- If the participant is a legal entity, articles of incorporation or registration in the commercial register. - If the participant is an individual, NIF, and if appropriate the commercial name. - If the person signing the application represents a company or an individual person, original or certified

copy of the deed certifying the representation. - If several participants jointly submit a bid, each participant must present the corresponding documentation

regarding its legal capacity as defined in the proceeding 3 points. If the team is structured as a joint venture, the designated representative must provide required documentation.

10.1.2. Documentation regarding financial solvency

- Justification of economic and financial solvency: please provide the following documentation: o Report from a financial institution or, if applicable, proof of the existence of professional liability

Insurance, specifying the amount. o In the case of companies, presentation of balance sheets or extracts of balance sheets if such

publication is mandatory in their jurisdiction. o Financial statements regarding turnover and the work performed during the past three years. This

includes income statements and annual accounts for the years 2012, 2013 and 2014. The statements may be made on a consolidated basis in the case of teams comprised of more than one participant or company.

o Financial statements (income or balance sheets) for individuals will only be required for submission for finalists participating in the 2nd Phase of the competition.

10.1.3. Documentation regarding technical solvency

- Proof of General Planner’s technical solvency, justified with the following documentation: o Academic and professional qualifications of the company’s management personnel and in

particular staff responsible for the execution of the contract o List of maximum 20 principal projects performed during the past seven years, identifying the

value, dates and whether it was a public or private investment. (Experience with sports facilities with a minimum capacity of 30.000 seats in both the design phase and supervision of

construction works is required for participation. Also, experience with major refurbishments while maintaining daily operations of projects with a PEM in excess of €60M will be valued).

o A team will be considered to comply with technical solvency requirements if its joint experience includes at least one football stadium with the identified characteristics.

o List and description of reference projects (sports or multi-purpose arenas, stadiums or complex structural engineering projects comparable with the Nou Camp Nou project), including information regarding the Project size, the initial budget and the final invoiced cost, as well as information regarding the time spent drafting and executing the Project, along with an explanation for variations in the total price deviating from the original contracted price, as well as the name of the general contractor and consultants involved in the Project. (Up to 20 projects and a maximum of 60 pages DINA 4 one sided).

o Declaration stating the average annual staff and managerial staff over the past three years. Provide a detailed list of all the team members, who would be dedicated to the Nou Camp Nou project, including the Principal Manager, Responsible for the Construction Project (Projecte Executiu), Chief Designer, Project Manager, Team Studio Members and attach a contractual commitment regarding the participation of the proposed team for the duration of the Project.

- The responsible manager for the Project must present their academic credentials and registration in the relevant professional association that supports their capacity to execute the contract.

10.2. Envelope B – Documentation supporting invitation to participate in the 2nd Phase

10.2.1. Resource proposal: Design Team and Construction Supervision

The competing teams that participate in the tender will have legal personality (by their own) and provide evidence that they have a multidisciplinary team adequate and competent for the preparation of the referred technical documentation.

The Project manager will be the maximum responsible for the entire team necessary for drafting the Project and the corresponding supervision of the construction works. The Project manager will also be responsible for coordinating the various teams and consultants participating in the Project to ensure the successful management and completion of the Project.

The proposal must include a multi-disciplinary team that covers all of the necessary technical requirements for the Project and include consultants or the successful development of the Project.

As a minimum, the multi-disciplinary team should include:

- Architect, responsible for the entire technical project, and the Health & Safety Report, with professional experience of no less than 15 years (General Planner).

- Structural Technician, with professional experience of no less than 15 years. - Facilities Technician, with professional experience of no less than 15 years.

- Competent technical planner for the environmental licenses and responsible for the corresponding legalizations, with professional experience of no less than 15 years.

- Architect or competent technician to execute the construction management of the Project, with professional experience of no less than 15 years.

- BIM Manager, with professional experience of no less than 15 years. In this case, able to demonstrate that has managed BIM projects in the last 3 years.

- Quantity Surveyor, to be able to develop the cost management of the Project, with a minimum experience of 10 years in similar projects or projects of a large scale.

The proposal should include all necessary consultants (structural engineer, mechanical engineer, electrical engineer, plumbing engineer, life safety expert, acoustics expert, façade expert, security expert, landscape architect, environmental expert, BIM manager, quantity surveyor, mobility expert, etc.) that the General Planner deems necessary for the correct and successful development of the Project and construction works. The magnitude of the Project is international with international requirements; although it has a significant local element given that the Project must comply with national and local legal requirements and regulations as well as respect Barcelona architecture. The proposed teams must be able to resolve this duality of requirements and guarantee compliance with international requirements, such as UEFA recommendations, as well as local laws and regulations. The team must submit detailed information regarding the General Planner as well as their curriculum vitaes (each curriculum vitae may not exceed 7 pages). Professional teams with direct experience with sports facilities, in particular football stadiums, will be valued more advantageously.

10.2.2. Proposed organization chart for each project phase

All proposals must include the proposed organization chart for all phases of the Project, including the design phase and the supervision of the construction phase, indicating whether the positions are full-time or part-time (in the case of part-time position, indicate the percentage time dedicated).

It is also recommended that the team member’s location is indicated in each phase of the Project.

It is recommended to submit a minimum of two separate organizational charts for the design phase and the construction supervision phase.

10.2.3. Sub-contracted Consultants (Proposed team)

In case the firm has consultants collaborating in the development of the Project on a technical level (i.e.: structures, facilities, mobility, sustainability, QS etc.) it is necessary to provide the main portfolio and CVs

of the companies and people that will participate in the Project (up to a maximum of 20 projects and up to 40 pages DINA 4 one sided, and a maximum of 7 pages DINA 4 one sided per CV).

FCB reserves the right to ban or replace any consultant proposed, if it does not comply with FCB’s requirements or it does not have the necessary experience to accomplish the Project.

During the preliminary works for the Project of the Nou Camp Nou, FCB has collaborated with various consultants to elaborate a technical review that will be presented in the annexes of the Competition Brief (in the 2nd Phase).

Specifically, there are two consulting companies that FCB wants to integrate in the future team and the construction managers of the Project, leading their consulting services, given that they have a very high previous knowledge of the Project, and they are considered to be technically capable of executing the works. The consultants that FCB wants to integrate in the future winning team are:

- BAC, structural engineering company - SBP, Schlaich Bergermann und partners, structural engineering firm specialized in roofs for

football stadiums

These two teams will remain neutral during the competition and will provide support to the Technical Commission during the reviewing process of the proposals presented by the participants in the competition. These consultants will participate in the workshops and will answer the questions submitted during the competition.

In both cases, the participating teams will be able to participate with specialized consultants in the same fields and/or services as the ones provided by these companies. In the case of BAC, if the consultant integrated into the proposed team is technically capable to execute the Project, they will be able to participate with up to 35% of the specific services provided by the companies, with BAC acting as the leader of this specific technical service. In the case of SBP, FCB will request that it leads 100% of the consulting services for the roof.

FCB does not require consultants to work exclusively with one team. Consultants may participate on various projects during the Competition phases.

10.2.4. Advance submission of a schematic expression explaining team’s motivation to participate in the competition

In an A3 format, the team is requested to submit a conceptual design idea for the Nou Camp Nou presented by the General Planner. This is only an initial concept expressed graphically or schematically that expresses the team’s vision and motivation for participating in the competition. This is NOT a final solution as the final proposals will be submitted only in the 2nd Phase.

This conceptual idea is to demonstrate the inspiration for the team’s participation in the competition.

10.2.5. Signed copy of this Competition Brief

The team must submit a copy of this Competition Brief signed by the General Planner, indicating name, and title. By signing this Competition Brief, the team confirms their acceptance of all its terms and conditions.

11. Documentation required (2nd Phase)

The final documentation required of the participants in the 2nd Phase will be communicated to the finalist teams selected, although as mentioned previously in Clause 5, the proposals will have to resolve the scope described.

The finalists will also be requested to present their proposals to the Technical Committee and Jury if required.

12. Project cost objectives – Professional fees

12.1. Project cost

FCB has performed a detailed estimation of the Nou Camp Nou project cost, a total investment estimated at €360 Million including ALL related soft costs and contingencies.

12.2. Competition compensation

Each of the participants selected to participate in the 2nd Phase to develop a proposal, will be entitled to compensation totaling 90.000€ (excluding IVA), independent of the final competition winner/results. The appropriate withholding tax may apply to quantity specified. Payment will be made upon presentation of an invoice, by bank transfer within 60 calendar days of the final proposal delivery date. Payment terms are subject to FCB’s standard terms and conditions.

13. Competition schedule

FCB has established the following calendar for the two rounds of the competition:

- 1st Phase: Pre-qualification o Start 5 June 2015 o Date to turn in documentation 1st Phase: 6 July 2015 before 14:00 (CET) o Review of the documentation submitted by the participants. Technical Commission

submits recommendation to the Jury: July 2015 o Jury selects finalists to participate in the 2nd Phase: August 2015

o The teams selected for the 2nd Phase will have 3 months to prepare their architectural proposals

o The finalist teams will present they proposals to the Technical Commission and/or the Jury, if requested, during November / December 2015

o The Technical Commission will review the proposals and submit their analysis/report recommending a winner to the Jury during November / December 2015

o The winner of the competition will be selected by the Jury: December 2015 / January 2016

FCB reserves the right to modify this calendar. A modification of the calendar will not entitle any team to claim damages.

14. Responses to participant queries

Each participant has the right to request information regarding the Competition Brief and complementary documentation up to 10 days prior to the final proposal delivery date. At the end of each work week, the questions and corresponding responses will be shared with all participants. All questions and queries must be submitted to FCB at the following email address: [email protected] 15. Qualification criteria for each round

15.1. Finalist selection criteria- 1st round

The following criteria will be applied in evaluating participants for selection in the 1st Phase (total 100 points)

The final criteria to evaluate the submitted proposals in the 2nd Phase will be established in the technical Competition Brief provided to finalists participating in the 2nd Phase.

The following valuation criteria are informative only and subject to change (total 100 points).

Technical and Financial Valuation Criteria:

a. Contextualization of the proposal in relation to the Espai Barça Campus. Architectural integration in the neighborhood and city. (Up to 10 points).

b. Coherence of the architectural solution, complies with the program, schedule and budget proposed by FCB (up to 50 points), in relation to:

• Overall architectural concept that meets FCB’s objectives including the solution for roof, façade, vertical circulation, the amoeba/platform, museum, Nike Store and underground parking.

• The suitability of the proposal to accommodate the planned activities, improving the quality of the Members/fan experience - services and comfort, as well as the proposal’s environmental and economic sustainability.

c. Development of the Project schedule detailing the design phase and the construction phase and required licensing in MS Project, providing constructive solutions to reduce the term as well as providing the construction phasing in an animated format. (up to 10 points).

d. Quality cost estimation based on the provided template, including constructive, value engineering solutions to reduce project costs. (up to 15 points).

e. Fee proposal related to the services described in the Competition Brief, evaluated based on a formula that will be defined in the 2nd Phase technical Competition Brief (up to 10 points)

f. Revision and comments made to the draft legal contract - General Planners Contract. (up to 5 points).

FCB will award the competition to the team who most advantageously meets the conditions and criteria defined. It is in FCB’s power to declare the competition void if there is no proposal that is deemed acceptable.

Revision of the draft contract by the participating teams is obligatory as it is necessary for FCB to understand the comments and contractual conditions required by each team. FCB has the right to exclude a team from the competition if they do not review the draft contract.

In the case that the documentation presented by the participants does not comply with the criteria established in the technical Competition Brief, FCB may consider this as motive to disqualify a participant team.

FCB reserves the right to use the proposals and presentations submitted by the participants for communication purposes with respect to the Espai Barça or any other FCB project.

After an extensive review of all the submitted proposals, including a technical review performed by the Technical Commission, the Technical Commission will inform the Jury of their review conclusions. The Jury will nominate the competition winner and will communicate their verdict to the 2nd Phase participants.

The candidates understand and accept that the Jury and FCB reserve the right to reject any and all proposals submitted under this competition and are under no obligation to award a winner if so required. 17. General Planner services legal contract

When the results of the competition are made public, FCB will require the winner to proceed with the formalization of the General Planners Services Contract.

In a period of 30 working days starting from the day of the notification of the adjudication, both parties will have to formalize the contract, in accordance with the draft contract presented by FCB and the modifications accepted by FCB, proposed by the winner when the documentation is submitted. Clauses unmarked will be deemed binding. Simultaneously, the winner will have to present a document proving it has constituted the corresponding bank guarantee established in the terms and conditions. The refusal of the winning company to sign the Contract in the period of time and conditions established could be considered, under FCB’s criteria, as a sufficient cause to disqualify the winner and award the second placeholder.

However, once the winner has been chosen, the results publicly announced, and fees paid to the participants, FCB reserves the right not to proceed with the Contract referred to in this Competition Brief, in which case FCB will compensate the winning company with 90.000€. In this case, FCB will not be able to contract a third party for the services related to the Project presented by the winning company.

Given the nature of the contract, the expected timelines for each phase of the planning works or the Project finalization and the beginning of the construction works may not be consecutive. This does not imply an increase of the fees owed or any additional costs for FCB.

Also, and to be delivered no later than at the time of the signing of the Contract, the competition winner must submit the following documents, as well as any other documents as defined in the Contract:

a) Certificate of Income Tax, specifically the part corresponding to the object of the Contract, and the last filling, provided that the activities during the period were subject to this tax.

b) Certificate of compliance with all tax obligations issued by the tax authorities for the purposes of Article 43 of Law 58/2003 of 17 December, General Tax.

c) Certificate issued by the competent authority, of being aware in fulfilling all Social Security obligations. d) Certificate issued by the Government of Catalonia certifying the absence of tax debts with that

administration, if applicable. e) Definitive guarantee f) Professional liability policy g) Letters of commitment from the collaborating specialists, had it not been previously submitted, in

accordance with the requirements listed h) Other documents proving ability to contract or the effective arrangement of means that were agreed to

dedicate or assign to the execution of the contract that the contracting authority claims.

The selected winner will collaborate with other professionals hired / appointed to develop the Project and the works: Execution of Work, Health and Safety Coordination, Project Management, etc. as well as specialized professionals from the different departments of FCB or whoever is contracted by this entity.

18. Data Protection

In compliance with the provisions of Article 5 of the Llei Orgànica 15/1999 of December 13th, Protection of Personal Data, which regulates the right of information in the collection of personal data, it is specified the following:

i) The documentation required to apply for this competition contains personal data, which is required for participation.

j) In relation to the documentation submitted by the participants, which contains individual personal data (employees, technical staff, partners, etc.), the participant guarantees that it has previously obtained the consent of the persons concerned/affected to facilitate the aforementioned information to FCB in order to apply in this competition.

k) The documentation submitted by the participants which contains personal data will only be handled by FCB for the qualifying, evaluating and comparing of the participants’ proposals and to comply with the terms and conditions established in this Competition Brief. The only recipient of this information will be FCB, as well as the third parties who perform oversight of the Project or third parties who, in the execution of the Contract must necessarily have access to it.

l) The presentation of the requested documentation implies that the tenderer authorizes FCB to process this documentation and information under the terms specified and, in case of winning the competition, in the framework of the Contract execution.

m) The interested / affected parties may exercise their rights of access, rectification, cancellation and opposition by writing to FCB, as the responsible entity of the treatment, attaching a copy of the ID Card or other official document proving the identity of the person exercising the right.

19. Intellectual Property Rights

All works submitted in this competition will remain the intellectual property of FCB. In general, the participants of this competition concede to FCB the exploitation rights corresponding to the object of the publishing the process and results of this competition, as well as the publishing, editing and exhibition of the works submitted. The winning company will transfer all rights to FCB, and may not make any use or disclosure of results and documents generated, either during the competition phase or in the contract execution, and whether in whole or in part, direct or in extracts, without the express permission of FCB. The intellectual property generated from the new designs, if any, will be freely available for FCB, being the club able to exploit them freely and without any sort of obligation or tax. 20. Applicable Legislation and legal jurisdiction This Competition Brief, and the contract that the winning firm signs, is subject to specific legislation applicable and, subsidiarity, to Catalan Civil Code and, subsidiarity, the Spanish Civil Code.

For any disputes arising from the development and award of this tender and the General Planner services contract, the parties will submit to the Courts and Tribunals of Barcelona City renouncing any other jurisdiction that may correspond.

21. Competition Brief acceptance

Taking part in this competition implies the knowledge and acceptance of the brief by the participants. 22. Explanation for the presentation of candidacies as General Planners in the contests for Nou Camp Nou

and Nou Palau Blaugrana

Given the fact that FCB is running in parallel competitions for both Nou Camp Nou and Nou Palau Blaugrana, the General Planner’s position has to be regulated for each of the competitions. To be selected in the 1st Phase for the two competitions and participate as finalists in the 2nd Phase, it is necessary that the General Planners, or figure responsible for the teams, are different. Therefore, if the figure responsible for the Project (General Planner) is a single member, this figure responsible will not be eligible to participate in the 2nd Phase of both competitions. The choice of, which competition the participant will be selected for the 2nd Phase will be decided by the Jury taking into consideration the submission that has obtained the highest score. If the role of General Planner has more than one component, and these are exactly the same for both contests, the same criterion from above will apply. However, this rule does NOT apply when at least one component of the General Planner team does not coincide, and therefore the teams may be selected and participate in the 2nd Phase of both competitions.

C. ANNEXES

All of the documentation detailed in the Annexes will be provided to the selected participants in the 2nd Phase of the competition as part of the Competition Brief.
