Professional Service ContractsThere are seven different types of Professional Service Contracts

Cooperative Endeavor Definition (RS 39:366.3)

Any agreement including one of cooperative financing, other than a competitive bid or competitively negotiated contract. 

Cooperative financing means any method of financing integral to a co‐op between or among the state or its agencies and any nonpublic person.  The methods shall include loans, loan guarantees, land write‐downs, grants, lease guarantees or any form of financial subsidy or incentive.

Louisiana Constitution(Article VII, Section 14 C)

For a public purpose, the state and its political subdivisions or political corporations may engage in cooperative endeavors with each other, with the United States or its agencies, or with any public or private association, corporation or individual.

Cooperative EndeavorsA co‐op is a form of contract (See 4th Paragraph of preamble in JBE 2016‐36)

All co‐ops which require an expenditure of public funds must be submitted to OSP‐PSC for review and approval, unless exempted by written delegation of authority granted by the OSP Director (JBE 2016‐36, Section 1)

All co‐ops must be submitted for review at least 45 days prior to the effective date of the co‐op or must be accompanied by a written explanation of reasons for the delay, per JBE 2016‐36, Section 2.

Requirements cont.Include a plan for monitoring compliance with the terms of the co‐op, assigning a particular person as a monitor. (JBE 2016‐36, Section 3C)

Written reports must be provided at least every six months concerning the use of the funds and specific goals and objectives for use of the funds.(JBE 2016‐36, Section 3C)

Requirements cont.Co‐op with non‐governmental entities when the purpose is economic development. These include repayment of funds if goals are not met. (See JBE 2016‐366, Section 3A)

Co‐ops in which the state provides a guarantee of credit enhancement for a private for‐profit entity and which do not contemplate the issuance of bonds should be submitted to the State Bond Commission for approval prior to execution.  (JBE 2016‐36, Section 4)

Requirements cont.Legislative appropriation to a public or quasi‐public entity which is not a state budget unit have special requirements. They must provide a comprehensive budget, an estimated time of duration of the project, a plan showing goals and objectives, including performance measures.  These are not line item appropriations.(JBE 2016‐36, Section 3B)

If a co‐op authorizes a non‐governmental recipient to make grants, then the co‐op must contain a list of all sub‐recipients, or , at a minimum, a detailed description of the grant application and approval process, to ensure that funds are not provided for any use inconsistent with provisions of the co‐op. (JBE 2016‐36, Section 3D)

Co‐op Tips

Co‐ops can extend for an indefinite duration No certification letter required Does not require a remedies for default clause Does not require as assignability clause, auditor’s clause, termination clause or discrimination clause but OSP’s recommendation is to include them.

Can allow for an advance payments with justification Must include a detailed statement of work, clear payment terms, a maximum amount, and a concise set of deliverables.

Line Item Appropriations are those sums of money that the Louisiana Legislature appropriates to non‐state entities, quasi‐public entities, and private agencies/entities for public purposes.

Line Item Cooperative Endeavors

Co‐ops based on a line item appropriation (LIA) must follow a specific format and a set of guidelines developed by the Commissioner (Section 1).  LIA co‐ops are governed by Executive Order JBE 2016‐38

Provide legal name and mailing address of the recipient entity, and if entity is non‐public, a description of the legal status of the entity.  

Provide names and addresses of all officers and directors of any non‐public recipient entity.

Provide a listing of any person receiving anything of value from any recipient entity, if that person is a state elected or appointed official or a member of the immediate family of a state elected or appointed official.

Provide a detailed description of the public purpose sought to be achieved through the LIA which must conform to the program described in the Appropriations Bill, and, if applicable, supplemental information submitted to the Legislature.

Requirements cont.Provide a comprehensive budget showing all anticipated uses of the LAI, other sources of revenue and expenditures for the entity, program or project funded by the appropriation.

Provide an estimated duration of the project and a plan showing specific goals and objectives, including measures of performance.

Provide a monitoring plan, assigning a particular person within the agency to be responsible for monitoring the agreement.

Requirements cont.Agencies are prohibited from making disbursements until the co‐op has received final approval of the Office of State Procurement within the Division of Administration.  (JBE 2016‐38, Section 3)

Agencies shall monitor disbursements on a quarterly basis. (JBE 2016‐38, Section 4)

Agencies may ask the Legislative Auditor and/or the Office of the State Inspector General to assist in determining whether LIA’s are being or have been properly expended.(JBE 2016‐38, Section 5)

Attachment B, page 3 – Professional and contract services which identifies the names and addresses of the individuals or firms, nature of work and justification for services, total contract amount, and total paid by the LIA.

Attachment C – Progress report which must be submitted at least quarterly and which gives a telephone and fax number, and the percent complete for each goal, objective, activity, and performance measure.

Attachment D – Cost report which lists categories of expenditures, total amount appropriated, expenditures by month or quarter, total year-to-date expenditures, and balance remaining.

Attachment E – Disclosure and Certification Statement which lists organization type, names and addresses of all officers and directors, names and addresses of key personnel, name of any person receiving anything of economic.

LIA Tips Provide a BA‐22 Provide a Board Resolution if recipient is a corporation

Evidence that recipient is in good standing with the Secretary of State, if recipient is required to register.

All co‐ops must be submitted for review at least 45 days prior to the effective date of the co‐op or must be accompanied by a written explanation of reasons for the delay.

The guidelines stat that any co-op that allows a non-governmental recipient to authorize grants must disclose the names of the sub-recipients.

If funds will be used for contract and professional services, then this information must be provided on Attachment B, page 3. Disclosure forms are required for sub-recipients and for professional and contract service providers.
