PUBLISHER’S LETTER

Welcome to our sixth annual special supple-ment honoring LA’s most influential attor-neys. The Los Angeles Business Journal “Leaders in Law” Awards (formerly known as the Corporate Counsel Awards) special

supplement is an opportunity for us to celebrate the outstanding work performed by the remarkable indi-viduals and teams of attorneys that form the in-house counsels for our leading businesses here in Los Angeles while also honoring the leading light attorneys at the many terrific law firms of our region.

In the following pages we hope to shed some addi-tional light on some of the premier examples of busi-ness law among us today. These are the finalists and honorees we singled out for exceptional legal skill and achievement across the full spectrum of responsibility, exemplary leadership as evidenced by the highest pro-fessional and ethical standards, and for contributions to the Los Angeles community at large.

Our celebration of these examples of excellence took place at our Leaders in Law luncheon and awards cere-mony on Tuesday, October 18th at the JW Marriott at

LA Live. The list of prestige finalists — each an example of

excellence in their respective fields — made it partic-ularly difficult to arrive at the honorees. We applaud each of the finalists and honorees, all of whom are described in these pages.

It should be noted that each of the finalists and hon-orees featured in these pages has played a key role, not only in the success of their companies or clients, but in the success of the Los Angeles financial community as a whole. So to all the great legal experts profiled in this volume we say thank you!

We hope you enjoy this special section, which con-tains some unique insights on what exactly it means to be a leading attorney in today’s business climate.

Best regards,

Matthew A. ToledoPresident and Publisher

PUBLIC COMPANY GENERAL COUNSEL OF THE YEAR

MIKE CAHILLCity National Bank

M ike B. Cahill has been instrumental to City National Bank’s growth and success since he joined the bank in 2001. But his counsel and strategic advice was never more valuable than in 2015, when he played a key design and execution role in the $5

billion merger between City National Bank and Royal Bank of Canada. The deal, which closed seamlessly and successfully on November 2, 2015, is RBC’s largest-ever expansion into the U.S. Cahill and his team worked night and day to complete this highly complex transaction, considered the most important bank merger since the Great Recession. The collaboration has paid off this year, with City National’s earnings cited as a major factor in RBC’s stellar fiscal performance through its 2016 third quarter, which closed in July.

In part due to Cahill’s efforts, the bank has continued to be headquartered in Los Ange-les and has had no merger-related layoffs. As part of Cahill’s work on the acquisition, he led the development, negotiation, strategy and execution of the bank’s landmark five-year, $11 billion Community Reinvestment Act commitment to the state of California. The scope and impact of this commitment is unprecedented and unsurpassed in the banking industry, setting a new and dramatically heightened benchmark for the industry.

In addition to his work on the RBC merger, Cahill has long played an important role in ensuring that City National Bank is consistently recognized as the premier and most-rec-ommended bank for the legal industry. He collaborates with executives and relationship managers to ensure that City National’s service offering to the legal community is of the highest quality and dependability.

PRIVATE COMPANY GENERAL COUNSEL OF THE YEAR

JIM PERZIKThe Los Angeles Lakers

P robably no one has been as successful nor has contributed more to Los Angeles sports law than Lakers general counsel, James L. (Jim) Perzik. A 1962 graduate of USC Gould School of Law, Perzik served as an advisor to the late Jerry Buss for almost 50

years and helped Buss in the 1979 acquisition of the Lakers that also included the Forum and properties from former owner Jack Kent Cooke for $67.5 million. It was sports world’s largest deal during that time: Buss acquired the NBA’s Lakers, the NHL’s Kings and the 18,000-seat Los Angeles Forum which was home to both teams. With the forum hosting rock concerts and tennis and boxing matches, Perzik became quite accomplished at draft-ing a number of entertainment and sports contracts.

Perzik worked as a Certified Public Accountant until he graduated from law school. He then joined the firm of Fine and Pope as an associate attorney. Two years later, he became a partner at the firm, which was eventually renamed Fine, Perzik and Singman.

Perzik served as the Lakers secretary and general counsel for the Los Angeles Lakers for over 30 years and is now the Senior Vice President of Legal Affairs and Secretary. He has been involved with all Laker player contracts, including Kobe Bryant’s, salary cap and other collective bargaining matters. He also represented the Lakers’ move to Staples and the 25-year $5B agreement between the Lakers and Time Warner. His 36-year represen-tation of the Lakers has been rewarded with 10 NBA championships and 16 NBA Final appearances.

PRIVATE COMPANY GENERAL COUNSEL OF THE YEAR

MARTY WILLHITELegendary Pictures

M arty Willhite is Chief Operating Officer and General Counsel of Burbank-based Legendary is a leading production company with dedicated film, television, digital and comics divisions. Legendary has been involved several many of the world’s block-

busters, including Godzilla, 42, the Dark Knight trilogy, Inception, The Hangover trilogy, Jurassic World, 300: Rise of an Empire, Pacific Rim, Man of Steel, and more. Legendary’s film productions have grossed more than $12 billion worldwide at the box office. Upcom-ing releases include The Great Wall, which is the largest film shot entirely in China for global distribution.

In his role at Legendary, Willhite has negotiated and executed several landmark deals in just the past year, including the $3.5 billion acquisition of Legendary Entertainment by China’s Dalian Wanda Group. The transaction, which was announced in January 2016 at a signing ceremony in Beijing, marks the largest cross-border acquisition of a media business by a Chinese based entity in history. Together, Wanda and Legendary will create a completely new international media and entertainment company to meet the ever-growing global demand for content, particularly in China. The transaction was unusually complex; among the business and legal complexities involved in the transaction, Wanda acquired 100 percent of the equity in Legendary, and then reincorporated the studio in China with many competing regulatory, tax and other corporate structuring issues at play.

In mid-2015, Legendary refinanced and restructured its $700 million Senior Secured Revolving Credit Facility with JPMorgan Chase as Administrative Agent. Willhite led the internal legal team on this transaction.

ERIC RICHARDSO’Melveny & Myers LLP

E ric Richards has been instrumental in bringing the public-private partnership (PPP) financing model — which has been successful in funding developments across Europe, UK, and Australia — to sophisticated transportation enterprise and social infrastructure

projects in the US. This year, he advised a client on the largest PPP development ever to be undertaken.

Richards guided LaGuardia Gateway Partners (LGP) in its May 2015 winning bid and June 2016 financial close for the complete redevelopment and long-term operation of the Central Terminal Building (CTB) at New York LaGuardia Airport; total redevelopment costs are expected to exceed $4 billion. LGP’s selection concluded an extensive two-and-a-half-year bidding process and LGP will be responsible for structuring, negotiating, and securing financing and airline arrangements in support of the project. The redevelopment of LaGuardia’s Central Terminal Building will be a landmark transaction and become the largest public-private partnership to be undertaken anywhere in the world.

Among many other significant projects, Richards was the lead counsel in advising ADC & HAS Airports Worldwide (ADC & HAS) on its acquisition of Northern Ireland’s Belfast International Airport and a 90.1% stake in Sweden’s Stockholm Skavsta Airport from Spain’s Abertis Infraestructuras SA for over $400 million. In addition to taking over the operations of airports in two international capital cities, the transaction enabled ADC & HAS to expand further into the U.S. market with new airport and airport-facility man-agement contracts at airports in cities such as Orlando, Atlanta, and Burbank, which serve more than 35 million passengers annually.

LAWYER OF THE YEAR (31-75 ATTORNEYS IN LOS ANGELES)

STEPHEN NICHOLSPolsinelli LLP

S tephen Nichols, a principal of Polsinelli, one of the country’s largest law firms with over 800 attorneys in 19 offices, is a highly respected, nationally recognized trial attorney who handles some of the most complex, high risk, and lengthy toxic tort and products

liability trials in the legal profession. Nichols’ exceptionally high success rate in jury trials, coupled with his deep understanding of the trial process from both the plaintiff and defense perspective, and his masterful ability to take very complex subject matter and distill it into information that members of a jury can understand make him an exceptional lawyer and a thought leader in the profession.

One of the things that differentiates Nichols’ practice from most others, is that the cases he tries are so large and complex that they have their own set of general orders of the court that pertain to them. Nichols works closely with a team of attorneys who prepare these cases for trial with his guidance and who then pass the baton to Nichols, who then presents the case to the jury.

Nichols is masterful at taking a set of facts and science and medical information that is complex, complicated and difficult to understand (and that is used to pursue his clients for tens of millions of dollars in compensatory damages) and distilling that information down into a simple, understandable, set of information that he can talk to a jury about so that they can better understand it all in order to reach a just and fair verdict.

LAWYER OF THE YEAR (31-75 ATTORNEYS IN LOS ANGELES)

JULIA STRICKLANDStroock & Stroock & Lavan LLP

W hen major financial services companies and retailers are targets of multi-state class actions that put them at risk of losing not only millions of customers but costing them billions of dollars, they often rely on Julia B. Strickland to counsel and defend

them. Strickland is the managing partner of Stroock’s Los Angeles office and the head of the firm’s national Financial Services/Class Action Litigation Practice. Her client list is a “who’s who” of the financial services industry, including JPMorgan Chase, HSBC, TransUnion, Discover, American Express, Citigroup, PayPal, BMW Financial Services, Zappos and Synchrony Bank.

Strickland recently secured a win in an important case involving the interpretation of California’s often-litigated call recording statute. On August 5, 2016, the California Superi-or Court for the County of San Diego granted her motion for summary judgment on behalf of HSBC where the Plaintiff alleged that HSBC violated California’s call recording statute. Accepting Strickland’s argument, the Court held that HSBC did not intentionally record the particular telephone calls at issue. There is a dearth of case law interpreting California’s call recording statute under similar facts and significant potential damages so this was a significant win for HSBC.

Strickland was also lead counsel in the largest single settlement of data security litiga-tion to date, which could set a precedent for future deals. Strickland advised JPMorgan Chase with respect to their rights under a $67 million deal to resolve claims arising out of Target’s well-publicized 2013 data security breach. Stroock successfully advocated for addi-tional terms to protect JPMC’s interests in the matter.

CHRISTOPHER CALDWELL Caldwell Leslie & Proctor, PC

T here are lawyers in Los Angeles who should be recognized for their litigation skills, or ability to attract A-list clients, or forward-looking management of their firms, or com-mitment to values like diversity and social justice. However, there are very few lawyers

who can do it all. Chris Caldwell does just that. He is a rainmaker, managing partner, first chair, mentor, and advocate. He embodies what it means to be a leader.

Chris Caldwell is a founding partner of Caldwell Leslie & Proctor, PC, a litigation boutique in downtown Los Angeles. Over the past three decades, he has helped the firm grow to nearly 30 lawyers. In fact, the firm has more than doubled in size since 2001, while maintaining a culture based on excellence, diversity, and commitment to the community.

Caldwell has also been a driving advocate for ensuring more diversity in the legal com-munity. As a litigation firm where more than half of the attorneys at the firm are women or people of color, twenty percent are gay or lesbian, and the firm is comprised almost entirely of former federal court clerks, the firm recognized the particular importance of federal law clerk diversity. In an effort to develop a pipeline of diverse lawyers who have clerked, the firm established a Diversity Summer Fellowship in 2013, which emphasizes practical skills. He has developed a collaborative and inclusive culture that ensures young lawyers are actively engaged in matters from the onset so they have an opportunity not just to review documents, but also to learn to litigate cases successfully with the client’s objectives always in mind.

THOMAS GIRARDIGirardi & Keese

A founding partner of Girardi & Keese, a downtown Los Angeles law firm, Thomas Girardi, in 1970, became the first attorney in the state of California to win a $1 mil-lion-plus award for a medical malpractice case. Girardi has handled major cases against

the former Lockheed Corp (now the Lockheed Martin Corp.), Pacific Gas & Electric Co, Los Angeles County Metropolitan Transportation Authority, and Hollywood’s seven major movie studios. Widely regarded by his peers as one of the nation’s top trial lawyers and with nearly fifty years of experience representing victims, Girardi has obtained numerous multi-million dollar verdicts and settlements, handling claims involving wrongful death, commercial litigation, products liability, bad faith insurance, and toxic torts. In 2003, he received the most prestigious honor of being inducted into the Trial Lawyer Hall of Fame by the California State Bar.

Girardi is a Member of the Board of Directors and former President of the prestigious International Academy of Trial Lawyers, an invitation-only worldwide organization, limit-ed to 500 trial lawyers. Girardi is also the first trial lawyer to be appointed to the California Judicial Council, the policymaking body of the state courts.

In one of his better-known cases against Pacific Gas & Electric, the utility company agreed to pay $333 million to 650 residents of the desert community of Hinkley, California. The residents blamed incidents of cancer and other diseases on contaminated water leaked from a gas pumping station. This case was the inspiration for the film “Erin Brockovich,” starring Julia Roberts.

ELENA BACAPAUL HASTINGS

Elena Baca is chair of Paul Hastings Los Angeles office and co-vice chair of the Employment Law practice. Her litigation track record and out-standing trial victories stand out in the legal

marketplace, due to both her sheer volume of wins and the ways in which these decisions are helping to shape future employment and labor law, particularly in California.

An experienced trial lawyer, Baca has established an impressive record of defense verdicts and arbitration wins representing a wide variety of corporate clients. Her litigation practice is primarily focused on employment related issues, such as employee mobility, wage and hour, and whistleblower issues. She is considered a “go-to” employ-ment lawyer for many large employers with high-profile disputes involving high-level executives and contentious high-stakes liti-gation (including class action claims). Baca is frequently called upon to turn around cases that have been mishandled by other law firms and take them to trial.

PATRICIA GLASERGLASER WEIL

Patricia Glaser is head of Glaser Weil’s Litigation Department and tops the short list of trial attorneys in the nation sought after for high-stakes litigation. Respected as a busi-ness trial lawyer, she

also provides general legal counsel to publicly and privately held companies across a range of industries, including intellectual proper-ty, real estate, entertainment, banking and securities. Her leadership positions include having served on the Board of Trustees for The National Judicial College.

ALLISON BUCHNERDOLLAR SHAVE CLUB

In 2015, Allison Buchner, then an IP litigation partner at Kirkland & Ellis, was instrumental in land-ing the representation of Dollar Shave Club (DSC), a new start-up whose services and

product were surprisingly simple and whose sales had skyrocketed. The fast rise did not go unnoticed by Gillette, who claimed DSC was selling razors incorporating Gillette’s intellectual property.

Buchner and her team quickly jumped in to take control of the strategy (and the case) in what to the outside world was a seemingly enterprise-threatening patent suit filed by Gillette. Within months, Buchner and her team filed counterclaims seeking to have Gil-lette’s patent declared invalid and unenforce-able. Through Buchner’s frequent counsel to DSC, she gained the trust of the senior management and became the company’s first General Counsel. In addition to the typical legal work, Buchner managed due diligence and negotiated DSC’s $1.0 billion sale to Unilever, one of the five largest e-commerce deals since 2009.

ROXANA JAMSHIDITRUECAR, INC.

TrueCar, Inc. is a digital automotive marketplace that pro-vides comprehensive pricing transparency about what other peo-ple paid for their cars and enables consumers to engage with True-

Car Certified Dealers who are committed to providing a superior purchase experience. The company is currently supported by a three-lawyer in-house legal team — a small team for a company that generated over $250 million in revenue in 2015. In this context, every team member’s contribution has to be excellent, and in just one year, Jamshidi’s has been outstanding.

As Corporate Counsel, Jamshidi has frontline responsibility for the negotiation and drafting of hundreds of commercial agreements that represent the legal lifeblood of the business. This requires maturity, relentless efficiency, management of multiple competing deadlines, clear communication, and a true commitment to excellence. It also requires a deep understanding of the business and the ability to make practical recommen-dations about complex and nuanced issues in very short timeframes. She excels in all of these areas.

JONATHAN KUAIKORN/FERRY INTERNATIONAL

Jonathan Kuai has been a key con-tributor to the recent successes of Korn/Ferry International. In December of last year, he successfully advised Korn Ferry in its approximately $475

million acquisition of Hg (Luxembourg) SARL . As the leader of Korn Ferry’s legal team, Kuai’s guidance and counsel during this transaction enabled Korn Ferry to strengthen its intellectual property, enhance its geo-graphical presence, and bring together nearly 7,000 talented professionals who have a sin-gle purpose — helping leaders, organizations and societies succeed by releasing the full power and potential of people. He continues to contribute to the successes of this acqui-sition by leading the process of integrating Hg’s worldwide operations with Korn Ferry’s global business.

Kuai also recently advised Korn Ferry in a lawsuit involving a former executive who alleged that he was wrongfully terminated. With Kuai’s guidance and counseling, Korn Ferry successfully settled this lawsuit during the early months of 2016.

Garner was involved in the Mojave Groundwater Adjudication, starting in 1990, and represented the lead parties in the Santa Maria and Antelope Valley ground-water adjudications in the last decade. He dedicated more than a third of his life to the Antelope Valley Groundwater Adjudication matter, recently helping to usher in a judg-ment that ended the 17-year-long ground-water pumping rights case. This judgment is a means of ensuring the basin will now be sustainably managed, and the court held, for the first time, that landowner groundwater rights do not have to be quantified until such time as the groundwater basin is in an over-draft condition.

represents clients in all facets of business, probate and enter-tainment litigation and has tried matters across the nation. He does not merely liti-gate cases and settle;

he has a strong track record of picking juries and winning verdicts. Clients look to Weing-arten to handle high profile cases, to protect their integrity during the very public litiga-tion process, to provide a fresh approach and to suggest novel and overlooked strategies. He is aggressive to optimize results and prides himself on finding the most direct route to victory. Sometimes that means finding a creative solution around a difficult problem. Sometimes it means bowling through it. This year alone, Weingarten has tried and won three cases with three additional cases slated to go to trial before the end of the 2016.

In addition to an array of high profile matters, Weingarten has previously handled matters for HBO, Bret Michaels, Snoop Dogg and Jennifer Lopez amongst many others.

LAWYER OF THE YEAR (76-125 ATTORNEYS IN LOS ANGELES)

LAWYER OF THE YEAR (31-75 ATTORNEYS IN LOS ANGELES)

GLORIA ALLREDALLRED, MOROKO & GOLDBERG

Gloria Allred is probably the best-known woman attor-ney practicing law in the nation today. She is a tireless and successful advocate whose high-profile legal battles on behalf

of victims whose rights have been violated have led to many landmark precedent-setting court decisions and hundreds of millions of dollars for her clients.

When a high-profile legal case hits the airwaves, we have become accustomed to seeing Gloria Allred in some key role as attorney or commentator. But this nationally recognized advocate has built her pioneering career on much more than O.J. Simpson and Amber Frey. As a tireless crusader against discrimination in all areas of our lives, Allred’s legal reach has been wide and long. For the past three decades she has played an integral role in combating injustices and winning new rights especially for women and minorities. Fearless lawyer, feminist, activist, television and radio commentator, warrior, advocate, and winner — Gloria Allred is all of these things and more.

ALEX CALFOKING & SPALDING

With multiple awards and accolades to his name, Alex Calfo has developed a reputation as a top trial lawyer. In recent years, he served as lead trial counsel for clients who were awarded

four of the top 10 winning verdicts for the entire State of California. Calfo is a member of the American Board of Trial Advocates (ABOTA), an invitation-only group of attor-neys who have the requisite skills, integrity and trial experience. He also has earned Martindale-Hubbell’s highest AV-rating as a litigator. In addition, he was named to the Outstanding Lawyers of America Society.

Calfo was a lead attorney on behalf of Johnson & Johnson’s DePuy Orthopedics Inc. in a bellwether trial in multidistrict litigation over the company’s Pinnacle device. The jury found in favor of Johnson & Johnson on all counts, rejecting the plaintiff claims following an eight-week trial in Dal-las. The bellwether Dallas case was the first to reach jurors of more than 6,500 cases that involve the Pinnacle device.

TRE LOVELLTHE LOVELL FIRM

Tre Lovell is known for his excel-lence in the legal field and his strong rela-tionships with clients. Having been practic-ing for nearly 24 years, Lovell has taken on some of the largest

cases, including international ponzi schemes and high profile entertainment litigation. For example, Lovell single-handedly repre-sented 144 victims in a $200 million ponzi scheme against 25 defendants in 5 countries, securing millions in recovery.

Lovell was awarded the Litigator Award for two years in a row (2014-2015) by the Trial Lawyers Board of Regents for extraordi-nary litigation achievement. Lovell serves as Global Law Experts’ exclusive representative expert from California for litigation, and has received an array of accolades for business and entertainment law. He believes that the most important thing in practicing law is the client and the client relationship – and the honesty, transparency and constant commu-nication that come with providing the best possible representation for each client.

ALLIANCE FOR CHILDREN’S RIGHTS

The Alliance for Children’s Rights pro-tects the rights of impoverished, abused and neglected children and youth. By providing free legal services and advocacy, the Alliance ensures children have safe, stable homes, healthcare, and the education they need to thrive. Since 1992, the Alliance has served 125,000 children, with efforts focused on three main areas: 1) free legal services and advocacy for children in poverty and in foster care; 2) training and education for those who work with or care for these children; and 3)

system-wide reform to change policies to improve children’s lives.

The Alliance cuts through the bureau-cracy of the courts, healthcare system, school districts and government agencies to secure a brighter future for children in need. Its staff and extensive network of pro bono attorneys advocate directly for individual children, and work toward broader policy reform. With every child and youth reached, the objective is to identify and address their needs in a holistic way, providing all the opportunities and advantages available to them.
