Main terms of JV agreement

• IAMGOLD must incur $10 million inexploration work over 7 years to earnadditional 25% interest).

• Agreement includes two future success-based contingent payments based onspecific milestones: IAMGOLD’s decision tobuild a mine and the beginning ofcommercial production. For each of thesemilestones, IAMGOLD would pay anadditional $1 million to TomaGold.

• IAMGOLD is the project operator during theacquisition period with the support ofTomaGold’s geological team.

MONSTER LAKENI 43-101 Resource Estimate

On March 28, 2018, IAMGOLD announced the results of its first mineral resource estimate:

• Mineral resources are reported at a cut-off grade of 3.5 g/t Au, using a gold price of US$1,300/ounce and a Canadian$/U.S.$ exchange rate of 1.28.

• High-grade capping (g/t Au) was done on raw assay data and ranges from 20 to 150 g/t Au, based on the statistical analysis of each mineralized zone.

• The estimate incorporates assay results from 105 diamond drill holes variably spaced from 50 to 200 metres apart and totaling nearly 39,000 metres.

• The potential for adding additional resources along the identified shear structures is considered favourable and remains the focus of ongoing exploration programs.

OBALSKI PROJECTPast gold-copper producing property

• TomaGold acquired 100% interest for 4million shares and cash payments totaling$500,000 over four years, including $100,000at closing.

• Property includes one mining concession andhosts seven separate mineralized zones, one85-metre shaft and two ramps.

• In 1964, United Obalski Mining Co. Ltd. mined90,093 tons grading 3.0 g/t Au, 6.2 g/t Agand 1.53% Cu.

• 230 holes were drilled on the property for atotal of more than 60,000 metres, most ofwhich was shallow drilling.

• Latest results from hole OB-17-02, drilled about 125 metres east of the old Zone A underground workings, intersected semi-massive sulphides grading: 15.0 g/t Au, 46.8 g/t Ag and 10.4% Cu over 2.0 metres, including 21.3 g/t Au, 52.3 g/t Ag and 8.6% Cu over one metre, at a vertical depth of 95 metres (March 16, 2017).

BAIRD PROPERTYJV WITH GOLDCORP AND NEW GOLD

• TomaGold holds a 24.5% interest in the property, with New Gold holding a 24.5% interest and Goldcorp (operator), owning the remaining 51% interest.

• The Baird property lies in the central Red Lake gold belt six kilometres north of the Madsen Mine and fourteen kilometres southwest of the Goldcorp Red Lake Mine.

• The property lies within the highly prospective Balmer assemblage of volcanic rocks and exhibits structural and alteration systems typical of the Goldcorp Red Lake and Campbell mines.

• Drilling in the 1980's by United Reef on Baird returned assay values of 172 g/t gold over 1.2 metres and 19 g/t gold over 1.8 metres.

SENIOR MANAGEMENT TEAM / BOARD OF DIRECTORSDavid Grondin, President, CEO and DirectorDavid Grondin has worked in the financial and mining sectors for over 20 years. Hehas been President and Chief Executive Officer of TomaGold since December 2011and is a director of AM Resources (TSXV: AMR). He was President and ChiefExecutive Officer of NQ Exploration from October 2007 to May 2018 during thespin-off process that created Imperial Mining (TSXV: IPG) and AM Resources. Healso acted as a financial analyst for CTI Capital Inc. from 1997 to 2000. Mr. Grondinhas a bachelor degree in business administration (finance) from HEC Montréal andextensive experience in initial public offerings, mergers and acquisitions and reversetakeovers.

Robert Rosner, Executive ChairmanMr. Rosner has significant experience as a mining industry entrepreneur andexecutive who currently acts as a Director, CFO and Executive Vice President ofLucky Minerals Inc., Director and CFO of Chimata Gold Corp. and Director and CFOof Emgold Mining Corporation. Early in his career he initiated the formation of anumber of junior exploration mining companies, including Fortuna Silver Mines(NYSE: FSM) and Niogold Mining Corp. Claude Larouche, Eng., Exploration ManagerClaude has over 45 years of experience in mining exploration and development. Heworked as an independent consultant since 1980 and has completed a number ofexploration programs for prospectors, junior mining companies, senior miningcompanies and government agencies largely in Quebec and Ontario. Claude isspecialized in precious metals, base metals and industrial minerals.

Robert Desjardins, Adm. A, DirectorMr. Desjardins is a member of the Corporation des Administrateurs agréés duQuébec. He has been the president of Robert G. Desjardins et Associés Inc., acorporate finance and financial products development firm, since 1989.

Vittorio Violo, DirectorMr. Violo is COO of PNS-Tech Inc., a Quebec-based manufacturer. Since November2010, he serves on various strategic management committees of Sigma Industries(TSX-V: SSG). Mr. Violo worked for eight years in Canadian capital markets as aninvestment advisor, where he developed expertise in mergers and acquisitions andcorporate finance.

Jean Martineau, DirectorMr. Martineau has worked in the Canadian mining industry for more than 25 yearsas a director of junior exploration companies and an investment broker, and hasbeen the CEO and President of Dynacor Gold Mines since the company was listedon the TSX in 2007. Over the last 20 years, he has focused on South America andhas acquired in-depth knowledge of the management of natural resourcecompanies in South America. His Latin American expertise has been of primeimportance in the development of Dynacor Gold Mines’ operations in Peru. Prior toworking in the mining industry, he worked in the pulp and paper industry for morethan 12 years, where his last assignment was in Venezuela.

STRONG TECHNICAL ADVISORY BOARDAlain Bureau, B.Eng.Mr. Bureau has Canadian Armed Forces officer training and an engineering degree from the Royal Military College of Canada. He has workedin the mining and construction industry in Canada and Latin America for over 20 years. He was involved in sizeable international projects inChile, Peru, Venezuela and the Dominican Republic, and acted as the plant construction manager during the acclaimed construction of thePinos Altos mine for Agnico Eagle in Mexico. Mr. Bureau was President and CEO of Pershimco Resources until it successfully merged with OrlaMining Ltd. to create a new gold company in a transaction valued at over $200 million. Mr. Bureau is currently a resident of Panama, andremains highly involved in the mining industry in Latin America as a member of the Mining Chamber of Panama and Vice President of thePanama-Canada Chamber of Commerce.

Robin L. Phinney, P.Eng.Mr. Phinney earned a chemical engineering degree at Lakehead University. Early in his career he acquired valuable experience in plantengineering, process development, product development and sales and marketing, namely from Potash Corporation of Saskatchewan andKaolin Industries. In 2002, he co-founded Whitemud Resources, and then served as its vice president of engineering from 2005 to 2007. In2007, he founded Karnalyte Resources, where he was President and CEO and a director until 2014 and then as its President and Chairman anda director until 2017.
