8 The steel plant, which was shl.ll down as a result of the lockdown, could not recommence operations after the first nationallod<down was lifted illld continues to remain shut manily as a result of labour unrest created by the hardships both for the Company as -n as the labour as a result of the nationallockdowns. The

matter is being persued vil!rously by the manacement on various fronts lllce trade unions, lenders for debt resolutions and induction of new inwstors. The Company expects ttlif1&s to be resolved In the next few months.

9 The Company has accumulated losses of Rs.1,61,133.49 L.1khs as on 31 March 2020 including a net loss of Rs.79,065.71 L.1khs during the year ended 31 March

2020. The Company is fadng liquidity issues as is reflected by ament liabilities exc..eding the current assets coupled with a neaatille net worth. While as this

scenario could be interpreted as a mater1al uncertainty for the company to continue as golng collCI!m the mana&ement is of the opinion that going concern basis of accounting is appropriate having regard to the fact that the Company continues to carry on the operations in one of its plants and the discussions are contiuning with lenders for debt resolUtion whidJ will allow the Company to recommence its steel operations. Further, in view of the thrust provided by the Central G<M!lllment to Infrastructure projects In the countJy the business sentiment is encouraging. Based on the abolle and the buslnns projecti0<1s fO<mulated, the .,...n_....,ntls of the opinion that despite aboo;e, maintaining • going conc:e1n basis of accounlintl is appropriate.

10 Exceptional items during the quarter consist of provision for impainnent in vai~~e of investment (19,860.50 lacs) and write off of balances (17.329.98 lacs).

The Company has prepared these Financial Results in accordance with the Companies (Indian Accounting Standards) Rules, 201S (lnd AS) prescribed under section 133 of the Companies Act, 2013.

The Company has da>sified all its borrowings from banks as current liabilities, being categorised as NPA (Non Performing Assets) by the lenders.

4 The Company Is In continuing default in payment of statutory liabilities as at the end of the year.

The outbreak of the Wuhan Virus and its spread auoss the globe indudinl! the Indian sub-continent has contributed to a !iignlfiunt dei:line and volatility in the &lobaland Indian financial markets and slowdown in economic activities. On 11 March 2020, the World Health Organisation (WHO), declared the Wuhan Virus as a pandemic and renamed it as Covid·l9. This outbreak has had an immense impact on human Ufe and also dl5rupted the social, economic and finandal

structures of the entire world. In India, the Central GoYe<nment ded<lred the first nationallod<down with effect fTom 25 March 2020. The lod<down was gradually lifted from June onwards During this period restrictions were imposed on 111011ement for the entire population of the country as a pre~~en!ive measure "'lainst 1he spread of the pandemic Just when the business was Kmping badt to normal the Country was struck with the second wave of the virus and a second lodtdown was announced.

The Company has carried out its initial assessment of the Akely adv...., impact on economic environment and financial risk because of 1he Wuhan Virus (Covid-19). There is a significant impact, on account of demand destruction, in the short term but the management believes that it will recover lost around once the

steel plant recommences Its operations. The Company e•pects the economic scenario to .-.rover without there being a major impact on the carrying amount at all tts moveable and immoveable Assets indudin8 receivables and restoration of the ordinary course of business based on information available on current

economic conditions. These expectations are subject to un<2rtainty and may be affected by the severity and duration of the pandemic. The Company is continuously monitoring any m.m.rial change in future economic conditions. The extent to which the Wuhan Virus (Covid-19) pandemic will impact the Company's future resuhs will abo d_,d on developments, which are highly uncrrtain, lnctudlng amongst the other things, any new lnfonmalion conce<ning the severity of the pandemic and any action to contain its spread or mitigate its impact whether government mandated or elected by the company

Independent Auditor's Report on Standalone Annual Financial Results of the Company and Review of Standalone Quarterly Financial Results pursuant to the Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (as amended)

Qualified Opinion

1. We have audited the accompanying statement of Standalone Annual Financial Results of OCL Iron & Steel Limited ("the Company") for the year ended 31 March 2020 and reviewed the accompanying statement of Standalone Financial Results for the quarter ended 31 March 2020 (referred to as "Statement" and shall be construed accordingly), attached herewith, being submitted by the Company pursuant to the requirements of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended, including relevant circulars issued by the SEBI from time to time.

2. In our opinion and to the best of our information and according to the explanations given to us, except for the effects of the matter described in the Basis for Qualified Opinion section of our report, these quarterly and annual standalone financial results:

(i) are presented in accordance with the requirements of Regulation 33 of the Listing Regulations in this regard; and

(ii) give a true and fair view in conformity with the applicable Indian Accounting Standards ("Ind-AS") prescribed under Section 133 of the Companies Act, 2013 ("the Act") and other accounting principles generally accepted in India, of the net loss and other comprehensive income and other financial information for the quarter ended 31 March 2020 and of the net loss and other comprehensive income and other financial information for the year ended 31 March 2020.

Basis for Qualified Opinion

3. As stated in Note 9 to the accompanying statement, the Company's accumulated losses as on 31 March 2020 have resulted in complete erosion of its net worth. Further, the Company's current liabilities substantially exceeds the current assets. Also, the lenders have classified the borrowings as Non Performing Assets ("NPA").

4. As stated in Note 8 to the accompanying statement, the plant of the Company remained shut down and could not commence operations due to labour unrest.

These factors raise a substantial doubt about the Company's ability to continue as a going concern in the forseeable future and related impact on the recoverability of the assets.

5. We conducted our audit in accordance with the Standards on Auditing (SAs) specified under section 143(1 0) of the Act. Our responsibilities under those Standards are further described in the 'Auditor's Responsibilities for the Audit of the Standalone Financial Results and Review of Standalone Financial Results' section of our report. We are independent of the Company in accordance with the Code of Ethics issued by the Institute of Chartered Accountants of India together with the ethical requirements that are relevant to our audit of the financial statements under the provisions of the Companies Act, 2013 and the Rules thereunder, and we have fulfilled our other ethical responsibilities in accordance with these requirements and the Code of Ethics. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our qualified opinion.

Emphasis of Matters

6. In addition to the matters described in paragraph 3 above, we draw attention to note 6 to the accompanying statement, in relation to the pending confirmation of balances from Trade Payable, Trade receivable and from parties to/from whom loan and advances are given/taken and outstanding as on March 31 , 2020. In absence of the same the provisions for any adverse variation is the balances is not quantified. Our report is not modified in this respect.

Management's Responsibilities for the Standalone Financial Results

7. This Statement results has been prepared on the basis of the standalone annual financial statements and interim financial results. The Company's Board of Directors are responsible for the preparation and presentation of the Statement that give a true and fair view of the net loss and other comprehensive income and other financial information in accordance with the applicable Ind-AS prescribed under section 133 of the Act read with relevant rules issued thereunder and other accounting principles generally accepted in India and in compliance with Regulation 33 of the Listing Regulations. This responsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding of the assets of the Company and for preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making judgments and estimates that are reasonable and prudent; and design, implementation and maintenance of adequate internal financial controls that were operating effectively for ensuring the accuracy and completeness of the accounting records, relevant to the preparation and presentation of the Statement that give a true and fair view and are free from material misstatement, whether due to fraud or error.

8. In preparing the Statement, the Board of Directors are responsible for assessing the Company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the Board of Directors either intends to liquidate the Company or to cease operations, or has no realistic alternative but to do so.

9. The Board of Directors are also responsible for overseeing the Company's financial reporting process.

10. Our objectives are to obtain reasonable assurance about whether the Statement as a whole is free from material misstatement, whether due to fraud or error, and to issue an auditor's report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with SAs will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of the Statement.

11 . As part of an audit in accordance with SAs, we exercise professional judgment and maintain professional skepticism throughout the audit. We also:

• IdentifY and assess the risks of material misstatement of the Statement, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.

• Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness ofthe company's internal control.

• Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by the Board of Directors.

• Conclude on the appropriateness ofthe Board of Directors' use ofthe going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Company's ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor's report to the related disclosures in the financial results or, if such disclosures are inadequate, to modifY our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor's repott. However, future events or conditions may cause the Company to cease to continue as a going concern.

• Evaluate the overall presentation, structure and content of the Statement, including the disclosures, and whether the Statement represents the underlying transactions and events in a manner that achieves fair presentation.

Review of the Standalone Financial Results for the quarter ended March 31,2020

We conducted our review of the Standalone Financial Results for the quarter ended March 31, 2020 in accordance with the Standard on Review Engagements ("SRE") 2410 'Review oflnterim Financial Information Performed by the Independent Auditor of the Entity', issued by the I CAl. A review of interim financial information consists of making inquiries, primarily of the Company's personnel responsible for financial and accounting matters and applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in accordance with the Standards on Auditing specified under section 143(10) of the Act and consequently does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion.

13. We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.

14. We also provide those charged with governance with a statement that we have complied with relevant ethical requirements regarding independence, and to communicate with them all relationships and other matters that may reasonably be thought to bear on our independence, and where applicable, related safeguards.

Other Matters

15. The figures for the quarter ended March 31, 2020 are the balancing figures between the audited figures for the complete financial year and the published year to date figures up to the third quarter of the current financial year (FY 2019-2020) which were subject to limited review by us.
