*2019 AGM - Important Notes:

Wine & Cheese Reception/Meeting • The AGM is open to the public however the wine & cheese reception is for BIA members

and invited guests. For the purposes of catering, please let us know if you will be attending the Wine & Cheese Reception.

• RSVPs are required by Thursday, January 17th • Those not attending the Reception, but interested in attending/participating in the

meeting, should arrive at the Opera House by 7:30 pm.

OBIA Constitution

• Please review the attached draft amendments of the OBIA Constitution. The Membership in attendance will be asked to ratify the amendments to the OBIA Constitution. Please review in advance and forward any questions or concerns to [email protected].

Board of Management Election

• The current term of the OBIA Board of Management is expiring and an election for the new term will take place at the AGM.

• If you are interested in nominating yourself or someone else for election to the OBIA Board of Management, please submit the attached nomination form to [email protected] or 10 First Street, Orangeville, ON, L9W 2C4, along with a brief bio of the nominee(s), by Tuesday, January 22nd.

• Nominations will be accepted from the floor, however we suggest that a brief written bio is provided (to be distributed), or short verbal presentation is offered to the membership in attendance. Please contact the BIA office for more information.

Voting Rights • Only one representative per member business and one owner per member property

may participate by voting on motions and in the election. • Each eligible person has one vote, regardless of the number of member

properties/businesses that they represent. • Proxies will be accepted up to 7 days in advance (on or before Tuesday, January 22nd)

only, and must be submitted in writing to [email protected] or 10 First Street, Orangeville, ON, L9W 2C4.

• Upon arrival, everyone eligible to vote must identify themselves, along with the business/property that they represent, to receive their ballot.

The OBIA Constitution requires some minor amendments which will be included as part of the AGM Agenda. The proposed amendments are highlighted in yellow below:

1.1 BIA office - shall mean the office maintained by the Orangeville Business Improvement Area and located at 10 First Street, Orangeville or any such location as the Board may approve from time to time; 1.0 Structure

As established in the Town By-law 9-98, the Board consists of no less than 5 and a maximum of nine (9) members appointed by Council, one of whom is a member of Council, and the remainder of whom are individuals entitled to notice under section 210(1) of the Municipal Act and who are: 1.1 Persons who are tenants of such property and under the tenant’s lease, are required to pay all or part of the taxes on the property; or

1.2 Persons who are nominated by such persons;

The Board may include up to two Members from the area described in Town By-law 78-97 and commonly known as the Fairgrounds Shopping Centre.

22.2 At each AGM, an annual report for the preceding year, the audited preliminary financial statements reports for the preceding year and a proposed budget for the next calendar year must be presented to the Membership, after which time the budget, including the levy requested, will be put before Council for approval. 22.3 Following the presentation of the budget at the AGM, the Board shall submit its annual report for the preceding year to Council by the date and in the form requested by the Town, and the report shall include audited preliminary financial statements reports.

OBIA Board of Management Nominees Troy Brett – Mochaberry Coffee & Co. Originally from Chilliwack, B.C., Troy has lived in the Orangeville area for over 16 years. He has a lovely, patient wife, and three strapping boys. As the owner / operator of Mochaberry for 8 years, Troy loves every minute of running his business and contributing to our vibrant community. Troy holds a BBA from the University College of Fraser Valley and is also a Certified Barista from the Barista Academy of Canada. Troy has served as a member of the Orangeville Economic Development Committee for the past term. Veronica Cvet – Readers’ Choice Veronica, her husband, Clive and her two handsome sons moved to Orangeville 23 years ago. Readers’ Choice was founded in 1997. Veronica joined Sharon Stone as a business partner and after 17 years in business together, Veronica became sole owner in 2015. Books are a passion and a regular bed fellow. Veronica has served as a Director on the BIA Board for 10 years and has served as a member on the Town’s Heritage Orangeville and Communities in Bloom committees.

Shawn Koroscil – Koros Games Shawn has lived in Orangeville area for 29 years. He has a beautiful wife and 2 great kids. Shawn has been a business owner for 13 years, first as a partner in SKHY Security and now as the owner of Koros Games. Shawn has since retired from security work and is enjoying being a Broadway property/business owner.

Christine Patton – Fromage

Christine has lived in Orangeville with her handsome son for 17 years. She has owned Fromage for 5 years and has recently taken the big leap from Mill Street to Broadway. Christine loves animals, hiking, skiing, football , travel, and has a passion for great food. She has a BSc from the University of Western Ontario, a degree in Food Security & Urban Agriculture from Ryerson University, and has taken a wide variety of Fromagerie courses from Georgian College other private institutions to learn all she can about cheese. Christine is a staunch advocate of living a local lifestyle, supporting local business, and promoting local food. Joe Sammut – Mortgage Architects Joe and his beautiful wife, Andrea will be celebrating their 29th wedding anniversary this May and are parents to two grown children, Ben and Lindsay. Joe has been a mortgage broker for 26 years and is one of the founders of Mortgage Architects Canada. Joe has lived in Mono for 11 years on the family’s hobby farm, complete with horses, chickens, and sheep, and loves every minute of it! Joe and Andrea opened Mortgage Architects on Broadway over 5 years ago because they love our downtown!

Heather Hochmeister – H&R Block Heather and her husband Eric moved to the Orangeville area in 2006 when they purchased the local H&R Block Franchise. It has been a roller coaster ever since! Since moving here, they have also had three children and are happy to raise them in a small town. Heather opened a branch office in Shelburne in addition to her Orangeville location. She enjoys being a part of the vibrant downtown core and supporting the various non-profit organizations in the community. She also reconstructed the façade of the building on Broadway and her ‘before and after’ pictures are featured on the Town of Orangeville website. Mike Beattie Mike is the GM and Operator of Mill Creek Pub Orangeville since 2012. Previously, he spent fifteen years in the transportation industry, including seven years in management, and three years of kitchen experience at the Keg Steakhouse and Bar. He was the founder of the ‘Greater Dufferin Hockey League’ which currently has 16 teams and operates year-round. He is the President of Brews and Entertainment Inc., managing the operations of events such as ‘Hip on Mill Street’, ‘Brewzapalooza’, ‘Taste of Orangeville’ and the ‘Alton Mill Wine & Food Festival’. Mike’s biggest passion is his family. Along with his partner Sarah and their four very active girls, they spend most of their time at basketball games, soccer games, baseball games or gymnastics meets, and love to ski in their free time. Shokheen (Nina) Singh Shokheen ‘Nina’ Singh is prolific family lawyer who fell in love with the Orangeville area during her many visits to the local courthouse. Orangeville and Dufferin County captured her imagination like no place else in Ontario, so it made perfect sense to relocate here in hopes of starting a family and growing her practise in a warm-hearted community. Nina has years of experience serving on operational and governance boards, bringing a strong background in collaborative committee work to all her endeavours. Nothing would please her more than being able to call upon her years of experience in advocacy to help further the interests of this important association. ------------------------------------------------------------------------------------------------------------------------------------------

Council Appointed Member

Debbie Sherwood, Town Councillor Councillor Sherwood is proud to call Orangeville home since 1979. She has raised three children and has five grandchildren, all of whom enjoy the amenities of our town, including sports clubs, school events, arts and cultural organizations, and community events. Debbie is retired with more than 35 years experience working in municipal government as a tax collector/deputy-treasurer. She is a Certified Municipal Tax Professional and obtained Financial Accounting from Georgian College. This is Debbie Sherwood’s first time serving on Council and she is looking forward to her new role as Councillor and a member of the OBIA Board and Heritage Orangeville.

Orangeville BIA

Board of Management Role & Responsibilities

The Board of Management manages the affairs of the Orangeville Business Improvement Area (OBIA). As a member of the Board, Directors act in a position of public trust for the membership and community, and are responsible for the effective governance of the organization. Every four years, with each term of Council and at the OBIA Annual General Meeting, the OBIA membership elects its Board of Management. The following is an overview of the role of the Board of Management and an outline of the responsibilities and the required skills for Directors of the Board.

Role of the Board of Management

Organizational Operations;

Planning;

Financial Management;

Community/Member Relations;

Human Resources.

Director: Responsibilities

Understand mission/strategic focus;

Know the legal requirements of Directors’ liability and obligations;

Understand the financial management structure and processes;

Respect confidentiality;

Adhere to the principles of respective communications and conduct between staff and board members;

Regular attendance at regularly scheduled Board Meetings, Soecial Meetings, and Budget Meetings: Arrive on time and prepared (all materials to be reviewed in advance) to participate in the meeting;

If you disagree, disagree with the ideas and motions, not the individuals;

Carefully word your motions, keeping in mind the critical policy decisions of the Board should reflect the interestof all sectors within the membership of the OBIA;

Support BIA events through participation at both a member level and by volunteering time and expertise before,during, and/or after events;

Act as an ambassador to the public in representing the organization.

A demonstrated commitment to the work of the organization;

Ability to make decisions based on the needs of the organization as a whole;

Knowledge and skills in one or more areas: policy, finance, marketing and communication, program delivery,personnel, advocacy, community and/or organizational change;

Willingness to serve on committees, working groups, or related task forces;

Commitment to participate in monthly Board and committee meetings, and occasional public or private events;

Actively support the work of Board and staff though participation in BIA events, programs, and announcements;

Possess a positive attitude and a proactive approach to problem solving;

Demonstrate a positive regard for staff relations and best practice governance;

Providing hands on assistance for BIA events (event prep/set-up, during event, post event clean-up).
